The Ayala Southvale Village located in Bacoor, Cavite having turned over its wastewater faciffties to Maynilad is now geared towards a sustainable wastewater solution to make life in the Eocality with quality, environmentally safe and healthy. In 1997, Maynilad Water Services, Inc. [MWSI) signed a 25-year concession agreement with the Metropolitan Waterworks and Sewerage System (MWSS) to provide water and wastewater services to the 17 cities and municipalities comprised in the West Zone of the Greater Metro Manila Area. The areas included are Caloocan, Las Pinas, Malabon, Manila, Muntinlupa, Navotas, PasayH Parafiaque, Valenzuela, parts of Quezon City, a part of Makati, Cavite City, and the municipalities of Rosario, Imus, Noveleta, Bacoor, and Kawit fn Cavite. From 2003 to 2005, MWSI has implemented the Manila Second Sewerage Project (MSSP) through a rehabilitation and enhancement program, which includes improvement of the Tondo Pumping Station and the Dagat-dagatan Septage Treatment Plant, In August of 2009, water operations of Ayala Waterworks in Ayala Alabang and Southvale were turned-over to Maynilad Water Services Inc. This included all wastewater facilities catering Ayala Alabang and Ayala Southvale. immediately, a rehabilitation plan was made in order to improve wastewater services in ihe area and prepare these facilities for IMS certification. In July 2013, rehabilitation of the Alabang STP took place. The project will be completed by December 2012, Following this project will be the rehabilitation of the Ayala Southvale STP's. Rehabilitation of the two facilities will be done in order to provide structural integrity to the facility as well as to improve effluent quality, making sure that it meets the required standards for Class C water. The two (2) STP's located in Ayala Southvale were constructed in 2000 in order to cater the wastewater demands of the village which is located in Bacoor, Cavite. Each STP has a design capacity of 31,25 cubic meters per day. Receiving bodies will also be monitored to determine the effect/improvement in the waterquality. Implementation of the project will definitely enhance the water quality of thereceiving creek, a tributary to the Laguna de Bay.Basically, the project will;

• Improve wastewater services in the area

• Improve operational efficiencyof the facility• Improve water quality of the creek and its receiving bodies of water• Improve public health

1,1 Project Rationale

Thereare two (2) existing SewageTreatment Plantaccommodating the wastewater demandscoming from Ayala Southvale Village located in Bacoor City, Cavite. The STP-1 (Alabang Area)is located along Mabini Street and STP-2 (Bacoor Area) is situated in St, Jude Street, TheseSTPs were constructed in 2000. In August of 2009, its operations were turned-over by AyalaWaterworks to Maynilad Water Services Inc.

Each STP has a design capacity of 31.25 cubic meters per day with an area of 40 sq.m(Alabang area) and 70 sq.m (Bacoor area). These facilities used the dipped-membraneactivated sludge process in treating wastewater before discharging it to Zapote River. Thesetreatment facilities are already disintegrated and not functioning to its purpose. Themembrane is already defective as well as the pumps, blowers and piping and control system.The biological tanks can still be utilized.

The proposal is to rehabilitate 5TP-2 [Bacoor Area) using the sametechnology, or to use cost-effective technology that will fit in the available area, STP-1 will be converted into pumpingstation (PS-l) that will pump out wastewater of the catered area of STP-1 and later run to the

proposed sewerline along Rizal St. from PS-l to STP-2.The project isexpected to improve theair quality since present facility has not been desludged and sludge have been undergoingdecomposition and emits obnoxious gases. Similarly, the structure has not been repaired andmay be suffering from structural defects and leaks.

There will be a marked improvement in the water quality since the wastewater treatmentfacility is already not functioning and it will be rehabilitated and will undergo biologicaltreatment and disinfection. The effluent quality will be monitored regufarly to ensure that itmeets Class C effluent standards as prescribed by the DENR. Receiving bodies wilt also beobserved and monitored to determine the effect of the STP to the water quality ofthe bodiesofwater. Implementation of the project will ultimately enhance the water quality of ZapoteRiver and ultimately the Manila Bay.

1,2 Description of Project Operations

1.2.1 Existing Technology (Dipped-Membrane Activated Sludge)

The two (2) STP's use the dipped-membrane activated sludge technology.

Activated sludge is a floe coagulated with aerobic microorganisms that has biochemicalactivities for treatment of organic wastewater. Bacteria are the most importantmicroorganisms in the activated sludge and responsible for the decomposition of the organicmaterial in the influent.

The sewage treated in the aeration tank is low in BOD but contains activated sludge andsome suspended solids. Dipped micro-filter modules are installed inside the aeration tank tofilter out these solids and obtain treated water low in suspended solids and BOD,

The Existing technology of the plant caters a capacity of 31,25 cmd per STP. Based on theprojection of the billed volume for Ayala Southvale, the existing capacity is less thanprojected capacity of the plant once the village will be fully occupied. (See table below). Thecurrent technology might be subjected to change based on the technology/process that canaccommodate the wastewater demand with the available land area.

1.2.2 Future Process Technology

Acceptable Treatment TechnologiesSecondary treatment shall be by biological process. The following treatment technologiesshall be considered equally acceptable if designed and installed to consistently meet therequirementsof the Performance Specification, especially the effluent qualitystandard.

1. Conventional Activated Sludge (CAS);

2. Sequencing Batch Reactor (SBR);

3. Moving Bed Bio Reactor EMBBR); and

4. Membrane Bio Reactor (MBR); and

5. Fixed Bed Activated Sludge (FBAS).

Given that the mode of implementation will be through the Design and Build Scheme, thebidder shall refer to the Performance Specifications for the general requirements of thea bo ve-1 isted techno Iog ies.

2. Objective of the Project

Maynilad invites proposals to provide the following engineering and construction sen/ices forthe Proposed Construction of Ayala Southvale Sewage Treatment Plant in reference to thePerformance Specifications for the project:

a. Engineering Services

i. Detailed Engineering Design of the Sewage Treatment Plantii. Detailed Engineering Design of the Interceptor System with Pumping Station

b. Construction of Sewage Treatment Plant and Interceptor System with PumpingStation

3. General Requirements

complete and proper design and construction of the WORK shall be provided by thedesign-build contractor as though originally so indicated;

2) All work items under this contract shall be done in accordance with MayniladTechnicaE Specifications/Standard Drawings, National Building Code [NBC), NationalStructural Code of the Philippines (NSCPh Philippine Society of Mechanical Engineer's(PSME) Code, Philippine Electrical Code (PEC), Sanitation Code of the Philippines andany applicable engineering and environmental standards or practices, or as specifiedherein;

3) The scope of work shall include any work, implied or not implied in this contract but isnecessary to complete the Proposed Construction of Ayala Southvale SewageTreatment Plant;

4) The Design and Build Contractor shall be responsible for conforming and correlatingall parameters, quantities, dimensions and other requirements for the selection ofacceptable treatment Technology;

5) Design and Build Contractor shall acquire all of the project's pertinent permits,licenses, and clearances including payment of taxes and other fees due tolocal/national government/ regulatory units and private entities for the proposedconst ruction/installat ion of all permanent and temporary structures and facilities;

6) Design and Build Contractor shall submit all documents produced as part of theDesign Services to Maynilad for review and issuance for construction in accordancewith the terms of the Contract Maynilad shall review and approve the methodology,specifications and other relevant data, which the Design and Build Contractor hassubmitted and proposed for the work. Such review and approval, however, shall in noway relieve the Contractor of its responsibilities, obligations or liabilities under theContract;

7) The Design and Build Contractor shall submit progress report covering all relevantphase of implementation of work,

8) Design and Build Contractor shall be responsible for all the necessarypower/electricity and water in rendering the construction services;

9) The Design and Build Contractor shall also provide the necessary water and portabletoilets to its workers to complete delivery of the project.

10} Design and Build Contractor shall be responsible for conforming and correlating aildata, dimensions and quantities with that of the existing equipment, site conditions,and structures on the execution of all works required under this contract;

11)Prior to start of work, Design and Build Contractor shall submit design andconstruction schedules, product sample or proposed substitute ("or equal"), technicalmanual and literatures for Maynilad's review and approval;

12) If any modification in the scope of work is necessary, the contractor shall submitworking drawings prior to the execution of work. Maynilad shall review and rtsapproval shall not be construed to relieve the Design and Build Contractor of itsresponsibilities, liabilities, and obligations;

13)Design and Build Contractor shall comply with the safety policies of Maynilad. TheDesign and Build Contractor must submit and coordinate with the concernedMaynilad unit his own safety measures and work schedules for Maynilad's evaluationand concurrence;

]A) Cleanliness at the work site area shall be maintained at all times. At the end of the

day's work all tools, equipment, and unused materials shall be orderly placed atMaynilad designated areas;

15) The Oesign and Build Contractor shall be deemed to have inspected and beensatisfied as to the suitability and availability of access to the site as required to executeand complete all works specified in this contract;

16)The Design and Build Contractor shall submit to Maynilad periodic reports, as requiredby the Engineer, covering reievant phases of work required to satisfactorily compfetethis contract;

17)The Design and Build Contractor shall submit final "As-Built" Drawings of the STP inreproducible format [Al-Size Mylar) and in electronic copy using the latest Auto CADformat, including measurements/tie-ins of all works performed in the project. Tie-rnsshall have a minimum of three {3} horizontally measured reference points, which areabove-ground and/or on permanent structures, or reference points.

Design and Build Contractor Representations

1) Design and Build contractor shall perform all Design Services described in,contemplated by, inferable from, or necessary or desirable to achieve the objectivesstated in the Design Scope, Performance Specification and the Contract, including allDesign Services necessary for the Project to be properfy constructed by Design andBuild contractor and used, operated and maintained by Owner in accordance with allapplicable guidelines, requirements and standards, "Design Services" means any andall architectural, engineering and design services required to be performed by theDesign and Build contractor pursuant to the Contract and all labor, materials,supervision, equipment, computers, documents, and all other things necessary for theperformance of such services.

2) Design and Build contractor is professionally and fully qualified to act as the designprofessional and the general contractor for the Project;

3) Design and Build contractor will maintain all necessary licenses, permits or otherauthorizations necessary to act as Design and Build contractor for the Project untilDesign and Build's duties and scope of works under this project have been fullysatisfied;

4J Design and Build contractor has the expertise, experience (at least 10 years), andknowledge as well as the necessary plant, personnel and financial capability toperform the Design Services and the Work in accordance with the scope of works andterms of the Contract;

5) Prior to the execution of Works, Design and Build contractor has visited and inspectedthe Project site and the local conditions under which the Project is to be designed,constructed and operated, and the Design and Build contractor has performed suchtests, if any, as are necessary to determine the conditions under which the Work willbe perfojrnedr and Design and BuiJd contractor accepts the conditjons of the Worksite and has taken those conditions into account in entering into this project;

6) Design and Build contractor shall, without additional compensation, immediatelycorrect any errors, omissions or deficiencies in its Design Services and DesignDocuments.

7) Design and Build contractor assumes full responsibility for the improper acts andomissions of its Subcontractors or others employed or retained by Design and Buildcontractor in connection with the Project,

4. Project LocationThe project sites are located at Mabini Street Ayala Southvale Village [PSD, along Rizal St,[propose sewerline} and at St,Jude Street (STP), outside the village. The sites are located nearZapote River. The site is within the political jurtsdiaion of the Bacoor City, Cavite. It isbounded on the north by Las Pihas City, in the east by Muntinlupa City, on the west byNavotas and on the south by Manila. The area is situated in an exclusive subdivision and lyingin a sloping terrain. The site is shown on figure 1.

5. Scope of Design and Build Services

The Contractor shall conducr the services identified below by applying sound technicalpractices and methods and shall collect and utilize available and necessary data in carryingout the identified assignments:

5.1 Engineering Services

5.1.1 Sewage Treatment Plant

Design and Build for the Proposed Construction of Ayala Southvale Sewage Treatment Plant:

The facilities will occupy an area of 40 sq, m [PS-1) and 375sq.m (STP). The plant treatmentcapacity is '000 m3/day, which is based on the wastewater demand projection of AyalaSouthvale,

The Contractor shall conduct the following tasks:

5.1.1.1 Defatted Design

The Contractor should provide the detailed design using the selected STP technology fromthe five [5} acceptable technologies such as CAS, SBR, MBBR, MBR and FBAS. Part of thedetailed design is the preparation of design drawings for but not limited to the following:

• Fully detailed and dimensioned drawings, and specification• Process design specification• Pipe networks and pumping station drawings

(Influent line connecting to the proposed pumping station, sewer main pipes (forcemain & gravity) connecting to the proposed STP, effluent line from STP to nearestoutfall and piping works inside the STP)

• Structural Engineering Drawings

» Electrical Engineering Drawings (Including Power and Control Diagram, new MCPcomplete with level switch/ control/ electrodes for automation, local control with

provision for SCADA, protective breakers and other safety devices); All equipmentshould be located above the highest flood level in the area.

• Mechanical Engineering Drawings (Complete list of electro-mechanical equipmentwith complete description, capacity, motor rating, brand, quantity, origin ofequipment, pressure head, type of material etc.; To include installation of odor controlequipment and gas detector)

• Sanitary Drawings

• Hazardous Waste Facility for storage of hazardous waste materials/ equipment• Hydraulic Engineering Drawings

The Detailed Design shall include all Design Documents which shall describe with specificity allelements, details, components, materials, and other information necessary for the completeconstruction of the Project and the rendering of the Project fully operational for its intendedpurposes.

Prepare, submit, review and recommend for approval of PMDthe basic and detailed design andthe engineering works in compliance with the provisionsof the Contract and in accordance withthe Employer's Requirements which includes but are not limited to the minimum requirementsstipulated in the Performance Specification, Technical Specification etc.

5J.1.1.1 Preparation ofthe Technical Document*

Thetechnical documents to be prepared should adopt the Design & Build scheme for the STPand pumping station with sewer mains, as follows:

• Design Drawings• Detailed Scope of Works• Particular Technical Specifications

5.1.1.2 Surveys

• Soil Test and Geotechnical Investigation Report (Sufficient number of bore holes atstrategic locations to be proposed by the Contractor for approval ofMaynilad)

5.1.2 Other Services, Considerations and Deliverables

The following activities shall be performed relative to the scope of work:a. Site clearing/preparation, demolition and dismantling of all existing structures and

equipment of the existing STP's;b. Dismantling/ removal of existing fences, and design, supply and installation of new

perimeier lighting, roofing, fences and gate using Maynilad corporate standards;c. Construction of pumping station and sewer manholes, pipe laying of sewer mains

(force main &gravity flow pipes and influent / effluent lines)d. Provision of mobile generator set in case of power interruption.e. Preparation and submission of relevant documents;f. Project preliminary meetings - confirmation of the project contents, work procedure,

5.2 Construction Services

The services of the Design and Build Contractor shall be under the overall supervision andmonitoring of Program Management Division (PMD), PMD will oversee all of the Contractor'sservices and will approve all recommendations relevant to the project.

General Intent: Design and Build contractor shall perform all Work necessary toconstruct/implement the Project in accordance with the Contract and Scope of Works, and torender the Project and all its components operational and functionally and legally usable fortheir intended purpose.

Work Defined: The term "Work" shall mean whatever is done by or required of Design andBuild contraaorto perform and complete itsduties relating to the construction of the Projectunder the Contract, including, without limitation, the following:

(1) Construction/Implementation of the whole and all parts of the Project in full and strictconformity with the Contract;

(2) The provision and furnishing, and prompt payment thereof, of all labor, supervision,services, materials, supplies, equipment, tools, transportation, storage, power, fuel,heat, light, cooling/blower, other utilities and things required for the construction ofthe Project;

(3) The procurement and furnishing of all necessary building permits and other permitsrequired for the construction of the Project;

(4) The creation and submission to Maynilad of detailed as-built drawings depicting allas-built construction;

(5) The furnishing of any required surety bonds and insurance as required by theContract;

(6) The furnishing of all equipment and product warranties, manuals, test results and userguides required by the Contract or otherwise reasonably available to Design and Buildcontractor; and;

(7) The furnishing of all other services and things required or reasonably inferable fromthe Contract Documents;

The detailed scope of services to be provided by the Design and Build Contractor within thetime required by Maynilad for the construction of the project are as follows but not limited tothe following:

5.2.1 Scope of Services

A. Design Stage (STP and Interceptor System)a. The Detailed Design shall include all Design Documents which shall describe with

specificity all elements, details, components, materials, and other informationnecessary for the complete construction of the Project and the rendering of theProject fully operational for its intended purposes, including satisfaction of attesting,permitting, qualifications, certifications, validations, and obtaining regulatoryapprovals by all applicable regulatory authorities required to render the Project and allits components operational and functionally and legally usable for their intendedpurpose;

b. Prepare, submit, review and recommend for approval of PMD the basic and detaileddesign and the engineering works in compliance with the provisions of the ContracTand tn accordance with the Employer's Requirements which includes but are notlimited to the minimum requirements stipulated in the Performance Specification,Technical Specification etc,

B- Pre-Construction Managementa. Permitting Works

1. Review and update existing documents and assist PMD-Construction inconducting negotiation with the Local Government Unit .[LGU?.

2. Coordinate with the LGU on the schedule of the negotiation.3. Facilitate in conducting the negotiation and in the evaluation of the demands of

the LGU,

b. Pre-Const ruction Meeting & Stake-Out

1. Attends pre-construction meeting and siake-out and provides requirements inaccordance with the standard operational procedure for constructionrequirements as per Maynilad quality management system.

C Construction Sen/ices

a. Acts as Works Engineer on site and direCTly reports to the appointed ProgramManager of PMD - Construction.

b. Submit for approval the proposed detailed construction methodology.c. Submit proposed work schedule,d. Submit for approval of PMD the Contractor's design drawings of STP and interceptor

f. Provide working / construction drawings (if needed} and all necessary drawings anddocuments to complete the project.

g. Provide dedicated equipment on site deemed to be intended for use exclusively forthe execution of the contract,

h. Coordinate closely with PMD Construction to comply and properly observe rules inthe execution of the contract at the site. Such site regulations shall include, but notlimited to; rules in respect of security, safety of facilities, gate control, sanitation,medical care and fire prevention;

ir Ensure the receipt and maintenance of permanent record of all warrants requiredunder the terms of the contract for materials and equipment to be accepted andincorporated in the project

y Ensure incorporation of recommendation/comments from "HAZOP STUDY" in thefinal Design Drawing for STP; subject to review and approval of WastewaterManagement Drvrsron.

k. Maintain, as appropriate, at the site and matn office, record copies of contractdocuments, engineering drawings vendor drawings, survey record, workmeasurements, test logs, samples, revisions, variation order information, safetymanuals, and other related documents needed to satisfactorily monitor the project

I. Contractor to ensure availabilityof all necessary ground and topographic data;m. Observe compliance with the terms and conditions of the contract as to installation,

construction and other works, documentations, engineering drawings, vendordrawings, survey record, work measurements, test logs, samples, revisions, variationorder information, safety manuals and other required documents to satisfactorilymonitor and complete the projeci

n. Render expert/professional workmanship in accordance with Maynilad standards inimplementing all aspects of works and ensure that plans are effectively executed.

o. Notify PMD-Construction immediately of anticipated delays and changes.p. Piepaie and submit required periodic reports to PMD-Constructjon on the progress of

work, the project's financial status and other required forms to be filled-up, write-ups,justifications and other documentations, as applicable in accordance with the PMDConstruction's operational procedure for quality management system.

q. Maintain a representative at the project site at all times to monitor/supervise the workand provide representative at the fabrication site as necessary,

r. Ensure that any deviation from the contract documents shall be backed up withWorking Drawing submittal for approval by PMD.

s. Ensure that project is executed according to established safety, housekeeping,technical and quality standards, with minimal or least public inconvenience

Ensure compliance to requirements/works stipulated in permits or equivalentdocument issued by regulatory, home owners, and/or government, environmentalagencies, etc;Provide assistance, where necessary or as instructed, to communicate with the localcommunity regarding temporary impacts of the projects such as noise, limited access,construction schedule, and the like.

The Contractor shall be held liable in case any accidents or collapses occur duringconstruction when the cause is due to his negligence in undertaking their respectivescope of works while Maynilad shall be made free from any liabilityas a result thereof,

k Submit As-Built Drawings and ensure correctness and completeness of drawingdetails as installed or as constructed on site,

D. Variation Order/Time Extension (if applicable)a. Contractor shall comply with the Maynflad policy on Work Variations.

E, Billinga. Contractor shall comply with the relevant PMD operational procedures and

requirements specified therein with regards to contractor's billing, requirements anddisbursement.

F, Materials Quality Controla. The contractor shall comply with the PMD operational procedure in the technical

evaluation of materials and equipment which shall be used in a particular projectensuring that all necessary parts and manuals for operation and maintenance ofequipment shall satisfy the contract documents.

G. Close Out and Final Acceptancea. Perform final survey measurements of completed and accepted works to determine

payable quantities.b. Prepare final quantification, inspection, and documentation on the project m

coordination with PMD-Construction,

c. Submit 'As-built' drawings indicating accurately the completed works and conformingto the standards.

d. All project documents prior to final payment of this construction services shall beproperly turned over to Maynilad.

e. Prepare the documents for acceptance of work by Maynilad in accordance with thePMD construction operational procedure's requirements.

H- Pre-Commissioning and Commissioning (STP)a. Conlractor shall ensure compliance with all the requirements prior to pre-

commissioning of the Plant and prepare report to Wastewater Management Divisionsubject for validation,

b. Contractor shall ensure compliance of the Plant's performance based on theguidelines stated in the Bidding Documents, Pre-commissioning, Commissioning andProcess Proving Guidelines;

c. For any defects and/or deficiencies, the Contractor shall correct such defects and/ordeficiencies, and shall repeat the procedure until successfully complied, subject forfurther review, evaluation and approval of the PMD-Construction and WastewaterManagement Division;

d. Comply with all necessary testing as stated in the Bidding Documents;

I. Environmental, Safety and Traffic Managementa. Contractor shall abide by the implementation of the Environmental Management Plan

(EMP) attached in the Bidding Document.b. Contractor shall ensure that the project site and its surrounding are free from adverse

environmental pollution.c. Contractor shall abide by the conduct of Environmental Monitoring Plan (EMoP]

attached in the Bidding Document.d. Update/inform the PM of any occurrence of environmental problem and recommend

measures to mitigate potential risks.e. Contractor shall abide by Maynilad's safety programs during construction period and

shall closely monitor its implementation at all times to ensure the safety, protectionand security of the Contractor's personnel, third parties, the works, the equipment,installations etc.

f. Contractor shall ensure faithful compliance with all the pertinent laws, decrees,regulations and ordinances, and take all necessary safeguards to prevent theoccurrence of the accident, loss or damage to lives and properties of any kind.

g. Identify existence of all kinds of hazards and conduct risk assessment {analysis andevaluation) and recommend for approval of the PM,

h. Assess the effectiveness and suitability of the recommended traffic management planduring the actual construction and recommend necessary adjustments to suit theactual conditions ifnecessary,

i. Supervise the implementation of the approved Traffic Management and Re-routingPlan in close coordination with the LGUs concerned, with due consideration to thefollowing:1. Protection of nearby local residents and business establishments2 Guaranteed access for emergency vehicles3. Minimized disruption to pedestrians and public transport users

4, Safety of all road users

c. Rendering of other works not specified hereof that will be necessary for the successfulcompletion of the project.

6. Engagement and Duration

6.1 Detailed Engineering DesignThe engagement of the Services for the Detailed Design of the Project shall reckon from thedate of receipt of the Notice to Proceed (NTP) for the Engineering Services and acceptance ofthe signed Contract Agreement and shall remain in effect until the completion of therequirement as per agreed Program.

a. The duration of the engagement of the Design and Build Contractor for theengineering services shall not exceed six (6) months.

b Commencement of the design services shall reckon from receipt of the Notice toProceed for the Engineering Services and acceptance of the Contract Agreement.Completion of Design services shall not exceed six (6) months from commencement.

c. Contractor shall not be entitled to any additional fee should they exceed the contractduration.

d, Maynilad shall be allotted five (5) working days to review ail submitted documentsand this shall be considered in the programme,

6.2 Construction Services

The engagement of the Design and Build Services for the construction services of theProposed Construction of Ayala Southvale Sewage Treatment Plant shall reckon from thedate of receipt of the Notice to Proceed for Construction Services and acceptance of thesigned Agreement and shall remain in effect until the completion of the requirement as peragreed Management Programme.

a. The duration of the engagement of the Design and Build Contractor for theconstruction services shall not exceed the following:1, Duration of the construction services: 10 months

2. Duration of the commissioning of the Plant: 3 months

8. Support Services and Facilities

8.1 Engineering ServicesThe Contractor shall provide their own office space and other logistic supports for theiruse during the duration of the engineering services. The Contractor shall also provideown mobile phones, computer and service vehicles at no additional cost to Maynilad.

6.2 Construction Services

The Design and Build Contractor shall be allowed to rent/lease vehicles for their use inproviding the construction services, chargeable against the Contractor's reimbursableexpenses.

The following shall be supplied by the Design and Build contractor and shall form part oftheir Bid;

a. Site Offices including all office equipment and supplies;b. Power and water supply, sanitation facilities, waste and garbage disposal, etc.; andc. Survey equipment and material as required for checking the Works:d. Other reimbursable expenses.

9. Penalties, Liquidated Damages, Insurances and Liability

9.1 Penalties

If the service of a team member provided by the Design and Build Contractor is notacceptable to Maynilad, the Contractor shall immediately replace the team member onrequest of Maynilad. If the Contractor fails to quickly deploy/repiace a team member asinstructed, Maynilad may make temporary arrangement. The temporarydeployment/replacement shall be paid by the Contractor with commensurate reduction inthe contract price of this contract. This will however be a temporary arrangement and if theContractor fails to deploy the requisite personnel or replace any member as instructed,Contractor shall be liable for action for termination of contract and/or blacklisting.

9.2 Liquidated Damages

The parties hereby agree that the damages which Maynilad will sustain as a result ofContractor'sfailureto perform the required processes to fulfil the deliverables specified in theContract are difficult or impossible to determine with certainty and, therefore, have in goodfaith estimated as fair compensation [and not as a penalty) the liquidated damages set forth,Asand when applicable. Contractor shall agree to pay Maynilad liquidated damages for everyday of delay until the Services are completely performed, as provided for and stipulatedunder Part 3 of the Bidding documents.

Maynifad may, at its option, demand payment of the sum of liquidated damages or deductthe sum of such liquidated damages from any monies due or that may become due toContractor, and if such monies are insufficient, Contractor shall forthwith pay the deficientamount.

93 Insurances

Maynilad

Contractor shall at its sole expense, maintain in effect at all times during the performance ofjls Agreement with Maynilad, insurance mandated by all appropriate laws, rules andregulations of the Government of the Republic of the Philippines and its subdivision andinstrumentalities at not less than the minimum required by such laws, rules and regulations.The Contractor shall maintain a Professional Indemnity Insurance or any equivalent Insuranceof no less than the total cost of services for the duration of its liability and shall make suchpolicy available for inspection to Maynilad at any time as evidence that such insurance isbeing maintained. Maynilad shall claim upon said insurance any and all amountcommensurate to any loss or damage suffered, incurred or arising from violation of any of theterms and conditions of this Agreement and concurrence of other analogous cases resultingin such damage or loss.

The Contractor shall post a performance security within 7 days after receipt of Notice ofAward in any of the following forms'

a. Bank Guarantee, 10% of the Total Cost of Services

b. Surety Bond, 30% of the Total Cost of Sen/ices

The Performance Security shall be posted in favour of Maynilad, callable on demand and shallbe at least co-terminus with the issuance of the certificate of the final completion of theentire services issued by any insurance company accredited by GOTUACO DEL HQSARIO &ASSOCIATES, INC,

A separate surety bond for the 15% advance payment shall be posted in favor of Maynilad,callable on demand, issued by any insurance company accredited by GOTUACO DELRQSARIO & ASSOCIATES, INC

9,4 Liability

Maynilad's maximum remedy in the aggregate from the Contractor for all damages, lossesand liabilities ("Claims") incurred in connection with this Agreement shall not exceed the totalcost of Services, The Contractor, its authorized servants, agents and sub-Contractors shall bedischarged from all liability in respect of the Services after five (5) years from the completionof the Services and its Final Acceptance, provided that such 5-year period is covered by aProfessional Indemnity Insurance, or any equivalent insurance acceptable to Maynilad whichthe Contractor is required to obtain and maintain.

10, Conflict of Interest

During the term of the Contract, and for a period of one (1) year thereafter, Contractor shallnot, directly or indirectly, without the prior written consent of Maynilad, and whether or notforcompensation, either for its own account or for the account of another, knowingly provideservices, identical or similar to the Services, to another person, natural or juridical, that isengaged in the same activities as Maynilad,

11. Disclaimer

Maynilad reserves the right to accept or reject any proposal, annul the bidding process andreject all applications, discontinue the negotiation process or not to award the contract, atany time without thereby incurring any liability to Applicants.
