Minutes of a Regular Meeting, Board of Park Commissioners of the Rolling Meadows Park District, Park Central Administration Building, 3000 Central Road, June 12, 2018.

The meeting was called to order by President Bisesi at 7:30 pm. After the pledge of allegiance the roll was taken. Bisesi for her service over the past year and noted that her name has been added to the past presidents plaque for 2018. President O’Brien administered the Oath of Office to Amy Charlesworth and Bruno Tabis, Jr. for the 2018/2019 Fiscal Year. Meehan seconded a motion to approve the previously distributed consent agenda of May 22, 2018. The motion passed unanimously. FINANCE The financial summary of the Park District is as follows: zero in the payroll account, $25,000.00 in the administrative account, $328,063.71 in the general fund. The Park District investment summary is as follows: $608,344 in the BMO Harris Bank prime money market plus account, $2,043,969 in the Evergreen Bank Group Cornerstone money market account and $3,809,487 in the Illinois Park District Liquid Asset Fund. After Board discussion Comm. Cooley seconded the motion which passed unanimously. COMMITTEE/STAFF REPORTS Building and Grounds: Comm. Andrejek moved to waive the reading of Ordinance 398 Prevailing Wage Rates. Motion was seconded by Comm. Cooley and unanimously approved. Comm. Andrejek moved to approve Ordinance 398, 2018 Prevailing Wage Rates:

ORDINANCE 398 2018 PREVAILING WAGE RATES

WHEREAS, the State of Illinois has enacted "An ACT regulating wages of laborers, mechanics, and other workers employed in any public works by the State, County, City or any public body or any political subdivision or by anyone under contract for public works," approved June 26, 1941, as amended, being Chapter 820 ILCS 130/1-12, Illinois Compiled Statues; and WHEREAS, the aforesaid Act requires that the Rolling Meadows Park District, investigate and ascertain the prevailing rate of wages as defined in said Act for laborers, mechanics and other workers in the locality of said Rolling Meadows Park District employed in performing construction of public works, for said Rolling Meadows Park District; and NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT OF THE PARK BOARD OF COMMISSIONERS OF THE ROLLING MEADOWS PARK DISTRICT, COOK COUNTY, ILLINOIS AS FOLLOWS: SECTION 1: To the extent and as required by "An Act regulating wages of laborers, mechanics and other workers employed in any public works by State, County, City or any public body or any political subdivision or by anyone under contract for public works," approved June 26, 1941, as amended, the general prevailing rate of wages in this locality for laborers, mechanics and other workers engaged in the construction of public works coming under the jurisdiction of the Rolling Meadows Park District is hereby ascertained to be the same as the prevailing rate of wages for construction work in Cook County area as determined by the Department of Labor of the State of Illinois as of June of the current year, a copy of that determination being attached hereto and incorporated herein by reference. As required by said Act, any and all revisions of the prevailing rate of wages by the Department of Labor of the State of Illinois shall supersede the Department's June determination and apply to any and all public works construction undertaken by the Rolling Meadows Park District. The definition of any terms appearing in this Ordinance which are also used in aforesaid Act shall be the same as in said Act. SECTION 2: Nothing herein shall be construed to apply said general prevailing rate of wages as herein ascertained to any work or employment except public works of this Rolling Meadows Park District to the extent required by the aforesaid Act.

SECTION 3: The Rolling Meadows Park District Clerk shall publicly post or keep available for inspection by any interested party in the main office of the Rolling Meadows Park District this determination or any revisions of such prevailing rate of wage. A copy of this determination or of the current revised determination of prevailing rate of wages then in effect shall be attached to all contract specifications. SECTION 4: The Rolling Meadows Park District Clerk shall mail a copy of this determination to any employer, and to any association of employers and to any person or association of employees who have filed their names and addresses, requesting copies of any determination stating the particular rates and the particular class of workers whose wages will be affected by such rates. SECTION 5: The Rolling Meadows Park District Clerk shall promptly file a certified copy of this Ordinance with the Department of Labor of the State of Illinois.

SECTION 6: The Rolling Meadows Park District Clerk shall cause a copy of this Ordinance to be published in a newspaper of general circulation within the area that the determination of prevailing wages has been made. Such publication shall constitute notice that this is the determination of the Rolling Meadows Park District and is effective. Bisesi and unanimously approved by a roll call vote. Dir. Charlesworth reviewed the previously distributed bid tabulation and report from Hitchcock Design Group recommending acceptance of D&J Landscape’s bid for the Plum Grove Park Project. There was topic discussion. Comm. Andrejek moved to accept the Base Bid and Alternate Bid # 1 in the amount of $251,851.40 from D&J Landscape, Inc for the Plum Grove Park landscape renovation project # 052. Motion was seconded by Comm. Cooley and unanimously approved by a roll call vote. Comm. Bolash inquired about completion of the concrete for the gazebo in Kimball Hill Park. Supt. McKenna advised that we are waiting on the MWRD permit and discussed the Amphitheater project. Recreation: Supt. Cahill discussed his and Dir. Charlesworth’s emails to JEM Management concerning the additional slide guard, pool closures, lifeguard shift schedules and notifications; staff hierarchy, responsibilities and assignments at the pool. Supt. Cahill reported that the JEM Executive team has already noted some of the same concerns through their facility check and have taken the appropriate actions to rectify our concerns.

Dir. Charlesworth discussed the Swim team parent meeting feedback and fundraising for lane lines with Jem Hughes of JEM. She noted that the team pays only a small fee to be on the team and does not pay for pool use. The Park District has purchased new lane lines at a cost of $2,294.42 and ordered a starting system for them at $844.00. The team was able to reimburse the Park District for the starting system and the Parks Foundation made a $500 donation on their behalf. She advised that our concessionaire will be closing his stand for their two home meets so they can fundraise additional funds for the team. There was swim team discussion. Comm. O’Brien discussed the JEM Management problems and asked for a review of their contract. Dir. Charlesworth suggested reducing their contract fees to reflect rainy/bad weather days. Attorney Tabis advised that he would review the contract. There was discussion regarding JEM’s staffing/scheduling, graduation and prom conflicts, revenue during closures, and JEM having been denied access to the Rolling Meadows High School job fair when hiring guards. Supt. Cahill felt we should see how the next thirty days go and continue discussions of JEM’s management performance. Dir. Charlesworth reviewed the history for the Petites Dance Company which is scheduled to be discontinued due to low enrollment as only two families are in the program. She reported that the class instructor has agreed they can attend 9 to 12 recreational classes in order for them to increase their skills so they might be allowed into the company next year. Parents of the dancers are considering this option. Ice Arenas: No Report Policy: Comm. Savino moved to table discussion until the next meeting regarding an agreement between Cardinal Drive Church and the Park District for parking for Florey Park. Motion was seconded by Comm. Andrejek and unanimously approved. Comm. Savino moved and Comm. Bolash seconded a motion to waive the reading of Ordinance 399, Amending Ordinance #2 (Park Rules and Regulations Ordinance). Comm. Savino moved to approve Ordinance 399, Amending Ordinance #2 (Park Rules and Regulations). There was discussion regarding the decibel/sound level requirements at Plum Grove Park. Motion was seconded by Comm. Meehan and unanimously approved. Comm. Savino moved to approve the Strategic Plan Goals for 2018/2019. Motion seconded by Comm. Bisesi and unanimously approved. Comm. Savino moved to approve the Short Term Goals for 2018/2019. Motion seconded by Comm. Andrejek and unanimously approved. REPORT OF OFFICERS President – Comm. O’Brien reported that he had three calls regarding the coordination of Tot camp and Junior Kids Camp start dates and discussed this with Karrie Miletic. She advised that the Preschool teachers take one week off at the end of preschool prior to the start of Tot Camp. There was topic discussion. Supt. Cahill noted that if their child is the appropriate age for first grade regular camp they can attend one week prior to Tot Camp. Vice President - No report Treasurer – No report

Secretary/Director –Dir. Charlesworth noted that she has an information gathering meeting with Planning Resources on Thursday and the City of Rolling Meadows will be sharing their GIS information with us. There was topic discussion. She shared Comm. Bisesi’s email response to the parent that did not want his child to participate in any summer camp outdoor activities, an email compliment for Kent from a rental patron who recently had a shower. Attorney– No report MATTERS FROM COMMISSIONERS Comm. Andrejek reported that he had a complaint concerning the zipline. Supt. McKenna advised that warranty parts have been received and repairs made. He advised that he received correspondence from a child that wanted to plant and maintain a butterfly garden on Park property. Supt. McKenna noted the abundant milkweed plantings throughout the Parks and the difficulty of continued Staff maintenance after interest has disappeared. There was discussion about butterfly container gardens and Mary’s Garden at the Community Center. Comm. Bisesi advised that Trinity Church also has a local butterfly garden. Comm. Andrejek advised that he would follow up with the individual. Comm. Savino inquired about the plants in Kimball Hill pond. Supt. McKenna advised that they were an ecofriendly Eagle Scout project. She noted the Super Saturday pavilion double booking. Comm. Bisesi complimented Staff on their quick response to her problem phone calls. She reiterated a post from the Chatter website complaining about weeds on the playgrounds. Supt. McKenna advised that we do not spray for weeds on our playgrounds so as not to expose children to herbicides. Weeds are hand pulled instead which is more time consuming for Staff especially in light of consistent rains. Comm. Bisesi inquired about the attendance of the 60th Anniversary Celebration and Special Events. Staff advised that there has been moderate attendance. There was topic discussion. Supt. Cahill displayed the giveaways with the 60th Anniversary logo for the Summer Special Events throughout the year. Comm. Bisesi discussed and showed a mockup of the float for the 4th of July parade. She discussed the giveaways and candy. Comm. O’Brien reported that the McDonalds on Kirchoff Road is being restructured and the Christmas tree will be preserved. RECOGNITION OF VISITORS The Board welcomed Marilyn Smolenski, candidate for office. She advised that she was running for the 55th Ward State Representative seat and Rolling Meadows contains a small portion of this district. There was some discussion. NEW BUSINESS Dir. Charlesworth reported that Chef of Police Nowacki inquired if the Park District is interested in donating toward an ATV purchase for the Police Department to be used for planned Park Patrols. She advised that in 1993 the Park District contributed to the purchase of a motorcycle to assist in Park patrols. At that time Park District made a donation and a few years later when the Police Department sold the unit no prorated funds were received back to the Park District. She suggested discussion at the next meeting. EXECUTIVE SESSION None

Property Taxes  During the month of May, the District received property tax distributions of $6,797 for the 2016 real estate tax year and distributions totaling $26,652 for the 2017 tax year.  For the current fiscal year, the District now stands at receiving 52.56% for the 2017 real estate taxes.  Additionally, the District received its first personal property replacement tax distribution for FY19 and stands at 19.46% of budgeted collections.    2018‐2019 Budget  The District’s 2019 Budget and Appropriation Ordinance (B&A) was approved by the Board at the May 22nd 2018 Regular Meeting, following a public hearing.  The B&A Ordinance all other related documents were filed on the Cook County Clerk’s web portal on June 7th, 2018 prior to the required filing date of July 31st.  This is the first time the web was used as a means of filing the Budget.  Over the course of the past year, all of the required filing of documents with the County has been moved to this new process.  2018 Audit  The District’s auditing firm, Sikich, will begin on Monday, June 25th for a full week to complete their audit work,  update  the  district’s  fixed  assets,  along  with  the  GASB  34  and  GASB  68  Pension  reporting requirements.  They should have a draft version to us by the end of July, with the final version presented at the August 28th meeting and then accepted (either that night) or at the September 11th meeting.  Continuing Projects   The reporting of wages and contributions for the month of May were filed electronically for Federal 

and State taxes along with IMRF.   The monthly safety committee meeting was attended by the department representative.   Staff continues to meet deadlines with accounts payable and payroll processing.   The addition or 

termination  of  employees  on  all  benefits  programs  and  the  reconciliation  of  cash  receipts  and deposits.

FACILITIES Community Center RMC will be removing two nonworking HV/AC units and installing new units. TJ Service has been contracted to remove the old ADA swinging doors and the NWSRA End of the building. They will be installing two new sets of ADA swinging doors. Nelson Sports Complex Nothing to report on at this time. Park Central During the most recent rains, the lower level has taken some water but it is very small in nature. We will continue to investigate its origin and repair. Plum Grove Park We had hoped to convert some unused tennis courts into pickle ball courts. However, during a visit with two PB experts it was determined that the surface type was not suitable for pickle ball. West Meadows Ice Arena The east parking lot has not been paved due to the rain. We hope to pave sometime next week. Joint Maintenance Facility Nothing at this time. Parks Bike Path Project Unable to continue with bike path replacement project due to rains coming every two days. Contractor needs drying time in between as to not disrupt the base or tear up the turf around the paths. Cardinal Drive The old sign and planter box has been removed. An Eagle scout will be install a new sign and planter as part of an eagle project. Staff continues to weed and clean as time allows. New woodchips will be added soon

June 2018 Board Report ADULTS & SENIORS - (Wendy)

We offered Rules of the Road this month with 6 students. The Cotillion luncheon “Happy Birthday Dean Martin” included 13 of our participants before

the program was full and closed. I served a flavored lemonade bar and bundtinis in the Senior Lobby for our 60th Anniversary

thank you. o Friday Leslie Peet had a free Tai Chi class in the Dance Room and a demonstration in

the Senior Lobby. We had a full trip to Drury Lane to see South Pacific. I took 16 participants (the maximum allowed) to an artist’s studio in Plainfield to dye silk

scarves using an ancient Turkish process called Ebru. At the end of the month Jan will hold a fundraiser at Park Central called 9 and Dine which

includes a 9-hole miniature golf course. ATHLETICS - (Scott)

RMYB has entered its final week, with playoffs at each level except for the Instructional. o The all-star game at the Minor and Major level was hosted by Hoffman Estates on

June 23rd. o RMYB will once again be walking in the 4th of July parade.

Gymnastics session ends June 30 and then begins again July 9th. We have hosted close to 30 youth in our relationship with the Professional Soccer Academy

and their first summer camp session. The second session begins the week of June 25th. DANCE, CAMPS, YOUTH, & CARE PROGRAMS - (Andrea)

On Saturday, June 9th we had our dance recital that was held at Cutting Hall Performing Arts Center.

o There were two shows; the first show was at 10am and the second show was at 12pm.

School Age camp started Monday, June 4 for 1st-6th graders. o The month of June the children have been doing a variety of activities such as team

building, scavenger hunts, movie and popcorn, costume and Olympic day. o The campers also have gone on a variety of field trips in session one such as Arlington

Lanes, Vernon Hills Family Aquatic Center and Just for Fun Roller Rink. Session two of School Age camp starts Monday June 25th along with session one of Dance

camp. EARLY CHILDHOOD PROGRAMS - (Karrie)

Tot Camp (our 3-5 year old half day camp) and Junior Kids Camp (our Gr. K and Gr. 1 full day camp) kicked off well the week of June 11th.

o We opened up additional tot camp rooms and hired more staff to accommodate our growing waitlist.

o MWF section has 74 campers and Tu/Th section has 51. Summer Kids Day out (our 12-3pm extension camp) started this week, and parents are loving

that we now accept credit card payments. June’s Camp themes have included All about Dad, Ocean week, and Messy week. Junior Kids Camp is close to full as well with 17 campers. Fall preschool numbers continue to grow as well, currently we are at 138 students.

o We are looking into adding an additional Tu/Th three-year-old classroom so we can add in our waitlist students.

o Many preschool sections are full already, which typically does not happen until August.

Our customer service appreciation preschool night at Waverly Park was well attended. Preschool teachers enjoyed running games and meeting up with over 60 families.

SPECIAL EVENTS, YOUTH TRIPS & TEENS - (Emily)

In June there is a total of 3 free events. o We hosted the first Noonie Times of the summer with “Miss Jamie’s Farm.” I would

estimate that the crowd was 100+ (not counting campers). The next Noonie Times is on June 27th with “Dale the Balloon Dude”.

o On Friday June 22nd we have the free Family Find event. There are 30 families signed up.

o Pajama Party for the month of June was the lowest of the year. We do not have a PJP in July.

Although JEM will run it, I will be attending/helping with the Teen Glow Night at the pool on July 20th. This will provide my existing teens and parents with a familiar/trustworthy face while attending the event.

RENTALS - (Kent)

In the month of May we had 30 rentals and 6 Picnic Permits. o 13 at the Community Center o 11 at Park Central o 6 at Plum Grove Park o 5 Kimball Hill Permits o 1 Florey Permit

One security deposit was charged for property damage at Park Central. There were no rentals the last weekend in May in observance of the Memorial Day holiday. The new facility management software in Active Net is live and we will be implementing it for

the next quarter with Plum Grove Park rentals. MARKETING - (Rita)

Updates on the projects reported from last month:

o The new Facility Management module of Active Net has been activated. We have started using it for Plum Grove and pool rentals. Ice is also using it.

I have set up a monthly call with our account manager to go over our progress with it as well as any other issues that arise.

o I continue to work with Kent on improving the efficiency of our rental process, with the help of Karen, and we are seeing a noticeable improvement.

o Kim, the intern, completed her 90 hour internship right before camp began. She received a camp-oriented experience, but also got to see early childhood, athletics, and marketing.

o The new climbmill has been a welcome addition to the fitness center. Fitness staff have reported that it is receiving a high volume of users.

o Santa’s Village tickets are selling and continue to be available. There has been a lot of communicating with JEM and checking in at the pool. There are still a

few things, like contacting us when closing early and quality of managerial efforts, that need ironing, but overall I am pleased with the response to our previous concerns.

o They are bringing in a full-time manager from Hawaii to help set the example of the professionalism they expect. This should go a long way towards providing the training they may have been lacking to start the season.

o I will attempt to visit during in-services as my next step towards ensuring success. I have asked the managers to contact me when in-service gets scheduled because it is not a standard calendar item.

Agreement for the Replacement of Parking Lot Located at 2300 Cardinal Drive, Rolling Meadows, IL 60008

THIS AGREEMENT is made and entered into on _______________, 2018 by and between the Cardinal Drive Church of Christ (“Church”), an Illinois not-for-profit organization located at 2300 Cardinal Drive, Rolling Meadows, IL 60008, and Rolling Meadows Park District (“Park District”), an Illinois park district organized and operated pursuant to the Illinois Park District Code, 70 ILCS 1205/1-1 et seq. located at 3000 Central Road, Rolling Meadows, IL 60008 (the “Agreement”).

W I T N E S S E T H :

WHEREAS, Church is the owner of certain real property, located at 2300 Cardinal Drive, Rolling Meadows, IL 60008 and legally described on Exhibit A, attached to and incorporated to this Agreement by reference, which includes a parking lot used by Church employees, patrons and invitees (“Parking Lot”); and

WHEREAS, the Parking Lot is adjacent to Florey Park, which is legally described on Exhibit B attached hereto and made a part hereof, owned and operated by Park District (collectively, “Florey Park”); and

WHEREAS, the Parking Lot has been used without formal agreement by Park District and Park District, its employees, patrons, volunteers and invitees in order to access Florey Park; and

WHEREAS, the Parking Lot is in disrepair, and the parties agree that the Parking Lot must be entirely removed and replaced; and

WHEREAS, Park District, desires to continue its use of the Parking Lot for access to Florey Park and has agreed to contribute to Church funds in connection with the removal and replacement of the Parking Lot; and

WHEREAS, Park District desires to obtain a pathway access easement for purposes of assuring access to Florey Park from Cardinal Drive upon expiration or termination of this License Agreement, as set forth in the “Parkway Access Agreement” executed by the parties hereto on the date hereof; and

WHEREAS, the Parties desire to set forth their respective rights and responsibilities with respect to the removal and replacement of the Parking Lot (the “Project”) as set forth in this Agreement. NOW THEREFORE, in exchange for consideration, the receipt and sufficiency of which is hereby expressly acknowledged by the Parties, Church and Park District agree as follows:

1. Incorporation of Recitals

The foregoing recitals are hereby incorporated into this Agreement, and made a part hereof, as though set forth in their entirety in this Section 1.

2. License to Use Parking Lot Church hereby grants to Park District, a parking and access license to use and to allow Park District’s employees, agents, volunteers and invitees, including the general public, to use the Parking Lot to park and to access Florey Park and the roadways on the Church Property for access to the Parking Lot and Florey Park from Cardinal Drive as provided herein, but without in any manner limiting any rights granted to Park District under the Pathway Access Agreement. Park District shall be permitted to erect a sign, at a location reasonably acceptable to both parties, identifying the Parking Lot as available to the public for the uses set forth herein.

3. Responsibilities In exchange for the license herein granted to Park District, Park District agrees to make a one-time payment to Church in the amount of Twenty Five Thousand and 00/100 Dollars ($25,000.00) to be used exclusively for and applied to the Project costs. The payments by Park District shall be made to Church upon completion of the Project and provided that the Pathway Access Agreement has been duly executed and recorded with the Recorder of Deeds of Cook County, Illinois.

4. Term Unless terminated earlier as provided in Section 8 of this Agreement, the term of this Agreement shall be for twenty (20) years, commencing on the Effective Date (the “Term”).

5. Maintenance Except as otherwise provided in this Agreement, Church shall maintain the Parking Lot in good condition reasonably acceptable to Park District and shall make all repairs to the Parking Lot in order for Park District to park and access the Adjacent Properties. In the event the Parking Lot needs to be replaced again after completion of the Project and prior to the expiration of the Term of this Agreement, the Parties may agree, but shall not be required unless both parties agree in writing, to: a) amend this Agreement to set forth the respective rights and responsibilities of each Party regarding the replacement of the Parking Lot; or b) mutually agree to terminate this Agreement in accordance with Section 8 of this Agreement. In addition, Church agrees that it will not materially alter the size or configuration of or street access to the Parking Lot during the term hereof.

6. Insurance

Each Party, at its sole cost and expense, shall keep in full force and effect at all times during the Term of this Agreement insurance against claims for injuries to persons or damages to property, which may arise from or in connection with this Agreement. Each Party shall provide coverage that is at least as broad as: a. Comprehensive general liability insurance, including contractual liability

coverages, and such other types of insurance in such amounts and with such A-rated companies as are reasonably acceptable to the other Parties, but, in any event, no less than $1,000,000.00 per occurrence and $2,000,000.00 aggregate and an umbrella policy no less than $3,000,000.00. Such insurance shall be evidenced by

annually providing to the other Parties copies of the policies and/or certificates of insurance, naming the other Parties, their respective board, board members, employees and agents as an additional insured and providing that the insurance may not be modified, terminated, cancelled or non-renewed without at least 30 days advanced written notice by certified mail, return receipt requested, to the other Parties.

b. Each Party shall keep and maintain Workers’ Compensation Insurance covering all

costs, statutory benefits and liabilities under State Workers’ Compensation and similar laws for their respective employees. Any employee claim related to this Agreement will be the responsibility of the Party employer and the other Party shall have no obligation whatsoever to provide workers’ compensation for the other Party’s employees.

Park District’s participation in a risk management pool that provides coverage in the amounts specified in this Section shall constitute an acceptable substitute for the insurance coverages required herein. Additionally, Church shall keep in full force and effect at all times during the Term of this Agreement, commercial property insurance which provides all risk coverage with respect to the Parking Lot for not less than the full replacement cost thereof.

7. Indemnity To the fullest extent permitted by law, each Party shall indemnify, defend and hold harmless the other Parties, their elected and appointment officers, officials, employees, volunteers and agents (collectively, the “Indemnitees”), from and against any and all claims, damages, losses and expenses, including but not limited to legal fees (attorney's and paralegals fees and court costs), incurred by any of the Indemnitees for injuries to persons or for damage, destruction or theft of property arising out of or resulting from any activity, act or omission of the indemnifying Party (“Indemnitor”), or of any employee, agent, contractor or volunteer of the Indemnitor, but only to the extent caused in whole or in part by any wrongful or negligent act or omission of the Indemnitor.

8. Termination a. Any Party may terminate this Agreement if another Party is in default or in breach

of any of the material terms of this new Agreement. In such an event, the Party declaring the breach or default shall give both the other Party written notification of such breach or default, and the breaching or defaulting Party shall have 30 days to cure the same. If the breaching or defaulting Party fails to cure or remedy the breach or default within the 30-day period, the Party providing notice and not in breach or default shall have the right to declare this Agreement to be terminated, provided, however, that if the breaching Party has undertaken corrective action within the 30-day period and continues to diligently perform the work necessary to cure or remedy the breach or default, the 30-day period shall be extended for a reasonable time in order to allow for completion of the required work.

i. Upon a termination under this Section 6.a: a. If the breaching Party is Park District, the Park District shall be

liable to Church for any actual damages incurred by Church due to the breach, and not for resultant, consequential, punitive or special damages.

b. If the breaching Party is Church, then Church shall reimburse Park

District for the full amount of $25,000.00 payment described in Section 3 above and for any other costs incurred by Park District through the date of termination, including any damages incurred due to Church’s breach.

c. Upon and after the tenth anniversary of the date of this Agreement,

the Church may unilaterally terminate this Agreement upon written notice of termination to Park District and payment to Park District of the applicable amount set forth below:

i) $15,000.00 during the 11th year; ii) $14,000.00 during the 12th year; iii) $13,000.00 during the 13th year iv) $12,000.00 during the 14th year; v) $11,000.00 during the 15th year vi) $10,000.00 during the 16th year; vii) $9,000.00 during the 17th year viii) $8,000.00 during the 18th year; ix) $7,000.00 during the 19th year; and x) $6,000.00 during the 20th year For purposes hereof, a “year” means the fiscal year between two consecutive anniversaries of the date of this Agreement.

b. The Parties may agree to terminate this Agreement for convenience at any time in writing and upon conditions mutually agreed to at the time of termination.

9. Relationship of Parties

Nothing in this Agreement shall be construed to consider either Party or its respective employees, volunteers or agents as the agents or employees of the other Party. Nothing contained in or done pursuant to this Agreement shall be construed as creating a partnership, agency, joint employer or joint venture relationship between either of the Parties.

10. No Third Party Beneficiary

This Agreement is entered into solely for the benefit of the Parties hereto, and nothing in this Agreement is intended, either expressly or impliedly, to provide any right or benefit of any kind whatsoever to any person or entity, who is not a party to this Agreement.

11. Notice All notices required or permitted to be given under this Agreement shall be deemed given when such notice has been personally delivered, when received by facsimile or email if sent during regular business hours (or the day after receipt if sent after regular business hours) or three days after being deposited in the United States mail, with postage thereon prepaid, addressed to the other Party at the following addresses: If to Church: Cardinal Drive Church of Christ 2300 Cardinal Drive Rolling Meadows, Illinois 60008 Tel: ____________________ Fax: ____________________ Email: ___________________

12. Compliance with Laws

The Parties hereto shall comply with all federal, state, and local laws, ordinances, rules and regulations applicable to the performance of their respective responsibilities and the exercise of their respective rights pursuant to this Agreement.

13.No Waiver of Tort Immunity

Nothing contained in any provision of this Agreement is intended to constitute nor shall constitute a waiver of the defenses and immunities available to Park District under the Illinois Local Governmental and Governmental Employees Tort Immunity Act.

14. Entire Agreement; Modifications This Agreement contains all of the terms and conditions agreed on by the Parties with respect to the subject matter hereof, and no other alleged communications or agreements among the Parties, written or otherwise, shall vary the terms hereof. Any modifications of this Agreement granted herein must be in writing signed by all Parties and dated on or subsequent to the date hereof.

15. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois.

16. Severability In the event that any provision(s) of this Agreement is determined to be legally invalid, the Parties agree that such particular provision shall be null and void, but the remainder of this Agreement shall remain in full force and effect.

17. Counterparts This Agreement may be signed in any number of counterparts with the same effect as if

the signatures to each were upon the same Agreement. 18. Effective Date This Agreement shall be deemed dated and become effective on the date the last of the

Parties’ signs as set forth below the signature of their duly authorized representatives.

PATHWAY ACCESS EASEMENT AGREEMENT

This Pathway Access Easement Agreement is made this ____ day of ________, 2018 by and between CARDINAL DRIVE CHURCH OF CHRIST, an Illinois Not-for-Profit Corporation (the “Church”), and ROLLING MEADOWS PARK DISTRICT, an Illinois Park District (the “Park District”).

RECITALS

A. The Church owns a certain parcel of real estate commonly known as 2300 Cardinal Drive, Rolling Meadows, Illinois 60008 and legally described on Exhibit “A” hereto (the “Church Property”).

B. The Park District owns a parcel of real estate commonly known as Florey Park,

Rolling Meadows, Illinois 60008 and legally described on Exhibit B hereto (the “Park Property”).

C. The Church Property and the Park Property are contiguous to each other. D. The Park District desires to provide access to Florey Park across the Church Parcel,

and the Church is willing to grant such access upon the terms and provisions set forth below.

E. Both parties are committed to promoting use and accessibility of public recreational

property such as Florey Park.

AGREEMENT

Therefore, in consideration of Ten and 00/100 Dollars ($10.00) and the various undertakings of the parties as set forth herein, it is hereby agreed by and between the church and the Park District as follows:

1. Recitals Incorporated. The Recitals set forth above are incorporated herein. 2. Grant of Pathway Easement. The Church hereby grants and conveys to the Park

District a perpetual and exclusive easement (the “Pathway Easement”) in, over and across the

Church Property, five feet in width along and immediately north of the entire south boundary line of the Church Property.

3. Purpose of Pathway Easement. The purpose of the Pathway Easement is to

provide the Park District, its successors and assigns, lessees, employees, agents, invitees and members of the general public pedestrian (which specifically includes wheelchairs, and similar devices to assist the disabled) ingress and egress to and from Cardinal Drive to the Park Property. The Park District may construct, maintain, repair and replace a concrete, brick, gravel or other hard or porous walkway or path on the Pathway Easement and may go upon the Church Property adjacent to the Pathway Easement as reasonably necessary to install, maintain, repair or replace the walkway or path (and shall promptly restore all damage resulting therefrom).

4. Church Use of Pathway Easement. The Church and its members may use the

Pathway Easement for access to the Park Property in the same manner and to the same extent as the Park District permits the general public.

5. Easement Appurtenant. The easement created hereby is for the sole benefit of the

Park District, its successors and assigns. 6. Covenants Running with the Land. The easements, covenants and restrictions set

forth in this Agreement shall run with the Church Property and the Park Property and shall be binding upon and benefit the Church and the Park District and their tenants, successors and assigns and shall remain in full force and effect and shall be unaffected by any change in ownership of the Church Property and/or the Park Property or by any change in use, demolition, reconstruction, expansion or other circumstances, except as specified herein.

7. Severability. If any provision of this Agreement, or portion hereof, or the

application hereof to any person or circumstances, shall to any extent be held invalid, inoperative or unenforceable, the remainder of this Agreement, or the application of such provision or portion hereof to any other person or circumstances, shall not be affected thereby, and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law.

8. Amendment. This Agreement may only be amended, modified, or terminated by

an agreement in writing, executed and acknowledged by all of the then current owners of the Church Property and the Park Property. Notwithstanding, Park District at any time may unilaterally release this Pathway Access Easement upon recording a document to that effect with the Recorder of Deeds of Cook County, Illinois.

9 Applicable Law. This Agreement shall be construed in accordance with the laws

of the State of Illinois. 10. Successors and Assigns. This Agreement shall be binding upon and inure to the

benefit of the parties hereto and their respective successors and assigns. IN WITNESS WHEREOF, the Church and the Park District have caused this Agreement
