5.Terms of payment100% Payment will be released within 30 days on satisfactory completion of thejob (i.e. Assessment, submission and acceptance of final reports of CDC, IDCand EDC) and on submission of invoice duly authorised by BPCL officer.

6.Penalty for breach of contractPenalty @0.5% per week or part thereof, maximum up to 5% of the Purchase ordervalue shall be deducted for the period beyond 7 weeks for the delay inassessment of each site (CDC/IDC/EDC) and submission and acceptance of draftand final reports by BPCL.



7.Contract riders (clauses)Introduction

Bharat Petroleum Corporation Limited (BPCL) has an existing Corporate DataCenter (CDC) at Sewree, Mumbai. CDC is acting as Primary Data Center (DC) forall its IT operations. The DR site (Integrated Data Center - IDC) is locatedat Greater Noida. Both Data Centers are built in its own complex.

In order to meet certain other demands as well as to cater to the increasingcomputing demands, BPCL proposes to build a new captive Enterprise Data Center(EDC) at upcoming new BPCL office complex under construction at Kharghar, NaviMumbai.

As per the proposed plan CDC would get relocated to EDC once theinfrastructure gets ready at new site and is expected to act as the PrimaryData Center. The EDC would conform to the ANSI/TIA 942 Tier 3 standards orUPTIME institute's guidelines.

IT today ingrained in all aspects of organization and drives end-to-endbusiness operations. Therefore there is growing dependency of enterpriseprocesses and MIS on IT systems. This in turn makes the Data Center acritical infrastructure that should be robust, highly reliable, flexible,scalable and efficient to be able to support the enterprise IT needs.

Perspective

Recently there was a power failure at CDC owing to malfunctioning of an ATS(Auto Transfer Switch) in the power panel that had disrupted the availabilityof IT systems for about 3 hours. During the incident even though the power wasavailable to IT load thru UPS (Uninterrupted Power Supply), the cooling systemdid not have the power causing rise in the temperature. This had made some ofthe systems a forced shutdown causing the disruption.

The IDC which is DR site at present would be acting as primary during the timewhen the CDC systems get relocated to EDC. It is therefore important that IDCbe able to take up the role of primary DC and provide high reliability DCinfra services. Moreover the DR set up would continue and have for longerlife cycle. It thus would be worthwhile for us to check sustainability of theInfra and make it truly tier 3 compliant.

Similarly, at EDC, being a new site, it is absolutely necessary for us toensure that the location, the site and the structure along with its otherinfra is as much secure and safe for BPCL to host the mission critical ITsystem in the DC and meet all the TIA 942/Tier 3 standards with no majorconstraints.

Therefore it is felt that BPCL carry out an assessment for all three sites vizEDC at Kharghar where new primary DC is coming up; the CDC at Sewree whereincident has taken place and it needs to continue DC operations for some time;



and IDC which will become primary DC site during the transition and also fromlong term perspective. The assessment should cover all domains of DCs likePower, Cooling, Network, Security, Civil structure etc at 3 Data Center sitesincluding sustenance of reliable data center operations and services forfuture years to come.

The broad scopes of assessments with specific references are given in therespective sections under each of the DCs for the prospective agency to carryout the Auditing & Assessment. Consultant/s to have extensive experience totheir credit in this field and are competent enough to carry out Data CenterAudit & Assessment. Benchmarking of the DCs need to be done with respect tothe Tier-3 DC standards (ANSI-TIA-942 or Uptime Standard Guidelines) for safe,reliable, scalable and efficient operations.

8.Other contractual stipulations1. Vendor shall be required to depute a Project/Assesment Manager who would bethe primary contact and responsible for overall Assessment job. Vendor shallintimate Project/Assesment Manager contact details.

2. Please quote unite rate and taxes separtely. Any revision / imposition oftaxes, levies cess etc., during the contract period, shall be reimbursed onsubmission of documentary proof by the vendor and acceptance of the same byBPCL.

3. Vendor will have to ensure that invoice/delivery challan and otherdocuments are signed, stamped with date by the BPCL officer and submitted forpayment at Bharat Petroleum Corporation Ltd., Bharat Bhavan-II, IIS Dept,Procurement Team, 4 & 6 Currimbhoy Road, Ballard Estate, Mumbai - 400 001.

4. The final payment will be released subject to submission and acceptance offinal reports by BPCL.

5. Payment would be made through Electronic Fund Transfer (NEFT). Hence,please ensure that bank details submitted by you is correct or submit thelatest bank details in the format available with us.

6. Vendor should provide telephonic support as and when required.

7. Vendor to provide commencement letter to BPCL before submitting the invoicefor payment. Part payment will not be made other than payment terms mentionedin the inquiry.

8. Risk Purchase: If the vendor fails to supply the required quantity or ifthe quality of items supplied is found to be unsatisfactory or bad, BPCL willhave the right to procure from elsewhere and extra cost incurred would berecovered from the vendor.

9. IP (Intellectual Property) :i. Organization retains all rights to its pre-existing intellectual propertyand any intellectual property it creates in connection with the agreement;andii. The vendor assigns to organization all rights in any work productdeveloped pursuant to the agreement and acknowledges that allmaterialscreated by the vendor pursuant to the agreement shall be deemed tobe owned by the organization. If the vendor will not agree to an assignment,then the vendor should, at a minimum, grant organization a perpetual, irrevocable, worldwide, royalty-free license to use the work productdeveloped pursuant to the agreement.

10. Right to Audit : BPCL reserves the right to audit or inspect workperformed by the vendor. BPCL may participate directly or through an appointedrepresentative, e.g.,Mutually Agreeable external auditor, in order to verify that the tasks related



to this project have been performed in accordance to the procedures indicated.

11. NDA Clause : Vendor has to sign the 'Non Disclosure Agreement(NDA)' on Rs.100/- stamp paper (Non Judicial) from their competent authority as acompliance for the 'Non Disclosure Agreement' in line with BPCL's IS SecurityPolicy(Soft copy of NDA has already been with you which was sent by us).Purchase orders will not be placed without entering into above NDA. If NDA hasalready been submitted, please ignore this clause.

12. Arbitration clause : In case of any dispute or differences arising underand out of, or in connection with the contract, shall be referred to the solearbitration by an arbitrator appointed under the provision of Indianarbitration Act and conciliation Act 1996 and subject to jurisdiction ofcourts in Mumbai only.
