1. SCOPE

   1.1 Scope of PurchaseThe purpose of this RFQ is to solicit competitive quotes to establish a contract for the purchase of an RN Readiness Testing Package for the Boise State University School of Nursing.

Boise State University (“University”) is soliciting quotes for an NCLEX test preparation package that integrates both knowledge and test competency with end-of-program testing. The package will be a customized, on-line system that provides tools to understand students’ content weaknesses, prioritize study and develop critical skills needed to pass the exam required for nursing licensure, the NCLEX Exam. The package must include multi-modal resources including, but not limited to, case studies, videos, practice tests, tutoring, tutorials, live review and remediation.

1.2 Expectations

1.2.1 The University is seeking a vendor who can provide a hosted, commercial-off-the-shelf (“COTS”), Software-as-a-Solution that can be easily deployed within the current environment with minimal to no customizations.

1.2.2 The University expects to have the selected system implemented, installed, tested, accepted and fully functional and operational on or before July 24, 2015.

1.2.3 It is expected that the selected vendor will make the transition to the new system appear seamless to the University. 1.2.4 Boise State University is interested in learning about industry best practices that facilitate/encourage the use of the system.

1.2.5 The University is looking for excellent service and support for faculty and staff.

1.3 Current EnvironmentBoise State University is a public, co-educational institution located in Boise, Idaho. Serving approximately 22,200 students and employing nearly 2690 faculty and staff, the University offers undergraduate, graduate, and non-degree programs. Nursing Cohorts consist of 60 undergraduate nursing students each spring and fall. NCLEX pass rates are 90%, on average.

2. PROCUREMENT PROCESS

2.1 InstructionsThese instructions describe the format to be used when submitting a quote. Sections of the format may be listed with an Evaluated Requirement (defined below). Evaluation points may be deducted from the Vendor’s possible score if the following format is not followed. The format is designed to ensure a complete submission of information necessary for an equitable analysis and evaluation of submitted quotes. There is no intent to limit the content of quotes.

(M) Mandatory Specification or Requirement - failure to comply with any mandatory specification or requirement may at the sole discretion of the University render Vendor’s quote non-responsive and no further evaluation will occur. Vendor is required to respond to each mandatory specification with a statement outlining its understanding and how it will comply.

(ME) Mandatory and Evaluated Specification - failure to comply may render Vendor’s quote non-responsive and no further evaluation will occur. Vendor is required to respond to each mandatory and evaluated specification with a statement outlining its understanding and how it will comply. Points will be awarded based on predetermined criteria.

(E) Evaluated Specification - a response is desired. If not available, respond with “Not Available” or other response that identifies Vendor’s ability or inability to supply the item or service. Failure to respond will result in zero (no) points awarded for this item.

2.3 RFQ Timeline

2.3.1 RFQ Closing Date: June 25, 2015. The vendor-submitted quote must be firm and binding for ninety (90) days from the RFQ Closing Date.

2.3.2 Email your response to [email protected] to be received by the closing date. Late quotes will not be accepted.

2.3.3 Demonstrations/Oral PresentationsThe University may request vendor demonstrations via webinar. See Section 4 for details. If requested, it is likely that a vendor will have only a couple of days of notice that they have been selected for a demonstration, so it’s suggested that a vendor have the ability to quickly set up a webinar-type meeting and be prepared to demonstrate their product.

2.3.4 AwardIt is expected that the University would be ready to make an award within two (2) weeks of evaluation completion, including demonstrations (if requested) by the University. 2.4 Quote Format

2.4.1 Electronic CopyVendors must submit one (1) electronic copy of the quote via email. Word or Excel format is required. The only exception will be for financials or brochures and the signature page, which can be submitted as a PDF. The electronic version must NOT be password protected or locked in any way.

2.4.1.1 Submit one (1) electronic, redacted copy of the Scope of Work, via email, with all trade secret information removed or blacked out, as described in the “Public Records” section of the State of Idaho’s SOLICITATION INSTRUCTIONS TO VENDORS located here: http://purchasing.idaho.gov/pdf/terms/solicitation_instructions.pdf. The electronic file name should contain the word “redacted.” This is the copy of the Vendor’s quote which will be released under Idaho’s Public Record Law, if the quote is requested. The redacted copy of the Scope of Work must be an exact copy of the Scope of Work regarding trade secret information.

2.4.1.2 The quote must be separated into two (2) distinct and clearly-titled sections:

Scope of Work, and Cost Sheet.

2.4.2 The Scope of Work must be identified “Scope of Work – RFQ ST15-098 RN Readiness Testing” and include all other documentation related to this response, EXCEPT the Cost Sheet.

2.4.3 The Cost Sheet must be identified “Cost Sheet – RFQ ST15-098 RN Readiness Testing.” The only document that should be included with this section is the Cost Sheet itself, Attachment 2.

2.5 Trade SecretIdentify each page of the quote that contains a “trade secret.” Only those pages identified as “trade secret” or other exemption from disclosure will be exempt from disclosure if the quote is requested pursuant to the Idaho Public Records Act. All other pages of the quote will be released without review. The exemption for “trade secrets” is limited and information will be exempt from disclosure only to the extent the content meets the definition of trade secret in the Public Records Act, Idaho Code Sections 9-337 through 9-352. Accordingly, the University cannot guarantee information marked as “trade secret” will be exempt from disclosure.

NOTE: If a quote is marked as “trade secret” in its entirety, it will be considered public record in its entirety, and will be disclosed, if requested.

2.6 Contact with University PersonnelFrom the date of release of this solicitation until an Award Letter is issued, all contact and requests for information shall be directed to the University’s Buyer, only. Regarding this solicitation, all contact with other personnel employed by or under contract with the University is restricted. During the same period, no prospective vendor shall approach personnel employed by, or under contract to the University, on any other related matters. An exception to this restriction will be made for vendors who, in the normal course of work under a current and valid contract with the University, may need to discuss legitimate business matters concerning their work with the contracting agency. Violation of these conditions may be considered sufficient cause by the University to reject a vendor’s quote, irrespective of any other consideration.

2.7 Ownership of ResponsesAll submittal contents become the property of the University. Award or rejection of a quote does not affect this right. All information will be kept confidential until an award is made and will not be made public, excepting a public records request.

2.8 The University reserves the right to waive any nonmaterial variation that does not violate the overall purpose of the RFQ, frustrate the competitive bidding process, or afford any Offeror an advantage not otherwise available to all Offerors.

2.9 (M) Signature Page and Cost Sheet (Response required)Quotes must be submitted with the University supplied Signature Page (Attachment 1) and Cost Sheet (Attachment 2) in the form provided in this RFQ without modification. Failure to complete and return the required documents shall result in the response being deemed non-responsive, and no further consideration will be given. 

2.10 (E) Project Schedule (Response Desired)Please include a proposed Project Schedule identifying a critical path timeline, critical path tasks and major deliverables, including a successful test demonstration if so requested by the

University.  The schedule must describe the timeline for this project and responsibilities for certain tasks to be performed in connection with this Agreement. Ability to deliver and complete installation as requested will likely be a component of the award.

2.11 (E) Qualifications and Experience (Response Desired)Please describe in detail your qualifications, knowledge and experience in providing services similar to those required in this RFQ. The University is looking for vendors who have had experience in providing this type of package to institutes of higher education for at least five (5) years.

2.12 (E) Escalation Plan (Response Desired)Please provide an Escalation Plan describing the response time and escalation procedure. The Escalation Plan must provide the titles of the personnel who will handle the escalation process for the resulting Contract. Include response time-requirements. Upon award, the University may require an escalation plan including name, title/position, contact phone, fax and email.

2.13 (E) References (Response Desired)Section 1.3, Current Environment, includes a brief description of Boise State University. For evaluation purposes, please provide a list of at least three (3) other universities/institutes of higher education, similar to Boise State, which have used the proposed package for at least one (1) year. Provide the name and address of institution and contact name, phone, and email, the version number of the system and dates that the system has been in use.

The University reserves the right to contact any or all of these listed schools for further reference information, if, in its sole opinion, that information will contribute to the evaluation of the proposed solution. For any reference determined to be not of a similar nature to the products or services requested by this RFQ, the Vendor may receive no (zero) points for that particular reference.

2.14 Additional Documents and Proposed Agreements (Response Desired)Vendor must submit, with its quote, all documents and/or agreements that the Vendor proposes to have incorporated into any resulting Contract. If Vendor expressly conditions its quote upon the University’s acceptance of its additional documents and/or proposed agreements, its quote may be deemed non-responsive. The terms of such additional documents and proposed agreement may be considered in accordance with Section 4.4 of this RFQ, but no additional terms shall be binding on the University until expressly accepted in writing by the University.

The University will not accept any documents and/or proposed agreements submitted after the Solicitation’s closing date. If Vendor attempts to submit additional documents and/or proposed agreements after the Solicitation closing date, and conditions its quote upon the University’s acceptance of those additional documents and/or proposed agreements, its quote may be deemed non-responsive and given no further consideration.

The University will not accept terms that allow Vendor to make unilateral amendments to any resulting Contract.

3. GENERAL TERMS AND CONDITIONS

All terms should be reviewed carefully by each prospective Vendor as the successful Vendor is expected to comply with those terms and conditions.

3.1 State of Idaho Standard Contract Terms and ConditionsThe State of Idaho’s “Standard Contract Terms and Conditions” and the State’s “Solicitation Instructions to Vendors” are incorporated by reference into and shall apply to this solicitation and any contract resulting from this solicitation. The State’s “Special Terms and Conditions for Customized Software and Related Services” may also apply, if customized software is proposed.  Vendors are encouraged to review these documents at the following website.

Objections or proposed modifications to these terms and conditions will only be considered by the University if the prospective Vendor provides specifically in the response the term objected to, reasoning and proposed modification to the term. These modifications will be considered by the University as provided in Section 4.4 hereof and will be incorporated into the contract only if accepted by University in an amendment to the RFQ or otherwise as expressly accepted in writing by the University.

  3.2 Responses received qualifying the offer based upon the University accepting terms and conditions of the Vendor may be found non-responsive, and no consideration of the Response given. 

3.3 The quote of the successful Vendor will be appended to and incorporated into the RFQ and the resulting Contract or agreement, including the State’s Standard Terms and Conditions (http://adm.idaho.gov/purchasing/purchasingrules.html). The University will have the right to use all concepts contained in any quote and this right will not affect the RFQ or rejection of the quote.

3.4 ContractThe RFQ, any and all attachments and amendments, the successful Vendor’s response submitted in response to the RFQ and any negotiated changes to the same, and the purchase order, will become the contract (hereinafter referred to as the “Contract”.)

3.5 The Contract, in its incorporated composite form, represents the entire agreement between the Contractor and University and supersedes all prior negotiations, representations, understandings or agreements, either written or oral.

3.6 The Contract is not effective until Purchasing has issued a purchase order specifying a commencement date (the “Effective Date”), and that date has arrived or passed. The Contractor will not provide or render services to the University under this Contract until the Effective Date. The University may determine, in its sole discretion, not to reimburse the Contractor for products provided or services rendered prior to the Effective Date.

3.7 Where terms and conditions, including Vendor agreements and assumptions specified in the Vendor’s quote, differ from the terms and conditions contained within this RFQ, the terms and conditions contained within this RFQ will apply and supersede all other Vendor-supplied terms, unless such different terms are expressly agreed to by the University in accordance with Section 4.4.  Where terms and conditions specified in the Vendor’s quote or supplied at award, including Vendor agreements and assumptions, supplement the terms and conditions of this RFQ, the supplemental terms and conditions will apply only if specifically accepted by the University in writing.  Vendors are advised to review the State’s Solicitation Instructions to Vendors, Clause 18 at the following website.

3.8 Vendor Agreements and AssumptionsWhere Vendor agreements and assumptions, specified in the Vendor’s response differ from the State of Idaho Standard Contract Terms and Conditions, or the terms and conditions of this Solicitation, the State’s Terms and Conditions and the terms and conditions of this Solicitation shall apply, unless such different terms are expressly agreed to by the University in accordance with Section 4.4.  Where Vendor agreements and assumptions supplement the State of Idaho Standard Contract Terms and Conditions and Related Services (if specifically identified as applicable to this solicitation), or the terms of this Solicitation, the supplemental terms and conditions shall apply only if specifically accepted by the University in writing.  Where unsolicited supplemental documents including unsolicited pricing quote sheets are submitted, the University reserves the right to deem the quote non-responsive if the supplemental documents conflict with the specifications of this solicitation.  Supplemental documents shall be considered as reference materials only, and nothing contained within a supplemental document shall be deemed as accepted by the University, unless accepted by the University in writing.  Vendors are cautioned against the use of supplemental documents.  Conflicting supplemental documents may lead to the response being deemed non-responsive, and no consideration of the response given.  It is advised that Vendors review the State’s Solicitation Instructions to Vendors, Clause 18 at the following website.

3.9 Vendor License, Service and Maintenance AgreementsLicense, service, and maintenance agreements desired by the Vendor to be signed by the University may be considered but are only binding upon the University if specifically accepted by the University in writing and must be submitted with the Vendor’s Response. To the extent the terms of such agreements, once accepted by the University, conflict with the State of Idaho Standard Terms and Conditions or other terms and conditions of this RFQ, any conflict or inconsistency shall be resolved in accordance with Clause 34 of the State of Idaho Standard Terms and Conditions.

3.10 Ownership Of DataThe University shall own and retain all rights to information, techniques, processes and data developed, documented, derived, stored, installed or furnished by the University under the Agreement.

3.11 Length Of The AgreementThe Initial Term of the Agreement shall be for two (2) years, covering four (4) Cohorts of nursing students. Cohort is defined by class membership (60 students), with each Cohort based on that Cohort’s date of commencement in the nursing program or date of graduation from the nursing program. Pricing would be in effect for the duration of the Cohort for students being admitted to the program in August 2015 (Fall 2015 semester), January 2016 (Spring 2016 semester) August 2016 (Fall 2016) and January 2017 (Spring 2017).

After the Initial Term of the Agreement, under existing terms and conditions, and upon mutual consent by Vendor and University, the term may be extended for additional one (1) year terms.

At the time of contract extension, if any, all annual costs, including but not limited to licensing and renewal costs, will not exceed 4% over the previous year’s costs without nullifying the Contract. 3.12 Termination of Contract Process/End of Strategic LifeThe University reserves the right, by providing at least thirty (30) days written notice to the Contractor, to terminate the Contract should the University determine that Contractor or system performance is insufficient to properly maintain business operations.

Termination shall be in accordance with Clause 2 of the State of Idaho Standard Contract Terms and Conditions, found at http://adm.idaho.gov/purchasing/purchasingrules.html

Upon any termination of the Contract, Contractor shall return to the University all copies of the Confidential Information or other materials incorporating Confidential Information in the possession of Contractor or its employees. Contractor agrees to:

Return all data that is the property of the University in a reasonable format specified by the University;

Return all property in any form belonging to the University; Return all confidential information that may have been received from the

University. Provide the ability for University to electronically retrieve data and documents from Contractor’s system, as this data is owned by University

Deliver to Boise State, within six (6) weeks, all data and documents from Contractor’s system that pertain to Boise State. This data must be delivered in an electronic format. The University will verify receipt of that data.

Notwithstanding termination, the restrictions on disclosure and use of Confidential Information arising under the Contract shall continue to be effective after the date of termination.

Upon expiration or termination of the Contract, the obligations of the parties to each other shall come to an end, except those provisions which are intended to survive and continue, which shall include, but shall not be limited to, provisions relating to confidentiality, indemnification, and insurance requirements contained in the Contract.

3.13 System WarrantyNotwithstanding any other term in the State of Idaho Standard Contract Terms and Conditions, State of Idaho Solicitation Instructions To Vendors, or the Vendors Response, the following warranties shall apply to the Agreement.  Vendor represents and warrants that:

3.13.1 Proposed SoftwareThe proposed System and all software comprising the System must be operational in a verifiable, customer-live production environment, providing service for no less than ninety (90) production days (production days do not include training or testing), prior to the release date of the RFQ. Operational in a verifiable production environment will mean:

the software is used by an organization other than the Vendor in the normal course of such organization’s business;

the software is not used in a testing or otherwise reduced capacity; and, all the mandatory software operational functionality specified in the RFQ is in use by

such organization.

3.13.2 The software is not incompatible with the software, hardware, and telecommunications environment specified within the Contract, and all amendments to the Contract as agreed to and accepted by both the University and the Vendor. Incompatibility will include but not be limited to, the creation of errors in data, the loss of data, the inability to access data, and delays and stoppages in performance of work by the Vendor or the University arising from the Contracted solution.

3.13.3 The Contracted solution will perform without the creation of errors in University data, the loss of University data, the inability to access University data, the inability to input University data, and delays and stoppages in performance due to data collection, data corruption, or loss.

3.13.4 The Contracted solution and required services are fit for the particular purpose of providing the requirements specified within the Contract, and all amendments to the Contract as agreed to and accepted by both the University and the Contractor. Furthermore, the Contractor warrants that the Contracted solution is merchantable.  3.13.5 The Software and all components comply with all federal, state, county and local regulations, statutes and codes.

  3.13.6 The Software contains no viruses, bombs or disabling devices. The Software and any media used to distribute it contains no computer instructions, circuitry or other technological means (“Harmful Code”) whose purpose is to disrupt, damage or interfere with University’s use of its computer and telecommunications facilities for their commercial, test or research purposes. Harmful Code shall include, without limitation, Viruses, Worms, Trap Doors, Trojan Horses, bombs, and any other instrumentality that will cause the Software to cease to operate or to fail to conform to its specifications upon (i) use by more than the licensed number of users or (ii) termination or expiration of this Contract; unless otherwise expressly provided herein. Licensor shall indemnify Boise State and hold Boise State University harmless from all claims, losses, damages and expenses, including attorneys’ fees and allocated cost of internal counsel, arising from the presence of Harmful Code in or with the Software or contained on media delivered by Licensor.

3.13.7 The Contracted solution in whole or in part, does not infringe upon an enforceable patent, copyright, trade secret, trademark or other proprietary right. The Contractor knows of no action or proceeding of any kind pending, or to its knowledge, threatened against, by or affecting it or the software used to provide the service or any documentation, which if decided, is adverse to the Contractor, and could adversely affect the Contractor’s ability to perform or complete its obligations under this Contract.

3.13.8 Patents And Copyright Indemnity: The Contractor will indemnify and hold the University harmless and will defend at its own expense any claim or action brought against the University based upon a claim of infringement or misappropriation of a United States enforceable patent, a copyright, a trade secret, a trademark or other proprietary right for products and services within this Contract. Contractor will pay all liabilities, expenses, damages, and costs arising from such claims or actions. Contractor will be notified promptly in writing by the University of any notice of such claim, Contractor will have the sole control of the defense of any action on such claim and all negotiations for its settlement or compromise, and University may select, at its own expense, advisory counsel, and the University will cooperate with the Contractor in a reasonable way to facilitate settlement or defense of any claim or suit. With regard to its defense obligation, if applicable, the University agrees to use its best efforts to encourage the Office of the Attorney General of Idaho to grant Contractor control of the defense and all related settlement

negotiations. However, if principles of governmental or public law are involved, the University may participate in the defense of any such action, but no costs or expenses will be incurred for the account of Contractor without Contractor’s written consent.

  3.13.9 Vendor has the full power and authority to grant the University any license offered in the Quote and has the full power and authority to grant to the University access to the Contracted solution, and to produce all required functionality as specified in the Contract.    3.13.10 Vendor shall repair or replace, within a commercially reasonable time unless otherwise specified in this solicitation and at its sole cost and expense, any portion of the Software or any services failing to comply with the warranties granted in this section during the warranty period offered by Vendor.  If Vendor fails to repair or replace such portion of the Software or any services within the required time, the University may, in its sole discretion, act to repair or replace all or a portion of the Software or re-perform the services and the Vendor shall reimburse the University for all costs incurred by the University to repair or replace the Software or to re-perform the services.

3.13.11 Validity of SoftwareThe University reserves the right to confirm and verify the software version(s) proposed.  Specifically, the University reserves the right on a Pass/Fail basis, to confirm and verify all software functionality and requirements mandated in this solicitation. PROPOSED SOFTWARE VERSION NUMBERS MUST BE LISTED IN QUOTE.

3.14 Data/Information SecurityThe Contractor and proposed solution must comply with all federal, state and local laws and regulations, statutes and codes. The solution must comply with the federal, state and local laws and regulations governing the privacy and protection of educational records, including but not limited to the Family Education Rights and Privacy Act (FERPA).

Contractor shall comply with appropriate data security of information, as applicable, as defined by the

Family Education Rights and Privacy Act (FERPA) and the Health Insurance Portability and Accountability Act (HIPAA).

The Contractor shall comply at all times with HIPAA and FERPA, as applicable. If there is theft or misappropriation of the University’s confidential information which is due to the negligence or intentional misconduct of Contractor or due to the Contractor’s failure to comply with applicable provisions of HIPAA, FERPA or corresponding regulations, Vendor shall provide the University written notice of theft or misappropriation within three (3) business days of when theft or misappropriation becomes known to Vendor. Boise State will have six (6) months from the date of receipt of written Notice from Vendor of the theft or misappropriation to provide written notice to the Vendor of its intent to terminate, and to terminate, this Contract. If the University elects to terminate this Contract pursuant to this section, Vendor will have no right to cure the breach of this Contract in order to prevent Boise State from terminating the Contract.

3.15 Insurance

3.15.1 The Contractor and its sub-contractors are required to carry the types and limits of insurance shown in this RFQ, and to provide Boise State University (“Certificate Holder”) with a Certificate of Insurance within ten (10) days of the signing of this Contract.

3.15.2 Certificate Holder shall read:

State of Idaho and Boise State University Attn: Risk Management 1910 University Drive Boise, Idaho 83725-1245

3.15.3 All certificates shall provide for thirty (30) days’ written notice to Certificate Holder prior to cancellation or material change of any insurance referred to in the certificate.

3.15.4 All insurers shall have a Best’s rating of A- or better and be licensed and admitted in Idaho.

3.15.5 All policies required shall be written as primary policies and not contributing to nor in excess of any coverage Certificate Holder may choose to maintain.

3.15.6 All policies (except Workers Compensation and Professional Liability) shall name the following as Additional Insured: State of Idaho and Boise State University.

3.15.7 Failure of Certificate Holder to demand a certificate or other evidence of full compliance with these insurance requirements or failure of Certificate Holder to identify a deficiency from evidence that is provided shall not be construed as a waiver of Contractor’s obligation to maintain such insurance.

3.15.8 Failure to maintain the required insurance may result in termination of this Contract at the Certificate Holder’s option.

3.15.9 By requiring this insurance, Certificate Holder does not represent that coverage and limits will necessarily be adequate to protect Contractor, and such coverage and limits shall not be deemed as a limitation on Contractor’s liability under the terms of the grant or Contract.

3.15.10 Required Insurance CoverageContractor shall obtain insurance of the types and in the amounts described below.

3.15.11 Commercial General and Umbrella Liability InsuranceContractor shall maintain commercial general liability (CGL) and, if necessary, commercial umbrella insurance with a limit of not less than $1,000,000 each occurrence and $2,000,000 in the aggregate. If such CGL insurance contains a general aggregate limit, it shall apply separately by location and shall not be less than $2,000,000. CGL insurance shall be written on standard ISO occurrence form (or a substitute form providing equivalent coverage) and shall cover liability arising from premises, operations, independent contractors, products-completed operations, personal injury and advertising injury, and liability assumed under an insured Contract including the tort liability of another assumed in a business contract. Waiver of subrogation language shall be included. If necessary to provide the required limits, the Commercial General Liability policy’s limits may be layered with a Commercial Umbrella or Excess Liability policy.

3.15.12 Commercial Auto InsuranceIf vendor will be driving a vehicle on campus, Contractor shall maintain a Commercial Automobile Policy with a Combined Single Limit of not less than $1,000,000; Underinsured and

Uninsured Motorists limit of not less than $1,000,000; Comprehensive; Collision; and a Medical Payments limit of not less than $5,000. Coverage shall include Non-Owned and Hired Car coverage. Waiver of subrogation language shall be included.

3.15.13 Business Personal Property and/or Personal PropertyContractor shall purchase insurance to cover Contractor's personal property. In no event shall Certificate Holder be liable for any damage to or loss of personal property sustained by Insured, whether or not insured, even if such loss is caused by the negligence of Certificate Holder, its employees, officers or agents.

3.15.14 Workers’ CompensationWhere required by law, Contractor shall maintain all statutorily required Workers Compensation coverages. Coverage shall include Employer’s Liability, at minimum limits of $100,000 / $500,000 / $100,000.

3.15.15 Professional LiabilityIf professional services are supplied to the University, Contractor shall maintain Professional Liability (Errors & Omissions) insurance on a claims-made basis, covering claims made during the policy period and reported within three years of the date of occurrence. Limits of liability shall be not less than one million dollars ($1,000,000). All insurers shall have a Best’s rating of A- or better and be licensed and admitted in Idaho.

3.16 SubcontractingUnless otherwise allowed by the University in this Contract, the Contractor shall not, without written approval from the University, enter into any subcontract relating to the performance of this Contract or any part thereof. Approval by the University of Contractor’s request to subcontract or acceptance of or payment for subcontracted work by the University shall not in any way relieve the Contractor of any responsibility under this Contract. The Contractor shall be and remain liable for all damages to the University caused by negligent performance or non-performance of work under the Contract by Contractor’s sub-contractor or its sub-contractor.

3.17 Trademarks/LogosBoise State University’s registered trademarks, as well as other names, seals, logos, college colors and other indicia (“University Marks”) that are representative of the University may be used solely with permission of Boise State University. Notwithstanding the foregoing, the University logo may be used in the RFQ response for illustrative purposes only. No use may be made of University Marks in any document which implies any association with or endorsement of the services of the Vendor or any other third party.

3.18 Accessibility ClauseThe Contractor hereby agrees to be bound by the terms and conditions of Section 504 of the Rehabilitation Act of 1974 and to the applicable provisions and requirements of the Americans with Disabilities Act of 1990, as may be amended or modified from time to time, and as such provisions are applicable to the University. The Contractor shall comply with pertinent amendments to such laws made during the term of the Contract and with all federal and state rules and regulations implementing such laws. If applicable, the Contractor must include this provision in every sub-contract relating to this Contract. Specifically, Contractor hereby agrees to use good faith efforts to ensure that the solution is fully accessible for individuals with disabilities and enables the University to fully comply with all applicable requirements of the aforementioned laws, regulations, and requirements.

In the event the solution fails to meet the requirements of this section, the University shall provide written notice to Contractor detailing requirements to bring solution into compliance. If Contractor fails to correct the deficiency and enable the University to fully comply with the laws, regulations and requirements set forth herein as detailed in such notice within thirty (30) days of receiving such notice, the University may elect to terminate this Contract without further notice and without penalty. In the event the University terminates the Contract under this section, Contractor agrees to compensate the University for all costs associated with securing a replacement that fully complies with the requirements set forth herein, payable upon receipt of an invoice from the University detailing such costs.

3.19 Vendor will perform all services required pursuant to this solicitation in a professional manner, with high quality. 

4. EVALUATION AND AWARD  4.1 Evaluation ProcessThe University will establish an evaluation team who may consult with subject matter experts to review and advise on any portion of the quotes. Upon opening the responses, the Boise State University Purchasing Department will inspect the quote for responsiveness. Under the facilitation of the Purchasing Department, the evaluation team will score the responsive quotes. The University may request online or other electronic-style demonstrations or access to a test/demo environment from the top several scoring vendors. If demonstrations are requested, the University will submit demonstration scenarios to vendors and will score these demonstrations. The team will discuss and finalize their scoring with the Purchasing Department. The cost sheets will be opened and factored into the final scores. Prior to award, the apparent successful Vendor’s response may be forwarded to a representative of the Office of Information Technology and/or General Counsel to confirm that the proposed system will work within the University’s infrastructure and policies.

4.2 Responses should be submitted on the most favorable terms from both a price and technical standpoint as well as with regard to legal terms and conditions. The University reserves the right to accept any part of a quote, or reject all or any part of any quote received, without financial obligation, if the University determines it to be in the best interest of the University to do so.

4.3. All quotes will be evaluated first to ensure that they meet the mandatory submission requirements (M), of the RFQ. All quotes not meeting the Mandatory Submission Requirements will be found non-responsive. Quotes that meet the requirements will continue in the evaluation process.

4.4 The apparent successful Vendor will be asked to engage in discussions to finalize the agreement. Such discussions will include discussion of the legal terms and conditions, and any additional agreements submitted by the vendor as required by Section 2.14 and any proposed modifications to the State Standard Terms and Conditions, submitted in accordance with Section 3.1. Should the apparent successful Vendor and the University fail to reach an agreement within a reasonable timeframe, the University may elect to end the discussion with the top-scoring Vendor and begin a discussion with the Vendor whose response ranked second.  Upon successful completion of the discussions, the winning Vendor will be required to execute a contract with the University, and immediately begin preparations to undertake its requirements.

4.5 (E) If demonstrations are requested by the University, they will be via webinar or other online medium, set up by the Vendor and provided at no cost to the University. Demonstrations may include hypothetical scenarios, quality assurance issues, access to a test/demo site and anything else the University is specifically interested in seeing. The demonstration becomes an official part of the Vendor response and will be evaluated. At its discretion, the University will choose either “Scored” or “Pass/Fail” demonstrations, as detailed below.

4.5.1 Scored Demonstrations The top several Vendors who have the highest raw scores for the evaluation of the Scope of Work may be contacted to give an overview/demonstration of their product and respond to questions. Demonstrations will be scored and those points added to the Scope of Work points for the Vendors from whom a demonstration was requested. Vendors who do not make the demonstration portion of the evaluation may not be further evaluated.

4.5.2 Pass/Fail Demonstration Alternatively, the University reserves the right to require a demonstration or webinar of only the top scoring Vendor. If this option is chosen, the evaluation is strictly Pass/Fail for the apparent successful Vendor. If the apparent successful Vendor fails, then the next top scoring Vendor will be considered the apparent successful Vendor and the demonstration process may be repeated.

5. SCOPE OF WORK

Use this outline as part of your response to the RFQ. The methodologies proposed and the completeness of the response to each of the services listed below will be evaluated.   5.1 Information Technology Requirements

5.1.1 (ME) LicensesIdentify required licenses, and which licenses are supplied by Vendor. University will place greater preference on licensing systems that do not require human intervention to maintain, or that require limited intervention. Systems that require a one-to-one user to license mapping where licenses expire on a periodic basis without an automated extension or renewal process should be avoided.

5.1.2 (M) Usernames and passwords

5.1.2.1 Confirm that Vendor does not have any user names or passwords hardcoded into the application configuration

5.1.2.2 Confirm that Vendor does not have any user names or passwords located in plain text, anywhere on the system.

5.1.2.3 Confirm that all usernames and passwords are encrypted.

5.1.3 (M) Hosted ServicesConfirm that if the Vendor is providing a hosted solution, it is hosted within the United States.

Vendors should show that they fully integrate with Active Directory for Security, whether natively or through LDAP. Full integration would be defined as follows:

5.1.4.1 Groups and nested groups are supported to validate user security within the application, and the application performs lookups at authentication time against the directory to validate their group memberships.

5.1.4.2 The application should not maintain an independent version of Active Directory user and role/group data along the lines of a one-time synchronization into the application, but should be capable of referencing a group and providing proper access to members of that group. 5.1.4.3 If the application maintains an independent copy of Active Directory data, then it needs to have the capability to update that copy any time there is a change to the directory such that users, roles, and permissions can be maintained in the directory and not in the application.

5.1.5 (ME) Data AvailabilityIt is expected that the proposed system/solution will collect transaction based information or data. Boise State has established a common structure for data reporting and availability to other processes. To meet the needs of this structure the following requirements need to be addressed by the system/solution:

5.1.5.1 The entire application data set should be accessible by the University.

5.1.5.2 The data set should be reasonably available for extract by the University at the University’s discretion.

5.1.5.3 The proposed solution must provide access to data for integration or extract through a secure, automated process.

5.1.5.4 The proposed solution should allow for data extracts to be scheduled and managed by University at its discretion.

5.2   (ME) Security

5.2.1 Database must be properly secured up to and including appropriate levels of data encryption as outlined in the Boise State System Security Encryption Standard (http://oit.boisestate.edu/security/system-security-encryption-standard/) Vendor must warrant that the University Data shall not be availed, sold, or otherwise, to tele-marketers or other solicitors.   Describe how your company can guarantee this security, what type of warranty or insurance is in place for this security, and what repercussions the University has if this security is breached.

5.2.2 Describe your data backup and Disaster Recovery (DR) plan/policies and how often the recovery process is tested. Does your DR include the use of off-site data backups? How are the data backups secured?

5.2.3 Vendor should demonstrate regular, third party monitoring of all systems and tiers and review of all security procedures.  Describe your third party monitoring including frequency of monitoring and any reports that would provide yearly attestations to this monitoring.

5.2.4 Describe your business continuity plan and hosting infrastructure and discuss the methods used to ensure redundancy.  

5.2.5 Vendor must employ and attest to providing reasonable security safeguards for individual data and personally identifiable information.  Describe your policies and standards for ensuring data privacy and how they fulfill the requirements outlined in the following Boise State policies/standards:

5.3 (ME) Vendor must complete and return the Voluntary Product Accessibility Template (VPAT) located at http://www.state.gov/m/irm/impact/126343.htm   Boise State will assess how the proposed solution allows the University to comply with Section 508, and will evaluate and award points based on the VPAT/product accessibility.

5.4 (ME) Integration/Implementation

5.4.1 Provide a brief description of the major steps in the implementation/integration process, including any on-going university resource requirements, information and/or data required from the University, any on-premise activities required and expected timelines.

5.4.2 Describe common challenges with implementation, integration and start up, and also during normal operations, that your company has encountered, and what your company has done to help alleviate these.

5.4.3 Please describe any on-site installation/implementation/integration required/requirements and any documentation related to this (administrator guide, information on the web, etc.).

5.4.4 Describe any other best practices or tips and tricks that your company has discovered, specific to implementation and encouragement of student use at universities/institutes of higher education that might be useful for Boise State. 5.5 Examinations

5.5.1 (M) Boise State requires that the proposed solution include an admissions selection test for pre-nursing students, with no additional fee. Please describe. 5.5.2 (M) The company must include online tutorials which help students learn how to study for and take computerized tests. Include a link to a sample tutorial.

5.5.3 (M) There must be at least one Comprehensive Practice Test (based upon the NCLEX test plan). Please describe.

5.5.4 (M) There must be at least two Exit Comprehensive Tests (based upon the NCLEX test plan). Please describe.

5.5.5 (M) The company must offer the availability of second end of course exams with no additional fee, if student should require remediation and a repeat exam for not benchmarking. Please describe.

5.5.6 (M) The company must allow students access to resources for at least 3 months after graduation to prepare for NCLEX. Discuss the duration for which resources are available to students after graduation and describe the resources that are available.

5.5.7 (M) Since NCLEX test banks draw upon multiple sources, it is expected that the proposed solution will be product/publisher independent. Specifically, Boise State faculty will not be tied to educational resources from a specific Vendor; rather they can select and teach from whatever resource they feel best meets their needs and the needs of their students. Please describe your policy on sourcing teaching materials.

5.5.8 (ME) Tests (and practice tests) must be available for the following courses: Fundamentals of Nursing Adult Health/Medical Surgical Nursing Psychiatric/Mental Health Nursing Maternal Child/Newborn Nursing Pediatric Nursing Community Health Nursing Pharmacology

List the courses for which tests and practice tests are available from your company. Discuss which courses are included in the pricing provided. If there are courses that are included at an additional cost, please provide those details.

5.5.9 (ME) Vendor must provide examination results electronically to the Chair of Nursing at Boise State within 24-hours of examination completion. Please describe how these exam results are provided.

5.5.10 (ME) The product must offer updates to any programmatic / system changes. Any test changes, resource revisions, etc. must be communicated to the Chair of the Undergraduate nursing program as well as respective faculty, when the changes will be implemented.

5.5.11 (ME) The successful Vendor must be capable of providing on site, total testing programs for Boise State University’s undergraduate pre-licensure nursing program. The vendor must have a minimum of five (5) years of providing similar testing services to accredited nursing programs at post-secondary education institutions. Please describe your experience in these areas.

5.5.12 (ME) Product must be a commercial-off-the-shelf (COTS), hosted, Software-as-a-service product. Please describe the product your company is proposing to meet this specification.

5.5.13 (ME) Standardized tests must be accessible by/compatible with either a Windows-based Personal Computer or Apple Macintosh Computer.

5.5.14 (ME) Standardized tests must be based upon the most recent NCLEX Test Plan (2013) and regularly updated when the NCLEX test plan is updated. Discuss which NCLEX test plan your tests are based on, and the update schedule that your company uses to make sure that tests are continually based on the most recent material.

5.5.15 (ME) The product must include an English-as-a-Second Language option to assist students with ESL needs in developing testing skills. Services for those students who first language is Spanish are particularly desirable. Discuss the English-as-a-Second Language options that are available with your product.

5.5.16 (ME) The testing company must offer the ability to customize exams to match Boise State courses and curriculum at no extra charge. Please describe how an exam can be customized and how this is used at other schools with whom you work. 5.5.17 (ME) The testing company must provide case studies and remediation products for students to provide exemplars of content and test questions. Include a sample case study and a sample of a remediation product that your company offers. Discuss the quantity of case studies and remediation products that are available for different courses as offered by your company.

5.5.18 (ME) Faculty must have access to sample test questions for each exam (not from the standardized test, but samples similar to what students will receive). Describe when and how these sample test questions are made available to faculty.

5.5.19 (ME) The product must include online webinars and workshops on medication calculation, study skills, and other important nursing topics for enrichment such as population focused nursing, cardiac care, telemetry, surgical care, fetal monitoring, etc. Include a link to a sample online webinar or workshop. 5.5.20 (ME) The product must provide an emphasis on learning and remediation in areas in which the student has demonstrated deficits (as demonstrated by not benchmarking on the respective exams). Discuss areas where remediation is frequently required, and how your product emphasizes these areas.

5.5.21 (E) Vendor must make available a 3-4 day on site and electronic NCLEX review course for all students upon program completion, to be held twice yearly in late December and late May on-site at Boise State or online. Student completion data is to be provided at the end of the course. Vendor is to provide a roster of student attendance. Provide a sample or (past) agenda for this on-site training, as well as a sample of student completion data. Discuss charges for this review, and if they are typically included with the package, billed separately to the students, or billed in another fashion.

5.5.22 (E) The product must allow Boise State University student testing performance to be benchmarked against similar nursing programs. Discuss how your product benchmarks Boise State performance against similar nursing programs.

5.5.23 (E) Boise State University is interested in understanding the success rate of your proposed program. Please provide the success rate of your product over the past three years for the institutions who use it.

5.5.24 (E) The University is interested in understanding any positive reinforcement that is offered with the proposed solution. Please describe any positive reinforcement that is offered with your product.

5.6 (ME) Test Security

5.6.1 Security measures must be in place to ensure that students cannot access the testing environment unless enrolled in the specific course being tested. Describe how your product restricts test takers to enrolled students. 5.6.2 Delivery of the tests must be via a secure testing platform. Vendor must detail its specific testing security procedures and work with the University’s IT department to insure tests are delivered securely.

5.6.3 Once enrolled, students must be limited to one account. Describe how your product limits students to one account.

5.6.4 Once enrolled, students must be able to independently update their passwords. Describe how a student password is changed.

5.6.5 Faculty members must have continuous access to all the testing materials and remediation resources as needed. Describe how faculty can access these materials. Discuss any limitations.

5.7 Training

5.7.1 (M) Vendor must provide in-person and web based training to Boise State students on the use of the testing program at the beginning of each semester (each Cohort TBA with faculty member). Please describe the training available with your product, and the approximate timeframe in which it occurs.

5.7.2 (M) The product must include one day, on-site faculty development at least annually to provide instruction on how to use the tests and resources, how to help students, and how to use reports. This development training shall coincide with the student orientation in January. Please describe the training available with your product, and the approximate timeframe in which it occurs.

5.7.3 (ME) Describe the training materials offered by your company (hard copy user guide? online? etc.) Is the online training always available to any students and faculty at no additional charge?

5.8 (ME) Support

5.8.1 The product must offer a dedicated faculty phone line for use during the actual testing time periods. Technology support must be available M-F 8am-8pm with a “live” person. Technology support must be available to all faculty members. Please describe your general maintenance and support process and services, such as would be provided under a standard

maintenance agreement, including but not limited to what is generally considered in the scope of such agreement and any specific exceptions, technical and operational support services and hours, technical and operational support resources, upgrades and patches and turnaround times.  If information related to this issue is available on-line, please supply the applicable web site.

5.8.2 Describe your ongoing maintenance and system testing procedures.  Include information relative to how new features are addressed and what sort of university resources or time are required to keep up with upgrades/updates.

5.8.3 Describe your system’s availability (percentage of uptime per year), reliability and quality for the past two years.  Discuss scheduled downtime, the frequency of scheduled downtime, and how that is planned and communicated to clients.  Discuss the frequency and effect of unscheduled downtime, and its frequency over the past two years.

5.9 (ME) Administrative System Settings

5.9.1 Describe the processes (best practices) recommended for administering the system.

5.9.2 Provide an overview of administrative roles and permissions supported by the system. Describe how/where this same information is available (in a manual, on line, etc.) after the system implementation/install.  

5.10 (ME) Reports

5.10.1 The product must include student performance reports to allow tracking of the individual student, as well as student Cohorts across the curriculum. Please describe individual student and Cohort tracking reports offered by your product.

5.10.2 The product must be able to provide a report that tracks student performance/participation and “flag” students who do not access the resources. Please describe performance/participation reports that are offered by your product.

5.11 (ME) Risks

5.11.1 Based on the Scope of Work detailed in this RFQ, identify common risks or constraints that you will need to address prior to or during the performance of the Work, as well as a description of how you will address each one.

6. (M) COST 6.1 The Vendor must use the format established in Attachment 2 as your response to the Cost Section of this RFQ, and identify it as Attachment 2 - Cost Sheet. This format is required for purposes of evaluating the quotes and awarding a Contract.

6.2 All costs associated with the provision of services detailed in the specifications of the RFQ must be included in the mandatory Cost Sheet. All proposed pricing will be firm/fixed and fully-burdened with all direct and indirect costs, and must include (but not be limited to), all operating, installation, training, administrative, and personnel expenses such as overhead, salaries, profit, supplies, per diem, travel (airfare and/or mileage), lodging, quality improvement, all online testing resources, multimodal remediation resources, services, consulting, technical and logistical costs associated with initial integration and use of the system during the duration of the contract term and all costs associated with delivery of the RN Readiness testing package, including hardware/software necessary for the service, software maintenance, support, updates/upgrades, licensing, and any and all other costs associated with providing this service.

6.3 The cost per student per cohort must be provided on the table in the cost sheet. The Contractor will only be paid for items and/or services that are specifically named in this contract. No additional costs will be paid by the University without prior written consent.

6.4 The cost evaluation will be based on the total cost proposed for the required services as itemized in the Cost Sheet. The lowest cost responsive, responsible Quote will receive all points assigned to cost.  The next lowest cost quote will receive a portion of the available cost points, according to the following formula:  

Lowest cost/other quote cost x (total possible cost points) 

The cost points will be added to the Scope of Work, Evaluated Items and Demonstration (if requested) points and quotes will be ranked by final total score.

Award will be made based upon highest total score.

6.5 Costs are to be invoiced at the start of each semester. The University expects to receive one invoice per semester that includes all costs for all cohorts for that semester.

6.6 Quote must include any applicable freight charges.

6.7 Prices must be FOB Boise State University.

6.8 Contractors are not allowed to direct bill expenses or to receive advance payments for services not rendered.

6.9 Payment terms shall be NET 30. All invoicing is to be directed to the University Purchasing Department, Attn: Shannan Thomas, or other as designated by Boise State University. 

6.10 In addition to the acceptance terms detailed in the State of Idaho Standard Contract Terms and Conditions, acceptance from the University will be based upon:
