Project At A Glance Rowan University is seeking to contract with an Architectural firm to provide design services for the South Jersey Technology Park, located on the West Campus in Glassboro, New Jersey.

I. BACKGROUND A. Rowan University has evolved from its humble beginnings in 1923 as a “Normal School”, with a mission to

train teachers for South Jersey classrooms, to a comprehensive public research university with a strong regional reputation.

B. In July 1992, industrialist Henry Rowan and his wife, Betty, donated $100 million to the institution, then the largest gift ever given to a public college or university in the history of higher education. Later that year, the school changed its name to Rowan College of New Jersey to recognize its benefactors’ generosity. The Rowans’ only request was that a College of Engineering be created with a curriculum that would address the shortcomings of engineering education at that time. The college achieved University status in 1997 and changed its name to Rowan University.

C. In 2012, several of the colleges were restructured and schools were created—Colleges of Business, Communication & Creative Arts, Education, Engineering, Humanities & Social Sciences, Performing Arts, Science & Mathematics, and the School of Biomedical Sciences, and Cooper Medical School of Rowan University.

D. On July 1, 2013, Rowan again changed dramatically when the New Jersey Medical and Health Sciences Education Restructuring Act went into effect. The Restructuring Act designated Rowan as New Jersey’s second comprehensive public research institution, transferred the School of Osteopathic Medicine (SOM) of the University of Medicine and Dentistry of New Jersey to Rowan and partnered Rowan with Rutgers-Camden to create a College of Health Sciences in the City of Camden. Rowan became the second institution in the nation to have both a D.O.-granting medical school (Rowan SOM) and an M.D.-granting medical school (Cooper Medical School of Rowan University). The transfer of programs also led to the creation of the Graduate School of Biomedical Sciences and gave Rowan its fourth campus in Stratford, N.J.

E. Today, Rowan's nearly 15,000 students can select from 57 bachelors, 46 masters, and four doctoral degree programs in colleges and schools across four campuses. The University is one of only 56 institutions in the country with accredited programs in business, education, engineering and medicine.

II. PROJECT OVERVIEW

A. Rowan University is soliciting Requests for Proposals (RFP) from design teams to provide programming and comprehensive pre-design services for the Renovation of the SJ Tech Park 2nd Floor, building located on the West campus in Glassboro, NJ. There will also likely be some renovations necessary on the 1st floor, however, they are unidentified at this time and will be flushed out during the programming phase. The existing Tech Park 2nd floor facility is approximately 22,500 square feet. The building is a 2-story, structural steel building, completed in the mid 2000’s.

B. Currently, the 2nd floor is occupied by a tenant that uses the space primarily as an office, library, and/or meeting space. The tenants lease runs out on July 1, 2016 and the University plans on taking the space and changing it to a Material Sciences & Engineering research laboratory. There are currently no wet labs, fume hoods or laboratory benches, and it is believed the tenant will be taking the furniture. Again, as part of the overall programming effort, while the main focus will be on the 2nd floor, the 1st floor will have to be taken into consideration, so the best use of all space for the building is determined.

C. Preliminary programming studies to date have determined a need for significant growth and renovations to accommodate the University’s expanding engineering and science programs, research labs, teaching space and storage needs. To support this growth a renovation to the existing 2nd floor of the SJ Tech Park is anticipated. Construction is planned to start in fall 2016 and is expected to be completed Spring/Summer 2017. Construction consists of the renovation of approximately 22,500 sq.ft. primarily, for the relocation of Engineering and Science research labs, and offices from Science Hall. The project will require a well-planned process that builds on the initial assessment and findings, establishes a clear project vision specific to renovations of existing Tech Park, and involves a highly qualified and experienced team of design consultants working with representatives of Rowan University to deliver a phased project that meets the needs of today.

III. ROLE OF THE UNIVERSITY A. It is understood that Rowan University is the customer and, as such, the decisions of the University shall

be incorporated into the designs. B. No performance specifications are to be a part of this design as a substitution of a completed design. In

other words, the University does not want the general contractor to engage any engineers, etc. to complete the architect’s/engineer’s signed and sealed designs.

C. Rowan has recently completed multiple standards for the University, which will be provided to the selected firm and are available upon request. It is expected that the successful firm will utilize these standards as a part of their design.

D. The University will provide the awarded architect/engineer with all available information such as drawings from the original Tech Park construction and personal knowledge. However, the University assumes no responsibility as to the accuracy of the drawings or information. All information must be field verified.

IV. PROJECT DESCRIPTION

A. The project consists of the design and construction of renovations to existing SJ Tech Park 2nd Floor, which is an approximately 22,500 square foot. The existing building will need to be renovated to internally manage the effective utilization of space vacated by the existing tenant.

B. The design team shall develop an appropriate program fit, design and phased (if necessary) schedule for the renovation of the 2nd floor after identifying its future capacity due to the vacancy from relocated departments into the new building. Areas to be renovated shall include wet and dry laboratory spaces, classrooms, faculty and staff offices, research lab spaces, and spaces specially geared towards supporting the proposed programs.

C. Preliminary Program Needs: 1. Core Facilities

D. The phased renovation shall coordinate with the existing building functions. Engineering disciplines within the existing building are Biomedical, Chemical, Civil & Environmental, Mechanical and Electrical & Computer Engineering, however none are currently on the 2nd floor.

E. The firm selected for this project may interview with the Deans for Science and Engineering, as well as Facilities, Planning and Construction. The renovation design shall be informed by but not limited to the programmatic concepts discussed. The existing floor plan is provided and the buildings orientation and existing services shall be utilized as possible to keep the construction cost of the project down. Further, the selected firm will work with input from both the Office of Facilities and Operations and the College of Engineering and College of Science & Mathematics to quickly develop diagrammatic presentations indicating their conceptual solution(s) to the building’s design criteria. Such proposed concepts shall also consider the facilities condition assessment.

F. Time is of the essence, particularly to initiate Programming/Concept Design phase services for this project. The University desires to complete the planning and substantial portions of the pre-design processes in the second half of 2016 as outlined above, so that major renovations begin immediately in early 2017. Many of the existing Engineering faculty, staff and students who will remain in existing Science Hall need to see the plan for its renovation and have it put into action.

G. The awarded firm shall work closely with coordinating efforts for to submissions to regulatory authorities.

V. SCOPE OF SERVICES A. This RFP is soliciting design services from professional architectural/engineering firms. The scope of the

services shall include the following: 1. Provide a comprehensive set of programming, design, construction documents and specifications

which describe the fit, placement, shape, size, material and finish of the spaces throughout the building. Documents shall include Program/Concept Design, Schematic Design, Design Development, Construction Documents, Bidding and Award, Permitting Sets, Construction Administration and Project Closeout for the Tech Park Renovation Project. The proposed fees shall include all necessary sub-consultants identified by the proposer.

2. Program/Concept Design Phase a. Upon receipt of the Notice to Proceed with the Project, the Architect shall develop the

programmatic requirements for the building and recommendations for space allocation. In conjunction with University Facilities and the Engineering staff, review, validate and modify the building floor plan.

b. The Architect shall review record plans from the SJ Tech Park original construction and take the existing infrastructure systems into account, to best utilize existing systems and to make logical groupings of spaces on various floors.

c. The program shall be a written document that articulates the specifics of the space requirements to meet the functional and program needs of the proposed project, as further described in Section VII of this RFP. The program shall include but not be limited to; room data sheets indicating detailed written descriptions of each space or room in the proposed facility and also may be depicted by a conceptual drawing which illustrates the critical physical and spatial relationships of all proposed areas. The program shall also specifically address the total net assignable square feet and gross square feet (GSF) of the facility as well as the anticipated budget and overall Project Schedule.

d. The detailed program document shall incorporate enrollment projections from the college and provide conceptual data and plans for identifying existing square footage, expanded capacity; utilities and infrastructure affected along with the anticipated cost, schedule and timeline for each department to be relocated and or renovated.

e. Provide a cost estimate for the renovation of the space. 3. Schematic Design Phase

a. Upon receipt of the University's approval of the Program/Concept Design Phase Documents, the Architect shall proceed with Schematic Design Phase Services, which shall diagrammatically depict the adjacency and relational matrixes, circulation and flow of the building. The schematic design shall illustrate elements of the building to solve functional relational problems between various aspects of the architectural program. Upon conclusion of this phase, the budget and schedule will be reviewed to insure the project remains within the defined scope and budget. Review, approval and sign-off of the schematic design shall be designated by the University Representative.

b. Provide a cost estimate for the renovation of the space. 4. Design Development Phase

a. Upon receipt of the University's approval of the Schematic Design Phase Documents, the Architect shall proceed with Design Development Phase Services. In this phase, the architect shall integrate all the disciplines, (architecture, mechanical, plumbing, electrical, civil, site and specialist) into the design. In DD's, the refinement of the design and integration of the program concept shall look at specific placement of areas as it relates to the program and refinement of the square footage necessary to accomplish the design. The building shall become developed in not only plan view but elevational and preliminary sectional views. Identification of materials will be studied in this phase. Review of the project budget and schedule shall occur upon completion of this phase with the University Representative. Deliverables shall include but not be limited to plans, elevations, sectional studies and material boards. A presentation will be required at this stage to the senior leadership and/or potential donors.

b. Provide a cost estimate for the renovation of the space. 5. Construction Documents Phase

a. Upon receipt of the University's approval of the Design Development Phase Documents, the Architect shall proceed with Construction Documents Phase Services, and shall perform all procedures and provide all deliverables required as part of the Construction Documents Phase. In this stage, the Project shall be refined to identify and develop the fit, finish, placement, specification of material and refinement of the building. Information shall be provided both in plan, specification and material nature to clearly define all parts of the project so that it can be constructed as the design intends. A presentation will be required at this stage to the senior leadership and /or potential donors.

b. Provide a cost estimate for the renovation of the space. Provide any necessary value engineering necessary to ensure project is within budget and reconcile cost estimate with Owner’s estimate.

6. Bidding & Contract Award Phase a. The Architect shall proceed with the Bidding and Contract Award Phase only upon receipt of the

Notice to Proceed with the Construction Phase, and with a reconciled cost estimate within budget. b. Attend pre-bid meeting(s). c. When necessary to further explain and/or clarify the intent of the Construction Documents, the

Architect shall prepare and submit to the CM (or Rowan PM) or other intended party any necessary addendum. Addenda that modify the terms or intent of the Construction Documents shall be submitted for review by the CM and for approval by the University Representative prior to issuance. The CM and University will issue any such addenda to all prospective bidders.

d. Evaluate bids and review with University. e. In the event that the lowest bona fide bid received for construction of the Project is in excess of

the Final Construction Cost Estimate, the University may at its option and in its sole discretion: (i) authorize rebidding or renegotiating of the Project within a reasonable time; (ii) should the lowest bid exceed the Final Construction Cost Estimate by over 5%, the University may terminate this Agreement and the Architect shall be entitled to no additional compensation under this Agreement; (iii) in consultation with the Architect, revise the Project program, scope, or quality as required to reduce the cost of the work; or (iv) implement any other alternative in its discretion. If the University chooses to proceed under (iii), the Architect, without additional compensation, shall modify the Construction Documents as necessary to comply with the University's budget for the cost of the work at the conclusion of the Construction Documents Phase Services, or the budget as adjusted.

7. Construction Administration Phase a. The Construction phase will commence with the award of the first construction contracts and will

terminate when certificates of final acceptance are issued to the contractors or when final payment is made to the Contractors, whichever occurs later. The Architect shall assist the University in administering the execution of the construction.

b. Upon the University's issuance to a General Contractor of a Notice to Proceed with the Construction of the Project, the Architect shall perform all procedures and provide all deliverables required as part of the Construction Administration Phase Within thirty (30) days after contract award for construction of the Project, the Architect will produce and deliver "Conformed Contract Documents" for the Project. The "Conformed Contract Documents" shall incorporate all revisions as a result of the addenda and responses to requests for clarification created during the Bidding Phase prior to Contract Award.

c. The Architect shall attend weekly progress meetings during the Construction Administration Phase to discuss such matters as procedures, progress, and quality of construction, design issues, Submittals and scheduling.

d. The Architect shall be responsible for administering the change order process on the Project. The Architect shall evaluate and report on proposed changes to the Construction Documents, change orders, construction change directives or any supplementary work to be initiated after the commencement of the Construction Phase, including review of the Contractor's cost proposals in connection therewith. In consultation with the Owner, the Architect shall review and prepare change orders and construction change directives involving changes in scope, cost or time, and upon the approval of the Owner issue change orders.

e. The Architect shall visit the site at intervals appropriate to the stage of construction, but in no event less than weekly. The Architect shall visit the site to become generally familiar with the progress and quality of the Construction work completed and to determine in general if the Construction Work is proceeding in accordance with the Construction Contract Documents. On the basis of on-site observations as a Architect, the Architect shall keep the CM, as the representative of the University, informed of the progress and quality of the Construction Work, and shall endeavor to guard the University against defects and deficiencies in the Construction Work. However, should the Architect observe or become aware of conditions that require services beyond those included herein, or that constitute a defect or deficiency in the Construction Work or may rise to same, the Architect shall promptly notify the CM and the University Representative in writing. The Architect shall maintain progress notes based on its site visits.

f. The Architect shall be responsible for certifying to the University the amounts due to the Contractor under the Construction Contract Documents. The Architect shall review and certify the amounts due the Contractor within five (5) business days after receipt of the Contractor's invoice. In addition to these ongoing certifications, the Architect shall also be responsible for certifying the final payment to the Contractor under the Construction Contract Documents.

8. Project Close-Out Phase Services a. The Project Closeout Phase will commence with the issuance of the certificate of substantial

completion or temporary certificates of occupancy and will terminate when certificates of final acceptance are issued to the contractors or when final payment is made to the contractors, whichever occurs later.

b. Prepare punch lists as required. c. Verify completion of punch list. d. Issue certificate of substantial completion. e. Review all required close out documents. f. When design issues or disputes arise during the warranty and guarantee period for the Project,

the Architect shall assist in the resolution of the Contractor's obligations under the warranty and guarantee.

9. General Scope Requirements a. Develop a project schedule for design, bid and award. Provide a preliminary phased schedule for

construction. See project overview for preliminary anticipated schedule and phasing. b. Confirm availability of utilities to service new programed spaces. Cost estimates prepared by a 3rd

party estimator is required at the end of each phase; Programming, (P), Schematic Design, (SD), Design Development, (DD), and Construction Documents, (CD). Furthermore, the Dean of engineering has asked that the estimates be broken down by department. The cost for these services must be included in fee as part of this RFP.

c. The design teams cost estimates for SD must be reconciled to within a 5% differential of the cost for construction prior to proceeding with subsequent design phases. The lead design professional shall lead any reconciliation or value engineering effort in conjunction with the University Facilities project manager to ensure the project is on track to meet the construction budget. The University reserves the right to secure additional contracts for the completion of the project, which together with other costs, enable it to complete the project within the approved program cost and approved projected schedule. If the amounts of the lowest acceptable bids exceed the approved construction budget, the Architect/Engineer shall perform any necessary redesign work and make all appropriate changes in the plans required to construct the project within the program costs or approved final construction cost estimate, or to establish approved alternates to aid in securing bids compatible with the approved construction budget estimate. The University shall identify the areas to be redesigned, and/or deleted. Any such redesign work and changes shall be undertaken

by the Architect/Engineer at no additional cost to the University. The University shall have the right to reject the design documents if the lowest bids thereon exceed the final construction cost statement by ten percent (10%), and, in that event, the Architect/Engineer shall be entitled to no further compensation.

d. Included in the design shall be all communications/data wiring within the building. It is expected that the architect/engineer or their consultant shall work with the University to coordinate locations, equipment and placement. As in communications, certain areas: such as classrooms; may need specialized technology. The design firm working with the University shall develop and design the appropriate pieces of technology and the infrastructure to support them.

e. Include all design services by firms that have knowledge of and experience with New Jersey codes and permitting processes. All design firms shall be licensed in the State of New Jersey.

f. The University retains the right to directly engage other consultants or firms as it deems necessary or desirable to develop the project and property. The selected design firm and its consultants shall cooperate and participate with University consultants. Include in this proposal time and fee for coordination and collaboration with such consultants.

g. Proposers also shall include the services of a balancing contractor as part of their design services, to conduct pre-balance/existing readings of all supply and return drops by room / area to establish the baseline airflows of the existing spaces and identify potential issues. a. In the initial stages of the project and during the final stages, the University anticipates that weekly meetings will occur with the Universities designees. During the design and documentation phases of the project, meetings will occur every two weeks. All meetings will occur on the main campus in Glassboro, NJ. In addition to the aforementioned, the following shall apply:

It is anticipated that there will be a minimum of two (2) but not more than four (4) presentations to the University’s senior staff/board and donors.

During permitting, the University anticipated a minimum of two review meetings for each permit.

During the bid phase, a minimum of two meetings; and during construction administration, 1 pre-construction meeting, bi-weekly progress meetings, monthly end-user meetings and a minimum of one day per week of on-site representation by a primary member of the design team; one punch list inspection and one final inspection for completed punch-list.

VI. SUPPORTING INFORMATION A. Building Assessment: Based on the University’s facility condition assessment report (Exhibit E) there are

several areas in the building which are in need of attention. The capital needs identified in the FP-5 report shall be used to inform the design team during the Program/Concept Design phase. It shall be expected that several but not all the items in the report will be addressed as part of the project. Determination of exactly which ones will be included in the Tech Park Renovations project will be part of the design team analysis. Facility condition issues identified in the FP-5 report that occur within spaces being renovated will likely be included in the project.

B. Budget: The total construction project budget is $6,000,000 dollars. The selected firm shall provide a breakdown of the construction budget based upon a phased construction procurement and routinely update and validate the budget for the project. The construction budget includes all hard cost including construction contingency.

VII. DELIVERABLES

A. It is anticipated that the deliverables will be drawings, specifications, samples, presentations and cost estimates in hard copy. Electronic versions of the deliverables are required with text in MS Word and drawings provided in both PDF and the latest AutoCAD formats. The drawings are to be submitted electronically in a form that the University can view and reproduce but not necessarily modify.

B. All designs must comply with the University standards for space design, utility and capital construction (Exhibit G).

C. Survey and validation of the existing conditions will be required and a full dimensional drawing showing all affected areas will be required to be submitted with the Schematic Design Submission.

D. Program/Concept Design Submission Requirements: 1. Brief written or graphic description of the project intent, design conditions, space requirements and

purpose and definition of submittal intent. 2. Meeting minutes from interviews with user groups and University designees for program

development and verification. 3. Recommendations for an overall space program, independent of where that program would be

located within the building. Incorporate enrollment projections from the college and identify existing square footage, expanded capacity, total net assignable square footage and gross square footage.

4. Recommendations for program allocation within the building. Discussion of pros and cons of alternatives that were considered.

5. Diagrammatic Sketches for recommended program including conceptual floor plans indicating location of program components. Provide room data sheets indicating written descriptions of each space or room proposed.

6. Points of interconnection to existing utility infrastructure systems. Consider how existing utility infrastructure systems are affected by, and impact the recommended program allocation within the building. Take into consideration the availability and adequacy of utilities where needed to support recommended program elements.

7. Statement of probable costs and conceptual budget 8. Bar Chart Schedule for all phases of design, permitting, bidding and construction 9. Outline Specification indicating material and type of systems affected. Include a description of each

e. Review, approve, and secure all close-out documentation required from the contractor. (Includes all maintenance and operating manuals, guarantees, warranties, testing and balancing reports, equipment testing certificates, etc)

f. Assist University and contractor in acquiring final DCA inspections g. Along with University Project Manager, review and approved contractors invoice for final

payment, consent of surety any lien waivers, or other required final release documentation and extended insurance certificates.

h. Support/Defend the University in any claims as a result of the project.

VIII. PRICING A. Fee proposal for the services described herein shall be based on a Lump Sum Fixed Fee. B. The fee proposal shall be itemized by the prime consultant and each sub-consultant for each phase of the

project, along with an upset limit for reimbursable costs and an itemized reimbursable cost schedule. C. The fee shall include all reimbursable costs such as, but not limited to, postage, reproduction, travel,

consultants and sub-consultants and presentations. D. Use the format provided on the Proposal Page of this RFP.

IX. TERM OF CONTRACT

A. Contract will be for the amount of time necessary to complete all the requirements of this RFP as determined by the documents and contract provided by the Rowan University Facilities Planning & Construction Department.

B. In the event that the University terminates services, written notice will be provided fourteen (14) days in advance of termination date.

X. PROCEDURAL REQUIREMENTS & AMENDMENTS A. The awarded vendor will comply with all procedural instructions that may be issued from time to time by

the Contracting Officer of the University or her designee. B. During the contract period, no change is permitted in any of its conditions and specifications unless the

awarded vendor receives written approval from the Contracting Officer or her respective designee. C. Vendors must supply Rowan University with all applicable warranty information, whether expressed or

implied. D. Should the awarded vendor find, at any time, that existing conditions make modification in requirements

desirable, it shall promptly report such matters to the Contracting Officer or designee of the University for consideration and decision.

E. During the period of contract or any extension thereof, the University reserves the right to add or delete specific services.

F. Rowan University may make changes in the general scope of the contract services provided by the vendor by written notice. The vendor shall promptly comply with the notice and shall bring all subsequent services in conformance with the notice.

G. If any such changes causes a material increase or decrease in the vendor’s cost of operation or the time required for attainment of required service level agreements specifying time parameters for response time, system upgrades and troubleshooting, along with service level commitments, an equitable adjustment in the contract cost or time allotted for fulfillment of the contract shall be negotiated and the contract modified accordingly. Any change, alteration or modification of any contract will be valid and binding only if a submittal of a proposal, vendor hereby agrees to negotiate on good faith.

H. The awarded vendor’s engagement partner and/or manager might be required to meet periodically with the Contracting officer or her representatives to discuss services.

XI. INSURANCE REQUIREMENTS A. Proof of Insurance: Vendors must document and detail their insurance coverage applicable to the services

described herein. Such coverage must be adequate to sufficiently cover the services detailed herein and must include, at a minimum, general liability insurance coverage and professional liability insurance coverage.

B. Rowan University requires being named on any policy or certificate of insurance as an additional insured, along with the State of New Jersey, during the contract period and on all policies required after the contract is terminated. If requested, copies of the policy/policies will be provided, at no cost, upon request of the University.

C. The awarded vendor shall assume all responsibility for its actions and those of anyone else working for it while engaged in or traveling to or from any activity connected with this agreement. The vendor shall carry sufficient insurance to protect it and the University from any property damage or bodily injury claims arising out of the contracted work.

D. The Bidder agrees to carry the insurance policies described herein and submit to Rowan University at execution of this Agreement evidence thereof in the form of current certificates of insurance clarifying all coverage. All policies and certificates of insurance, except workers' compensation, shall name Rowan University as an additional insured and provide for the insurer's waiver of subrogation in favor of Rowan University. The Bidder agrees to bear any self-insured retention or deductible for all policies herein. All affiliates shall contain the provision that the insurance shall not be canceled or reduced for any reason, except after thirty (30) days written notice.

E. The insurance coverage required shall be primary coverage and shall not relieve the Bidder of any liability where liability for injury, death, and property damage is greater than the insurance coverage.

F. Coverage may be provided through a combination of primary and excess policies. All carriers should be "A+" rated or better by A.M. Best Company. Maintenance of the minimum amounts of insurance listed should in no way be construed as limiting in any way the vendor's obligations to defend, indemnify and hold the University harmless as stipulated in the "Hold Harmless and Indemnification" section.

G. The Bidder agrees to obtain, pay for, and maintain Worker's Compensation Coverage and Employers' Liability insurance covering all their employees in accordance with the laws of the state of hire of said employees and for employers’ liability for bodily injury by accident at a minimum limit of five hundred thousand dollars ($500,000) for Employers Liability, throughout the term of this Agreement, including any potential extension period, and provide evidence thereof.

H. The Bidder agrees to obtain, pay for, and maintain Comprehensive General Liability insurance coverage with a minimum of one million dollars ($1,000,000) combined single limit per occurrence, throughout the term of this Agreement, including any potential extension period, and provide evidence thereof. Such insurance shall be primary over other collectible insurance that may apply and shall include coverage for the indemnification required by this Agreement.

I. The successful bidder agrees to defend, indemnify, and hold harmless Rowan University and its officers, agents, staff members and employees, from all actions, claims, and demands whatsoever that may be asserted by, or on behalf of anyone, against the University, its officers, agents, staff members and employees because or as a result of, any accident, injury or illness that may occur to or be sustained by any person, agency, or company that arises out of the activities conducted under this RFP by the bidder, their employees or anyone acting on the bidder's behalf.

J. Rowan University, as a State funded University, will not indemnify vendors in any form. K. The proposer agrees to obtain, pay for, and maintain Business Automobile Liability insurance coverage for all

owned, non-owned, or hired vehicles throughout the term of this Agreement, including any potential extension period, and provide evidence thereof with at least one million dollars ($1,000,000) combined single limit per occurrence.

L. The Bidder shall submit to Rowan University annually and upon execution of this Agreement, an insurance certificate evidencing all coverage noted herein.

M. Evidence of current insurance coverage shall be provided in the form of a certificate, which shall be submitted no later than ten (10) days after receipt of notice of intent to award contract.

N. All required insurance coverage’s must be in effect not later than 12:01 AM at the start of the day of the contract and remain in effect for the duration of the contract, including any extensions.

O. Liability insurance must remain in effect for the duration of the contract, including any extensions, and for ninety days following termination of all work.

P. Vendors may, if they so desires, include with their proposal the applicable certificate of insurance. This will expedite the contract award process for the awarded vendor.

Q. The awarded vendor shall forward all Certificates to: Senior Director of Contracting & Procurement, Rowan University, and 201 Mullica Hill Road, Glassboro, NJ 08028.

R. Each policy of insurance should contain an endorsement as follows: S. "It is understood and agreed that Insurance Company shall notify in writing, the Senior Director of

Contracting & Procurement, Rowan University, thirty (30) days in advance of the effective date of any reduction in or cancellation of this policy."

T. The successful applicant/vendor must have liability insurance sufficient to protect Rowan University from any liability arising out of services performed pursuant to this RFP throughout the term of this contract and for at least five (5) full years thereafter. In the event that vendor fails to provide liability insurance naming Rowan University as an additional insured, Rowan University may, at its option, procure equivalent insurance coverage and vendor shall be liable for the cost of the premium thereof. The obligations set forth in this provision shall survive the termination of the contract.

U. Completed Operations Budget: $3,000,000.00 for two (2) years beyond the project completion. V. Excess Liability Coverage: $5,000,000.00 W. Policy/policies shall include coverage for claims made that may arise out of the activities described in this RFP

and that may be presented while this policy is in force. Coverage shall cover any liability resulting from pollution or environmental contamination as determined by the University’s Risk Manager. The minimum acceptable coverage is $5,000,000. Any deductible shall not exceed $25,000.

XII. COMPLIANCE LAWS

A. The vendor must comply with all local, state and federal laws, rules and regulations applicable to this contract and to the work to be done hereunder. Including, but not limited to: 1. Vendors are required to comply with the requirements of N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27. 2. If awarded a contract, winning vendor will be required to comply with the requirements of N.J.S.A.

10-5-31 et seq. and N.J.A.C. 17:27. 3. Rowan University is committed to affirmative action and equal opportunity in all areas of operation.

Those submitting proposals must certify that their vendor has an updated affirmative action/equal opportunity program.

B. All vendors submitting proposals must not be barred or otherwise suspended from doing business with government entities as evidenced by the System for Award Management (SAM) database.

XIII. REPRESENTATIONS & WARRANTIES In submitting a proposal for this offering, the vendor expressly warrants that: A. The vendor has legal capacity to execute and perform any Agreement arising from this RFP. B. Any Agreement arising from the award of this RFP is a valid and binding Agreement, enforceable against the

vendor according to its terms. C. The execution and performance of an Agreement by the vendor does not and will not violate or conflict with

the terms of any existing Agreement or understanding of which the vendor is a party. D. The execution and performance of an Agreement by the vendor does not, and will not, violate or conflict

with any law, rule, regulation, judgment or order of any court or other adjudicative entity binding the vendor.

E. The vendor knows of no reason, or is any way physically, legally, or otherwise precluded from performing the obligations under an Agreement arising from this RFP, in accordance with its terms; including without limitation those relating to health and safety.

F. Such warranties shall survive and shall not be deemed waived by delivery or acceptance of, or payment for the goods and services.

G. The proposer warrants and represents that the items, when delivered, shall meet or exceed all applicable standards as mandated by State and Federal regulation.

XIV. INDEMNITY

A. The awarded vendor agrees to indemnify, protect, save harmless, and defend Rowan University, its governors, officers, employees, and agents from and against any and all claims, losses, costs, damages, and expenses, including legal costs and attorney fees, and demands of any kind whatsoever, whether for bodily injury, including death, damage to property, including the loss of work performed by the Proposer, its agents or employees, alone or with others, or resulting from or arising out of services provided jointly by the Proposer, its agents or employees or servants.

B. Vendor shall reimburse, and make good to the University all monies, which the University or its representatives shall pay, or cause to be paid, or become liable to pay, by reason of such claims, or in connection with any litigation, investigation or other matters connected therewith.

C. This indemnification obligation is not limited by, but is in addition to the insurance obligations contained in this agreement.

XV. DEFAULT In case of failure to deliver goods or services in accordance with the contract(s) terms and conditions, Rowan University, after due oral or written notice, may procure substitute goods or service from other sources and hold the contractor(s) responsible for any resulting purchasing and administrative costs. This remedy shall be in addition to any other solution, which Rowan University may have.

XVI. VENDOR PERSONNEL

A. While on University property: 1. All personnel shall observe all rules and regulations in effect at Rowan University governing safety

and personal conduct. 2. Vendor employees shall be subject to control of the University, but under no circumstances, shall

such persons be deemed employees of the University. B. Vendor personnel shall not represent themselves or be considered as employees of Rowan University or

the State of New Jersey.

C. CRIMINAL BACKGROUND CHECKS ARE MANDATORY for all non-university personnel performing work on the Rowan University Campus. Vendors, consultants, contractors and subcontractors are required to take all reasonable steps to assure that their employees do not represent a threat to the campus community. Failure to comply with this requirement may result in immediate termination of any award or contract.

D. The bidder shall be solely responsible for all damage or unauthorized destruction to any Rowan University buildings, equipment, premises or facilities; lease, lent, or in the care, custody or control of the University or State.

E. The Vendor shall remove from the Rowan University work place, any of its employees who are found to be unacceptable by the University. Such requests will not be unreasonable.

F. At all times, vendor personnel shall be in professional attire with clear identification of the company’s name, logo, and person’s name.

G. All vendor motorized vehicles shall be identified with the company’s name and/or logo in clear view.

XVII. SALE OR BANKRUPTCY OF BUSINESS A. If during the life of this Agreement, the awarded vendor disposes of its business by sale, transfer, force of

law or by any means to another party, all obligations are transferred to such purchaser. B. In the event of the institution of any proceedings by or against the awarded vendor, voluntarily or

involuntarily, in bankruptcy or insolvency, or under the provisions of the Federal bankruptcy Act, or for the appointment of a receiver or trustee or an assignee for the benefit of creditors of the property of the vendor, Rowan University shall have, in addition to the rights previously stated, the right to cancel this agreement forthwith.

XVIII. GENERAL

A. Rowan University may need to issue one or more addenda related to this RFP. Such addenda shall be added to the original RFP document and posted on The Office of Contracting & Procurement website. It will be the responsibility of the prospective contractors and other interested parties to familiarize themselves with the web site and visit it regularly during the RFP process for updated information or addenda related to this RFP.

B. Short procedural inquiries may be accepted by telephone by the buyer noted for this project. However, oral explanations or instructions given over the telephone shall not be binding upon the University. Bidders shall not contact any person within the University directly, in person, or by telephone, other than the assigned buyer, concerning this project.

C. If a joint venture is submitting a bid, the agreement between the parties relating to such joint venture shall be submitted with the joint venture’s proposal.

D. The vendor(s) shall not sell, transfer, assign or otherwise dispose of this contract to any third party for the performance of work.

E. Rowan reserves the right to negotiate the terms and conditions of the contract to obtain the most advantageous situation for Rowan. In addition, Rowan reserves the right to suspend or terminate the procurement process described in this RFP at any time (in its sole discretion). If terminated, Rowan may determine to commence a new procurement process or exercise any other rights provided under applicable law without any obligation to the Respondents.

F. Patents: The Suppliers shall hold and save the University, its officers, agents, and employees harmless from liability of any nature or kind, including cost and expense for or on account of any patented or unpatented invention, article, or applicable manufacturer or use in materials and forms of construction as will satisfy the University's requirements.

3. Submissions will be held confidential during the bid process until such time as the final contract is executed, upon such time the bid submittals may be subject to the Open Public Records Act for non-proprietary information.

4. It is the responsibility of the prospective vendor to indicate what submitted information is proprietary.

I. In submitting a bid, the Vendor agrees, unless specifically authorized in writing by an authorized representative of Rowan University on a case by case basis, that it shall have no right to use, and shall not use, the name of Rowan University, its officials or employees, or the Seal of the University: 1. In any advertising, publicity, promotion; 2. To express or imply any endorsement of agency’s services; 3. To use the name of the State, its officials or employees or the University seal in any manner (whether

or not similar to uses prohibited by (a) and (b) above) except only to manufacture and deliver in accordance with this agreement such services as are hereby contracted by the University.

J. The preparation of a bid shall be at the expense of the respondent. Rowan University will not reimburse firms for any costs associated with the preparation or submittal of a response.

K. By responding to this RFP, firms acknowledge and consent to the conditions set forth herein relative to the submission, review and consideration of your response.

L. Submissions which, in the sole judgment of Rowan, fail to meet the requirements of the RFP or which are in any way conditional, incomplete, obscure, contain additions or deletions from requested information, or contain errors may be rejected.

M. Rowan University will not accept jurisdiction in any State except New Jersey. N. The vendor shall be solely responsible for all damage or unauthorized destruction to any Rowan

University buildings, equipment, premises or facilities; lease, lent, or in the care, custody or control of the University or State.

O. Rowan University reserves the right to reject any or all submissions or to award in whole or in part if deemed in the best interest of the University to do so.

P. Unless specifically noted within this RFP, Rowan’s Standard Terms and Conditions take precedence over any special terms and conditions contained in this RFP.

Q. This RFP is not binding on the University. R. No party, including any respondent to this RFP, is granted any rights hereunder. S. Rowan University does not allow payment of attorney fees for litigation regardless of disposition of

matter. T. The proposal submitted by the vendor shall be binding on the vendor. U. Bidders assume sole responsibility for the complete effort required in this RFP. No special consideration

shall be given after bids are opened because of a bidder’s failure to be knowledgeable of all the requirements of this RFP. By submitting a bid in response to this offering, the bidder represents that it has satisfied itself, from its own investigation, of all the requirements of this RFP.

V. Rowan University has the option, in its sole discretion, to reduce the scope of work for any task or subtask called for under this contract. In such an event, the Senior Director of Contracting and Procurement (Senior Director) shall provide advanced, written notice to the vendor.

W. Upon receipt of such written notice, the vendor will submit, within five (5) working days to the Senior Director of Contracting & Procurement, an itemization of the work effort already completed by task or subtasks. The vendor shall be compensated for such work effort according to the applicable portions of its cost proposal.

X. The Senior Director may, for valid reason, issue a stop order directing the vendor to suspend work under the contract for a specific time. The vendor shall be paid until the effective date of the stop order. The vendor shall resume work upon the date specified in the stop order or upon such other date as the Senior Director may thereafter direct in writing. The period of suspension shall be deemed added to the vendor’s approved schedule of performance. The Senior Director and the vendor shall negotiate an equitable adjustment, if any, to the contract price.

Y. Rowan University reserves the right to cancel this contract with thirty (30) days written notice to the consultant(s) with or without cause.

Z. Protest of restrictive specifications or improprieties in the solicitation, by an interested party, must be received by the Procurement Department in writing not less than ten (10) working days before the closing date for receipt of proposals.

AA. The vendor will be responsible for any additional costs incurred by the University in utilizing any replacement firm because of the Vendor’s failure to perform under the resulting contract.

XIX. SUBMISSION REQUIREMENTS

A. Conditional submissions will not be considered. B. In order to be considered, vendors must submit a complete response to this RFP. C. Proposals must be placed in a sealed envelope and clearly labeled with the title " RFP 16-134 Design

Services: South Jersey Technology Park Renovations," and the firm’s name and business address. D. Submissions should be concise and shall be organized in a manner so the selection committee may

quickly access pertinent information. 1. Every effort should be made to avoid duplicating the information presented in the submission.

Submissions must include and will be evaluated based on the following criteria. 2. Each team’s RFP must include an index and be organized by discrete sections corresponding to the

criteria and in the same order as listed below. 3. Submissions in any other format will be considered informal and may be rejected.

E. Submission Format: 1. Cover Letter: A cover letter expressing interest and addressing, at a minimum, the following:

a. Identification of the prime architect, the team member firms and the specific team members on the project.

b. Description of why your team is the best team for this project c. A detail of your team member’s relevant qualifications d. Acknowledgement that you have reviewed any addenda issued to the RFP, as posted on the

University’s website e. Discuss other workloads within the team and their capability to manage a project of this size and

scope within the identified time frame. f. Specifically identify roles of each firm. Name the team members of the prime architect that will

manage and administer this project, as well as the office or team that will develop the design and construction documents.

g. Describe in detail if the identified members of the team have worked together or if the respective firms have worked in such capacity previously.

h. Provide the name and contact information of the individual in your firm that the University should contact regarding questions about your RFP and schedule a potential interview. The contact information should include the following: name of individual, title (Mr., Ms., etc.), firm name, address (city, state, ZIP Code), telephone number, and e-mail address.

2. Project Management and Scheduling Approach: a. Describe in detail your team’s project management approach. Indicate how you will accomplish

evaluating the user’s programmatic needs to develop a schematic design in the overall time frame indicated in the project schedule. Provide a preliminary project schedule/report indicating the anticipated timelines necessary to accomplish this project. Describe the tools utilized by the prime architectural firm to successfully manage projects and information as a web based application (electronically). Describe the web based software used to communicate amongst team members across different regional areas and platforms and your experience managing FTP sites. Describe your experience with utilizing project management software with a client (facilities) interface as well as with a user (engineering school) interface. Indicate the challenges faced and how those obstacles will be handled for this project.

b. Describe the software used by each team to manage project schedules. Indicate the primary project team members experience in using the software, developing and managing the schedules.

3. Staff Experience and Availability: Describe the staff proposed by each team member firm for performing the design work outlined in this RFP, including identification of individual relevant experience from other projects, and which of these staff have prior experience working together on a project team. Include a copy of the resume for key staff proposed for this work and identify which office will support and staff the project. Discuss the availability for this project of the specific team members being proposed.

4. Permitting and Other Regulatory Knowledge: Indicate which team (members) will be responsible for review and submission of permits. Provide names of those team members which have specific knowledge of and experience with the approval and permit processes of the State of New Jersey Department of Community Affairs, Department of Environmental Protection and other applicable area regulatory agencies, and with the administrative review processes and requirements with other applicable NJ State public agencies.

5. Staffing Plan: Provide a staffing plan for each project team which includes the percentage of work hours commitment of individual staff assigned to the project for each stage, (Program/Concept Study, Schematic Design, Design Development, Construction Documents, and Construction Administration). Including but not limited to, principal-in- charge, project manager, project designer, project architect, (if on your staff), building programmer, and construction administrator for each team member firm.

Evaluation and Selection Criteria Selection of the awarded vendor(s) shall be based solely on the Review Committee’s evaluation of the submissions and the criteria set forth above. Rowan reserves the right to interview the respondents. Rowan also reserves the right to negotiate the terms and conditions of the contract to obtain the most advantageous situation for Rowan. In addition, Rowan reserves the right to suspend or terminate the procurement process described in this RFP at any time (in its sole discretion). If terminated, Rowan may determine to commence a new procurement process or exercise any other rights provided under applicable law without any obligation to the Respondents.

Submission of a Proposal against this RFP is your acknowledgement that subjective criteria will be used in the evaluation of proposals. Award shall be made to the responsible proposer that is determined to be the most advantageous to the University.

Requests for Clarification by the University: The University may request that any proponent clarify or supplement any information contained in any Proposal.
