We especiallyrecommend the Harpa corner on the second oor bythe glass acade which eatures a very high ceiling.orurbryggja on the rst oor has a splendid view o theharbour, yri is located outside o ilurberg overlookingthe Reykjavk harbour and west Reykjavk.

    1. CONTRACT DOCUMENTS AND TERMS

    .. hese terms orm an integral part o the leaseagreement between the lessee and the lessor, go eh.,tate Reg. o - (hereinater reerred to asthe lessor), and apply to the lease o the acilities,equipment and services in Harpa, Reykjavk oncertHall and onerence entre, Harpa. he substance othese terms is considered to be an integral part o thesubstance o the lease agreement... any provision contained in these terms conictswith the provisions o the lease agreement, theprovisions o the lease agreement have precedenceover these terms.

    2. COMMUNICATIONS BETWEEN THE PARTIES

    .. , in the opinion o the lessor, the scope o the eventso demands, the lessee must appoint a supervisor orthe event to represent the lessee with respect to thelessor. he supervisor will be the only party authorisedto bind the lessee. he lessor appoints a responsibleparty to whom the lessee must send notications andhave communications... ll changes, deviations or additions to the lease

    agreement and these general terms must be in writingand approved and signed by the lessor. s regardsthe arrangement and urther organisation o theevent to which the lease agreement applies, morerecent instructions and inormation replaces olderinormation as regards the event in question.

    3. FACILITIES, EQUIPMENT AND SERVICES ACCORDING

    TO THE AGREEMENT

    .. Obligations as to what acilities, equipment andservices the lessor will provide are listed in ull inthe lease agreement and its annexes. the lesseerequires equipment, services or acilities in excess othat specied in the lease agreement or its annexes,a separate agreement must be reached thereto andpaid accordance with the lessors rate list as currenteach time. Requests or such services must be madein writing on a signed order orm (ontract or extraservices).

    4. THE CONDITION OF THE LEASED PROPERTY, USE OF

    LEASED PREMISES, ASSIGNMENT, ETC... he leased property must be in a conditiongenerally considered acceptable based on the intendeduse. he lessee may request an inspection o the leasedproperty beore and ater an event in order to recordthe condition o the leased property. the lessee hasnot commented on the condition o the leased propertywithin hours rom delivery, the leased property isconsidered to be delivered in acceptable condition... he lessee is under obligation to exercise duecare with the leased premises and in accordance withits negotiated use. he lessee may not use the leasedproperty in a manner other than agreed in the leaseagreement. he lessee must treat other users o thepremises with respect and consideration... he lessee may neither assign nor mortgage anyrights and obligations pursuant to the lease agreementexcept with the written approval o the lessor... he lessor is entitled, whenever he deemsnecessary, to access the leased property orsupervisory purposes and other incidents, including toensure the perormance o the lease agreement.

    5. USE AND SAFEKEEPING OF EQUIPMENT

    .. he lessor leases lighting and sound equipment tothe lessee, as well as all normal technical equipmentor the event unless otherwise agreed. usicalinstruments are exempted rom this provision... he lessee is responsible or the tools andequipment and any loss or damages that he maycause during the time the lessee has use o the toolsand equipment that the lessor has leased to him. heequipment is considered the responsibility o the lesseerom the time that he accepts delivery o the acilities... n general, the lessor will provide the equipmentneeded and lease it to the lessee. n the event that itbecomes necessary to lease equipment rom outsideHarpa, this must be done through the lessor inconsultation with the lessee... he lessee must ensure and take responsibilityor ensuring that technical equipment neither disrupts

    nor damages the buildings electrical system orother equipment in the premises. he lessor mayhave technical equipment removed at the expenseo the lessee, provided that the lessor proves thatsuch technical equipment can disrupt or damage thebuildings electrical systems.

    .. he lessee is responsible or devices, equipmentand items that the lessee, employees or othersoperating on behal o the lessee bring into the building... he lessee must submit sets to the lessoror approval beore such sets are installed. hedesign, make, installation and use o sets is the soleresponsibility o the lessee. he lessee must removeany sets at his own expense no later than at midnighton the day o the event unless the lessor otherwiseapproves. n the event o any delay extending pastmidnight, the lessee must pay costs and rent inaccordance with the rate list o the lessor.

    6. CATERING AND OTHER SERVICES

    .. atering services are in the hands o licenceholders who, in accordance with an agreement with thelessor, have exclusive rights or catering services onthe premises in connection with events taking place inthe building. he sale o catering services in connectionwith events organised by the lessee is in the handso the above licence holders. he lessee and partiesacting on his behal may not bring ood and beveragesinto the building or distribute or oer such ood andbeverages ree o charge or in exchange or payment.

    .. he lessee must submit orders or rereshmentsor and in connection with an event to the eventmanager. Rereshments must be ordered no later than7 days prior to the event, unless otherwise agreed... he sale o goods and services, souvenirs, musicand video s is in the hands o licence holders who,in accordance with an agreement with the lessor, haveexclusive rights or the above sales on the premisesand in connection with events taking place in thebuilding. he lessee and parties operating on his behalmay not sell the above goods and services directly. nagreement must be reached with the licence holder orthe sale o such goods and services.

    7. LESSORS EMPLOYEES

    7.. he lessor only leases his acilities, equipmentand services with specially trained employees. helessees payments or additional sta are specied inthe agreement between the parties. When the serviceso Harpa employees are not included in the lease price,payment or such services is in accordance with the

    rate list and as needed in each case.7.. he lessor will estimate, in consultation with thelessee, the minimum number o sta needed each timeor an event, taking into account the leased acilities,the equipment leased and the services requestedby the lessee. n the above estimate, the lessor alsotakes account o the provisions contained in laws andregulations as regards requirements.

    8. CLOAK ROOMS

    .. ncluded in the rent that the lessee pays is accessto open cloak rooms or events, unless otherwisespecied in the lease agreement. ta and services arenot included in the rent... the lessee requests sta in the cloak rooms,he must do so specically and pay or such sta inaccordance with the lessors rate list. he lessorundertakes no responsibility or clothing or otherarticles that the lessee, guests or others store in thecloak rooms.

    9. OPENING HOURS

    .. he building is generally open between : and:. he lessee, his employees and other partiesoperating on his behal must exit the leased premisesno later than hours ater the end o an event and nolater than : (midnight) unless otherwise agreedwith the lessors event manager.

    10. EVENT ADVERTISING

    .. For events open to the public, and i not otherwiseagreed, the lessor will place inormation on the eventon Harpas website i so requested by the lessee.dvertisements issued by the lessor in excess o theabove must be paid separately by the lessee... he lessor is responsible or setting up hall signson the day o the event... he lessee must provide inormation such astrademarks, text and images, i appropriate, to theevents manager in computer riendly ormat, no laterthan days beore the event.

    .. he lessee undertakes, both with respect to thelessor and the lessors partners, that the inormationand other material, such as photographs, that hedelivers to the lessor and his partners does not violatethe rights o any third party, including intellectualproperty rights, and that he is authorised to use thematerial or the purpose o advertising an event. helessee undertakes to indemniy and hold harmless thelessor and his partners against any claims made by athird party that may arise in connection with the above... the lessor so requests, the lessee must submitor approval a drat version o material or copies ophotographs, drawings or diagrams relating to theevent or to Harpa that the lessee intends to use inconnection with the advertising o the event... he lessee will be granted, i he so request s,authorisation to use a photograph, one or more, oHarpa, o the interior and the exterior, provided to him bythe lessor, or the purpose o advertising the event. helessees use o other photographs or drawings o Harpaare the sole responsibility o the lessee. he lessee shalluse the logo/trademark o Harpa, provided to him by thelessor, in presentational material beore an event..7. ll use o images o Harpa and the use o the logo/

    trademark o Harpa is subject to the presentationand use being in accordance with the lessorspolicies on the image and presentation o Harpa. helessee undertakes to ully comply with the lessorsinstructions in this respect.

    11. MAXIMUM NUMBER OF PERSONS IN THE LEASED

    FACILITY

    .. he lessee must, in all respects, comply withthe instructions o the lessor and others, e.g. partiesresponsible or re prevention, as regards themaximum number o persons allowed in the leasedacility at the same time... the lessee alters the arrangement o the leasedhall, with the permission o the lessor, the lessee mustobtain an evaluation, including in consultation withparties responsible or re prevention, as to whetherthe maximum number o persons allowed in the leasedacility at the same time should be changed... he lessor may expel the number o personsexceeding the maximum number rom the hall i

    necessary... he lessee is wholly responsible i he sellsa greater number o tickets to the hall than thepermissible maximum number and is solelyresponsible or reunding tickets to guests or other lossor damages that may ensue.

    12. CONDUCT AND USE OF PREMISES

    .. he lessee and parties operating on his behalmust conduct themselves properly in Harpas premises,and the leased acilities must always be maintained in aclean, neat and sae condition... he lessee must ensure that nothing is afxed,blotted, scratched, dirtied, painted or built onto thebuilding itsel, its interior ttings or acilities... he lessee is responsible or ensuring that noitems or which he is responsible can hinder access,are located in, near or obstruct emergency exits orstairs or obstruct signs indicating emergency exits.he lessor may remove, at the expense o the lessee,equipment or other items or which the lessee isresponsible that hinder access to emergency exits orstairs or obstruct signs indicating emergency exits... General lighting, cost o heating and normalelectricity costs based on the intended use by thelessee and normal cleaning operations are includedin the rent. he lessee agrees to pay the lessor anycleaning costs substantially in excess o what may beconsidered reasonable based on the lessees use o theleased acility... leaning services are not included in the case ospecialist exhibitions, e.g. exhibition areas, receptionsor other comparable events... he employees o the lessor are responsible orthe management o the buildings technical equipmentand devices. he lessee, his sta and others operatingon his behal, may not control, adjust, handle, moveor remove technical equipment in halls or on stageswithout the prior approval o the lessor..7. he lessee, perormers operating on his behaland the audience are under obligation to comply with

    the lessors rules and to ollow the instructions othe lessors employees. he lessee, perormers andthe public may not bring ood and/or beverages intothe building without the prior approval o the lessor.moking is orbidden inside the building and near itsentrances. he handling o open re is orbidden.

    General terms and conditions

    .. he lessee will have access to unloading areasand parking spaces or trucks in accordance with thelessors instructions. he lessor does not providereserved or ree parking spaces or the private vehicleo the lessee or artists within the lessors area... he lessee is responsible or children whoare with him or his guests. he lessee must inormeveryone that children must always be accompaniedby adults and that they are the adults responsibility.nimals are not permitted in the building, with theexception o specically approved and trained seeing-eye dogs in public areas, in which case they are theresponsibility o their owners.

    13. SECURITY ISSUES

    .. he lessor requires that all those who work in thebuilding or longer or shorter periods carry securityidentication issued by the lessor or the lessee withthe approval o the lessor. he lessee and partiesoperating on his behal are under obligation to complywith all the security rules in eect in Harpa as current.he lessor may reuse access to persons operating onthe lessees behal or may expel such persons romthe building i they do not ollow the rules in eect. he

    lessor may also deny permission to bring equipmentinto the building or may have equipment removed at thelessees expense i the rules in eect are not ollowed... special circumstances so require, competentsecurity guards or the police shall be authorised toconduct weapons and explosives searches in Harpa,including in the acilities and equipment o the lessee inconsultation with the lessor.

    14. FILMS, PHOTOGRAPHS, RADIO AND TELEVISION

    RECORDINGS

    .. Films or videos may not be recorded in Harpashalls except with the written consent o the lessor, andphotographs may only be taken in consultation with theconerence holder... he lessee must notiy the lessor in writing o thetitle and content o lms or videos to be shown in thebuilding no later than 7 days beore the beginning o thelease period. he lessor reserves the right to prohibitthe showing o lms, videos or images i their contentor appearance is oensive or is inappropriate in some

    manner in the opinion o the lessor... he lessor must be consulted in the event o radioand/or television recordings.

    15. TERMINATION AND RETURN

    .. he lessee must return the leased premisesimmediately at the end o the lease period in the samecondition as at the beginning o the period. he lesseemust, among other things, ensure, no later than at theend o the lease period, that halls are undamaged andree o rubbish and must remove rom the buildingwhatsoever may have been brought into the buildingin connection with the event, other than such items asmay have been brought in by the lessor... the leased premises or their chattels suerloss or damage caused by the lessee, his employees orothers that he has permitted access to the premises,the lessee must compensate or such loss or damageas soon as possible. the lessee ails to ull thisobligation, the lessor may have repairs and/or cleaningoperations perormed at the expense o the lessee.

    16. PAYMENTS

    .. he amount o payments or the acility, equipmentand sta is specied in the agreement between thelessor and the lessee... From the due date o payments, payments carrydeault interest in accordance with the rst paragrapho rticle o ct o. / on nterest and Pricendexation... he lessee waives all rights to lodgecounterclaims, one or more, to set o claims lodged bythe lessor against the lessee. he lessor shall have theunreserved right to set o his claims against the lesseei the general conditions or setting o are met, and ithe lessee becomes bankrupt pursuant to rticle othe ankruptcy ct o. /... ll payments that the lessee must pay the lessormust be paid without any deductions rom the lessorsclaimed amount.

    17. GUARANTEES FOR LEASE PAYMENTS, FEES,

    COSTS AND DAMAGES TO THE FACILITIES OR

    EQUIPMENT

    7.. he lessee must, i so requested by the lessor,provide a guarantee as security or lease payments,ees, costs and damages to equipment and acilities. llequipment located in the leased acilities o the lessoris covered, whether the lessor owns the equipmentor not. he substance o the guarantee, which thelessor must approve, must be unconditional andnon-reundable during its term o eect and issuedby a commercial bank or savings bank approved bythe lessor. he guarantee must be valid or daysrom the due date o the payment pursuant to thisagreement.7.. he lessor may draw on the above guarantee ithe lessee does not make the agreed payments within days o their due date according to the agreementbetween the lessor and the lessee.

    18. BOOKING, AUTHORISATION FOR TERMINATION/

    CANCELLATION, TRANSFER OF EVENT DUE TO

    INABILITY OR ILLNESS

    .. he lessor may require the lessee to pay aconrmation ee when he books the leased acilities.he ee shall amount to % o the base rent... he lessee may cancel bookings or acilities orterminate the lease agreement in writing provided theollowing conditions are met:... the booking is cancelled or terminated morethan days beore the planned event is to takeplace, the lessee may cancel the agreement or cancelin exchange or the payment o a cancellation eeamounting to % o the base rent.... the booking is cancelled or terminated to days beore the planned event, the lessee may cancelthe agreement or cancel in exchange or the payment oa cancellation ee amounting to % o the base rent.... the booking is cancelled or terminated to days beore the planned event, the lessee may cancelthe agreement or cancel in exchange or the payment oa cancellation ee amounting to % o the base rent.... the booking is cancelled or terminated days or less beore the planned event in the leased

    premises, the lessee may cancel the agreement orcancel in exchange or the payment o a cancellationee amounting to % o the base rent... he lessee must, in all o the above cases, payrecorded direct costs that have accrued to the lessorin relation to the lease agreement, including all costsaccruing to the lessor rom a third party, in addition tothe above cancellation ees... n the event that the lessee is unable to hold theevent at the time specied, e.g. due to the illness oa speaker, the lessee may request that the event bepostponed to a later date. he above is subject to thelessors approval. Payments that have already beenmade may then be used to pay or the use. Other costsand ees in relation to the above must be paid by thelessee. he lessee is wholly responsible or announcingthe postponement o an event, as well as bearingall cost o reunds or other costs resulting rom thepostponement.

    19. FORCE MAJEURE

    .. n connection with this agreement, the term Forceajeure applies to the ollowing events or conditions:war; warlike conditions or comparable conditions; re;blaze;, natural disasters such as earthquakes, volcaniceruptions, oods and other natural phenomenon thatthe parties to the agreement have neither caused norcan have any impact on; strikes o the employees o thelessor and contractors operating on behal o the lessorand strikes carried out by other parties unrelated tothe lessor which have an impact on the substance othe agreement between the lessor and the lessee;epidemics or circumstances due to illness that preventthe perormance according to the lease agreement;actions or acts o law, rules or instructions issued bypublic entities such as the government or the police... the lessor is o the opinion that circumstanceshave arisen that all under the Force ajeure provisionpursuant to these terms o agreement and that theywill have a signicant impact on the lessors ability toull the lease agreement, the lessor must inorm the

    lessee in writing o the above, describing in detail thecircumstances and events that, in his opinion, equateto an event o Force ajeure in accordance with thisprovision.

Under the above conditions, neither party isregarded as having deaulted on the lease agreementbetween the parties i circumstances can be equatedto a Force ajeure event occurring ater the entry intoeect o the lease agreement and that such eventswere not oreseeable when the lease agreementbetween the parties was made... n the event that an event or circumstances thatcan be equated to an event o Force ajeure pursuantto the above prevents the parties rom ullling theirobligations according to the lease agreement and thatsuch obstacles persist or ewer than consecutivedays, the contractual obligations o the lessor andthe lessee will be postponed while such events orcircumstances persist. the events or circumstancesend within the above period, the contractual obligationso the lessor and the lessee will return into eect,taking into account any changes that are a consequenceo the event o Force ajeure... n the event that an event or circumstances thatcan be equated to an event o Force ajeure pursuantto the above prevents the parties rom ullling theirobligations according to the lease agreement and thatsuch obstacles persist or more than consecutive

    days, the lessor may then cancel the lease agreementbetween lessor and the lessee. he lessee must paythe lessor the costs, ees and duties that have alreadyaccrued beore the agreement is cancelled... either party, neither the lessor nor the lessee, isliable with respect to the counter party in this respect,neither or direct and/or indirect loss nor damages thatthe party may incur due to Force ajeure.

    20. VIOLATION OF THE AGREEMENT BY THE LESSEE

    .. he lessor may rescind the lease agreement inthe event o substantial non-perormance on the parto the lessee. the lessee does not pay contractualpayments or i the lessee does not provide a validpayment guarantee, and i such deault persists ormore than consecutive days, such deault mustalways be considered substantial and authorises thelessor to rescind the agreement. he same applies ithe lessee uses the acilities in a manner dierent tothat stated in the lease agreement or assigns his userrights pursuant to the lease agreement, i the premises

    are damaged due to detrimental treatment by those orwhom the lessee is responsible, i the lessee does notrespond to the lessors demand or remedy or neglectsin other respects his obligations pursuant to the leaseagreement or the these terms... he lessor may rescind the lease agreement i thelessee is declared bankrupt, i he is granted permissionto seek composition with creditors or nancialreorganisation through a district court order or i thereare other comparable indications that the lessee willprobably not be able to ull his obligations pursuant tothe lease agreement... the lessor rescinds the lease agreement, thelessee must compensate the lessor or all loss anddamages, including expenses and/or loss o income,that result rom his non-compliance. mmediatelyater the lessee has been notied o the rescission othe agreement in a veriable manner, the lessee mustclear the premises at his own expense. n the eventthat the lessee does not clear the leased premisesin accordance with the above, the lessor may havethe leased premises cleared at the expense andresponsibility o the lessee.

    21. RESERVATION ON THE LIABILITY OF THE LESSOR

    .. he lessor is not liable or any indirect orconsequential loss or damages that the lessee orparties operating on his behal incur, without limitation.he lessor is not liable or events that he does not andcannot control, e.g. machine or sotware malunctions,strikes, disruptions in telephone and communicationsnetworks, electricity outages, disruptions to operationsdue to natural disasters and other comparable events... he lessee must indemniy and hold harmlessthe lessor rom all third-party claims that may arisein connection with an event held by the lessee inHarpa, the inormation distributed about the event orpromotional purposes and other items or which thelessee is responsible.

    22. ICELANDIC LAW

    .. he lease agreement between the lessor and thelessee and these terms are prepared in accordancewith celandic law. ny disputes in respect o thisagreement must be brought beore the istrict ourto Reykjavk.
