Upon and simultaneous to the signing of this Agreement, and I/WE hereby agree that said deposit is non-

refundable and shall form part of the purchase price for the above-described PROPERTY (s).

I/we intend to apply for a Bank Financing, for the purchase of property located at ________________,

Barangay ______________, Cavite, and promise to pay at least ___________ percent (____%) of the

Total Contract Price.

If my Loan application is denied by the bank for whatever reason, I agree to pay the balance within thirty

(30) days from the payment of the ________ percent (_____%) downpayment or I agree that loan shall

automatically be converted into an In-House Financing Scheme with Cathay Land, Inc. (CLI) under the

SCHEDULE OF PAYMENTS:

I/we agree to pay CATHAY LAND INC. the contract price for the Property as per the payment terms in

the attached in computation sheet. To ensure our faithful compliance with said obligation, within thirty

(30) days thereafter, I/we shall likewise perform the following, pursuant to the terms stipulated in the

computation sheet:

A. To pay the agreed down payment;

B. To submit complete post-dated checks covering all agreed monthly

amortizations including turnover balance, transfer expense; and

C. To submit all documents that may be required by CATHAY LAND INC.

including, but not limited to valid duly issued government IDs, such as passport,

driver’s license, PRC, TIN, among others and duly accomplished Buyers

Information Sheet,

I/we hereby acknowledge the right of CATHAY LAND INC. to correct the figures appearing herein in

the event errors in pricing and computation are discovered at any time. Furthermore, I/we hereby

authorize and/or allow CATHAY LAND INC. to deposit my/our check covering my/our reservation fee

prior to the acceptance or approval by CATHAY LAND INC. of our reservation.

I/We am/are also aware that the monthly amortizations on the UNIT I/we am/are purchasing shall

immediately commence based on the schedule indicated in the computation sheet hereof, without further

notice regardless of whether or not my/our Contract to Sell has been delivered to me/us.

In case, therefore, of payment of foreign currencies, I/we agree that all bank fees, charges and taxes

imposed on the remittances and conversion shall be borne by me/us. Further, I/we understand that this

agreement is Philippine Peso based so that all payments in foreign currencies shall be credited to my/our

account and converted to their Peso values, based on the bank’s official exchange rate on the date of

receipt/clearing of funds. Any under or overpayment shall be reconciled upon turnover of the Unit, and

I/we shall be billed or reimbursed accordingly.

I/We fully understand and agree that in the event of early PROJECT completion, notwithstanding

payment schedule as per attached computation sheet, all outstanding payments/amortizations including

turnover balances, shall be payable upon receipt of turnover notice.

FEES FOR THE ACCOUNT

I/WE agree that the MISCELLANEOUS/PROCESSING FEE, such as registration fees, documentary

stamps, transfer tax, building plans, bank charges/ interest or insurance premiums and other such fees

related to this reservation shall be paid by me/us upon demand.

DEFAULT:

I/we understand that all payments should be made on or before their respective due dates without

necessity of any notice or demand otherwise all unpaid instalments will be charged three percent (3%)

penalty per month or a fraction of a month, without prejudice to the right of the CATHAY LAND INC.

to disallow any given discount/s, or cancel this reservation/purchase and forfeit all my/our payments.

I/We, hereby agree that CATHAY LAND INC. shall have the right to automatically cancel my/our

reservation without further notice and without need of judicial rescission and to forfeit as liquidated

damages my/our reservation fee and whatever other payments I/We have made, in the event of any of the

following:

1. Failure to pay the first down payment and/or amortization within thirty (30) days from

payment of the Reservation Fee;

2. Failure to pay any three (3) consecutive monthly instalments or amortizations;

3. Wilful misrepresentation or falsification of any documents required under this

Reservation Agreement; and

4. Voluntary and wilful withdrawal on my/our part from this Reservation Agreement (RA)

for any reason whatsoever.

5. Failure to submit documentary requirements within 60 days from date of reservation

MISCELLANEOUS PROVISIONS:

It is understood that this reservation and the rights acquired therefore are not transferable or assignable

without the prior written consent or conformity of CATHAY LAND INC. and payment of the necessary

transfer fee which hereby reserves the option and the sole discretion to approve or disapprove any such

assignment.

I/We understand that the availability of the Unit is subject to approval and final acceptance or

confirmation by CATHAY LAND INC. In the event that the Unit is found to be not available for sale for

any reason whatsoever, the Developer shall have the option to cancel or to disapprove this reservation and

any and all amounts shall be reimbursed to me/us in full without any interest. I/We, however, may agree

to transfer my/our payments, without interest, to another available Unit in the Project.

I/We hereby further understand that any representation or warranty made to me/us by the agent who

handled this sale not embodied herein shall not be binding on the Developer unless reduced in writing and

confirmed by the President of CATHAY LAND INC., and this contract shall not be considered as

changed, modified, altered or in any way amended by acts of tolerance of the Developer unless such

changes, modification or amendments are made in writing and signed by the aforementioned authorized

officers. Further, only duly authorized officers of the company are allowed to make commitments for and

in behalf of the Developer. Only payments made to and accepted by the designated Cashier appointed by

the Accounting and Finance Department of the Developer with duly validated official receipts shall be

valid. Payments given to the Brokers and/or Developer’s employees for transmittal or safekeeping are

recognized only upon receipt by said designated Cashier of the Accounting and Finance Department of

the Developer. All checks should be crossed and made out to payee’s (CATHAY LAND INC)., or its

successors and assigns) account only.

I/We, acknowledge that I/we personally visited the project site, read the draft of the Contract To Sell,

familiarized myself/ourselves with the unit layout, pricing and hereby certify that I/we have personally

inspected the plans and specification of the Project and found the same to be satisfactory and in

accordance with the representations made concerning the same.

I/We hereby confirm that all personal details that we have disclosed in the attached Buyer’s Information

Sheet, are true and correct, and hereby undertake to advise or notify the Developer in case of any and all

changes thereto, without prejudice to the right of the Developer to conduct the appropriate verification as

to the authenticity and veracity of all disclosures or information contained therein. This contract states the

entire agreement of both parties hereto and any stipulations, representation, agreements or promises, oral

or otherwise, not contained in this reservation or incorporated herein by reference shall not bind the

Developer.

I/We hereby undertake that I/We have read and fully understood the provisions/contents of this

Reservation Agreement and commit to abide by the terms and conditions herein set forth. . I/We are

aware that should I/we have any questions/concerns/requests related to the PROJECT, the unit, CATHAY

LAND INC., my/our payments or any issue whatsoever in conjunction with out purchase, I/we can direct
