AUDIO VISUAL AND MULTIMEDIA EQUIPMENT AND INSTALLATION BECKLEY HIGHER EDUCATION CENTER RFP 07023 A. EQUIPMENT AND INSTALLATION

Section A1: Multimedia Classrooms (AV Classrooms) Six General Classrooms, One Nursing Lab, and One Allied Health Lab (See Proposal Sheet for Multimedia Classrooms) System Description Multimedia Classroom Provide, install and maintain Multimedia Classroom Systems at the Beckley Higher Education Center. These systems shall feature a large screen projection display system, audio and video source devices, audio system and a room control system. Display The display shall use a 3800 lumen, XGA resolution, LCD Video/Data projector. Screens in each room shall be provided by another contract and are not part of this proposal. An interactive annotation unit shall be included for use as a “whiteboard” writer and as a display for viewing PC and document camera displays. Source Equipment The systems shall include an XGA resolution document camera, inputs for a dedicated PC, an input for a Laptop computer, an input for a DVD/VCR player and an input for an external audio/video device. (Only the document camera and DVD/VCR are included in this proposal). Audio System Four high quality ceiling mounted speakers will output audio from the selected source devices. These speakers shall be driven from the ceiling mounted QuickMedia receiver. Room Control System The system shall include a control system that will control all aspects of the room systems. The system shall be Web based and be capable of remote management via the Internet. Functions such as screen up/down, projector on/off, volume up/down, etc. Other Considerations For efficiency of installation and wiring the system shall operate using two Category 5 type cables from the Teacher’s Credenza to the ceiling equipment. These cables shall carry all display signals, audio and control signals, greatly reducing requirements for conduit and cable expense. All terminal equipment shall be housed in the provided Teachers Credenza (Credenza not part of this contract). The systems shall include complete installation and a year on-site warranty.

Section A2: Interactive Video Classrooms Three Interactive Video Classrooms (See Proposal Sheet for Interactive Video Classrooms)

System Description Interactive Classrooms Provide, install and maintain Interactive Classroom Systems at the Beckley Higher Education Center. These systems shall feature compressed digital video codecs, camera equipment, a large screen projection display system, multiple flat panel displays, audio and video source devices, audio system and a room control system. Compressed Digital Video Codecs Each room shall have a video codec capable of transmitting and receiving classes taught at the Higher Facility as well as receiving classes taught at other locations. These systems must be fully compatible with all ITU standards for conferencing such as H.320, H.323, H.263, H.264, H.239. It is intended that the primary connectivity shall be via IP H.323 or ISDN. Display The display shall use a 3800 lumen, XGA resolution, LCD Video/Data projector. Screens in each room shall be provided by another contract and are not part of this proposal. This screen will perform the function of displaying presentations generated in the classroom or those being received during a video class. An interactive annotation unit shall be included for use as a “whiteboard” writer and as a display for viewing PC and document camera displays. A 50” plasma panel shall be located on the front wall of the classroom for displaying incoming video received from other sites. A second 42” plasma panel shall be located in the rear of the classroom from a teacher to view incoming video. Source Equipment The systems shall include an XGA resolution document camera, inputs for a dedicated PC, an input for a laptop computer, an input for a DVD/VCR player and an input for an external audio/video device. (Only the document camera and DVD/VCR are included in this proposal). Two pan/tilt cameras shall be included, one located in the front of the room for viewing class participants, and the second for viewing presenters during interactive classes. Audio System Four high quality ceiling mounted speakers will output audio from the selected source devices. These speakers shall be driven from the ceiling mounted QuickMedia receiver. A boundary type microphone shall be located on the table top for pick up of the presenter’s voice and a large ceiling microphone shall be provided for pickup of the room participants audio. Room Control System The system shall include a control system that will control all aspects of the room systems. The system shall be Web based and be capable of remote management via the Internet. Functions such as screen up/down, projector on/off, volume up/down, call set up etc. Other Considerations

Section A3: Large Multimedia Lecture Hall One Multimedia Lecture Hall (See Proposal Sheet for Large Multimedia Lecture Hall) Lecture Hall System Description Provide, install and maintain Multimedia Lecture Hall System at the Beckley Higher Education Center. This system shall feature a large screen projection display system, audio and video source devices, audio system and a room control system. Display The display shall use a 5500 lumen, XGA resolution, LCD Video/Data projector. The projection screen shall be provided by another contract and is not part of this proposal. An interactive annotation unit shall be included for use as a “whiteboard” writer and as a display for viewing PC and document camera displays. Source Equipment The system shall include an XGA resolution document camera, inputs for a dedicated PC, an input for a Laptop computer, an input for a DVD/VCR player and an input for an external audio/video device. (Only the document camera and DVD/VCR are included in this proposal). Audio System The system shall include a “Bi-Amplified” audio system for improved sound quality. The system shall include four ceiling mounted two-way speakers as well as a ceiling mounted sub-woofer. The system shall also include a wireless lapel microphone system and a handheld wireless microphone for audience participation. All mixing and processing shall be via the digital processing unit. No external audio controls or adjustments shall be present. Room Control System The system shall include a control system that will control all aspects of the room function. The system shall be Web based and be capable of remote management via the Internet. Functions such as screen up/down, projector on/off, volume up/down, etc. Other Considerations All terminal equipment shall be housed in the buyer provided Teachers Credenza (Credenza not part of this contract). Section A4: Multimedia Science Lab One Multimedia Science Lab (See Proposal Sheet for Multimedia Science Lab)

Science Lab System Description To deliver, install and maintain Science Classroom System at the Beckley Higher Education Center. The system shall feature three (3) large screen plasma panel displays, audio and video source devices, audio system and a room control system. Display Room display of images shall be provided by three (3) 50” wall mounted plasma panels. An interactive annotation unit shall be included for use as a “whiteboard” writer and as a display for viewing PC and document camera displays. Source Equipment The systems shall include an XGA resolution document camera, inputs for a dedicated PC, an input for a Laptop computer, an input for a DVD/VCR player and an input for an external audio/video device. Provide, install and maintain Digital Signage System at the Beckley Higher Education Center. This systems shall feature large screen LCD flat panel displays. Distribution of signals to the displays shall be via “CAT5” type cabling. Display The display shall employ two 46” LCD flat panel monitors. Source Equipment The systems shall receive a feed from a PC located in an office to be determined. The signaling shall be RGBHV that is delivered via Category 5 type cabling. These units must be “active”; no “Balun” type units will be accepted. Other Considerations The systems shall include complete installation and a year on-site warranty.

B. ADDITIONAL REQUIREMENTS

The following apply to all sections above.

1. The Higher Education Policy Commission (the buyer) reserves the right to reject any and all proposals or to waive any irregularities or informalities in proposals received. The buyer reserves the right to accept the proposal that will, in the buyer’s opinion, best serve the interests of the buyer, regardless of whether such proposal is the lowest price submitted.

2. The vendor's and/or subcontractor's performance on similar projects and ability to perform and complete the contract in the manner and within the time specified will be vital elements together with the content of their price proposal in awarding of the contract. The price proposal will constitute 65% of the total evaluation and reference checks and performance will constitute 35% of the evaluation in determining an award (see paragraphs 13, 14, 21, 22 and 24 below).

3. All equipment and material specified herein are recommended brand names and models. If a vendor is providing a price proposal for equipment equal to that specified in the price proposal sheets, they must clearly identify the equipment by manufacturer and model number on the price proposal sheet and must supply equipment and model specific technical data sheets (cut sheets) for the equipment proposed. PRE-PRINTED COMPANY MANUALS OR ILLUSTRATED BROCHURES ARE NOT ACCEPTABLE. ANY SUBMISSIONS UNDER THIS SECTION MUST BE WRITTEN OR PRODUCED SPECIFICALLY FOR THIS RFP.

4. For purposes of compatibility and continuity, strong consideration shall be afforded a single and total award.

5. Drop shipments of equipment or materials which may be awarded under this contract, if other than F.O.B. destination, shall be shown separately and will be considered as part of the total proposal.

6. All materials, equipment, and workmanship shall be warranted for a period of one (1) year from the date of final acceptance.

7. Prices should be typed or neatly and legibly written in the appropriate space in the pricing section. Unit price where applicable shall prevail and all prices should be extended and totaled. Contract should also show a section total as required as well as a total price for the complete proposal.

8. A.C. power to the prescribed points shall be the responsibility of the buyer. Total installation and proof of performance shall be the responsibility of the successful vendor.

9. Training on operation and maintenance procedures shall be provided for the buyer’s designated personnel.

10. All equipment and material listed herein are suggested brand names, any and all equipment proposal as alternates must be supported by the information required by paragraph 3 above. Vendors must clearly indicate any alternate equipment that will be part of their proposal.

11. As built drawings shall be provided by the vendor. All necessary cable, connectors, interfaces and other parts required to make the system functional shall be provided by the vendor.

12. The successful vendor and all subcontractors shall:

a. Provide insurance to the minimum limits set forth in the attached sample Certificates of Insurance;

b. Be a West Virginia Licensed Contractor and have a West Virginia Contractor’s License Number;

c. Pay the higher of the U.S. Department of Labor minimum wage rates or the West Virginia Department of Labor wage rates for Raleigh County, West Virginia. The West Virginia Department of Labor wage rates for Raleigh County are available at this website address:

d. Be in good standing with the WV Workers Compensation Fund.

13. Due to the critical nature of the system, and importance of response to service, vendors must supply as part of their proposals three names and phone numbers that may be called 24 hours a day, 7 days per week for service during the warranty period. Initial response must be received within 4 hours. This response may be by telephone. Should assistance of a more technical nature be required, on-site response must be made before close of business the following day. Location of vendor service personnel must be clearly indicated.

14. Vendors must supply as part of their proposal a list of at least three names, addresses, and phone numbers of customers the vendor has supplied the same or similar types of systems. Particular emphasis will be given to checking references and satisfactory performance of interactive classrooms. The vendor must include a statement and appropriate documentation indicating experience in the completion of projects similar in scope to this RFP.

15. Any and all costs that are a result of making this a functioning and usable system, in accordance with all the specifications defined will be the responsibility of the vendor.

This includes costs associated with all labor, supervision, materials, supplies, equipment, software, test equipment and services.

16. The Beckley Higher Education Center is under construction and is scheduled for completion in July 2007. Other contractors may be working in the building while this work is being performed. The successful vendor shall cooperate with and coordinate the work with the general contractor and other contractors working in the building. The vendor shall not disturb any cabling, wiring, equipment, miscellaneous hardware and work installed by others unless it is necessary for the performance of the vendor’s work. If it is necessary, any equipment or work disturbed shall be coordinated with the affected contractor in advance and then restored to the same complete and functioning condition as it was in before the disturbance.

17. The vendor will ensure that installation is performed in accordance with applicable specifications, codes and standards and to insure that all work performed is in accordance with the requirements of all local codes and regulations of the authorities having jurisdiction. Also, the vendor will take all necessary steps to insure that the performance of this contract does not create a fire or safety hazard or inhibits fire fighting or safety.

18. The vendor will obtain and pay for all insurance, permits and certificates of inspection required by those authorities having jurisdiction over this work. Copies of these permits and certificates must be presented to the buyer upon final completion of the project.

19. The vendor is responsible for surveying the building, conduits, raceways, and, in general, all facilities as a whole to determine space availability and suitability for implementation of this project. The price proposal shall include all costs for a complete and functional installation as specified.

20. All internal building wiring must conform to the following specifications:

a. All cabling of like kind must be purchased from the same manufacturer.

b. All cabling runs must be parallel with or perpendicular to existing walls. All direction changes must be 90 degree turns.

c. All cabling must be neatly bundled and supported from the work area back to the wiring closet. Cabling must be supported in vertical runs at each floor with cable ties, making sure not to deform cable jacket. Cabling in vertical runs must be in conduit, where required, or in conduit sleeving between floors. All cabling runs must be placed in existing cable trays, raceways and conduit where provided.

d. All fire walls that are penetrated must be fire stopped according to building fire codes.

e. Cabling must be run above ceilings and concealed in hollow walls, wherever possible. Any cabling that is not concealed in walls or ceilings must be concealed in protective raceways, molding or conduit. Raceway, molding or conduit used must be approved by the buyer prior to purchase and installation. Protective molding must be placed in corners (down the wall) and at standard heights (horizontally), unless otherwise approved by the buyer. Raceways, molding and conduit must conform to the following specifications.

f. All raceways, molding, and conduit in offices, work areas, labs, and classrooms must be the same (i.e., the same color, the same material).

g. All raceways, molding and conduit must be securely fastened to the walls, with minimal disturbance to existing conditions. Permanent attachment is preferable; other methods will be considered.

h. All raceways, molding and conduit must be accessible after installation for ease of maintenance and future installation of additional wiring. All conduit shall be provided with plastic bushings at both ends to prevent damage to cabling. All cabling termination units and equipment in wiring closets must be mounted in 19" racks.

i. Racks and installation of such are considered a requirement of the vendor. All cabling, patch panels, termination boxes, and equipment in wiring closets must be accessible from the ground level so that ladders are not to be required for normal maintenance.

j. All cabling must be non-plenum, except where plenum is required by fire code. All cabling must be properly labeled and documented on each end of the cable.

k. There must be easy-to-read, consistent labeling of all patch panels, termination boxes, connectors, and cabling. The labeling scheme must ensure that no two labeled items have the same label and/or number. The labeling scheme must be approved by the buyer prior to its implementation.

l. All cabling must be properly grounded where applicable.

21. The vendor must have an established working relationship with the manufacturers for any/all data and video communications equipment to be installed as part of this RFP. The vendor must have a direct relationship with all suppliers. The vendor must be certified by all manufacturers or have begun certification prior to this RFP, to install maintain and support their equipment. Documentation to this effect generated by the equipment manufacturer may be required by the buyer, detailing the levels of certification available from manufacturer, the level of certification attained by vendor, requirements of vendor to remain certified, courses completed, number of support staff completing those courses and the date of certification.

22. The vendor must provide documentation proving the local and/or regional support staff has the experience to install, maintain, and support a network of the same size and complexity. Documentation must detail the number of telephone and on-site support staff, hardware and software, available during installation and after completion of the project.

23. Vendor responses to this RFP shall be made in accordance with the proposal preparation format set forth herein for content and sequence since the proposals are to be reviewed to determine and allow for a systematic and comparative evaluation. Each vendor not responding to the requirements of the RFP in the stated format may be considered non-responsive. Any response to this RFP which requires frequent references to other proposal information not easily located by page and paragraph may be considered non-responsive.

24. A key element of this project is continuing training support for the facilities instructional staff. The successful vendor will be required to train all staff for a period of at least six (6) hours prior to the start of fall classes with follow-up training at approximately 90 day intervals during the one-year warranty period.

INSTRUCTIONS TO BIDDERS (Purchases greater than $25,000)

1. BIDDER’S REPRESENTATIONS: The bidder, by making a bid, represents that: (a) the bidder has read and understands the bidding documents, terms and conditions, and the bid is made in accordance therewith; and (b) the bid is based upon the materials, equipment, systems, printing and/or services specified.

2. QUALITY STANDARDS: Brand names, when identified, include the standard of quality, performance or use

desired. Unless otherwise noted, bids by bidders on equivalents may be considered, provided the bidder furnishes descriptive literature and other proof required by the Institution. Samples, when required, must be furnished free of charge, including freight. In the event the Institution elects to contract for a brand purported to be an equivalent by the bidder, the acceptance of the item will be conditioned on the Institution’s inspection and testing after receipt. If, in the sole judgment of the Institution, the item is determined not to be equivalent, the item will be returned at the Seller’s expense and the contract terminated.

3. SUBMISSION OF BIDS: The bid, the bid security, if any, and other documents required to be submitted with the

bid shall be enclosed in a sealed opaque envelope. The envelope shall be addressed to the party receiving the bids and shall be identified as a “Sealed Bid,” and shall include the bid number, the bid opening time, and the bid opening date. Bids shall be delivered and deposited at the designated location prior to the time and date for receipt of bids. Bids received after the time and date for the bid opening will be returned unopened. The bidder shall assume full responsibility for timely delivery at the location designated for receipt of bids. Oral, telephonic, facsimile or telegraphic bids are invalid and will not receive consideration.

4. MODIFICATION OR WITHDRAWAL OF BIDS: Prior to the time and date designated for receipt of bids, a bid

submitted may be modified or withdrawn by notice to the party receiving bids at the place designated for receipt of bids. Such notice shall be in writing over the signature of the bidder and shall be received prior to the designated time and date for receipt of bids. A modification shall be worded so as not to reveal the amount of the original bid. A withdrawal may be made by facsimile or electronic transmission. A modification may also be made by facsimile or electronic transmission if the final bid result is not revealed prior to the bid opening.

5. OPENING OF BIDS: Bids shall be publicly opened and read aloud at the designated location for receipt of bids

shortly after the time and date bids are due. 6. REJECTION OF BIDS: The Institution shall have the right to reject any and all bids, in whole or part; to reject a

bid not accompanied by a required bid security or other data required by the bidding documents; or reject a bid which is in any way incomplete or irregular.

7. ACCEPTANCE OF BID (AWARD): It is the intent of the Institution to award a contract to the lowest responsible

and responsive bidder provided the bid does not exceed the funds available. The Institution shall have the right to waive informalities or irregularities in a bid received and to accept the bid, which in the Institution’s judgment, is in the Institution’s own best interests. All bids are governed by the West Virginia Code and the Procedural Rules of the Commission.

8. VENDOR REGISTRATION: Prior to any award for purchases exceeding $15,000, the apparent successful

bidder must be properly registered with the W. Va. Department of Administration, Purchasing Division, and have paid the required vendor registration fee.

9. NON-FUNDING: All services performed or goods delivered under State Purchase Orders/Contracts are to be

continued for the term of the Purchase Order/Contract, contingent upon funds being appropriated by the Legislature or otherwise being made available. In the event funds are not appropriated or otherwise available for these services or goods, this Purchase Order/Contract becomes void and of no effect after June 30.

10. PAYMENTS AND INTEREST ON LATE PAYMENTS: Payment may only be made after the delivery and

acceptance of goods or services. Interest may be paid for late payment in accordance with the West Virginia Code.

11. RESIDENT VENDOR PREFERENCE: A resident vendor preference will be granted upon written request in

expressly limits acceptance to the terms and conditions stated herein. Additional or different terms proposed by the Vendor are objected to and are hereby rejected, unless otherwise provided for in writing by the Institution and approved by the Attorney General.

2. APPLICABLE LAW: The laws of the State of West Virginia and the Procedural Rules of the Higher Education Policy

Commission shall govern all rights and duties under the Contract, including without limitation the validity of this Purchase Order/Contract.

3. ASSIGNMENT: Neither this Order nor any monies due, or to become due hereunder, may be assigned by the Vendor without

the Institution’s consent. 4. INSTITUTION: For the purposes of these Terms and Conditions, the “Institution” means the institution purchasing goods and

services for which a Purchase Order has been lawfully issued to the Vendor. 5. CANCELLATION: The Institution may cancel any Purchase Order/Contract upon 30 days written notice to the Vendor. 6. COMPLIANCE: Vendor shall comply with all federal, state and local laws, regulations and ordinances including, but not limited

to, the prevailing wage rates of the W. Va. Division of Labor, if applicable. 7. DELIVERY: For exceptions to the delivery date as specified in the Order, the Vendor shall give prior notification and obtain the

approval of the Institution. Time is of the essence of this Order and it is subject to termination by the Institution for failure to deliver on time.

8. DISPUTES: Disputes arising out of the agreement shall be submitted to the West Virginia Court of Claims. 9. HOLD HARMLESS: The Institution will not agree to hold the Vendor or any other party harmless because such agreement is

not consistent with state law. 10. MODIFICATIONS: This writing is the parties’ final expression of intent. No modification of this Order shall be binding unless

agreed to in writing by the Institution. 11. NON-FUNDING: All services performed or goods delivered under this Purchase Order/Contract are to be continued for the

term of the Purchase Order/Contract, contingent upon funds being appropriated by the Legislature or otherwise being made available. In the event funds are not appropriated or otherwise available for these services or goods, this Purchase Order/Contract becomes void and of no effect after June 30.

12. ORDER NUMBERS: Contract Order numbers or Purchase Order numbers shall be clearly shown on all acknowledgments,

shipping labels, packing slips, invoices and correspondence. 13. PAYMENTS AND INTEREST ON LATE PAYMENTS: Payments may only be made after the delivery of goods or services.

Interest may be paid on late payments in accordance with the West Virginia Code. 14. RENEWAL: The Contract may be renewed only upon mutual written agreement of the parties. 15. REJECTION: All goods or materials purchased herein are subject to approval of the Institution. Any rejection of goods or

materials resulting in nonconformity to the terms, conditions or specifications of this Order, whether held by the Institution or returned to the Vendor, will be at the Vendor’s risk and expense.

16. VENDOR: For the purposes of these Terms and Conditions, the “Vendor” means the vendor whose quotation, bid, proposal or

expression of interest has been accepted and has received a lawfully issued Purchase Order from the Institution. 17. SHIPPING, PACKING, BILLING & PRICING: Unless otherwise stated, all goods are to be shipped prepaid, FOB destination.

No charges will be allowed for special handling, packing, wrapping, bags, containers, etc., unless otherwise specified. All goods or services shall be shipped on or before the date specified in this Order. Prices are those that are stated in this Order. No price increase will be accepted without written authority from the Institution.

18. TAXES: The State of West Virginia (the Institution) is exempt from Federal and State taxes and will not pay or reimburse such

taxes. 19. TERMINATION: In the event of a breach by the Vendor of any of the provisions of this contract, the Institution reserves the

right to cancel and terminate this contract forthwith upon giving written notice to the Vendor. The Vendor shall be liable for damages suffered by the Institution resulting from the Vendor’s breach of contract.

20. WARRANTY: The Vendor expressly warrants that the goods and/or services covered by this Order will: (a) conform to the

specifications, drawings, samples or other description furnished or specified by the Institution; (b) be merchantable and fit for the purpose intended; (c) be free and clear of all liens, claims and encumbrances of any kind; and/or (d) be free from defect in material and workmanship.

In the event of conflict between this addendum and the agreement, this addendum shall control:

1. ARBITRA TION - Any references to arbitration contained in the agreement are hereby deleted. Disputes arising out of the agreement shall be presented to theWest Virginia Court of Claims.

2. HOLD HARMLESS - Any clause requiring the Agency to indemnify or hold harmless any party is hereby deleted in its entirety.

3. GOVERNING LA W - The agreement shall be governed by the laws of the State of West Virginia. This provision replaces any references to any other State’sgoverning law.

4. TAXES - Provisions in the agreement requiring the Agency to pay taxes are deleted. As a State entity, the Agency is exempt from Federal, State, and local taxesand will not pay taxes for any Vendor including individuals, nor will the Agency file any tax returns or reports on behalf of Vendor or any other party.

5. PAYMENT - Any references to prepayment are deleted. Payment will be in arrears.

6. INTEREST - Should the agreement include a provision for interest on late payments, the Agency agrees to pay the maximum legal rate under West Virginia law.All other references to interest or late charges are deleted.

7. RECOUPMENT - Any language in the agreement waiving the Agency’s right to set-off, counterclaim, recoupment, or other defense is hereby deleted.

8. FISCAL YEAR FUNDING - Service performed under the agreement may be continued in succeeding fiscal years for the term of the agreement, contingentupon funds being appropriated by the Legislature or otherwise being available for this service. In the event funds are not appropriated or otherwise available forthis service, the agreement shall terminate without penalty on June 30. After that date, the agreement becomes of no effect and is null and void. However, theAgency agrees to use its best efforts to have the amounts contemplated under the agreement included in its budget. Non-appropriation or non-funding shall notbe considered an event of default.

9. STATUTE OF LIMIT ATION - Any clauses limiting the time in which the Agency may bring suit against the Vendor, lessor, individual, or any other party aredeleted.

10. SIMILAR SER VICES - Any provisions limiting the Agency’s right to obtain similar services or equipment in the event of default or non-funding during theterm of the agreement are hereby deleted.

11. ATTORNEY FEES - The Agency recognizes an obligation to pay attorney’s fees or costs only when assessed by a court of competent jurisdiction. Any otherprovision is invalid and considered null and void.

12. ASSIGNMENT - Notwithstanding any clause to the contrary, the Agency reserves the right to assign the agreement to another State of West Virginia agency,board or commission upon thirty (30) days written notice to the Vendor and Vendor shall obtain the written consent of Agency prior to assigning the agreement.

13. LIMIT ATION OF LIABILITY - The Agency, as a State entity, cannot agree to assume the potential liability of a Vendor. Accordingly, any provision limitingthe Vendor’s liability for direct damages or limiting the Vendor’s liability under a warranty to a certain dollar amount or to the amount of the agreement is herebydeleted. In addition, any limitation is null and void to the extent that it precludes any action for injury to persons or for damages to personal property.

14. RIGHT T O TERMINA TE - Agency shall have the right to terminate the agreement upon thirty (30) days written notice to Vendor.

15. TERMINA TION CHARGES - Any provision requiring the Agency to pay a fixed amount or liquidated damages upon termination of the agreement is herebydeleted. The Agency may only agree to reimburse a Vendor for actual costs incurred or losses sustained during the current fiscal year due to wrongful terminationby the Agency prior to the end of any current agreement term.

16. RENEWAL - Any reference to automatic renewal is hereby deleted. The agreement may be renewed only upon mutual written agreement of the parties.

17. INSURANCE - Any provision requiring the Agency to insure equipment or property of any kind and name the Vendor as beneficiary or as an additional insuredis hereby deleted.

18. RIGHT T O NOTICE - Any provision for repossession of equipment without notice is hereby deleted. However, the Agency does recognize a right of reposses-sion with notice.

19. ACCELERA TION - Any reference to acceleration of payments in the event of default or non-funding is hereby deleted.

20. AMENDMENTS - All amendments, modifications, alterations or changes to the agreement shall be in writing and signed by both parties. No amendment,modification, alteration or change may be made to this addendum without the express written approval of the Purchasing Division and the Attorney General.

PROMPT PAYMENT ACT OF 1990 (W. VA. CODE §5A-3-54) INSTITUTION’S RESPONSIBILITY: According to the Prompt Payment Act of 1990 (West Virginia Code §5A-3-54), any properly registered and qualified vendor who supplies services or commodities to an institution is entitled to prompt payment upon presentation to the institution of a legitimate uncontested invoice. The institution’s accounts payable function shall establish institutional procedures to ensure that vendors are paid promptly. An institution receiving a legitimate uncontested invoice shall process the invoice within ten working days from its receipt. This means that invoices shall be processed at the institution and forwarded to the State Auditor within ten days of receipt of the vendor's legitimate and uncontested invoice. An invoice shall be deemed to have been received on the date it is marked received by the institution, or three days after the date of the postmark made by the United States Postal Service as evidenced on the envelope in which the invoice was mailed, whichever is earlier. If the invoice is received prior to delivery and acceptance of the goods and services, the invoice shall be deemed to be received on the date the goods are delivered and accepted or the services fully performed and accepted. VENDOR’S RESPONSIBILITY: In order to receive timely payment, vendors have an obligation and responsibility to present invoices that are timely and accurate. An original of a vendor’s invoice is needed for payment. The invoice must also contain identical information as shown on the purchase order or contract, such as:

a. Vendor’s name and address; b. Federal Employer’s Identification Number (FEIN); c. Purchase order number; d. Invoice should be mailed to the proper address at the institution; e. Item description and number; f. Quantity, unit of measure and/or unit price, and extension of each item; g. Invoice total; h. Dates of order and shipment; i. Back orders, if any; j. Cancellations, if any; k. Credit memo, if the credit is not part of the invoice; and l. Invoices for services rendered must include the dates of service and be prepared according to the payment

terms in the contract or purchase order. INTEREST ON LATE PAYMENT: The Prompt Payment Act of 1990 (West Virginia Code §5A-3-54) entitles a vendor to interest on legitimate and uncontested invoices that have not been paid from the 61st day after the invoice was received until the date when the check was mailed to the vendor. The Act considers an invoice uncontested when it accurately covers the goods and services received. If the invoice is received prior to delivery and acceptance of the goods and services, the invoice shall be deemed to be received on the date the goods are delivered and accepted or the services fully performed and accepted. In order to receive payment for interest if entitled, a vendor must make a request in writing to the State Auditor and provide proof that the vendor received a check for payment of the invoice after the 60 day time limit. If the vendor is entitled to interest, the State Auditor’s Office will calculate the interest and pay any amounts due.

West Virginia Code §5A-3-10a states: No contract or renewal of any contract may be awarded by the state or any of its political subdivisions to any vendor or prospective vendor when the vendor or prospective vendor or a related party to the vendor or prospective vendor is a debtor and the debt owned is an amount greater than one thousand dollars in the aggregate. “Related party” means a party, whether an individual, corporation, partnership, association, limited liability company or any other form or business association or other entity whatsoever, related to any vendor by blood, marriage, ownership or contract through which the party has a relationship of ownership or other interest with the vendor so that the party will actually or by effect receive or control a portion of the benefit, profit or other consideration from performance of a vendor contract with the party receiving an amount that meets or exceed five percent of the total contract amount. EXCEPTION: The prohibition of this section does not apply where a vendor has contested any tax administered pursuant to chapter eleven of this code, workers’ compensation premium, permit fee or environmental fee or assessment and the matter has not become final or where the vendor has entered into a payment plan or agreement and the vendor is not in default of any of the provisions of such plan or agreement. LICENSING: The vendor must be licensed in accordance with any and all state requirements to do business with the state of West Virginia. CONFIDENTIALITY: The vendor agrees that he or she will not disclose to anyone, directly or indirectly, any such personally identifiable information or other confidential information gained from the agency, unless the individual who is the subject of the information consents to the disclosure in writing or the disclosure is made pursuant to the agency’s policies, procedures and rules.
