LETTER OF INVITATION

Dear Sir, This is with reference to the notice inviting Pre-qualification of Firms/ Companies

/ Consortia/Developers (Party) for Development of Bacha Khan International

Airport, Peshawar on Design-Build-Operate & Transfer (D.B.O.T) basis. After

prequalification of firms, open competition will be held between prequalified

competitors using two-stage two-envelope process.

CAA issues this Project Information Memorandum (PIM) / Pre-qualification

Document (PQD) in order to shortlist the Parties, who have the necessary

financial strength, technical competence and experience to undertake the

development of this vital Project in the capital city of Khyber Pakhtunkhuah

Province (KPK).

Interested parties are requested to provide documentation on forms attached

with this document to enable CAA, to shortlist the interested parties. Only the

pre-qualified parties shall be issued RFP / Tender documents for submission of

the Technical and Financial Bids for the project.

Pre-qualification forms duly signed and sealed on each page should reach the

office of the undersigned latest by 5 pm on or before the closing date.

1. About the Project

Pakistan Civil Aviation Authority (PCAA) is the apex body in the country for regulation and promotion of Aviation activities in the country. PCAA falls under Aviation Division, Federal Government of Pakistan. The Project (Development of Bacha Khan International Airport, Peshawar on Design – Build – Operate – Transfer basis (D.B.O.T). aim to provide world-class facilities at the key airport through development of airside and land side facilities. With an objective to implement the above-mentioned Project, PCAA propose to prequalify the prospective bidders and then invite the bids under procurement rules. Subject to conditions of eligibility and participation under the Invitation Documents, prospective bidders are free to participate in the transaction. Details of terms and conditions for participation in the bidding process including legal, technical and financial requirements set by PCAA for pre-qualification would be provided in the Instructions to Prospective Bidders.

1.1 Background : Bacha Khan International Airport, Peshawar

Bacha Khan International Airport is located in the Province of Khyber Pakhtunkhwa and is the 4th busiest airport of the country. The BKIAP presently provides both domestic and international connectivity (07 domestic destinations and 12 direct International destinations). International connectivity is presently to Middle East, Far East and connecting flights to Europe & America.

1.2 Catchment of BKIAP, Peshawar & KPK

BKIAP mainly caters to a catchment area including the KPK province and the city of Peshawar. The province is in the North Western Region with variety of landscape and historical sites. With the construction of Pak- China Economic Corridor, the entire region is expected to reap economic benefits. The KPK province occupies a total land of 74541 square kilometers. The Province is bounded to west by FATA & Afghanistan, to North by Afghanistan, to East by FANA & AJK and to the South by Federal Capital Area and Punjab. It is further divided into seven (07) divisions which are further divided into 24 districts. Peshawar is Provincial Metropolis and the Airport is located to the North of old city and is surrounded by cantonment area to North-East suburbs of Pishtakhara.

2. Project development methodology

CAA desires to work jointly with private sector for mobilization of their capital, experience and expertise in similar kind of development by entering into a workable arrangement based on DBOT. The successful proponent shall be expected to take the lead role in designing, construction, operation/ management and transfer the project to CAA. In order to bring in the aforementioned expertise and capital, CAA has initiated the development of this viable project inviting the parties having financial strength, experience of construction and development. CAA shall extend its support to create enabling environment for development of project.

3. Project Scope and Structure

PCAA propose to appoint the successful bidder under an appropriate agreement to undertake the Designing & building of the project and add all the required additional facilities for a defined concession period. The key objectives are:

i. Increased operating efficiency of the airport ii. Increased networking and marketing of the airport iii. Improved net financial benefits to PCAA iv. Improved amenities for passengers & visitors

The scope of the project under DBOT basis would cover:

a. Designing/ construction of passenger terminal alongwith all associated

infrastructures and facilities as per International standards b. Installation of all the required equipment and associated facilities as per

International standards. c. Provision of required new & expansion works with respect to the existing

terminal alongwith all associated infrastructure and facilities as per applicable standards to handle operations until the development of the new passenger terminal.

d. Operation & maintenance of the passenger terminal during the entire

concession period e. Enhancement /development of following land & airside facilities to meet

the enhanced scale of operations at the airport

i. State of the art Baggage Handling System ii. HVAC system iii. Elevators & Escalators iv. Warehouses for Courier and Logistics companies v. Four Passenger Boarding Bridges vi. Cold Storage & Processing facilities vii. Fruit & Vegetables storage facilities viii. Light Industrial facilities ix. Improvements in buildings in Cargo area x. International standard Food & beverages brands xi. Canteens for employees xii. Complete security of the compound xiii. Car Parks

f. The following would be excluded from the scope of the successful

proponent and PCAA would continue to be responsible for:

i. Air Traffic Control & associated services ii. Air Navigation Services & associated services

g. Further, the following services are not included in the scope of the Project and would continue to be provided by the relevant agencies at the airports:

i. Customs & Anti Narcotics ii. Immigration iii. Security iv. Quarantine v. Services provided by the Pakistan Overseas Employment vi. Health

3.1 Structure

The DBOT structure is being evaluated /considered for the project. Under the proposed structure, the prospective proponent shall undertake the immediate expansion of various facilities and also undertake required capacity augmentation at the airport that may be required to cater to future demand throughout the contractual term. At the end of the concession period, the proponent would transfer the airport facilities to PCAA.

3.2 Concession Period

A 25 year concession is being evaluated / considered for the project.

3.3 Performance Specifications

PCAA proposes to include Minimum Performance Standards and Specifications (MPSS) in the concession agreement. The proponent would be required to operate the airport as per such defined MPSS. Further the proponent would also be required to undertake capacity augmentation to ensure compliance with the defined MPSS.

3.4 Tariffs at the Airport

When the operation & management of the airport will be ceded to the proponent, PCAA will concession the levying of various charges to the proponent. PCAA will state in the concession agreement, the manner in which the proponent will levy charges, consistent with applicable laws as well as industry. Broadly, PCAA contemplate specifying a base tariff as identified upfront and also specify tariff increments with reference to a parametric formula.

3.5 Incentives

PCAA contemplates application of incentives, as provided in the law. 3.6 Continuation of Existing Contracts

When the proponent takes over the operation of the airports subject to final approvals. It is proposed that the existing contracts will be novated by PCAA to the proponent and once the proponent assumes existing contracts, it would have the option to allow the contracts to expire, renegotiate the contracts or terminate the contracts on various grounds within the boundaries of legal requirements. The proponent would also be allowed to enter into new contracts for the provision of services should there be a need to provide additional services to the passengers & visitors or should there be additional space to lease out.

4. BASIC DATA AND INFORMATION

4.1 Passenger Terminal Building

The passenger terminal of the Airport is located to the East of the runway. The building has a total footprint of 31529 sq. feet. There are nine (9) Check-in counters for International and five (05) for Domestic operations. Domestic and International arrivals has two conveyor belts each. International and Domestic Departure lounges have 390 and 340 seats respectively. Whereas the Concourse Hall has the capacity for 1000 standing and 200 seats.

4.2 Car Parking

Access to the airport is directly from the Khyber road. The passenger car parking located at the front of the terminal. The total area dedicated for car parking is 78460 sq. feet. and includes 350 parking slots.

4.3 Cargo

The cargo sheds is 108131 sq. feet and is located south of the terminal. The building is located on the landsides boundary providing air cargo service.

4.4 ATC

The control tower and operations building (CTO) is located to the north of the passenger terminal.

4.5 Administration

The administration building (ADM) is 15935 sq. feet. It houses security and administrative functions, as well as offices of the management staff of the airport.

4.6 ARFF

The rescue and fire-fighting station (ARFF) is located between apron and runway. Fire station is linked with runway via taxiway “C”. The total facility consists of footprint of 6093 sq. feet. It can accommodate three (3) rescue fire-fighting vehicles (Strikers) and 02 under construction providing category 9 of Rescue and Fire Fighting Service Standards of ICAO.

4.7 Fuel farm

Jet A1 are provided on site by PSO through mobile filter with storage capacity of one million liters.

4.8 Maintenance and utilities

The maintenance building is located next to the administration building,

4.10 Ground Support Equipment (GSE)

Areas adjacent to apron are provided to SAPS, PIAC and Royal Airport Services for providing Technical Ground Support services to aircraft

4.11 General Aviation

There are dedicated General Aviation (GA) facilities on site. Peshawar Flying Club with adequate hanger facilities is operating general aviation.

5. Pre-qualification Documentation Package

Following documents and information shall be provided by each applicant to be considered for Prequalification. Please refer to the Evaluation Criteria for further information:

1. Name, Contact details and profile of the Party (Appendix B)

2. Legal status of the Party, organizational structure and nature of business operations (Appendix B)

3. Financial standing of the Party, duly supported by last 3 years financial statements, audited or certified by a reputable audit firm. (Appendix C)

4. Banker’s certificate regarding credit worthiness and available credit lines to the Party.

5. Details of previous experience or similar projects undertaken by the party in the last five years. Also provide project value and project location/country. Interested firms should preferably provide evidence of experience of similar projects with the same or greater value. (Appendix-D)

6. List of Key Personnel (Appendix- E)

7. Endorsements or references by previous clients confirming the successful performance on previous projects. The endorsements should preferably confirm the value and dates for the projects executed at International and Domestic level.

8. A certificate/ affidavit that party is not blacklisted by any Government/ Public Body/Authority;

9. Any other information in support of capability and experience of the party.

6. Evaluation Criteria

The evaluation criterion is principally based on the factors considered of

critical importance to the project by CAA. Evaluation will be done on a scale

up to one hundred (100) points. The applicant securing a minimum of 80

marks will qualify for issuance of Request for Proposal. The evaluation

Notes on Qualification Requirements Prospective Bidders must fulfill all the Legal, Technical, and Financial Qualification Requirements listed below. 1. Legal Qualification Requirements The Prospective Bidder must be:

a. An individual, partnership, corporation or any other juridical entity must be registered in Pakistan with the Securities and Exchange Commission of Pakistan (SECP), or in case of foreign partnerships, corporations, or other juridical entities, the appropriate government agency in the foreign country where the foreign entity was registered for recognition or creation of its juridical personality or capacity. The Prospective Bidder must certify that it and its Affiliates whose projects and experience are being submitted as evidence of fulfillment of the requirements

b. A Consortium whose members are individual(s), partnership(s), corporation(s) or any other juridical entity(ies). In case of Pakistan partnerships, or corporations must be registered in the Pakistan with the Securities and Exchange Commission of Pakistan (SEC) or in case of foreign partnerships, corporations, or other juridical entities, the appropriate government agency in the foreign country where the foreign entity was registered for recognition or creation of its juridical personality or capacity.

2. Technical Qualification Requirements To qualify to bid for the Projects, the Prospective Bidder must meet the following technical requirements:

The Prospective Bidder must have satisfactorily undertaken the development of similar Projects in terms of overall responsibility for designing, engineering, and construction, as evidenced by a certification of capital costs incurred for such Projects, such that the sum total of the capital costs incurred for the Projects is in accordance with Appendix D. b. Design and Engineering Experience

The Prospective Bidder must have satisfactorily undertaken, detailed architectural design and engineering, including airport planning, construction planning, and phasing in implementing projects for airport terminal facilities and associated infrastructure, in accordance with the applicable rules, ordinances, standards and recommended practices, with such design and engineering experience pertaining to at least one (1) International Airport. c. Operations and Maintenance (O&M) Experience

The Prospective Bidder must have experience in either: i. The operation & maintenance of an International Airport for a period of at

least three (3) consecutive calendar year.

ii. The operation & maintenance of more than one (1) International Airport, each for a period of at least three (3) consecutive calendar years anytime within the last five (5) years.

d. Qualified Key Personnel

The Prospective Bidder, the Consortium Members, and/or the proposed Subcontractors must have, among them and their Affiliates’ collective personnel with the required qualifications and experience described below (Appendix E): i. At least two (2) persons responsible for planning, coordination, integration,

and implementation of both designing and development of the Projects and having experience of direction and administration of activities pertinent to the planning, design, and construction of at least three (3) Projects. (10 Marks)

ii. At least three (3) persons responsible for coordination of the Operations and Maintenance of an airport (landside and airside facilities) and having experience of managing an airport (landside and airside facilities). (10 Marks)

iii. At least one (1) person responsible for the commercial development and marketing of an airport, having experience in commercial management (aeronautical and non-aeronautical) at an airport. (10 Marks)
