FOR EMPANELMENT OF PRINTERS IN SBI, CC,MUMBAI

Applications in sealed covers are invited from the existing empanelled as well as

prospective Printers for empanelment in State Bank of India, Corporate Centre,

Mumbai for a period of 3 years. The applications are invited for empanelment under

following categories,

1. Category 1 In-house magazines / Annual Reports

2. Category 2 Calendars and Diaries

3. Category 3 Marketing Collaterals

A. Application forms and other details can be obtained from Marketing &

Communications Department, Corporate Centre, Mumbai or are available on

Bank’s website bank.sbi or www.sbi.co.in under “Procurement News”, which

can be downloaded.

B. Applications duly filled in and supported by requisite documents/papers etc.

as per Annexure I must be submitted in properly sealed cover to the:

Pre-qualifications for empanelment of printers with State Bank of India

Corporate Centre, Mumbai

1. Applicants must possess at least 5 years of experience in the business of

printing.

2. The Printers should also have registered / Corporate / administrative office

and printing press both, either in Mumbai, Thane, Palghar, Panvel or Navi

Mumbai.

3. The printer should have recorded minimum turnover in each of last three

financial years i.e. 2016-17, 2015-16, 2014-15 for different categories as

under,

Category 1 In-house magazines / Annual Reports Rs. 10.00 crore

Category 2 Calendars and Diaries Rs. 40.00 crore

Category 3 Marketing Collaterals Rs. 10.00 crore

The printer should be having positive net worth for last three years 4. The printer should be on the panel or should be engaged with reputed

institutional customers like Banks / Public Sector Undertakings / Large Private

Sector Corporates.

5. Applicants must be in a position to submit Income Tax Clearance Certificate,

GST Registration Certificate as well as audited Financial statements for the

last 3 financial years i.e. F.Y 2016-17, 2015-16, 2014-15 .

6. Printers should not have been blacklisted / debarred by any Central / State

Government / Public Sector Undertakings / Banks.

7. Printers should not have defaulted on payment of statutory dues.

8. Printer should not have been involved in major litigation that may have an

impact affecting or compromising the delivery of jobs required.

9. Printers should not employ child labour in any of its operations.

10. The printing facility should have adequate protection / measures to prevent

accidental damages arising out of fire / short circuit etc.

11. Printer should have preferably following or similar certifications,

ISO 9001:2015 or ISO 14001:2015 or OHSAS 18001:2007

Only those printers that fulfil the pre-qualification criteria would be considered by the

Bank.

Request for Proposal (RFP) printing of 1) In-house magazines & Annual

Reports, 2) Calendars & Diaries, 3) Marketing Collaterals etc for State Bank of

India Corporate Centre, Mumbai

Applications are invited from reputed and experienced printers for empanelment of

printers with State Bank of India Corporate Centre, Mumbai.

Scope of Work: - The job includes printing of various items which would be procured at State Bank of India Corporate Centre, Mumbai and other offices of the Bank as and when required. There are three categories for printing of various materials, as stated below (i) Category 1 - Printing of In-house magazines, Annual Reports etc. (ii) Category 2 - Printing of Calendars and Diaries (iii) Category 3 - Printing of Marketing Collaterals Printers should also have basic artwork and design facilities, either in-house or outsourced.

DURATION OF THE EMPANELMENT:- Bids are invited only for the purpose of empanelment, which would be valid for a period of THREE YEARS, which is extendable by another period of six months. Post empanelment, the empaneled printers have to participate in all the bidding process initiated by SBI during period of empanelment. If the printers fail to participate in the bidding process of their respective category for more than 3 times without assigning any valid reason (which should be pre intimated to the Bank), Bank reserves the right to terminate the empanelment of the printer. Bank shall evaluate the performance of empanelled printers on an on-going basis and will decide on continuation of empanelment. The decision of Bank would be final and binding on the empanelled printers.

SELECTION PROCESS:- The process of selection will involve following steps: i) The Committee of Bank formed for Empanelment of printers will evaluate printer’s capabilities, quality of printing and ability of man, machine and other facilities on the basis of infrastructure mentioned in the application form. ii) Based on recommendations or past experiences, Committee of Bank may visit business premises of the printers. iii) The committee of Bank will short-list 5 or more printers in 3 categories each, namely Category 1, 2 and 3 to carry out various jobs of printing as indicated in scope of work.

INFRASTRUCTURE: - Printers should have complete set up., viz., printing press, and design services, dispatch infrastructure etc., preferably in Mumbai, Thane, Palghar, Panvel or Navi Mumbai. Parameters for selection of printers in the three categories will be in line with requirement for the above scope of work, as follows:

EXPERIENCE:

The vendors must have printed in last five years for organizations having a turn-over of minimum Rs. 25 crores

at-least three Annual Reports (in 4 colour) with a print run of minimum 1,00,000 copies each, and mailing facilities for dispatch of Annual Reports to its shareholders, three Journals or magazines (in 4 colour) with a print run of minimum 25,000 copies .

at least three Diaries (in 4 colour) minimum 1,00,000 print run using binding / spiral or other methods , three Calendars (in 4 colour) minimum run of 5,00,000 run

at-least three A5 size and 8”x3” standard brochures (in 4 colour) minimum run 1,00,000 and mailing facilities for dispatch of same to Pan India offices of client.

A letter/certificate as per Annexure IV from clients should be submitted in support of the above claim and the same should be accompanied along with the RFP. (Please ensure it is duly signed and stamped on each page. No tender will be considered valid unless accompanied by requisite form(s)/ documents.)

PERFORMANCE GUARANTEE / SECURITY DEPOSIT:- Five or more top technically qualified printers will qualify under each category i.e. category 1,2 and 3. Under these categories, while awarding job to the empanelled printer, the (L1) printer has to submit the Performance guarantee / Security Deposit of 25% (Twenty five per cent) of the contract value favouring ‘State Bank of India’ payable at Mumbai.

GENERAL TERMS AND CONDITIONS a) The Printer who had been awarded printing contract in the past by SBI but terminated during the contract period due to unsatisfactory performance or the printer not accepting printing order at approved rates will not be considered/empanelled. b) The print shop should have own premises / long lease. If on lease, lease period shall cover the period of the contract that will be signed with the Bank. The Printer should have in-house facilities for packaging and dispatch of the consignment wherever required.

c) The Printer shall obtain all necessary local and Govt. approvals and shall abide by all local laws. Printers shall submit relevant papers as and when SBI demands the same. d) The track record of the Printer should be clean and should not have any history of involvement in frauds. A declaration to this effect must be given by the printer on their letterhead. RFPs without this declaration on letter head to this effect are liable for rejection. e) Sub-contracting assigned jobs will not be permissible without prior written permission of SBI. f) The printer shall be responsible for recruitment & managing requisite manpower for undertaking the jobs given to them. SBI will not be responsible/ liable for any issues/ litigation in this regard. g) Tax shall be deducted at source at the time of settlement of bills unless the Printer produces certificates to the contrary from the Income Tax authorities. h) The Printer shall be responsible for bad printing / inferior quality not matching specification given to them at the time of inviting quotations and shall be liable to compensate SBI in monetary terms as may be decided by SBI. Compensation, if any, will be recovered from the bills of the Printers or will be adjusted against the performance guarantee / security deposit. i) In the event of any default or failure in printing / prompt delivery or maintaining quality, SBI reserves the right to take necessary action including inter alia, deducting a suitable amount from the bill payable as a penalty / adjusting against the security deposit and termination of the services without giving notice. j) SBI reserves the right to terminate the contract any time during the currency of the contract period without assigning any reason thereof by giving 30 days’ notice. k) SBI reserves the right to reject even the technically qualified RFPs without assigning any reason. l) Conditional RFPs will not be accepted and will be summarily rejected m) SBI reserves the right to demand more information / documents / clarification from applicants / printers. Anyone failing to furnish the same in stipulated time-frame may not be considered / debarred at the sole discretion of SBI. n) Any legal disputes will be subject to Mumbai Jurisdiction only. OTHER IMPORTANT INFORMATION RFPs received after due date and time will not be accepted by SBI under any circumstances. The applicants shall ensure that the RFP, complete in all respects, reach SBI office before the due date and time as mentioned above.

Clarifications, if any – If required, the applicants may seek various clarifications on or before due date of submission of RFP from Bank. No time will be extended for submission of tender / application. Documents comprising the RFP The RFP Document must be submitted in the prescribed format separately. Applicants should ensure that RFP accompanies all required supporting documents with every page initialled and stamped. RFP Currency All costs and charges, related to the RFP, shall be expressed in Indian Rupees. Disqualification of RFP:- The RFP is liable to be disqualified if – • Not submitted in accordance with the prescribed forms. • The applicant submits the bid with their own conditions. • RFP is received after due date and time. • RFP is not accompanied by all requisite forms / fees and supporting documents. • Information submitted in RFP is found to be misrepresented, incorrect or false accidentally, unwittingly or otherwise, at any time during the processing of the contract (no matter at what stage) or during the tenure of the contract including the extension period, if any. • Applicants may specifically note that while processing the RFP, if it comes to knowledge of the Bank expressly or implied, that some applicants may have colluded in any manner whatsoever or otherwise joined to form a cartel resulting in delay / holding up the processing of tender, then the applicants so involved are liable to be disqualified for this empanelment as well as for a further period of two years. TERMINATION CLAUSE: - The Bank reserves its right to terminate the empanelment for any reason at its absolute discretion including but not limited to the following: • If the applicant is adjudicated insolvent by the Competent Court or files for insolvency or it the applicant being a company is ordered to be wound up by a Court of Competent Jurisdiction. • Applicant commits any breach of the terms of this RFP document. • If any charge sheet is filed by a competent authority of the Government of India against the applicant or company, or the applicant is convicted by a criminal court on grounds of moral turpitude. • The applicant is involved in wrongful billing. In addition hereto wrongful billing shall also result in the applicant being debarred from participating in any future RFP of the Bank for the next three years. • In the event unsatisfactory service or failure on the part of the applicant at any time, to carry out the terms and conditions of the RFP to the satisfaction of the Bank, of which the Bank shall be the sole judge has the right to forthwith terminate the empanelment / financial penalty as deemed fit by Bank. • The empanelment shall stand suspended/ terminated, partially or wholly, as a result of Government of India Policy / Directive to diversify the operations through Government of India's Agencies in which case no claims for nay loss of business shall arise or made against the Bank.

• If during the currency of the empanelment, the quality of services supplied by the printer is found to be unsatisfactory or their services are not found up to the mark, the Bank shall have the right to terminate the empanelment without assigning any reason. Further, the Bank shall be entitled for reimbursement of damages / cost of equipment if any damage is sustained due to any act of the vendor / printer. The decision of the Bank in terminating the Contract will be final and binding on the tenderer / printer. (i) CANCELLATION OF ORDER a).The Bank reserves the right to cancel an order forthwith without any financial implications on either side, if on completion of 50% of the scheduled delivery / Completion period the progress of manufacture / Supply is not to the satisfaction of Bank and failure on the part of the Vendor to comply with the delivery schedule is inevitable. In such an event the Vendor shall repay all the advances together with interest at prevailing bank rates from the date of receipt of such advances till date of repayment. The title of any property delivered to vendor will be reverted to the Vendor at his cost. b). In case of breach / non-compliance of any of the agreed terms & conditions of order / contract Bank reserves the right to recover consequential damages from the vendor on account of such premature termination of contract. c). In case of delay beyond agreed period for liquidated damages or 2 weeks from contractual delivery period whichever is earlier, Bank reserves the right to cancel the order and procure the order items / services from any available source at Bank’s option & discretion and entirely at vendor’s risk and cost. Extra expenditure incurred by Bank in doing will be recoverable from vendor. (ii) BANK’S PROPERTY. All property (such as materials, drawings, documents etc) issued / given by Bank or any other individual or firm on behalf of the Bank in connection with the contract shall remain confidential, being the property of the Bank and the Vendor shall undertake to return all such property so issued and will be responsible for any or all loss thereof and damage thereto resulting from whatever causes and shall reimburse the Bank the full amount of loss and damage. The ownership of the design will at all times rest with Bank, the vendor will have no proprietary or other rights in respect of the same. (iii) SUBCONTRACT & RIGHT OF BANK The Vendor under no circumstances undertake or subcontract any work / contract from or to any other Sub-contractor without prior written approval of the Competent Authority of Bank. In the event it is found that such practice has been indulged in, the empanelment is liable to be terminated without notice and the Vendor is debarred all from future tender enquiries / work orders. However in no circumstances a vendor is permitted to subcontract any part of the contract to the vendors who had quoted for the concerned tender. (iv) PATENT RIGHTS The vendor shall hold harmless and keep Bank indemnified against all claims arising as a result of infringement of any patent / copy rights on account of manufacture, sale or use of articles covered by the order.

(v) USE OF UNDUE INFLUENCE / CORRUPT PRACTICES: (1). The Vendor / Printer / Applicant / tenderer undertakes that he has not given, offered or promised to give, directly or indirectly any gift, consideration, reward, commission, fees, brokerage or inducement to any person in service of the Bank or otherwise in procuring the contract or forbearing to do or for having done or forborne to do any act in relation to the obtaining or execution of the Contract with the Bank for showing or forbearing to show favour or disfavour to any person in relation to the Contract or any other Contract with the Bank. Any breach of the aforesaid undertaking by the Vendor or any one employed by him or acting on his behalf (whether with or without the knowledge of the Vendor or the commission of any offence by the Vendor or any one employed by him or acting on his behalf, as defined in Chapter IX of the Indian Penal Code, 1980 or the Prevention of Corruption Act, 1947 or any other Act enacted for the prevention of corruption shall entitle the Bank to cancel the contract and all or any other contracts with the Contractor / Supplier and recover from the Vendor the amount of any loss arising from such cancellation. A decision of the Bank or his nominee to the effect that a breach of the undertaking has been committed shall be final and binding on the Vendor. (2). The Vendor / printer / applicant / tenderer / bidder shall not offer or agree to give any person in the employment of Purchaser any gift or consideration of any kind as "Inducement" or "reward" for doing or forbearing to do or for having done or forborne to do any act in relation to the obtaining or execution of the contract/s. Any breach of the aforesaid condition by the Vendor or any one employed by them or acting on their behalf (whether with or without the knowledge of the Vendor or the commission of any offence by the Vendor or by any one employed by them or acting on their behalf which shall be punishable under the Indian Penal Code 1980 and / or the Prevention of Corruption by Public Servants, shall entitle Bank to cancel the contract/s and all or any other contracts and then to recover from the Vendor the amounts of any loss arising from such contracts' cancellation, including but not limited to imposition of penal damages, forfeiture of Security Deposit, encashment of the Bank Guarantee and refund of the amounts paid by the Purchaser. (3). In case, it is found to the satisfaction of the Bank that the Vendor has engaged an Agent or paid commission or influenced any person to obtain the contract as described in clauses relating to Agents / Agency Commission and use of undue Influence, the Vendor, on a specific request of the Bank shall provide necessary information / inspection of the relevant financial document / information. (vi) Termination by Default: The Bank reserves the right to terminate the contract of any agency / supplier in case of change in the Government procedures or unsatisfactory services. (vii) FORCE MAJEURE: Neither party will be liable in respect of failure to fulfil its obligations, if the said failure is entirely due to Acts of God, Governmental restrictions or instructions, natural calamities or catastrophe, epidemics or disturbances in the country. The party affected by an event of Force Majeure will immediately notify the other party or such an event and will also notify the other party on cessation of disability resulting from such Force Majeure act.

(viii) RISK PURCHASE CLAUSE: If anytime during the currency of the contract if the Bank finds that; a) Services are not provided in time, and/or b) The vendors' services are found unsatisfactory, and/or c) Services do not conform to the specifications indicated in the RFP. Then in that event the Bank will be at liberty to obtain the services covered under this contract from alternative source(s) at vendor(s)'s risk and cost. In addition to any damages and / or penal consequences, the Bank may impose at its absolute discretion. (ix) PENALTY CLAUSE: Further, if the vendor fails to render service as per the provisions of the RFP / contract, then in that event, the Bank has a right to disqualify the vendor for all future tenders in Bank for the period of five years. Besides, disqualifying the vendor, the security deposit amount would be forfeited. (x) ARBITRATION Any dispute / differences between the parties arising out of and in connection with the Contract shall be settled amicably by mutual negotiations. Unresolved disputes / differences, if any, shall be settled by Arbitration and the arbitration proceedings shall be conducted at Mumbai (India) in English language, under the Indian Arbitration and Conciliation Act, 1996. (xi) JURISDICTION OF COURTS All contracts shall be deemed to have been wholly made in Mumbai and all claims thereunder are payable in Mumbai City and it is the distinct condition of the order that no suit or action for the purpose of enforcing any claim in respect of the order shall be instituted in any Court other than that situated in Mumbai City, Maharashtra State, India i.e. Courts in Mumbai shall alone have jurisdiction to decide upon any dispute arising out of or in respect of the contract.

(xii) PAYMENTS: - The payments will be made in Indian Rupees .The printer shall submit pre-receipted bills in triplicate, in the name of ‘State Bank of India’; the payment will be released within 30 days of submission of complete documents. All payments shall be made subjects to deductions of TDS as per the Income Tax Act, 1961. (xii) CLARIFICATIONS, IF ANY – The Bidders may seek if required clarifications on or before due date of submission of tender. vi. List of Public Sector Undertakings(PSU)/ Public Sector Banks / Large

Private Organization / Private Banks / Co-operative Banks / others etc

where Printer is currently providing their services. A certificate from

these Organization / company as per Annexure III (not more than 15

days old) in support thereof to be enclosed.

vii. Copies of work order for major work done during the last three financial

years along with sample of the work done.

viii. Declaration-cum-Certificate on the letterhead of the printer as per

Annexure II stating that

Company have all the requisite / necessary licenses,

permissions, registrations, certificates etc. for carrying out the

activity of printing.

the printer has not been backlisted by any Central/State

Government/Public Sector Undertakings/Banks or any other

Corporate(s) or regulatory authority;

There are no defaults in payment of any Statutory dues.

No legal, civil, criminal, taxation and other cases pending

against the firm/ Company that may have an impact affecting or

compromising the delivery of services required.

The Unit does not employ Child Labour.

applying (non-refundable) to be paid by DD while submitting the
