• Congratulations to Soraya Pradhan, Lachlan McLeod

and Chloe Pruszinski for making the Grand Final of the Championship Moot and being the runners up against the University of Tasmania! The quality of the moot was exceptional, well done!

2. Law Library Update

• Since our last meeting, the Law Library survey was

distributed to students around week 13. Given the timing of this being so close to exams and swot vac, the survey was completed 153 students. However, the

responses were great and very thorough.

• I met with library management on Thursday the 19th of July to present the results and discuss some next steps. It was disappointing to have met so late in the holidays and so close to the start of semester two.

• Although I was told at the start that no formal decisions

would be made, the meeting was productive in terms of discussing students’ experience with the reduced hours. Some feedback on the survey itself was provided; as I mentioned last meeting, a draft of the survey was sent to a library representative before it was circulated.

• The University library staff are currently busy with the re-

opening of level one of the Barr Smith library. This means that we will be meeting in a fortnight. Between this time, the library will be open until 6pm.

3. ALSA Conference

• Thank you to the following students who attended the

• Sophia and I will be presenting a verbal report about our

experience attending Council. It was once again fantastic to meet with other students from different LSS/A’s. ALSA Council provides an invaluable opportunity to discuss a range of issues affecting law students and it was great to contribute to the ‘knowledge sharing’. It was also a lot of fun to take our interstate friends to some iconic Adelaide establishments; La Sing and Super Cali.

• The Adelaide Delegation went out for dinner on the Friday night to Melt which came to a total of $254. Last year’s delegates also went out for dinner in Canberra, unfortunately I couldn’t find details of how much it cost in comparison!

• Well done to Nicholas Michalakas and Brooke

Washusen for coordinating the International Humanitarian Law Moot and Witness Examination competitions respectively.

4. Adelaide Law School Review

• Thank you to those who attended the Law School review session held during the holidays. It was very much appreciated by the Law School and I’m sure the panel also appreciated the student insight.

5. University of Adelaide Open Day

• I’ll be touching base with Jessica Viven-Wilksch to continue discussing the Law School’s plans for Open Day. It will be held on Sunday the 12th of August; I will let the committee know if they can be of any assistance on the day.

6. South Australian Uniform Clerkship Scheme

• Good luck to those who have applied for clerkships both as part of the South Australian Clerkship Scheme and interstate. The process of applying for clerkships and graduate programmes can be very daunting, draining and disappointing so I encourage you all to take care of your physical and mental wellbeing during this time.

• Thank you to Soraya and the Careers and Sponsorship

portfolio for coordinating a very successful Clerkship Series last Semester; I am absolutely certain that it would have helped students throughout the process of applying.

• In future, I recommend that the Law Society of South

Australia takes charge in organising the South Australian Uniform Clerkship Scheme. This would follow interstate practice and could help better regulate the program and (perhaps) raise more awareness. Otherwise, it has been

relatively easy to coordinate it scheme with Flinders and Uni SA.

7. Law and Med Sport/Suits and Scrubs Party

• Planning for our interfaculty sport and social event will

kick-off soon. Once we have a better idea of what the event will look like I will call for some volunteers from the committee to help with the planning and running of the day.

8. Election Discussion

• One thing I am committed to improving is the current

election process. I am very eager to hear your thoughts and views on how our elections operate as I have some ideas on how we can better improve it.

• I am very keen to introduce an ‘AULSS Election Guide’ so that more students are aware of the election process and consider running for a position. I imagine this guide would include candidate statements for students running for an executive position as well as an informal interview with the outgoing executive.

• Following our change in the way we co-opt and appoint

students to the committee, I would like to continue our commitment to making the AULSS as accessible, fair and transparent as possible. As such, I would like to hear your thoughts on the removal of ‘tickets’ or alternatively; reducing the size of tickets to the executive or the size of a portfolio.

9. Committee Expectations • A reminder that you are expected to attend most AULSS

events; this spans from Careers and Sponsorship seminars to Competition Grand Finals. As we discussed last semester, if you aren’t able to to attend an event please try your best to make up for your absence in some other way.

1. AULSS Apparel

All the AULSS hoodies have been picked up and the new design was a hit, with record sales! We are now gearing up to begin selling AULSS rugby tops. We have finalised the designs and hopefully the rugby tops will be on sale before this Committee meeting. The headline is that we will have two rugby designs available this year for the first time:

• our traditional blue/white horizonal stripes rugby top, which is identical to last year’s very popular style; and

• a new, plain navy rugby top with a white collar.

I hope that these rugby top designs will become something of a ‘staple’ in the AULSS merchandise line-up. Meanwhile, the hoodies can change annually with a new, democratically-chosen design by the student cohort. Thanks again to Ali and Annabel for design help!

The main points are:

• the AULSS made a very slim profit for the Financial Year ended 30 June 2018, but our approach to finances can essentially be seen as ‘balancing the budget’ because the profit is so small compared to our total revenue (e.g. think of our $2.3k profit as ~20 Law Ball tickets!);

• this Committee has so far generated a significant cash profit, but please note that the cash basis of this calculation means it is susceptible to being skewed by timing differences (e.g. sponsorship income is almost entirely received by this point in the year, but we still have several months of expenses to come); and

• the AULSS currently has approximately $7-8k more cash than it did at this time last year.

4. AULSS Sports continues

Our three netball teams are progressing through their respective mixed social netball seasons. We certainly have room to add some more players to the teams! The games are at ICA Stepney (very short drive from the CBD) on Monday, Tuesday or Wednesday evenings, depending on the team. If anyone is interested in joining a team on one of those nights, please let me know!

I am also thinking of sending out a survey to all our LSL cardholders in order to get some hard data about the program. Fortunately, I took down every purchaser’s University ID, which will make a targeted email possible. The survey would be used to:

• understand why students buy the card; • improve the offering in future years based on

students’ preferences; and • market the program better to businesses by

using data on the frequency with which students use their card and collecting positive feedback.

I anticipate that survey data like this will make it significantly easier to maintain and grow the program in future years, since it was difficult to get the program up and running this year. The main issue I can see with this idea is that students might be sick of surveys!

1. End of Exams Party

• This went well and was extremely busy particularly early

in the night.

• The 75 drink cards had all been handed out by 9:30pm so it was good to see many people were attending early.

• There were lots of people on the dance floor before 10pm while it was exclusive so there was definitely good attendance.

• Distill was a good venue to work with and fast with replies on Facebook although slightly disorganised on the night. Law students seem to love this venue so we will keep going back.

• Photos have been uploaded to the Facebook page.

2. Back to School Party

• In her absence, I’d like to thank Annabel for helping to organise this party.

• Hope to see you there this Friday night!

• There’s free entry all night and free drink cards for the first 80 people to attend if that’s any incentive.

3. Quiz Night

4. Law Dinner

• Following our discussion at the last meeting regarding non-alcoholic tickets, I spoke to our contact at the InterContinental about Law Dinner and I’m happy to announce that we will have non-alcoholic tickets

available for this event for a reduced price. This is financially beneficial for both non-drinkers and under-18s. This includes a soft drinks and juice package.

• Concerns were raised between Alison and myself about the potential abuse of these tickets if people purchase one and drink. We discussed this at ALSA council and have some procedures which will be put in place. There will be a strict no tolerance policy and people will be removed from the event if they are found drinking as a non-alcohol ticket holder or sharing alcohol with non-alcohol ticket holders.

• The dinner will be a two course meal and I want to ask if

people would prefer an entrée and main or a main and dessert?

5. Non-Alcoholic Wellness Event

• I met with Eloise, our AULSS Health and Wellbeing Officer, and the three Lex Salus Ambassadors, Gaida, Lesley and Tina, and will be running a non-alcoholic event in collaboration with them.

• We discussed lawn bowls or croquet as a fun event that

can also be wholesome for law students and get them outside in the sun.

• It will be good for the Activities Portfolio to extend from working strictly within the portfolio to furthering the reach by facilitating officers’ ideas for events.

Engagement As always, it’s really important we keep engagement with social media up. We have received some good feedback in relation to our Facebook post recently, so thank you to everyone who is making an effort to like sponsored content. sponsor from the first tranche of sponsorship) that we are waiting for payment and re-sent the invoice.

2. Careers & Sponsorship Survey

Results The C&S Survey was circulated to all students via email and Facebook towards the end of Semester 1. We received a hefty 93 responses, which was a great outcome! There were a roughly equal number of respondents from each year level, which was also encouraging. The results reflected the following:

• The primary interest area and requested seminar was in Government, Policy and International Relations.

• This was closely followed by Criminal and Family Law.

• As expected, a wide variety of other areas of interest were raised, including medical, migration, environment, advocacy and IP law.

• There was significant interest in pamphlets on non-legal careers, as well as contact with members of the industry.

• Highlights included the seminar suggestions of “The Bachelor but with Nick” and “How to find a job”

These results were largely as expected, and will be integrated into our Semester 2 projects. Results have been forwarded to the Next Steps coordinators and C&S Reps. Prizes I downloaded a list of survey participants, and the C&S team chose 3 numbers at random. Committee members were excluded from the list. The participants corresponding to the numbers were the winners of their choice of a Keep Cup or free drinks card at the next eligible activities event. The winners were Iniciana Chin, Charlotte Valencic and Adriano Rotolo. They have been emailed to notify them of their tremendous achievement.

3. Next Steps Seminars

Next Steps plan to hold the following seminars in Semester 2:

• Careers Beyond Law - Tuesday 7 August, Lunch (see notes above re: Non-Law Careers)

• Pursuing a Career in the US - Tuesday 14 August, 12pm

• Women and the Law - Wednesday 29 August, Evening

• Networking - Tuesday 11 September, Evening Upon receipt of the survey results, we are collaborating on the first session (Tuesday 7 August) and making it into the “Government, Policy and International Relations” seminar. We are in the process of confirming speakers.

4. Semester 2 Projects

At the time of the meeting, the C&S Reps would have finalised plans and budgets for their Semester 2 Projects on the following topic areas:

• Non-Law Careers (India and Belal) • Criminal/Family Law (Liv and Tyson) • Early Stage Law Students (James and Liv)

As this has not been finalised at the time of writing this report, I will defer to discussion.

5. Trivarsity Fair Negotiations

A meeting in relation to the 2019 Trivarsity Fair was held on Tuesday 17 July at 7pm. Our negotiation position was that, while we were happy to run the fair again as it did this year, we would like to explore the following options:

• Running the Fair in Bonython Hall • Having a student organised fair rather than being

run via AAGE • Keeping the profit share as is (30% fixed split,

70% on proportion of attendees) or increasing the share on attendance, with a better counting mechanism.

FLSA could not attend at the last minute, so Ali and I spoke to the USALSA reps. Generally, it appears that both universities expect the Trivarsity Fair to go on as it did this year. All significant changes were opposed and at many points the tone was less than ideal. I think that the 2017/18 AULSS should not agree to any Trivarsity Fair arrangements unless it is hosted at Bonython hall. Attendance is the single most important factor for the Fair, both in terms of attracting firms and for providing an accessible event for students. While the University of Adelaide did well this year compared to other universities, 244 attendees is not very large when considering a) attendance in previous years to the AULSS Careers Fair b) a possible bump in numbers from being the first year of the event and c) the significant promotional efforts made this year. Continuing to hold it off-site means that there is a risk attendance will drop in 2019, compromising the success of the event. Further, the Trivarsity Fair did not appear to be of a higher quality or more beneficial to students than an AULSS Fair. Accordingly, given that the AULSS may hold its own Careers Fair in 2019, it is at this stage unclear why we would inconvenience students when we could provide a comparable service. On this basis, Alison and I will continue to negotiate with the position that the only deal we will agree is a Trivarsity Fair at Bonython. If the other universities do not agree to this, they can proceed to negotiate with the 2018/19 Committee.

1. Engagement with mid-year entry students

• The Education Team attended the first Foundations of

Law Lecture for Semester 2 earlier today, to introduce ourselves to midyear entry students and encourage them to like the fb page and join the First Year fb group to stay up to date with AULSS news / events.

• As discussed at the last Committee meeting, rather than

having a separate social event solely for mid-year entry students, we would prefer to run an integrated first year social event for all first years

2. First Year Drinks Night (or alternative social event)

• The plan is to hold this in Week 2, though at the time of

writing this Report, details are still being finalised • Since we held the First Year Drinks night at Distill, I

would be keen to change up the venue – possibly Belgian Beer Café or Nola or similar?

• Alternatively, we were considering holding a social event other than a Drinks Night, but the issue with this is that unless it a low-key law school event, it may be quite costly/an administrative nightmare

3. Electives Guide

• We are starting to plan the content of this year’s Electives Guide

• Have looked at similar guides published by other universities as a starting point, as well as our previous ‘Wallmans Electives Guide’ from a few years ago

• Ideally, we would like it to be as up to date as possible (acknowledging of course that some electives may differ from one year to the next)

- Strategic Space Law - Intro to Environmental Law

4. Legal Research Seminar • We are hoping to hold this as a new skill development

seminar this year • The plan is to prepare slides/summaries for attendees

(based loosely on a presentation Jaime the previous research librarian had given) and will go through things like running Boolean searches, which databases to use for what sources, and general tips for effective legal research/ writing casenotes etc.

• NOTE: if we also take on board Eloise’s suggestion to run Legal ‘Pop-Up’ workshops, we could run say three over the course of the semester, promote them online as a drop-in style session and provide advice to attendees re AGLC compliance, structuring assignments and legal writing etc, without actually re-writing assignments for students (effectively like a “law specific” Writing Centre for all year levels).

5. AULSS Survey

• Based on the 2017 Survey as well as our own additional ideas, we have started planning possible questions to be included in the annual AULSS Survey

• We are aiming to have a draft finalised by early next week to circulate among the Exec for any amendments or portfolio-specific additions before sending it out to all students for completion

6. Awards Ceremony/Recognition

• This is a proposal at this stage rather than a concrete

event (may need to run past Melissa/other relevant people)

• It is anticipated that this will be good for strengthening ties between the law school and the profession

• As a basic concept, we were thinking of holding an evening (maybe on Level 5 of Liggy or another suitable venue on campus) acknowledging the contributions of certain members of the profession to student life/education/mentoring of young law students

• If successful, could become an annual tradition

The social justice portfolio has been busy drafting the constitutional amendments for the introduction of a First Nations Officer to be considered at the SGM.

Our advocacy campaign on Indigenous Persons and the Law has begun. We are in the midst of planning an event for the 9th of August- originally a social justice evening to be held at a bar function area was considered, however we have decided in light of the topics to be discussed it would not be an appropriate setting. We are considering other options such as hosting something at the law school or sticking to the social justice breakfast format.

We have begun researching and writing the volunteer handbook, which will provide information for students wanting to volunteer in both legal and non-legal areas.

In response to a request from the Women’s Legal Service we are going to be hosting an event in the law school for their ‘Warm Up and Serve Fundraiser’ on the 15th of August. In light of the success of the walk for justice sub-committee, we will be re-engaging them to be involved with this event.

Coordinators for this semester’s comps are:

• First Year Moot - Jasmyn and Elliette • Novice Moot - Tim and Gaida • M&A - Mitch and Jack

Gaida and Tim both expressed to be last semester that they would be interested in competing in the M&A comp so we have kept them detached from the organisation of the comp.

2. Moot Judges We will be using student judges for the preliminary rounds of FYM and Novice as was done last year. Beyond this, we will use professionals. The grand finals will be on the same night as it was last year (FYM then Novice back to back). I’m hoping that we will be able to have a three-judge panel, including Chris Bleby SC. I have attached the Semester 2 Comps programme outlining dates for the Semester (and tentative dates for M&A - see below about whether a shorter timeframe might be better for this comp) Hopefully this will mean that we are done with comps by mid-semester break this semester.

3. Comps info seminar

Tuesday 24th July is the date. This seminar will be to give a run-down of the FYM and Novice Moots, as well as to introduce the M&A competition.

4. Comps rules Update Each of the coordinators has undertaken a review and re-drafting process for their comp’s rules last semester. I am in the process of reviewing each of them and creating a uniform conflicts and review process. Mitch and I are adapting the open moot rules so that we can use the updated ones for Novice and FYM this year. As soon as they are all finalised I will circulate them to Exec and Committee meeting for further review and discussion. Many thanks to the coordinators for giving up time in their holidays to undertake this massive task – it will hopefully result in smoother sailing for future comps teams.

5. Mergers & Acquisitions Comp We have designed the AULSS Mergers and Acquisitions Comp to take place this semester over a weekend. We have reviewed the Deakin LSS and Monash LSS models for M&A comps and think that the Deakin model, which uses 3 rounds rather than 4, is preferable. The rounds will be:

• Preparing a memo of advice for the takeover; • Conducting an Interview with the client in which the

takeover is explained (probably using the same format as our existing CI comp);

• A negotiation with the other side to finalise the acquisition (using the same format as our existing Negs comp).

DEAKIN STRUCTURE Structure 1. Written Takeover Advice

• Stage one involves the parties drafting a Letter of Advice that addresses the key issues of the problem

question in a succinct and logical manner (approx. 800 to 1000 words).

• Don’t fret however! We will be providing a guide to the law surrounding M&A transactions.

2. Oral Takeover Advice

• Four Teams will progress to Stage 2, based upon assessment of Stage 1;

• Stage two involves presenting their written advice to the client;

• The judge, who will act as the client, is open to asking questions at any stage;

• Competitors will have 15 minutes to present their oral arguments.

3. Negotiation

• Two teams will progress to Stage 3, based upon assessment of Stage 2;

• Stage three requires the competitors to negotiate an agreement of sale with the opposing party;

• Each party is provided with a written summary containing their client’s instructions.;

• The negotiation will be allocated 40 minutes and will be followed by a 10 minute reflection by each

team.

Workload

• Stages 1 and 2 are specifically designed to introduce students to M&A in the private sector, with

material provided to guide students with what may be an unfamiliar area of law;

• Competitors with be provided with a Guide on which to base their legal advice. This is to be read

in conjunction with the Corporations Act;

• Competitors are advised to be very familiar with their written arguments in the oral stage and have

a detailed plan of action when approaching the final negotiation. Formality Teams must maintain professionalism and business etiquette throughout the oral and negotiation stage. Business attire is essential.

MONASH STRUCTURE MERGERS AND ACQUISITIONS Introduced in 2015, the Mergers and Acquisitions Competition is the most recent addition to the range of competitions offered by the LSS Competitions Portfolio. Run with the generous support and expertise of Gilbert + Tobin, this competition requires you to step into the shoes of a transactional lawyer and run a takeover from beginning to end. Competitors will be working in teams of three and will be required to progress through the following rounds: 1. Round One: Takeover Advice – where students prepare a memo with initial advice to the client 2. Quarter Finals: Pitch Presentation – where the top 8 teams deliver their advice to their client in an oral presentation 3. Semi-Finals: Contract Analysis – where the top 4 teams will receive a draft contract and must prepare a list of issues with the document 4. Grand Final: Contract Negotiation – where the final 2 teams will engage in face-to-face negotiations to develop the final details of the bid implementation agreement The Mergers & Acquisitions competition is designed to test the students’ whole toolbox of legal skills – from giving advice and presenting a pitch to contract analysis and negotiation, and everything in between. This is the ultimate experience for anyone wanting to see what real life lawyering is about. It is also an incredible opportunity for skill building and networking as each stage of the competition is assessed by Gilbert + Tobin lawyers, with the Grand Final negotiation being held at the firm’s office. “The competition was of real world commercial relevance and posed a simulated real-life scenario in which the problem could be tackled.” – a 2017 Competitor. This competition is open to LLB and JD students who have completed Contract A & B. Students wishing to participate in the Mergers & Acquisitions competition must register themselves online before the commencement of Round 1. Students should note that a majority of the competition will be conducted online.
