The White Paper will provide "cumulative cost curves" for U.S. uranium mine production to show the impact of the proposed remedy on the cost of US

As we discussed, Energy Resources International, Inc. (ERI) is pleased to submit a proposal to Tenam Corporation (Tenant), a Maryland corporation, regarding ER1 consulting services. ERJ understands that Tenam would like to obtain an independent review of the expected costs and production schedules for U.S. uranium mines if production from said mines is increased in response to proposed quotas in the Section 232 Petition now under consideration by the U.S. Department of Commerce (DOC). This letter and its attachments provide ERI's proposal to perform the scope of work (SOW) identified in our phone conversation on August 3, 2018. Attachment 1 provides ERI’s proposed SOW and Delivery Dates based on ERI’s understanding of your needs.

ERI Nuclear Fuel Market Experience

ERJ, established in 1989, is an international energy consulting firm located in Washington, District of Columbia, in the United States (U.S.). ERJ specializes in nuclear energy consultation and more specifically the financial and business analysis of nuclear fuel markets and the individual nuclear fuel suppliers that are active in the U.S. and worldwide markets. Since its inception, ERI has assisted nuclear operating companies with the development of procurement plans for nuclear fuel and with review of bids and contracts for uranium as well as other nuclear fuel components. In addition; ERI publishes an annual assessment of the nuclear fuel markets (uranium, conversion services, enrichment services, and fuel fabrication), the Nuclear Fuel Cycle Supply and Price Report, which is subscribed to by nuclear operating companies, fuel suppliers, and government agencies. As a result of this annual undertaking, ERI is familiar with the nuclear fuel markets, including supply and demand for uranium in all forms: nuclear fuel suppliers; and nuclear fuel brokers and trading companies. A summary of ERI's qualifications is provided in Attachment 2 to this letter.

ERI Principal Consultants

ER1 Principal Consultants. Thomas Meade and Eileen Supko, both have more than 30 years of experience in the nuclear fuel market, in the area of nuclear fuel procurement, nuclear fuel market analysis, and providing nuclear fuel consulting services. Curriculum vitae for Mr. Meade and Ms. Supko are attached to this proposal (Attachments 3 and 4, respectively). Both Mr. Meade and Ms. Supko will work extensively on this project.

Mr. Meade and Ms, Supko are both knowledgeable regarding economic analysis of existing and proposed sources of nuclear fuel supply including natural uranium, supply/demand analysis and price projection. Ms. Supko also has extensive experience testifying in adjudicatory environments.

Scope of Work and Delivery Dates

As noted above. Attachment 1 to this proposal provides ERl's proposed Scope of Work. The DOC has set a rather short 45 days for interested parties to provide comments, with all comments due by September 10, 2018. In order to allow Tenam time to review and comment on the ERI deliverable, ERI will deliver the report to Tenam via email by close of business on September 3, 2018. This schedule will require an expedited effort by ERI. If DOC extends the comment period subsequent to the delivery date provided in this proposal, Tenam and ERI will reschedule the delivery date by mutual agreement.

Compensation

Attachment 1 provides ERl's price quotation to perform the Scope of Work for a fixed price of USD $40,000. This includes ERI consulting time, and any expenses that will be required to perform this scope of work, exclusive of travel. As noted in the SOW, work requested after the issuance of the Final Report will be provided at ERFs hourly rates or other arrangement as mutually agreed upon.

Payment terms are 50% ($20,000) due within seven days of acceptance of this proposal, and 50% ($20,000) no later than 30 days following delivery of the Final Report. The following information is being provided for your use if payment is made via wire transfer:

ATTACHMENT 1 STATEMENT OF WORK

ERI understands that Tenant (Client) would like to obtain an independent review of the expected costs and production schedules for U.S. uranium mines if production from said mines is increased in response to proposed quotas in the Section 232 Petition now under consideration by the Department of Commerce (DOC). The Report will answer the basic question: "Where would new US production come from andwhat would it cost?”

Scope of Work

ERI will provide a Report providing the following Scope of .Work:

1. High level review of the Section 232 Petition and proposed remedy.2. Quantification Of U.S. requirements for natural uranium that would be subject to the

Section 232 Petition through 2030.3. Description of U.S. mining industry including individual companies and current and

proposed or potential uranium mines.4. Description of available cost information for individual U.S. uranium mines.5. Discussion of factors impacting the schedules to return existing U.S. mines from

current low production or care and maintenance status to full operation or to bring new U.S. mines into production.

6. Factors include permitting, local opposition, re-staffing, capital costs.7. Additional cost impacts resulting from above factors.8. ERI will make use of resources provided by Client and others as available, but will

make its'own independent judgement of the reliability, value and usefulness of such

resources.9. Develop all-in costs for each U.S. uranium mine using ERI’s discounted cash flow

Delivery Dates

ERI consultants will start work as soon as approval is received from Client.

A Draft Report will be completed by ERI and delivered by close of business on September 3, 2018. Comments received from Client will be incorporated into the report as deemed reasonable by ERI. The Final Report will then be delivered to Client by 12:00 noon EDT on September 10, 2018. ERi will provide its best effort to deliver the Final Report earlier, but this will depend on the timing of the receipt of Client comments, as well as the depth of the

comments.

ERI consultants will be available to answer questions via phone or in person at Tenarh’s Washington DC offices.

Compensation

ERI agrees to perform the above SOW, resulting in the issuance of Draft and Final Reports, for the fixed price of USD 40,000. As noted above, work requested after the issuance of the Final Report will be provided at ERI's hourly rates or other arrangement as mutually agreed

upon.

Energy Resources International, Inc.

ERI was established in January 1989 to provide consulting services to electric utility companies, suppliers of nuclear fuel materials and services, private industry, government agencies, investment banks, and industry associations, in the U.S. and worldwide. It has done this successfully for the past 29 years. ERI is not affiliated through ownership or joint venture arrangements with any nuclear fuel supply company or nuclear power plant operating company. ERI is an independent consultancy and has never brokered or traded nuclear fuel products.

Since its inception. ERI and its staff have been providing its highly diversified base of clients with consulting support in the areas of commercial, financial, economic, market risk analyses, cost benefit analyses, strategic and operational financial planning, as well as support of regulatory activities associated with the U.S. and world market for nuclear fuel.

ERFs Principal Consultants who will lead this project, Mr. Thomas Meade and Ms. Eileen Supko, together have more than 60 years of expertise in the nuclear fuel market, including providing clients with consulting services relevant to market research related to nuclear fuel, including enriched uranium product (EUP) and nuclear fuel components, and the ways and means of procuring these services and materials. Both Mr. Meade and Ms. Supko have advised utility companies and international organizations regarding the markets for and procurement of LEU and its components (uranium, conversion services and enrichment services).

ERI has the necessary resources to guarantee the satisfactory performance of the services under the schedule required by the Scope of Work. ERI consultants have performed similar levels of effort for ERI clients many times and are experienced in managing complex analyses, tracking budgets and costs and meeting contract deliverables.

ERl's Principal Consultants have direct and in depth knowledge of the international market for uranium in all forms. Both Mr. Meade and Ms. Supko are recognized as experts in the international nuclear fuel market, including the international market for uranium as well as all other nuclear fuel components. Mr. Meade and Ms. Supko are the primary authors of ERFs Nuclear Fuel Cycle Supply and Price Report, which has been published by ERI annually since 1989 and has been purchased by subscription by nuclear operating companies, fuel suppliers, trading companies, investment banks, and government agencies. Mr. Meade and Ms. Supko are also the primary' authors of recent analyses performed under contract to the U.S. Department of Energy to assess the potential effects on the domestic uranium mining, conversion and enrichment industries of the introduction of DOE inventories into commercial markets.1

Mr. Meade is a principal owner and serves as Chairman of the Corporate Board of Directors at Energy Resources International, Inc. (ERI), a Washington, D.C. based nuclear fuel cycle consulting firm. Previous positions in the Corporation irtclude Vice President and Senior Consultant. He has provided consulting services to electric utility companies, suppliers, industry associations, and government agencies on an international basis since the early 1980s. His areas of involvement have included market analyses for all components of the nuclear, fuel cycle, including uranium supply, conversion services, uranium enrichment services, uranium and mixed-oxide (MOX) fuel fabrication, reprocessing and disposal of high-level nuclear waste. In each of these areas, Mr. Meade has also provided a broad range of assistance to his clients in policy formulation, strategic planning, commercial and economic evaluation, and technical analyses.

Mr. Meade is a primary author of a major annual report covering all aspects of the nuclear fuel cycle, subscribed to by a significant number of international nuclear operating companies and nuclear fuel suppliers. He has performed viability assessments and due diligence reviews of major fuel supply companies, developed and supported the implementation of fuel procurement strategies for nuclear operating companies, evaluated strategic inventory policies, reviewed commercial, economic and technical aspects of vendor proposals, and assisted clients in contract negotiations. He has reviewed and provided comments to DOE/NNSA regarding elements of a draft manufacturing services agreement and proposed MOX pricing, and has provided support to DOE/NNSA during vendor negotiations. He has extensive experience analyzing the impacts of government actions on commercial markets, including the implications of government inventory releases as well as the implications of proposed uranium and enrichment legislation. Mr. Meade has supported applicants in federal regulatory hearings associated with the need for new uranium enrichment facilities. He has also performed analyses of historical and future impacts of different energy sources on electric power sector emissions of greenhouse gases in the U.S. and internationally and has evaluated the impact of SO2, NOx and CO2 emission allowance trading on their economic competitiveness. In addition to his other consulting activities* Mr. Meade has authored numerous articles on commercial aspects of the nuclear fuel cycle and has co-authored industry handbooks on uranium, enrichment services and conversion services.

Mr. Meade has extensive experience in the development, implementation and modification of analytical computer models covering a variety, of fuel supply and energy sector activities. These include nuclear fuel cycle planning and accounting, price projection and market analysis, nuclear fuel supplier production cost profiles, demand projection, economic competitiveness of available energy sources, CO2, SO2 and NO* emission projections, uranium, enrichment and spent fuel storage project economics, and spent fuel generation, storage and shipping. He is also the lead for ERI’s FUELMACS© software product, a comprehensive nuclear fuel management and accounting system used by a number of electric utility companies.

Mr. Meade began his career with Pickard, Lowe and Garrick, Inc., a nuclear energy consulting firm in Washington, D.C., where his activities covered the full range of nuclear fuel management and consulting. He developed numerous computer-based analytical models including a probabilistic fuel cycle cost model; a nuclear fuel transaction and reporting system with accounting detail; a spent nuclear fuel generation, storage and shipping model; a comprehensive enrichment services pricing, model and a simplified nuclear fuel planning model. He was also responsible for a comprehensive fuel cycle scheduling and economic analysis code in use at a number of utilities. He performed spent fuel storage pool criticality analyses. Radioactive Materials Transport: Ms. Supko provides analysis and consultation regarding radioactive materials transport including review and analysis of proposed changes to U.S. Nuclear Regulatory Commission, U.S. Department of Transportation, and International Atomic Energy Agency regulations for the transport of radioactive materials. She is the principal representative in North America for the World Nuclear Transport Institute, an international association of companies involved in the transport of radioactive materials. She was the principal investigator and author of Spent Nuclear Fuel Transportation - An Overview on behalf of the Electric Power Research Institute (EPRI), to summarize the technical, regulatory and policy framework for transporting spent nuclear fuel.
