Cowlitz PUD invites your bid for furnishing all labor, tools, and equipment necessary to install
District-supplied underground 12.47 kV three-phase cable, 7.2 kV single-phase cable, 240V
single phase triplex secondary cable and communications cable throughout Cowlitz
County, Washington. This contract will be for an initial term of one year beginning April 1,
2020, with the option to extend annually for three additional years. Please see the

ADVERTISEMENT FOR BIDS
Notice is hereby given that Public Utility District No. 1 of Cowlitz County (Cowlitz PUD) is
seeking bids for the furnishing all labor, tools, and equipment necessary to install District-
supplied underground 12.47 kV three-phase cable, 7.2 kV single-phase cable, 240V
single phase triplex secondary cable and communications cable throughout Cowlitz
County, Washington as detailed in the specifications on file and available at the
Cowlitz PUD’s Main Office. This contract will be for an initial term of one year beginning

Bids must be submitted to Cowlitz PUD, Attention: Sealed Bids, 961 12th Avenue, PO Box
3007, Longview, Washington 98632 before 2:00 p.m., Friday, February 21, 2020, and will
then and there be publicly opened. Bids shall be sealed and clearly marked "Sealed
Bid, Contract UC1733 – Underground Cable Installation Contract” and show the date
and time of bid opening. Bid security is required in the form of a Bid Bond, Cashier’s
Check or Certified Check in an amount equal to five percent (5%) of the amount of the
bid proposed.
Any bidder may withdraw their bid either in person or by written request at any time
prior to the time set for the bid opening. Cowlitz PUD reserves the right to accept or
reject any or all parts of any bid received; to reject the bid of any bidder who, in the
sole judgment of Cowlitz PUD, may not perform work acceptable to Cowlitz PUD; and
to waive any irregularities in the bids.

INSTRUCTIONS TO BIDDERS
1. SCOPE OF WORK
This proposal encompasses contract labor to install District-supplied underground
12.47 kV three-phase cable, 7.2 kV single-phase cable, 240V single-phase triplex
secondary cable and communications cable. Installations are generally along
County rights-of-ways, but can also be located on State highways or private
property. The successful bidder shall be given specific job specifications
throughout the plow season. It is expected that approximately 8 miles of single-
phase cable/duct will be installed during this plow season.
This contract is for an initial period of one year, with an option to extend annually
for three additional years upon mutual agreement. At each extension of the
contract, the contractor will be given the opportunity to adjust unit prices to reflect
changes in the economy.
2. LOCATION
The location of jobs will be primarily along rural Cowlitz County rights-of-ways or
private roads. Some jobs may require work along Washington State or city rights-
of-ways, inside easements on private property just outside the right-of-way, and
inside easements on private property along the backside of city lots (backyards).
On rare occasions jobs will require bridge attachments and cross country
installations. All jobs will be located inside of Cowlitz County, Washington. Where
applicable all work shall comply with local City/County policy. Therefore, the
successful bidder should thoroughly familiarize themselves with the appropriate
and most current City/County Accommodation of Utilities in Road Rights-of-Ways
publications, including all environmental requirements.
The District anticipates underground cable installation work to be performed
along the following roads during the 2020 contract term:

3. WORK CONDITIONS OF JOB SITES
Bidder acknowledges satisfaction with the nature and location of the work, the
general and local conditions, particularly those bearing upon handling and
storage of materials and equipment, availability of labor, roads, and uncertainties
of weather, water tables, or similar physical conditions at the sites, the
conformation and conditions of the ground, the character of the equipment and
facilities needed for the prosecution of the work. Any failure by Bidder to be fully
acquainted with all of the available information will not relieve a successful Bidder
from the responsibility for the successful performance of the work. Work at a job
site will not be considered complete until final County/State Road Department
approval is obtained.
4. SCHEDULE
Bids Due: February 21, 2020 by 2:00 p.m.
Contract Award: March 10, 2020
Begin Work: April 1, 2020
5. CONTRACTOR ELIGIBILITY
Washington State recently passed legislation requiring all contractors to complete
certain training prior to bidding or performing work on public works projects.
Training is provided by Washington State Department of Labor and Industries (L&I)
and may be completed online or in person at several scheduled training classes
around the state. Contractors that have been in business for three or more years
and have completed three or more public works projects are exempt from this
requirement. In order to bid on this project, your company must have record of
performing the training or qualify for the exemption. For additional information,

6. EXPERIENCE
A responsible Bidder shall have at least three years of experience of electric utility-
type work that is anticipated in the proposal. Bidder shall provide references for
similar work performed within the last three years. Such references shall be listed
on the form provided in Exhibit D.
7. CONTRACTOR’S PROPOSAL
The prospective Bidder's Proposal shall consist of:
1. The completed Bid Form, Parts 1 and 2
2. Bid Security of not less than five percent (5%) of the total bid as tendered in
Exhibit “B”, Page 1, must be submitted with the bid. Bid security shall be in
the form of a cashier’s check payable to the order of Cowlitz PUD, or a bid
bond with a corporate surety licensed to do business in the State of
Washington, conditioned that the bidder will pay the District as liquidated
damages the amount specified in the bond, unless such bidder enters into Contract UC1733, Underground Cable Installation Bid Packet

a contract in accordance with its bid and furnishes the performance bond
within ten (10) days from the date on which it is notified of contract award.
3. Completed experience forms (see Exhibits C, D and E).
4. Photos of the specific equipment the Bidder plans to use in performing work
under this contact. Equipment shall comply with the requirements of
sections 1 and 2 of Specifications (see Exhibit A).
a. Track-type prime mover plow equipment, photos shall include:
i. The complete machine, showing track-type prime mover with
rubber tired pull equipment attached to shear tooth.
ii. The cable carrying assembly.
iii. A close-up view of the plow shear tooth and cable chute.
iv. A rear view of maximum plowing offset with a tape measure
showing offset distance.
b. Boring machine and related equipment, photos shall include:
i. The complete machine
ii. Dump truck
iii. Reel carrying assembly
iv. Vacuum trailer
v. Mini-excavator
Sealed bids are due by 2:00 p.m. on Friday, February 21, 2020 and may be
submitted by mail or otherwise delivered to the attention of Sealed Bids, Cowlitz
PUD, 961 12th Avenue, P.O. Box 3007, Longview, WA 98632. Bids must be clearly
marked “Sealed Bid - Contract UC1733 – Underground Cable Installation
Contract”. All bids must be submitted on the Bid Form, attached as Exhibit B.
8. BID EVALUATION AND AWARD
The District’s evaluation of the bids will be based on the most responsive,
economical and responsible bid. The District shall consider the qualifications of
the Bidders, including specific crew experience in the electric utility field of work
and equipment operation (see Exhibits D, E and F), work experience with the
District, and the unit prices of Exhibit B.
The District reserves the right to accept or reject any or all parts of any bid received;
to reject the bid of any bidder who, in the sole judgment of the District may not
perform work acceptable to the District; and to waive any irregularities in the bids.
Quantities shown on the Bid Form are approximations only and are given as a basis
of comparison upon which the award of the contract can be made. Actual
payments to the successful contractor shall be based on actual quantities verified
in the field. An award will be made on or about Tuesday, March 10, 2020.
9. CONTRACT DOCUMENTS
The Contractor will be required to submit to Cowlitz PUD the following additional
documents as soon as possible after award of the contract, and be available for
work beginning April 1, 2020:

1. Signed Contractors Agreement (see Exhibit C for sample).
2. Certificate of Insurance meeting the requirements outlined in Exhibit C.
3. Performance Bond for 100% the contract price.
10. PUBLIC WORKS AND PREVAILING WAGE
All work described in this bid package is considered Public Works. Therefore, the
Contractor shall comply with prevailing wage laws, including the monthly certified
payroll reporting requirement that went into effect on January 1, 2020. The
Contractor shall be responsible for the compliance of all of its subcontractors.

Be advised that the February 21, 2020 rates for Cowlitz County will apply to the
work performed for this project. A copy of the current rates is available for viewing
at Cowlitz PUD; and, upon request, Cowlitz PUD will mail a hard copy to any bidder.
11. INTERPRETATION OF CONTRACT DOCUMENTS
The Specifications are considered by the District to be complete, clear and
understandable. Prior to submitting a Proposal, Bidders may contact the District for
clarification of language which may be contained in the bid documents.
However, failure on the Bidder’s part to request clarification as stipulated above
shall obligate the Bidder to abide by the District’s decision as to the intended
meaning of any portion of the provision.
12. UNIT COSTS
The unit costs shown on Exhibit B are the rates by which the District will compute
payments due the Contractor. The plowing, trenching, boring and device units
include all restoration as well as any required erosion or sediment control
measures. Unit costs for devices will include side trenching.
Unit costs are to be firm for the duration of this Contract for all work listed in Exhibit
B, plus additions or deletions as designated by the District’s representative.
Quantities shown on the proposal are approximations only and are given as a
basis of comparison upon which the award of the contract can be made and
shall not be subject to any compensation if not used in part or in entirety.
13. CREW SIZE
The Contractor will determine the size of the crew required for each assigned
project such that the cable and devices will be handled and installed with proper
care, and that flaggers are present as required. Contractor shall support the
District’s needs with a minimum of two crews available. Contract UC1733, Underground Cable Installation Bid Packet

14. PERMITS AND PROTECTION
The District will obtain public road right-of-way permits (County and Washington
State Department of Transportation), private easements, gas and water line
crossing permits, and all other environmental permits, if necessary, required for
placing the facility. The District shall provide to Contractor all applicable permits
and easements that the District obtains for the job prior to Contractor
commencing the job.
Contractor shall, at its sole expense, procure all other permits, including but not
limited to working permits and traffic control plans, required by regulatory
authorities necessary for Contactor to complete every individual job
contemplated by this Contract.
Contractor shall comply with all of the terms and conditions in all applicable
permits and easements, including erosion and sediment control Best
Management Practices.
The Contractor will maintain and provide all legal and necessary guards, railings,
shoring, lights, warning signs, etc., during the execution of the work, the proper
protection and convenience of all workers and the public, and will be responsible
for keeping the work area free from trespassers.
15. UNDERGROUND UTILITIES
The Contractor shall obtain and maintain any and all underground utility locates
in the work area as required. The locations of non-District utilities are not shown on
job order drawings. Therefore, the location of all utilities must be confirmed by the
Contractor prior to construction. Contractor shall be responsible for dig-ins on all
underground facilities.
The Contractor will contact the Underground Utility Coordinating Council Locating
Service at 1-800-424-5555 as required by law, prior to excavating. The Contractor
will be responsible for locating and marking new facilities, as required, before
acceptance by the District.
16. WORK SCHEDULE
Normal working hours for District personnel are Monday through Friday, except
holidays, 7:00 a.m. to 11:00 a.m. and 11:30 a.m. to 3:30 p.m. To meet the needs
and expectations of District customers, Contractor will maintain the same work
scheduled unless prior approval by the District is authorized.
Any charge of overtime shall require prior authorization by the District.

EXHIBIT A
SPECIFICATIONS
RURAL UNDERGROUND DISTRIBUTION INSTALLATION
1. EQUIPMENT AND PLOWING OF CABLE OR DUCT:
The Contractor will provide equipment that meets the following requirements:
A. A track-type prime mover with a minimum of 50,000 foot-lbs. drawbar pull and
equipped with rubber pads for operating on oiled or paved roads and/or grousers
for gravel roads will be required. Rubber-tired grader or parsons-type plows will
not be allowed. Rubber-tired pull equipment will be used in addition to a
track-type prime mover and shall be attached directly to the shank/feed shoe. A
vibratory plow meeting all of the above requirements is acceptable. Equipment
for compaction after plowing to satisfy County Road Specifications will be
provided by Contractor and will be available at the job site.
B. The plow shall be capable of placing cable up to four feet beyond the edge of
the track or road and three feet down in a ditch line without leaving the surface
of the road, and still plow the cable in with a minimum of a 36-inch cover. At times
installation by plow will be required to be 24-inches from existing underground
utilities. It is the Contractor’s responsibility to locate the exact location of such
utilities prior to plowing.
C. If, during the plowing operation, the plow should strike a buried object or rock that
would stop the equipment and necessitate removal of the plow from the ground,
the plow shall be removed from the ground carefully and, if practical, without
backing the plow. If it should be necessary to back the plow to remove it from the
ground, the cable shall be uncovered a sufficient distance back for inspection by
the District to determine whether the cable or wire has been damaged.
D. The plow shall be provided with separate reel carriers for placing five (5) cables or
ducts. All communication installations will have at least one-foot of separation
from power cables in rural installations where grounding points are less than eight
per mile.
E. The feed shoe will have rollers to conform to the cable or duct at a radius of not
less than 15 times the diameter of the cable or duct.
F. The cable will not be permitted to pass over stationary guides nor over rollers or
sheaves that will permit a bend radius of less than 15 times cable or duct diameter.
G. The width of the tooth and feed shoe will not exceed the cable or duct diameter
by more than two (2) inches.

H. There will be a qualified Reel Tender at all times to insure proper flow of the cable
or duct from reels through sheaves and rollers and to identify defects in the cable
or duct such as exposed concentric neutral through damaged cable
encapsulation and/or other irregularities.
I. All plow installations will be preceded with a pre-rip(s) to ensure proper depth of
cable installation. Restoration to return the area to preconstruction condition is
required.
NOTE: At the sole discretion of the District, a vibratory plow capable of meeting all of
the above requirements will be acceptable.
2. EQUIPMENT REQUIREMENTS FOR BORING:
A. Boring machine shall be capable of minimum 19,000 pounds of pullback and
include all tooling required for direction drill for reaming up to 10 inches.
B. Have capability of mixing a minimum of 750 gallons.
C. Dump truck capable of hauling at least 5 yards of material.
D. Reel carrying truck or trailer with minimum 2-reel capacity.
E. Minimum 800 gallon vacuum trailer.
F. Minimum 9,000 pound mini-excavator.
3. TRENCHING AND BACKFILL REQUIREMENTS:
A. In the event cultural or human skeletal remains are discovered during ground
disturbing activity, Contractor shall comply with the District’s Cultural Resources &
Human Skeletal Remains Inadvertent Discovery Plan, attached as Exhibit G.
B. Trenching will include backfilling, backfilling material, hauling off trench spoils and
restoration to return the area to preconstruction condition. Installation of cable,
conduit and duct is also included. Trench depth will be a minimum of 36 inches
and a maximum of 48 inches of cover.
C. Where native backfill is allowed, select trench backfill or approved native material
will be made before and after placing the duct such that there will be a rock free
bedding and cover for the cable and/or duct. Bed backfill will be a minimum of
six (6) inches thick and protective cover will be a minimum of 12 inches thick or as
directed by the District's designated representative.
D. Compaction of backfill materials will be to original density and performed in a
minimum of two lifts via vibratory compactor.
E. Backfill along or across any road will be 5/8-inch minus crushed rock compacted
in 12-inch lifts via vibratory compactor; or in some cases, when determined by the
District’s designated representative, controlled density backfill (CDF) may be

required. The cost of excavated material to be hauled away and disposed of will
be included in the trenching units.
F. Trenching through road pavement will not be done without prior approval by the
District’s designated representative.
G. Where solid rock is encountered, the Contractor will supply the appropriate rock
hammer to efficiently trench deep enough for at least 12 inches of cover over
duct. Concrete backfill will be required for cover less than 18 inches. Where
extensive solid rock is encountered, a rock wheel excavator may be required.
Rock is defined as a substance which has a modulus of elasticity of more than
200,000 psi or unconfined compressive strength at field moisture content of more
than 2,000 psi and shall also include boulders exceeding half a cubic hard.
Hardpan, hard clay, glacial till, sandstone, siltstone, shale or other sedimentary
rocks which are soft, weathered or extensively fissured shall not be classified as
rock.
4. HORIZONTAL DIRECTIONAL BORING:
A. The Contractor will determine the type of equipment required for installing conduit
or duct by horizontal directional bore. When possible, conduit shall be installed at
a cover depth of 36 inches for primary cable. Bore depths less than 30 inches and
more than 48 inches must first be approved by the District’s designated
representative. In no case shall the opening exceed the pipe diameter by more
than one inch unless betonite or an equivalent non-shrinking material is injected
into the void. Care will be taken to minimize bends and sweeps, with single conduit
runs not to exceed three 90-degree bends. The Contractor will mark the bore
route and depth with white paint or water soluble crayon or chalk in pavement
areas sensitive to customer complaints of disorderly worksites. The new route shall
not deviate more than five feet from the existing route. The Contractor shall take
care to clean the worksite of all mud and drilling debris as required by the District’s
designated representative. The District will bear the cost of lost conduit in failed
bore attempts when determined by the District’s designated representative not to
be due to negligence by the Contractor. Cost associated with landscape
restoration of the worksite will be included in this bid.
B. A job requiring horizontal directional bore with work less than a total of 400 feet,
including plow and trench, will be subject to move-in and move-out charges
unless several jobs located within a 10-mile radius can be grouped together and
treated as a single project. Any job with 400 feet or more of bore, plow and trench
work will not be subject to move-in and move-out charges.

5. DETERMINATION OF INSTALLATION METHODS:
It is intended to use the most practical and economic method of installation by bore,
plow, push, or trench. It is recognized that each project installation site or portion
thereof may pose unique characteristics lending itself to one or more of the
installation methods that will accomplish the task. Therefore, the District’s designated
representative and the Contractor shall agree on the installation method to be used
prior to beginning work and the District’s representative shall approve and make note
thereof. In the event that a project or portion thereof can be installed by plow and
contractor elects to bore and with District’s approval, then the unit price for plow shall
be used.
6. DUCT PLACEMENT REQUIREMENTS:
Placing of Ducts: The ducts will be buried in the ground at a minimum depth of 36
inches for primary cable or 24 inches for secondary cable by plowing, trenching,
boring or a combination thereof. Care will be taken to install ducts in a straight line
or even curve to avoid unnecessary hard cable pulls. Installation of District-provided
mule tape in duct or conduit is required. Mule tape shall not have any knots. All
installed ducts shall have had a final inspection by Contractor making sure no
obstructions will be encountered by District crews when pulling cable. If obstructions
are encountered by District crews, they may remedy the situation by any means and
subtract the cost and backcharge the Contractor.
7. WAREHOUSE MATERIALS:
A. Ducts, cable and associated materials will be stored at the District's Industrial Way
Warehouse. Contractor shall be responsible for hauling all materials to the job site,
handling materials on the job site, and the placement of materials in/on the
ground. The Contractor will be responsible for materials upon taking possession of
them at the District’s Warehouse. This includes transporting them to and from the
job site, and theft or vandalism on the job site.
B. All material, except restoration material unless otherwise specified, will be
furnished by the District. The Contractor will take delivery of such at the District’s
Warehouse in Longview, Washington, between 8:00 a.m. to 10:30 a.m., and 12:00
p.m. to 2:00 p.m. weekdays, except holidays. The Contractor shall provide the
District’s Warehouse with 24 hours’ notice prior to material pick-up. In the event
District crews and Contractor crews are at the Warehouse for material pick-up at
the same time, priority will be given to the District crews. The Contractor shall
acknowledge receipt of all materials, in writing, at the time of delivery and is then
responsible for these materials until the project is completed and accepted. The
Contractor shall be responsible for returning all excess material to the District’s
Warehouse upon completion of the project, including all paperwork provided for
each job. Returned material must be identified with job order number of original
issue, returned in original boxes or containers, and sorted by categories. The
Contactor shall be billed for material not returned to the District in the same
condition it was received. At the District’s option, a separate storage area may
be provided to the Contractor to take delivery of materials at times other than
listed above. Failure to adhere to these guidelines will require the Contractor to
reimburse the District for any costs incurred, due to Contractor oversight.

The duct for primary and secondary cable furnished by the District will typically be
of the following description:
1) for single phase installations - HDPE 2-inch in diameter, and colored black
with at least one red stripe
2) for three-duct three phase installations – HDPE 2-inch or smaller in diameter
and colored grey with white, red and blue stripe
3) for single-duct three phase installations – HDPE 4-inch and colored black
with three or four red stripes.
4) 2-inch duct is wound on 82-inch diameter by 46-inch wide reels with 2,000
feet of duct per reel; 4-inch duct is wound on 96-inch diameter by 46-inch
wide reels with 550 feet of duct per reel.
5) A maximum of four 2-inch or smaller ducts and one telephone cable or
telephone duct can be required for simultaneous installation by horizontal
direct bore. A maximum of four power cables with one 2-inch duct, or three
power cables with two 2-inch ducts (or any combination thereof not to
exceed five) with a vertical separation of one-foot between power and
phone installations can be required for simultaneous installation by plow.
6) For single phase secondary installations, 3-inch HDPE colored black with at
least one red stripe or 3-inch schedule 40 grey electrical PVC conduit.
8. ABOVE GROUND DEVICES- NEW AND EXISTING:
A. It will be required that cable and/or duct be installed in new and existing live
devices. Therefore, Contractor shall provide a qualified person to accomplish such
work. No manufactured bends shall be used to enter new devices. At the sole
determination and convenience, the District may provide qualified persons to
assist the Contractor working on live devices. However, due to the nature of the
District’s work, its schedule can change without notice. Therefore, if District crews
are assisting the Contractor and it becomes necessary for District crews to
abandon the Contractor without notice, the Contractor agrees that no
compensation will be due to the Contractor.
B. Unit costs for new devises will include side trenching within a 10-foot radius of the
devise and a three-foot by five-foot by four-inch thick gravel pad shall be
constructed in front of devices.
C. New concrete vaults shall be placed on an adequate quantity and quality of rock
supplied by the Contractor to support said vault and shall be included in the unit
cost thereof.
9. RESTORATION OF LANDSCAPING AND IMPROVEMENTS:
At all job sites, care must be taken to minimize disturbance to existing landscaping,
improvements, and existing property pins or survey markers. Upon completion of all
backfill and/or compaction supplied by the Contractor during the placement of Contract UC1733, Underground Cable Installation Bid Packet

cable or duct, the worksite shall be restored to its original condition or better than it
was prior to commencement of work and shall obtain the approval of the District’s
designated representative and the County Road Department Inspector, as
applicable. Contractor must work with property owners to coordinate landscape and
irrigation repair. All sidewalk, curb, gutter and roadway asphalt must be replaced per
local City/County specifications, or to match existing. If the Contractor neglects to
restore property in a timely manner, as determined by the District, the District may
have such property restored by other means and subtract the cost from any payment
due to the Contractor. Incidental pavement or property damage will be repaired at
the Contractor’s expense.
The Contractor shall videotape the worksite in its entirety including any and all pre-
existing conditions such as cracked pavement or damaged property as proof to other
parties of non-liability. These videos shall be furnished to the District in an acceptable
DVD format prior to proceeding with any and all work on each job site. Any
subsequent restoration costs due to this installation shall be solely at the Contractor’s
expense for a maximum of 48 months following finalization of work.

CONTRACTOR ’S AGREEMENT
THIS AGREEMENT, effective the date last executed below, by and between Public
Utility District No. 1 of Cowlitz County, a Washington municipal corporation, hereinafter
called the District, and [CONTRACTOR], a [TYPE OF ENTITY], hereinafter called the Contractor.
The District and Contractor may be collectively referred to as the “Parties”, and individually
as a “Party”. All services provided pursuant to this Agreement are subject to the terms and
conditions set forth hereafter.
1. Scope of Work. Contractor shall provide all labor, material and equipment
necessary to replace approximately ____ miles of underground cable and
pertinent facilities by plow and/or bore in accordance with Exhibit A, Rural Underground Distribution System Installation Specifications; Exhibit C,
Instructions to Bidders; and Exhibit D, Cultural Resources and Human Skeletal
Remains Inadvertent Discovery Plan attached hereto and made part of this
Agreement by this reference. Contractor shall have a minimum of two crews
available to support District projects.
2. Payment. The Contractor shall submit invoices as necessary for all work
performed under this Agreement. Payment to Contractor will be based on the
actual units recorded by the District’s job site inspector at the rates listed on

Invoices shall reference Contract No. UC1733 and the jobsite address (including
city), and shall include line items for sales tax and retention. Payments shall be
limited to the work performed at the date of payment application. The District
shall review pay applications and any dispute with regard to the quantities
complete shall be resolved by the District’s determination after reviewing any
supporting documentation and making site inspections. The District shall pay
the Contractor no later than thirty (30) days from the date the invoice is

received. The District will retain five percent (5%) of each payment, before sales
taxes. Retention shall be released to the Contractor upon the District’s final
acceptance of the work performed under this Agreement, and once required
releases are received from State agencies.
3. Duration of Agreement. Time is of the essence for this work. The term of this
contract shall initially be for the 2020 Plow Season, beginning April 1, 2020 and
ending by March 31, 2021. However, there will be the option to extend the
contract for three (3) additional project years, upon mutual agreement by the
District and Contractor. This contract extension will be given consideration
based on, but not limited to, the previous year’s performance. The contract will
be closed out and retention will be released after each project year, and a
new contract number will be issued for the next project year. At that time,
pricing may be adjusted to reflect changes in the economy and shall be
mutually agreed upon by the Contractor and the District.
4. Independent Contractor. Contractor shall perform all requirements of this
Agreement as an Independent Contractor, not as an employee of District.
Contractor shall comply with all applicable rules, laws and regulations of the
State of Washington, and any other applicable jurisdiction. Contractor will use
all of its own equipment and transportation in the performance of the services
contemplated herein.
5. Contractor Registration and License. Contractor represents that it is a
registered and licensed Contractor in the State of Washington, and is qualified
to perform the work required pursuant to this Agreement.
6. Prevailing Wage. All labor performed under this Agreement is considered
public works and workers shall not be paid less than the prevailing wage rates in
effect on ___________________ for Cowlitz County, Washington. Contractor shall
comply with all employment, prevailing wage and anti-discrimination laws
applicable to the performance of this Agreement, and shall be responsible for
like compliance by all subcontractors of Contractor. Contractor, on or before
the date of commencement of work, shall file a Statement of Intent to Pay
Prevailing Wages; and at the completion of the work, Contractor shall file an
Affidavit of Wages Paid. All such statements shall be filed in accordance with
the requirements of Washington Department of Labor & Industries and RCW
39.12. Any additional charges that the Department of Labor and Industries may
levy shall be paid by Contractor. District shall have the right of verification
and/or audit of the information required to be supplied by this paragraph. The
Contractor shall file certified payroll reports with Washington Department of
Labor & Industries, per RCW 39.12.120, effective January 1, 2020.
7. Indemnification. The Contractor agrees to defend, indemnify, and hold the
District, its agents and employees harmless, from any and all claims, demands,
losses and liabilities to or by third parties arising from, resulting from or
connected with services performed under this Agreement by Contractor or
Contractor’s agents, subcontractors or employees to the fullest extent
permitted by law and subject to the limitations provided below.

Contractor’s duty to indemnify the District shall not apply to liability for damages
arising out of bodily injury to persons or damage to property caused by or
resulting from the sole negligence of the District.
Contractor’s duty to indemnify the District for liability for damages arising out of
bodily injury to persons or damage to property caused by or resulting from the
concurrent negligence of (a) District or District agents or employees and (b)
Contractor or Contractor’s subcontractors, agents or employees, shall apply
only to the extent of negligence of Contractor, Contractor’s subcontractors,
agents or employees.
The Contractor specifically and expressly waives any immunity that may be
granted it under the Washington State Industrial Insurance Act, Title 51 RCW.
Further, the indemnification obligation under this Agreement shall not be limited
in any way by any limitation on the amount or type of damages, compensation
or benefits payable to or for any third party under workers’ compensation act,
disability acts or other employee benefits acts; provided the Contractor’s
waiver of immunity by the provisions of this paragraph does not include or
extend to any claims by the Contractor’s employees directly against the
Contractor.
The Contractor’s duty to defend, indemnify and hold the District harmless shall
include, as to all claims, demands, losses and liability to which it applies, the
District’s personnel related costs, reasonable attorneys’ fees, court costs and all
other claim related expenses.
8. Customer Relations. Any contact with customers/public, and all work
performed under this Agreement shall be achieved with due regard to
maintaining positive public relations. The Contractor agrees that complaints of
any nature received from property owners or public authorities shall receive
immediate attention. All complaints shall be reported to the District.
9. Insurance Requirements. The Contractor shall, at his expense, procure and
maintain during the life of the Contract all the insurance on all of his operations
in companies acceptable to the District, as required by this section, and shall
submit Certificates of Insurance to the District. The notice to proceed shall not
be issued, and the Contractor shall not commence work until such insurance
has been approved by the District. Acceptance of the Certificates shall not
relieve the Contractor of any of the insurance requirements, nor decrease the
liability of the Contractor. The District reserves the right to require the Contractor
to provide Insurance Policies for review by the District. a. Liability Insurance
i. Commercial General Liability Insurance. The Contractor shall secure
and maintain during the life of the Contract such General Liability
(CGL) insurance, if necessary, commercial umbrella insurance, which
shall protect the District, its directors, officers, employees, and agents

from claim which may arise from operations under this Contract,
whether such operations are by itself, by any subcontractor, or by
anyone directly or indirectly employed by either of them. If the policy
does not have an endorsement providing that the General Aggregate
limit applies on a “per project” basis, or if the defense costs are subject
to the policy limit, then the required limits below shall be increased by
$1,000,000.
Commercial General Liability insurance, the limits of liability shall not
be less than:
$2,000,000 Each Occurrence (combined single limit for bodily
injury and property damage)
$1,000,000 Personal and Advertising Injury Liability
$2,000,000 Products-Completed Operations Aggregate
$2,000,000 General Aggregate
Contractors performing construction work shall carry the required
Commercial General Liability Insurance for two (2) years following
completion of Contractor's work under this Contract and Contractor
shall furnish Certificates of Insurance to the District at the inception of
each of these subsequent policies for two (2) years as evidence of this
required insurance.
ii. Automobile Liability Insurance. The Contractor shall take out and
maintain during the life of the Contract, Automobile Liability Insurance
(Bodily Injury and Property Damage Liability) including coverage for all
owned, leased, hired and non-owned automobiles. The limits of liability
shall be not less than $2,000,000 Combined Single Limit for each
accident.
Automobile Liability insurance shall be in an amount not less than
$2,000,000 for each occurrence.
b. Employers Liability ("Stop Gap") Insurance
Purchaser must purchase and maintain Employers Liability or "Stop Gap"
Insurance to include liability coverage.
Employers Liability insurance for shall be in an amount not less than:
$1,000,000 Each Accident
$1,000,000 Disease – Each Employee
$1,000,000 Disease – Policy Limit
c. Workers Compensation Insurance
The Contractor will at all times comply with the all applicable workers’
compensation, occupational disease, and occupational health and
safety laws, statutes, and regulations to the full extent applicable as
required by the State of Washington. The District will not be held
responsive in any way for claims filed by the Contractor or their
employees for services performed under the terms of this contract.

d. Additional Provisions
Above insurance policy shall include the following provisions:
i. Additional Insured. The District, its officers, directors, employees and
agents shall be named as Additional Insured on all general liability,
excess, umbrella and property insurance policies, per Additional
Insured Endorsement CG 20 10 11 85 or equivalent. This Endorsement is
to be attached to insurance certificates submitted to the District. The
policy shall stipulate that the insurance afforded the Additional Insured
shall apply as primary and non-contributory to any other insurance
carried by the District, its officers, directors, employees and agents. The
policy must provide coverage for completed operations.
Endorsements or underlying policy language limiting coverage to
“ongoing operations” are not acceptable. Exclusions of contractual
liability as to bodily injuries, personal injuries and property damage
MUST BE ELIMINATED from the basic policy and endorsements.
ii. Cancellation. The Certificate of Insurance shall provide that there will
be no cancellation, reduction or modification of coverage without
forty-five (45) days prior written notice to the District. The District is to be
notified if insurance is cancelled for any reason. If Contractor does not
comply with this Section, the District may, at its option, provide
insurance coverage to protect the District and charge Contractor for
the cost of that insurance.
iii. Certificates of Insurance. Certificates of Insurance shall be furnished by
Contractor to the District before any work is commenced hereunder
by Contractor. The required insurance shall be subject to the approval
of the District, but any acceptance of insurance certificates by the
District shall not limit or relieve Contractor of the duties and
responsibilities assumed by it under this Contract.
iv. Deductibles and Self-Insured Retentions. Any deductibles or self-
insured retentions must be declared to and approved by the District.
At the option of the District, the insurer shall reduce or eliminate such
deductibles or self-insured retentions as respects the District, its officials,
employees and volunteers; or the Contractor shall procure a bond
guaranteeing payment of loses, related investigation, claim
administration, and defense expenses.
v. Insurance Carrier Rating. All insurance and bonds should be issued by
companies admitted to do business within the state of Washington and
have a rating of A-, Class VII or better in the most recently published
edition of Best’s Reports unless otherwise approved by the District.
vi. Subcontractors. Contractor shall include all subcontractors as insureds
under all required insurance policies, or shall furnish separate
certificates of insurance and endorsements for each subcontractor.

stated herein. Failure of subcontractor(s) to comply with insurance
requirements does not limit Contractor’s liability or responsibility.
10. Performance Bond. Contractor shall file with District, prior to commencing work,
a Performance Bond in a form acceptable to the District in the amount of
___________________________ ($_________) (100% of the anticipated total
contract amount) as security for the faithful performance of the Agreement
and the payment of all persons supplying labor and materials for the
performance of the work. The Surety furnishing the bond shall have a sound
financial standing and a record of service satisfactory to the District and shall
be authorized to do business in the State of Washington.
11. Governing Law and Severability. This Agreement shall be governed by
Washington law. If any term, condition or provision of this Agreement or the
application thereof to any circumstance is determined to be invalid or
unenforceable to any extent, the remaining provisions of this Agreement shall
not be affected but shall instead remain valid and fully enforceable. This
Agreement incorporates and supersedes all prior negotiations, agreements,
and representations, whether verbal or written.
12. Dispute Resolution. Parties shall timely attempt in good faith to resolve any
ambiguities or contract disputes arising out of this Agreement. If said good faith
attempts fail, the Parties agree that the sole venue and jurisdiction for dispute
resolution lies in Cowlitz County Superior Court, Kelso, Washington. After the
dispute resolution, suit or action is instituted to enforce any term of this
Agreement, the prevailing Party shall be entitled to recover from the other Party
such sums as the court may determine reasonable as attorney fees at trial or
appeal, in addition to all other sums provided by law.
13. Supersedure. In the event that any provision of an exhibit to this Agreement is
in conflict with this Agreement, the provisions of this Agreement shall supersede.

1.0 Purpose The following Inadvertent Discovery Plan (IDP) outlines procedures to follow, in accordance with state and federal laws, if cultural or human skeletal remains are discovered during daily electric utility ground disturbing activity.
1.1 Scope 1.1.1 The scope of this plan is to minimize impacts to cultural resources while
minimizing the impact to the project. 1.1.2 This plan outlines appropriate steps for Cowlitz PUD employees and their
contractors to take when cultural resources or human skeletal remains are inadvertently or unanticipated discovered during work.
2.0 Responsibilities
2.1 Cowlitz PUD Employees and Contractors 2.1.1 All operations and construction employees must receive cultural resources
training. 2.1.2 Stops work when an inadvertent discovery of cultural resources or human
skeletal remains is made. 2.1.3 Contacts appropriate personnel and protects the area per the plan. 2.1.4 Include language in its contract with contractors retained to work on a project
to ensure their compliance with this policy. 2.1.5 Where reasonable, anticipates the likelihood of cultural resources in the project
area to avoid inadvertent discovery.
2.2 Management 2.2.1 Ensures all operations/construction employees have received cultural resources
training. 2.2.2 Contacts Cowlitz PUD’s Environmental Compliance Manager to discuss adequate
protection for the discovery until a professional in‐field assessment of the discovery is made.
2.3 Environmental Compliance Manager 2.3.1 Conducts preliminary in‐field assessment of the discovery.
2.3.2 Ensures that a qualified professional archaeologist examines the find, if needed. 2.3.3 Notifies appropriate agencies and/or the Cowlitz Indian Tribe within 24 hours of
the discovery. 2.3.4 Ensures adequate documentation of Cowlitz PUD’s action taken to comply with
applicable State and Federal laws.
3.0 Definitions and Acronyms
3.1 Definitions 3.1.1 Cultural resources: Physical evidence of past human activity (site, object,
structure, natural feature or landscape) considered significant by a group of people traditionally associated with it. Cultural resources are defined as being fifty years or older.

3.1.2 Inadvertent discovery: Cultural resources found unexpectedly during construction or maintenance activities.

4.0 Precautions and Limitations
4.1 Precautions 4.1.1 Determine that the area of the inadvertent discovery is safe to work in before
implementing protection measures. 4.1.2 The inadvertent find should not be photographed, handled, upset, or removed
until a professional archaeologist is contacted or on site. 4.1.3 If human remains are encountered, treat them with dignity and respect at all
times.
4.2 Limitation 4.2.1 This plan is limited to the treatment of inadvertent discoveries of cultural
resources and human skeletal remains in the course of a Cowlitz PUD action/operation.
5.0 Procedure
5.1 Initial Response 5.1.1 If an inadvertent discovery of a cultural resource is made, all work within the
area of discovery shall cease immediately. 5.1.2 If the discovery is human skeletal remains, contact the Environmental
Compliance Manager immediately, within two hours. 5.1.2.1 The Environmental Compliance Manager will report the finding
to the county medical examiner/coroner and local law enforcement in the most expeditious manner possible.
5.1.3 If the discovery is not human skeletal remains, Cowlitz PUD personnel who uncovered the find or their supervisor will contact the Environmental Compliance Manager immediately, within two hours of discovery or as soon as practical.
5.1.4 Cowlitz PUD personnel will flag off a minimum 20‐foot radius around the discovery, if possible, to provide for the total security, protection, and integrity of the resource.
5.1.5 Cowlitz PUD personnel will promptly protect the discovery from continued exposure to the weather and from public view, by the use of a clean tarp or other fabric.
5.2 Assessment 5.2.1 If local law enforcement was contacted, they will assume jurisdiction over the
human skeletal remains and make a determination of whether those remains are forensic or non‐forensic.
5.2.2 If the remains are determined non‐forensic by law enforcement, the Environmental Compliance Manager will contact the DAHP for further guidance.

5.2.3 If the discovery could be a cultural resource, the Environmental Compliance Manager will ensure that a qualified professional archaeologist examines the find to determine if it is archaeological. 5.2.3.1 If the find is archaeological, the Environmental Compliance
Manager will contact DAHP and Cowlitz Indian Tribe within 24 hours of the discovery.
5.2.4 The Environmental Compliance Manager will inform Management of a reasonable time frame within which the construction or maintenance activity can resume.
5.3 Post Assessment Response 5.3.1 The Environmental Compliance Manager will coordinate further archaeological
fieldwork and reporting required to complete documentation of the inadvertent discovery.
5.3.2 Cowlitz PUD will follow applicable regulations and laws to assure the proper treatment and care of the discovery.
5.3.3 The Environmental Compliance Manager will confirm with Management in writing when the area is cleared for work to resume.
