The following will set out the protection of fees should a contract be executed and consummated under the terms and conditions mutually agreed upon by the principles or their mandate agents.Leaving clear that the seller of the coal type and is CERREJON LLC and the buyer xxxxxxx. The contract determines the protection of the commission for TAIS.A. , XX, YY. . Will only be signed by the commission mentioned and the buyer, who is the payer of commissions.

2. Ahora, por lo tanto, nosotros los compradores_________. NIT Nº ________________, representados oficialmente y con plena capacidad por _____________________________ cc.Nº _______________ de _________, Comprador, actuando con toda la autoridad y responsabilidad corporativa, con este, sin perjuicio y recurso, garantizo el pago de un total de comisiones por servicio, de TRES DOLARES (USD $3,00) por MT (Tonelada Métrica) de CARBON TIPO “E” despachada de acuerdo a los términos de la transacción referenciada anteriormente. Los abajo firmantes, que son los legales representantes compradores, acuerdan y garantizan que enviaran una copia de la Orden Irrevocable de Pago Maestra que estará adjunta a cada copia del contrato final firmado en todos los tiempos. Este Pago Irrevocable es originado en y con el reconocimiento de las responsabilidades del Comprador dentro de este contrato.

The undersigned, as the legal Buyer’s representative, agrees and guarantees to cause a copy of this Irrevocable Master payment Order to be attached to each copy of the final signed contract at all times, provided acceptance of the buyer. This irrevocable Payment is issued pursuant to and in acknowledgment of the Buyer’s responsibilities under the present contract.

(3) días bancario internacional y en conjunto con la transferencia del pago del Comprador al Vendedor a través de la Carta de Crédito del Comprador, relacionando siempre en cada entrega/embarque de cada uno y todos los embarques del commodity referido en este contrato.

The Payer/Buyer further agrees that the fees and commissions stated are compensation for services rendered and are irrevocable, irretrievable and unconditionally guaranteed to be paid within three (3) international banking days and in conjunction with the transfer of the Buyers payment to the Seller via the Buyer’s Letter of Credit (which includes all such fees, prices, cost of freight, insurance, etc., i.e. covering CIF status of the consignment) relating to each and every delivery/loading of each and every shipment of the commodity referred to in this contract.

4. Los pagos por comisiones a realizar serán libres de cualquier impedimento legal,

y libres de cualquier deducción, excluyendo las retenciones legales, los cargos de transferencia bancaria y retrasos en las rutinas bancarias, por esto y en todas las subsecuentes transacciones con el Comprador Pagador del pago de los servicios se harán en cada uno y en todos los despachos ó embarques colocados hasta que el total del monto del contrato sea cumplido en su totalidad, incluyendo las subsecuentes extensiones, adiciones, renovaciones, modificaciones o ampliaciones realizadas.

The fees to be free of legal impediment and free of any deductions, excluding legal taxes, bank transfer fees and routine banking delays, for this and all subsequent transactions with this buyer Payment of the Service Fee will be made at each and every shipment settled until the total contract amount has been closed in full, including all subsequent extensions, additions, rollovers, modifications or renewals thereof. This includes any other commodity the parties herein may offer each other.

The signers of this document, unconditionally accept, by the signature of each one itself, the amount of the commissions established for the signer and his group, as well as for the other groups, no matter if they belong to the seller or to the buyer, and regardless that the spaces destinated to their names or amount of their commissions are filled or not, totally or partially, or that the mentioned spaces are signed or not, and also they get the compromise of signing a new document, exactly with the same text of this one, if necessary, totally filled.

6. El Comprador Pagador acuerda ejecutar y ubicar certificación bancaria Orden de Pago Bancaria Irrevocable (IBPO) con toda la legalidad con el pago bancario o entidad pagadora, para el propósito del pago a cada uno de los intermediarios por el pagador dentro de los tres (3) días bancarios internacionales desde la fecha que inicie la ejecución del contrato principal entre los principales o sus mandantes.

Se acuerda que el Comprador/Pagador cursara al Banco enunciado arriba copias certificadas del Banco principal de la Carta de Recibo de este acuerdo entre el Pagador y todos los intermediarios relacionados involucrados, dentro de los tres (3) días bancarios internacionales de la ejecución de los pagos IBPO. El Comprador también se reserva el derecho de cambiar de Bancos en cualquier momento de la transacción pero en tal caso de cambio no podrá cambiar el contenido de éste acuerdo e instruirá en tal caso la nuevo Banco a generar nuevas ordenes de pago a favor de las partes involucradas.

It is agreed that the Payer/Buyer will cause the above listed bank to issue bank certified copies of a Letter of Receipt of this agreement to the paymasters and all the intermediaries named herein within three (3) international banking days from the execution of the paymaster’s IBPO. The Buyer also reserves the right to change banks at any stage during any given transaction but such change would have no bearing on the contents of this agreement and would instruct such new bank to issue new Pay orders to the parties concerned.

8. Todas las partes acuerdan que se encuentran vinculados por un Acuerdo de absoluta discrecionalidad que impone la obligación irrenunciable de No Divulgación y No Desconocimiento, así, que ellos conocen y se vinculan voluntariamente con la transacción aquí descrita y no la desconocerán, evitaran, u obviaran cada uno u otro directa o indirectamente a evitar el pago de las comisiones o cargos en alguna transacción pendiente, o en el futuro, a todo lo largo del contrato pendiente entre las dos partes, y hasta por un periodo calendario de cinco (5) años desde la fecha de ejecución de este acuerdo, aun si

no hay resultado del contrato. En todo este tiempo, ninguna de las partes podrá revelar cualquier información, especialmente aquella que se determine como privilegiada a ningún tercero, ninguna información confidencial, contactos, códigos ó referencia y, o ninguna información proveída por la otra parte siendo confidencial o privada sin un permiso formal ó escrito por la otra parte.

All parties decide, that they are bound by an Agreement of absolute discretion that

imposes they cannot be waived obligation of Non Circumvention - and Non Disclosure, thus, that they know and they voluntarily bound with the transaction here described and they will not know it, avoided, either avoided each one or another direct one or indirectly to avoid the payment of the commissions or positions in some pending transaction, or in the future, all along from the contract it leaves slope between the two parts, and until by a period calendar of five (5) years from the date of execution in this agreement, even if there is result of the no contract. In all this time, no of the parts will be able to reveal any information, specially that that is determined like privileged to no third, no confidential information, contacts, codes either reference and, or any information advised to the other partie as being confidential, privileged or private without the formal permission or written authorization by the other part.

This agreement includes by reference and incorporates the Standard International Non-Circumvention Agreement and conditions as set forth by International Chamber of Commerce (ICC Publication 500, revised 1004)

10. El Total de Comisiones por los Servicios es de TRES DOLARES (USD $3,00) por Tonelada Americana de CARBON TIPO “E” y está divida en las partes contenidas en las cláusulas desde la 12 y 13 abajo con el nombre de cada Pagador quien es el Agente Legal del Comprador para la distribución de los montos a pagar a cada Intermediario Beneficiario en el Pagador “ GRUPO INTERMEDIARIO” basado en su comisión individual que será la multiplicación de este numero individual por el numero de Toneladas del producto despachado por cada embarque. El Banco de cada Intermediario Beneficiario acordado bajo la instancia Orden de Pago Bancaria Irrevocable y Confirmada, desembolsará inmediata y automáticamente cada comisión de servicio de pago recibido del Banco pagador del Comprador. Si el pagador falla en el cumplimiento de las actividades de los términos descritos en este acuerdo ó se declara incompetente

para realizarlo, entonces el Comprador deberá pagar a cada Intermediario directamente bajo los mismos sistemas de pago como los pagadores.

The total Service Fee rate of THREE DOLLARS (USD $3,00) per MT of TYPE “E” COAL is divided and the rates entered in clauses from 12 and 13 below in the name of each Paymaster who is the legal Buyer’s Agent for the disbursement for the amount due to each Intermediary Payee in the Paymaster’s “INTERMEDIARY GROUP”, based on their individual Fee rate which is multiplied by the number of METRIC TONES of product delivered for each shipment. The Bank to each Intermediary Payee under a standing, Irrevocable and Confirmed Banker’s Pay Order, shall immediately and automatically disburse each Service Fee payment received by the Paymaster’s Bank from the Buyer. If the Paymaster fails to perform the duties under the terms of this Agreement, or becomes incompetent to do so, then the Buyer shall pay each Intermediary Payee directly under the same payment system as for the Paymasters. All the payment / fees will be disbursed by the supplier, as will be received by supplier against the respective shipment.

Este acuerdo es valido solo con la exitosa terminación de las transacciones referenciadas arriba; si no es nulo y no valido.

This agreement is valid only upon the successful completion of the Coded Transactions referenced above;

otherwise, it is null and void.

That they will not disclose names, addresses, email address, telephone and telefax or telex numbers to any contacts by either party to third parties and that they each recognize such contracts as the exclusive property of the respective parties and that they will not enter into any direct negotiations or transactions with such contracts revealed by the other party and

That they further undertake not to enter into business transaction with banks, investors, sources of funds or other bodies, the names of which have been provided by one of the parties to this agreement, unless written permission has been obtained from the other party (ies) to do so. For the sake of this agreement, it does not matter whether information obtained from a natural or a legal person. The parties also undertake not to make use of a third party to circumvent this clause.

Que ellos emprenden mas allá de no entrar en transacción de negocio con bancos, inversionistas, fuentes o fondos u otros cuerpos, los nombres los cuales han sido proveídos por una de las partes a este acuerdo a menos que permiso escrito haya sido obtenido de la parte (s) para hacerlo. Por el bien de este acuerdo, no importa si la información haya sido obtenida de persona natural o legal, las partes también se comprometen a no usar de una tercera parte para romper esta cláusula.

F-. That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue. All consideration, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.

F-. En el evento de alguna rotura a este Acuerdo por alguna de las partes, directa o indirectamente, la parte que falle será intitulada a una penalidad monetaria igual al máximo servicio que hubiera podido realizar de dicha transacción más cualquiera y todos los gastos, incluyendo pero no limitado, todos los costos legales que se incurran para recuperar esa comisión perdida. Toda consideración, beneficio, bono, porcentaje de participación, y/o comisión recibida como resultado de la contribución de las partes en el acuerdo, relacionada cualquier y toda negociación será ubicada como mutuamente se acuerde.

G-. This agreement is valid for any and all transactions between the parties herein and shall be governed by the enforceable law in Colombian Court or under Swiss Laws in Zurich, in the event of dispute, the arbitration laws of States will apply.

G-. Este acuerdo es válido para cualquier y toda transacción entre las partes aquí presentes y serán gobernadas por las leyes ejecutables en las cortes Colombianas o bajo la Ley Suiza en Zurich. En el evento de una disputa, las leyes de arbitramento de los Estados antes mencionados se aplicarán.

Toda controversia o diferencia relativa a este contrato, se resolverá por un Tribunal de Arbitramento, que se sujetará al

reglamento del Centro de Arbitraje y conciliación de la Cámara de Comercio de Bogotá, de acuerdo con las siguientes reglas:

a. El tribunal estará integrado por (número impar de árbitros) designados por las partes de común acuerdo. En caso de que no fuere posible, los árbitros serán designados por el Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá, a solicitud de cualquiera de las partes.

b. El Tribunal decidirá en (derecho o equidad).

H-. The signing parties hereby accept such selected jurisdictions as the exclusive venue. The duration of the Agreement shall perpetuate for Five (5) years from the date hereof.

H-. La firma de las partes por medio de la presente, genera que aceptan dicha jurisdicción seleccionada como de exclusivo uso. La duración de este acuerdo será por un término de Cinco (5) años a la fecha de su firma.

A-. Signatures of this Agreement received by the way of Facsimile, Mail and/or Email shall be deemed to be an executed contract. Agreement enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.

Parágrafo: En caso de no poder obtener la firma en original, en Colombia es válida la firma electrónica de documentos, por expresa disposición de la ley 527 de 1.99. articulo 10 que le otorga valor probatoria a las mismas, en concordancia con el C. de Procedimiento Civil, articulo 251 y ss.
