Program Overview for Surrogates Contacting Simple Surrogacy/Application Process Thank you for Contacting Simple Surrogacy. You have just completed the first step to becoming a Surrogate through our program. You should not fill out your Surrogate Application and return it to Executive Director Stephanie Scott who will review it. Please complete the profile carefully. We will contact you to discuss our program and to verify your application information. Once you are accepted, your Intended Parents will be able to view your profile, so please be thorough and honest. The pictures you include are very important to the clients. Pictures should show you at your best. MEDICAL INSURANCE Simple Surrogacy requires a copy of your medical insurance policy and a copy of your identification card. You will need to request a copy of the policy and mail it to Simple Surrogacy for our review. If your insurance is not appropriate for a surrogate pregnancy, we will make reasonable efforts to help you find and obtain different coverage. PSYCHOLOGICAL EVALUATION A licensed psychologist must complete a psychological evaluation. This is a written/personal interview session and could require you to take an MMPI‐2. Simple Surrogacy will organize all appointments and travel arrangements for you, if necessary. TELEPHONE INTERVIEW We will let you know when interest is shown in your application. Due to a high number of Surrogates in our program, we regret we are not able to let you know every time your profile is viewed. Once interest is shown, you will also be able to view your Intended Parent(s) profile. The Intended Parent(s) usually would like to interview you over the telephone, or they may wish to meet you in person. We will help you to anticipate some of the questions they may be asking you, and, of course, you can also ask questions of them. Remember that it is equally important you feel comfortable working with them. BACKGROUND CHECK When you are ready to match with the Intended Parents, we then check your background and criminal history. Surrogate Mother Agreement  

This agreement is made between Simple Surrogacy, LLC (hereinafter “Agency”) and _____________________________ (hereinafter “Surrogate”), and __________________________________ (hereinafter “Surrogate's Spouse”). ("Surrogate Mother and Surrogate's Spouse hereinafter referred to as "The Surrogates"). (Agency and The Surrogate hereinafter collectively referred to as (“The Parties.”)  

I. RECITALS 

 The sole purpose of this agreement is to enable Surrogate to help Intended Parents to have a Child either by means of transfer of an embryo or embryos (which have been or will be created from Intended Mother’s ovum or from an egg donor and sperm retrieved from Intended Father) into Surrogate's womb, and delivery of such Child by Surrogate, or by means of Traditional Surrogacy, wherein a Surrogate’s own eggs are used. This is not intended to be an agreement for the purchase of a Child, nor for Surrogate's consent to surrender a Child for adoption. As used in this agreement, "Child" shall include all Children born to Surrogate simultaneously pursuant to an embryo transfer performed pursuant to this agreement.  Surrogate and Surrogate’s Spouse (if any)are both over the age of twenty one (21) years, who are desirous of entering into this agreement. Surrogate desires to help a couple or single individual become the parents of a Child or Children parents through surrogacy so that the Intended Parent(s) can take into their home such Child or Children as their own.  Surrogate further warrants that all representations relating to this agreement, either oral or written, made to any professional, entity, and/ or party, are true.  Surrogate wishes to retain Simple Surrogacy, LLC, to match Surrogate with Intended Parents, to administer certain provisions of the Surrogacy Agreement, maintain the funds deposited in escrow and to designate appropriate professionals, whether legal, medical, psychological, or otherwise, when called for herein.  NOW, THEREFORE, in consideration of the mutual promises contained herein and with the intention of being legally bound hereby, The Parties agree as follows:  

II. SERVICES PROVIDED BY AGENCY 

 In exchange for the consideration provided by Surrogate under Section III below, the Agency agrees to provide the following services: 

 1. Agency shall use every best effort to match Surrogate with Intended Parents.  Information about Surrogate shall be maintained by Agency in Agency’s Surrogate Database.  Agency does not guarantee a match will occur in any specified amount of time or that a match will occur at all.  2. Agency will facilitate phone conversations for Surrogate with Intended Parent candidates.   3. Agency shall respond to inquiries from Surrogate, oversee the payment by Intended Parents of all expenses incurred by Surrogate related to the contract with Intended Parents, and make available to Surrogate the support and advocacy from a licensed psychiatrist from the time Surrogate signs the Surrogacy Agreement with the Intended Parents until three months after Surrogate gives birth to the Intended Parent’s child or until this Agreement is terminated, whichever is earlier.  4. Agency shall obtain and provide to Surrogate copies of the questionnaire completed by the Intended Parents, including any relevant medical information, photos of Intended Parents, as well as a background check completed on the Intended Parents.  5. Agency will ensure that Surrogate and the Intended Parents have access to an independent attorney to counsel and advise them prior to signing the Surrogate Agreement so Surrogate and Intended Parents have “informed consent”.  6. Agency will ensure that Surrogate and the Intended Parents have access to a physician to evaluate, counsel and advise Surrogate and Intended Parents prior to the IVF/embryo transfer, during pregnancy, and birth.  7. Agency will ensure that Surrogate and the Intended Parents have access to a licensed mental health professional to evaluate, support and advise Surrogate and the Intended Parents regarding the surrogacy.   8. Upon being matched with Intended Parents, Agency shall facilitate the contractual agreements between Surrogate and the Intended Parents.  Agency will oversee the drafting and review of the Surrogacy Agreement by their Associate Attorneys, and refer parents to outside attorney for court filings.   9. Agency shall coordinate with the IVF clinic, if any, to ensure that Surrogate receives copies of the medical testing done by the IVF physician on the Intended Parents, including testing screening for any sexually transmitted diseases identified by the IVF physician. These tests are determined by the IVF physician and may be added to or subtracted from at his or her discretion.  10. If after agreeing to match with Intended Parents, and moving forward with medical screening and psychological screening, Surrogate changes her mind, through no fault of the Intended Parents, Agency will not re‐match Surrogate with another Intended Parent. 

 11. Agency shall arrange for the transfer into Surrogate of a fertilized embryo provided by the Intended Parents, through a licensed IVF physician. Or Agency shall arrange for IUIs to be performed by the clinic, in the event of a Traditional Surrogacy. Agency shall coordinate any necessary travel accommodations for Surrogate for the IVF Transfer or IUI procedure.  12. Upon execution of the Surrogacy Agreement, Agency will collect, manage and account for the monies payable to Surrogate under the Surrogacy Agreement.  Agency will hold the client funds in Agency’s Escrow Account according to the terms of the Fund Management Agreement. In the event that the amount in trust exceeds the sum of these costs after all of Surrogate’s expenses have been paid, the excess will be returned to Intended Parents no sooner than 3 months after the birth of the child or children born pursuant to this agreement, unless the Agreement is earlier terminated, in which case the excess will be returned earlier, or if there is an indication that there are remaining expenses still owed, in which case, the excess will be retained until those remaining expenses are paid. In the event that the amount in trust is insufficient to cover these costs, Intended Parents will deposit a sufficient amount to cover these costs within fifteen (15) days of notice. Agency will notify Surrogate in a timely manner if there are insufficient funds in the escrow account to cover her compensation and/or expenses.  13. Agency will obtain a copy of Surrogate’s health insurance policy and will make a copy available to Intended Parents for their inspection.  14. Agency will check with Surrogate’s insurance company to attempt to determine if Surrogate has medical insurance which will pay the costs of pregnancy and delivery less co‐pays and a reasonable deductible per year. If the Surrogate does not have such coverage, then Agency shall assist Surrogate in attempting to obtain insurance that will cover the costs of pregnancy and delivery. In so stating, Agency does not guarantee that Surrogate’s insurance company will pay for all costs of pregnancy and delivery. Insurance companies have been known to, among other things, pull exclusions for surrogacy from one section of their contract and apply that exclusion to maternity coverage that would otherwise appear to be wholly covered. As such, insurance coverage is not guaranteed unless Intended Parents wish to purchase the Lloyds of London policy, or similar policy, which can be costly, but does cover maternity and its complications up to $500,000. Surrogate understands that Agency is not responsible for any medical costs not covered by her insurance policy, and that agency cannot guarantee payment by the insurance company. Agency will not purchase contingent coverage on the Surrogate’s behalf, and is not responsible if such insurance lapses, falls through, or otherwise does not cover the Surrogate, unless Agency was responsible for sending in payments and did not do so. Surrogate understands that making sure insurance coverage is in place is her responsibility, and she understands the risks of insurance not covering the surrogacy.  15.  Agency shall refer Surrogate to an agency through which she will purchase a term life insurance policy with a death benefit amount of $250,000.00 insuring the life of Surrogate, payable to Surrogate’s family. The Agency will pay this cost from the escrow account.  

16.  Agency shall coordinate drafting of Power of Attorney, Medical Power of Attorney, HIPAA Authorization, Living Will and Declaration of Guardianship documents for Surrogate and Surrogate’s Spouse.  17. Agency will guide and support both Intended Parents and Surrogate through the entire surrogacy arrangement and will provide ongoing personal care, aid, encouragement, support and attention. Agency will be available by both phone and email to answer Surrogate's questions about the surrogacy arrangement.  18. Agency will arrange for all DNA paternity and maternity testing to be done pursuant to the provisions of the Surrogate Agreement between Surrogate and Intended Parents, if requested by the Intended Parents.  

III. RESPONSIBILITIES OF SURROGATE 

 In consideration for the services provided by Agency in Section II above, Surrogate agrees to the following:  1. Surrogate shall provide Agency with the following in order to be accepted into Agency's Surrogacy Program:  

A. A completed copy of the Surrogate Profile.   

B. The Summary of Benefits and Exclusion provided by their Insurance Carrier.  

C. All prenatal care and delivery records from past pregnancies and deliveries.  

D. A copy of their Driver's Licenses, Social Security Cards, and Insurance Card.   2. Surrogate agrees to abide by all procedures established by the Agency for the safe and secure operation of its Gestational and Traditional Surrogate Programs. This shall include, among other things, not insulting or treating the Intended Parents disrespectfully; not insulting or treating Agency or its staff disrespectfully, keeping in touch with the Intended Parents and/or Agency approximately weekly over the course of time from the initial phone conversation until one month post birth (unless excused through vacation without cell phone or internet access, illness or permission by the Intended Parents and/or Agency). Surrogate also agrees not to offer sexual favors to the Intended Parents, not to subject the Child they are carrying to any sexually transmitted diseases, not to engage in unsafe sexual activity from the time of signing this Agreement until confirmation of pregnancy, and to abide by the initialed items set forth in this Agreement, among other things. Surrogate also agrees to disclose any current sexual partners to Agency for testing of communicable disease.   3. Surrogate agrees to notify Agency of any expenses incurred during the Surrogacy Process so Agency can reimburse Surrogate within the provisions of their Surrogacy Agreement. 

Further, Surrogate holds harmless Agency from any financial judgments or collections initiated by one party against the other if they decide to use an outside escrow account or no escrow account at all. Surrogate shall not request money from the Intended Parents for any reason without first notifying Agency.  4. Surrogate and Surrogate’s Spouse and any current sexual partners shall undergo screening for sexually transmitted diseases (including HIV). Surrogate agrees to undergo any medical testing that a health care professional, designated by Intended Parents deems necessary while this agreement is in effect, at the expense of Intended Parents.  5. Upon Intended Parents or Agency's request, Surrogate and Surrogate’s Spouse shall undergo a psychological evaluation by a mental health care professional and/or counseling.  6. If necessary, Surrogate agrees to sign reasonable consent forms provided by physician, including HIPAA Authorization. Surrogate agrees to a waiver of doctor‐patient privilege, permitting review of any non‐identifying medical information, and allowing written and verbal communication between the evaluating health care professional and Agency. Surrogate agrees to execute a separate authorization for release of such information to the Intended Parents.  7.  Surrogate shall follow all medical instructions given to her by the IVF or IUI Physician and her Obstetrician and attend all Physician office visits, sonograms, testing procedures, and any other appointment with any Physician relating to the Surrogacy Agreement. Except in the case of a High Risk Pregnancy, Surrogate shall have the sole right to select the Obstetrician only if the Obstetrician is covered by Surrogate’s health insurance and the hospital where the Child shall be born.  Surrogate agrees Intended Parents have the right to attend all Prenatal Care Physician Visits and agrees to notify Agency and Intended Parents of all scheduled Physician Visits.  8.  Surrogate agrees to follow all Physician recommendations and instructions regarding the manner of delivery of the Child, including without limitation delivery by caesarian section. Surrogate agrees and understands Intended Parents have sole and exclusive right and authority to make all decisions affecting the health of the Child upon and after the Child’s birth, including without limitation, the decision to terminate or reduce the pregnancy.  9.  Surrogate agrees to cooperate with Agency and Intended Parents during all aspects of the Surrogacy Process, including executing all necessary documents and appearing in court if necessary to establish the legal parentage of Intended Parents, execution of all ancillary documents, and attend all scheduled appointments.  10. Surrogate agrees it is in the best interest of the Child that she shall not seek to view or communicate with the Child at any time following the birth of the Child, except with the prior consent of Intended Parents.   

11. Surrogate agrees to immediately inform Agency in writing of any material change in their circumstances, which may reasonably affect this agreement. These changes include, but are not limited to, change of address, illness or death, changes in insurance coverage, marital status, and exposure to communicable illness. Surrogate agrees to respond to messages or emails received within 72 business hours or less throughout the process, unless extenuating circumstances exist and Agency is notified in advance of these situations.  12. Surrogate agrees to abide by Agency’s decision in any dispute arbitrated by Agency between Surrogate and Intended Parents.  13. Surrogate agrees to notify Agency in the event health insurance is lost due to a loss of employment, whether by choice or termination. In the event there is a loss of coverage, Surrogate is solely responsible for acquiring Continuation Coverage "COBRA" to ensure Surrogate’s pregnancy and delivery related medical expenses are covered for the duration of the pregnancy until the 6 week postpartum checkup.  Failure to obtain Continuation Coverage " COBRA " can result in Surrogate being liable for any and all costs incurred due to the loss of insurance.  

IV. TERMINATION OF SURROGATE AGREEMENT 

 Upon termination of the Surrogacy Agreement after a successful pregnancy is achieved, this agreement shall terminate. Agency shall refund any funds owed to the Intended Parents from the Escrow Account according to the Fund Management Agreement no sooner than 3 months after the child is born. If Surrogate wishes to enlist Agency’s services with new Intended Parents, the Parties shall enter into a new Surrogate Mother Agreement.  

VI. ASSUMPTION OF RISKS 

 Surrogate, by signing this agreement, hereby assumes all of the below stated risks, and releases and holds Agency harmless from any legal liability arising from these risks. Under no circumstances shall this provision be construed to limit any medical professional’s liability for malpractice and/or negligence.  

1. Medical Risks  Prior to the signing of the Surrogacy Agreement, Surrogate shall meet with the IVF or IUI Physician, so that the Physician can explain to Surrogate and Surrogate’s Spouse the Physician's protocol, the medical risks, and the psychological risks of acting as a Surrogate.  Surrogate and Surrogate’s Husband acknowledges being informed of the medical risks outlined on Exhibit A to this Agreement and further acknowledges that this list is not 

exhaustive or exclusive, and that the IVF Physician may have disclosed additional risks not set forth on Exhibit A. 

 By signing this Agreement and going forward with the Transfer or IUI procedure after consultation with the Physician, Surrogate and Surrogate's Husband shall be deemed to have given their informed consent to the assumption of all risks, known or unknown, present or future, including without limitation: a) risks associated with the Transfer; b) risks associated with the Procedure and Transfer; c) risks associated with pregnancy and delivery of the Child, including without limitation, death; d) risks of postpartum complications; e) risks associated with any fertility drugs or medications used by the Physician; and f) risk of contracting communicable diseases through the Transfer.    Informed consent, advice or information for all medical procedures is the individual responsibility of the party undergoing such procedure.  Surrogate is aware of the risk that pregnancy may result in a loss of reproductive capabilities and/or organs. Surrogate understands these risks, and agree to hold Agency and Agency’s Associates harmless.  The attorneys, psychologists/psychotherapists, Simple Surrogacy, LLC. (“Agency”) or any agent or employee of said entities are not responsible for any medical advice and/or information which may be given or should have been given to Surrogate.   2. Legal Risks  Surrogate expressly understands and agrees that Agency is not a law firm or practicing attorney and, as such, Agency has made no representations or warranties to Surrogate as to the legality of surrogacy in any particular jurisdiction nor the enforceability of any Surrogacy Agreement. In particular, Agency has made no representations or warranties to Surrogate as to their legal rights, including the parent‐child relationship, with regard to the child born from the surrogacy arrangement.  Despite best efforts to make the arrangement comply with the known law, it may still be challenged. Agency cannot guarantee that the Intended Parents will comply with or honor the terms and conditions of the Surrogate Agreement. Nor can Agency guarantee that the Surrogacy Agreement, or any portion thereof, may or will be enforced in any court or administrative or governmental agency or be deemed valid or legitimate by any religious philosophy or group. There are no assurances that any participation in the surrogate parenting process is free of criminal or civil liability, particularly in states where there is no established law on surrogacy or where surrogacy is illegal.  Surrogate expressly understands and agrees that Agency does not guarantee or warrant the following: (1) The Intended Parents will keep in contact with Surrogate after the birth of Child(ren) (2) that the Child, if conceived, will be a physically and mentally healthy child, free of birth or congenital defects; (3) that the Intended Parents will comply with the terms and provisions of the Surrogacy Agreement. 

  3. Surrogate Medical Insurance Risks  Surrogate expressly understands and agrees that Agency is not an insurance broker or agent and has not made any representations or warranties to Surrogate or Intended Parents as to whether or not the health insurance of Surrogate will cover medical expenses arising from the proposed surrogacy arrangement. Surrogate acknowledges that it is their responsibility to verify the existence of coverage prior to the embryo transfer and to satisfy themselves as to the extent of coverage of any health insurance policy. Obtaining insurance coverage for surrogates is becoming an increasingly difficult thing to accomplish. Many insurance companies have begun writing surrogacy exclusions into their policies and it is unclear whether their inclusion of such an exclusion into non‐maternity sections of their policies may be used later by the insurance companies to argue that they exclude surrogacy from their maternity coverage as well. Agency will continue to use its best efforts to review these policies and to try to obtain coverage for Surrogate that either has no surrogacy exclusion or contains no surrogacy exclusion that is expressly linked to maternity coverage. However, Intended Parents are aware that coverage does exist for Surrogates through a Lloyds of London policy, which policy, while costly (approximately $10,000 for premiums, plus the cost of up to the first $15,000 of maternity care for a single child and $20,000 for multiple births), is expressly designed to cover maternity benefits for women acting as surrogates and removes the risk of costly complications up to its cap, which at the time of the original creation of this Agreement is $500,000. If, in the alternative, Intended Parents choose to rely on Surrogate’s insurance and that insurance contains a surrogacy exclusion anywhere in the policy, or Intended Parents choose to negotiate with Surrogate’s obstetrician and/or hospital for a self pay program, Surrogate understands and accepts that they will be undertaking risks that any such expenses will likely be in the Surrogate’s name, and, as a result, Surrogate may be potentially liable for paying for uncovered costs and/or complications that arise. 

 Agency is not responsible for any expenses, including any medical expenses, of the Surrogate that are not covered by Intended Parents. 

 VII. 

CONFIDENTIALITY/PRIVACY RIGHTS  

The Parties agree that they will not provide, nor allow anyone else to provide, any identifying information to the public, news media, web sites or blogs or any other individual regarding the details of the surrogate arrangement contemplated by this agreement and the Surrogacy Agreement, the terms of the Surrogate Agreement, or any information that might reasonably lead to the identification of a party to the Surrogate Agreement, his/her family or the Child, without the express consent of the Intended Parents. Intended Parents understand that the confidentiality as described herein does not prohibit any party from speaking generally with the public, news media, friends or relatives about his/her own involvement in surrogacy or his/her views and opinions on 

surrogacy, so long as any information conveyed does not include the identities of the Intended Parents.  

VIII. EMPLOYMENT RELATIONSHIP 

 The Parties acknowledge and agree that the Surrogate is not intended to be and shall not be considered an employee (either statutory or under common law) of the Intended Parents, Agency or Escrow Agent. The Parties further acknowledge that the services provided under this Agreement do not arise from a business relationship, and that Surrogate is subject to the control and direction of the Intended Parents and/or Agency only as to the results to be accomplished, and not as to the details by which those results are accomplished. In this regard, Surrogate acknowledges that she is not insured or required to be insured by workers’ compensation insurance under applicable state or federal law for the services she will perform under this Agreement. Surrogate shall be responsible for the payment of any and all federal, state and local taxes (if any) on any payments or reimbursements she receives under this Agreement.  

IX. GOVERNING LAW 

 The validity of this agreement and of any of its terms or provisions, as well as the 

rights and duties of The Parties under this agreement, shall be construed pursuant to, and in accordance with the laws of the State of Texas. The Parties agree to specifically submit to Texas jurisdiction in resolving a dispute under this agreement. Any litigation arising from this agreement shall be brought in the State of Texas. 

 X. 

DISPUTE RESOLUTION  THE PARTIES AGREE TO ATTEMPT TO RESOLVE ANY DISPUTE OR CLAIM ARISING BETWEEN THEM OUT OF THIS AGREEMENT THROUGH MEDIATION BEFORE RESORTING TO COURT ACTION EXCEPT THAT AGENCY MAY SUSPEND PAYMENTS UNDER THE TERMS OF THIS AGREEMENT AND/OR FILE A SUIT SEEKING SPECIFIC PERFORMANCE WITHOUT FIRST ATTENDING MEDIATION.  Mediation is a process by which parties attempt to resolve a dispute or claim by submitting it to an impartial, neutral mediator, who is authorized to facilitate the resolution of the dispute, but who is not empowered to impose a settlement on the Parties.  Mediation fees shall be divided equally among the Parties involved. Each Party is solely responsible for his/her legal costs associated with any mediation. OTHER THAN A SUIT SEEKING 

SPECIFIC PERFORMANCE, IF ANY PARTY COMMENCES A COURT ACTION BASED ON A DISPUTE OR CLAIM TO WHICH THIS PARAGRAPH APPLIES WITHOUT FIRST ATTEMPTING TO RESOLVE THE DISPUTE THROUGH MEDIATION THEN IN ADDTION TO ANY OTHER REMEDIES AVAILABLE AT LAW OR EQUITY, IN THE DISCRETION OF THE JUDGE, THAT PARTY SHALL NOT BE ENTITLED TO RECOVER ATTORNEY’S FEES, EVEN IF THEY WOULD OTHERWISE BE AVAILABLE TO THAT PARTY IN ANY SUCH MEDIATION OR COURT ACTION.  

XI. AMENDMENT 

 This agreement shall be amended only by a written agreement signed by all The 

Parties.   

XII. ENTIRE AGREEMENT 

 This Agreement and any Exhibits which are expressly made a part of this Agreement set forth the entire agreement between the Parties.  All agreements, covenants, representations and warranties, expressed and implied, oral and written, of the Parties are contained herein.  No other agreements, covenants, representations, nor warranties, expressed or implied, oral or written, have been made by any party to the other(s) with respect to this Agreement. All prior and contemporaneous conversations, negotiations, possible and alleged agreements, representations, covenants and warranties with respect to this Agreement are waived, merged and superseded.  This is an integrated agreement.  

XIII. PARTIAL INVALIDITY 

   If any term of this agreement is held by a court of competent jurisdiction to be void or unenforceable, the remainder of the contract terms shall remain in full force and effect.  

XIV. INTEGRATION & INUREMENT 

 The Parties declare and represent that no promises, inducements or agreements not contained herein have been made to them; that this agreement contains the entire agreement between The Parties hereto; and that all of the terms of this agreement are contractual and not mere recitals. Prior warranties, representations, agreements, understandings, contracts and other commitments, whether written or oral, are either waived by The Parties herein, or are merged into this agreement. This agreement applies 

to, inures to the benefit of, and binds all parties hereto, their heirs, legatees, devisees, administrators, executors, successors and assigns.  Standard Fees

EXHIBIT A DISCLOSURE AND CONSENT FOR MATERNITY 

   TO SURROGATE: You have the right, as a prospective maternity patient to be informed about maternity and related cases and the recommended surgical, medical, or diagnostic procedure to be used so that you may make the decision whether or not to enter into this Agreement after knowing the risks and hazards involved. This disclosure is not meant to scare or alarm you; it is simply an effort to make you better informed so you may give or withhold your consent to the proposed arrangement.    I understand that, if the proposed arrangement is successful, I will become pregnant and that there are risks to pregnancy and child birth, including the risk of death incident to conception, pregnancy, child birth, and postpartum complications.  I also realize that the following risks and hazards may occur in connection with maternity:    Delivery (vaginal)
