TERMS AND CONDITIONSADVERTISING CONTRACT TERMS AND CONDITIONSA. The person or company identified as Advertiser overleaf (the Advertiser) has

applied to Exhibitions and Trade Fairs Pty Limited (ABN 72 101 130 527) (ETF)which is providing certain catalogue and other services for AUSPACK 2017 from 7-10 March 2017 (Exhibition), for space to advertise in the Exhibition catalogue(Catalogue) as set out in the booking form overleaf (Booking Form) on the terms and conditions set out below (these terms).

B. The Booking Form and these terms comprise a binding legal contract (this Contract) between ETF and the Advertiser when ETF accepts the Advertiser’s Booking Form by invoicing the Advertiser.

C. TERMS AND CONDITIONSPayment1) The Advertiser must pay to ETF the Cost of Advertising (in the amount set out in

Item 2 of the Booking Form) in the manner and at the time set out in Items 2 & 4 ofthe Booking Form. If the Advertiser fails to make payment as specified, ETF may in its absolute discretion, and without limiting its rights, terminate this Contract without notice and as it elects, resell or otherwise use the advertising space allocated to the Advertiser. In any such circumstances the Advertiser is not entitled to refund of any moneys paid, and must immediately pay to ETF as a genuine pre-estimate of the loss by ETF, all moneys owing to ETF as at the date of termination plus any costs and expenses which ETF notifies it has reasonably incurred as result of such failure to pay, on demand by ETF.

2) Monies paid under this Contract are not refundable for any reason.Advertiser Warranty3) The Advertiser warrants to ETF that it has contracted to be an exhibitor at the

Exhibition and/or to be a sponsor for AUSPACK 2017 however it agrees that this Contract is additional to and independent of any contract made by it to exhibit or sponsor.

Licence 4) The Advertiser irrevocably grants to ETF an non-exclusive, royalty free licence to

publish the logo, trademark, tradename, copyright and other intellectual property rights (IP) contained in the Materials (as hereinafter defined), in the Catalogue and any publication or flyer ancillary to the Catalogue which ETF determines in its discretion (Ancillary Publication).

Advertiser Acknowledgements and Obligations5) The Advertiser acknowledges, warrants and agrees:

a) that all information, IP, artwork, and other material provided by or for it(Materials) in relation to this Contract will not contain any defamatory, slanderous, otherwise actionable, misleading or deceptive material or behaviour or infringe any copyright or other third party rights or otherwise contravene any laws or regulations in force in any place throughout the world;

b) that it will comply with all requirements for Materials specified in the Booking Form, the Exhibitor Information Manual issued by ETF for the Exhibition, and/oras notified by ETF (collectively called Requirements);

c) that all Materials are subject to the approval of ETF and ETF may reject, refuse, or change any Materials it regards as not consistent with the standard forpublication, or not in accordance with the Requirements or these terms and editorial control of the Catalogue and any Ancillary Publication remains with ETF;

d) to provide all Materials in the format or formats prescribed by the Requirements by the prescribed deadline (Deadline), ready to print;

e) that ETF need not proof any Materials submitted by the Advertiser and the Advertiser accepts all responsibility for publication of Materials as submitted by it;

f) that it is the Advertiser’s responsibility to notify ETF of any contact detail changes;

g) that ETF has no liability for any Deadline missed by the Advertiser;h) to notify ETF promptly in writing if the Advertiser’s right to use any content in the

Materials changes or any proceedings contesting that right are initiated and theAdvertiser is solely responsible for the enforcement and protection of any IP in the Materials;

i) that it is solely responsible and liable for all of the content of the Materials (and for all consents required in relation to the content) and for the accuracy and completeness of all information provided;

j) that the content in the Materials is valid and correct at the date of provision to ETF and is expected to remain so until no earlier than the close of the Exhibition;

k) that the Advertiser cannot withdraw any Materials from the Catalogue or any Ancillary Publication or make any change after the Deadline (and if more than one Deadline, after the first Deadline), however this subclause does not permit the Advertiser to withdraw from or terminate this Contract at any time and thissubclause survives termination of this Contract;

l) that ETF may in its absolute discretion, refuse an Advertiser Booking Form, cancel this Contract, relocate or resize the Advertiser’s space in the Catalogue at any time in the interests of maximising the success of the Catalogue or the Exhibition, or change any aspect of the Catalogue and the Advertiser acknowledges that it may not receive its first or any subsequent preference for size and type of advertising space;

m) that the dates for the holding of the Exhibition may be changed, postponed or cancelled, the duration of the Exhibition or hours of opening may be changed, and/or the venue for the Exhibition may be changed, however any such change(s) may not be reflected in the Catalogue or Ancillary Publication;

n) that ETF excludes liability for any action, suit, claim, cost, expense, loss, damageor liability (all Claims) arising from any copyright, trademark, other intellectual property rights, moral rights, personality rights, publicity rights, privacy rights, or any other rights of any person infringed by reason of the display of any of the Materials in the Catalogue or any Ancillary Publication (collectively Infringed Rights) (except to the extent caused by any unauthorised and wrongful change to any Materials by ETF); and

o) to indemnify ETF from and against all Claims arising in connection with the inclusion of any Materials in the Catalogue or any Ancillary Publication (except to the extent caused by any unauthorised and wrongful change to any Materials byETF), and/or from any breach by the Advertiser of any obligation or warrantyunder this Contract.

6) Acceptance, publication and/or display of any Materials does not signify any review,approval, endorsement or adoption of any information contained in them, or any waiver of ETF's rights in connection with this Contract.

7) Neither ETF nor any other person warrants or guarantees, and ETF specifically excludes any liability to the Advertiser to the extent permitted at law in relation to:a) any content or quality of the Catalogue and any Ancillary Publication including

printing errors; b) circulation or distribution of the Catalogue including numbers printed or distributed;c) any event or circumstance outside ETF’s control which impacts upon, prevents or

limits the printing, circulation or operation of the Catalogue, the Exhibition or the performance of ETF’s obligations under this Contract including without limitation, any delay, failure or interruption from industrial action, labour dispute, blackout, fire, war, terrorism, government sanction, act of God, cancellation of the Exhibition or any other event or cause outside of the control of ETF.

In all such circumstances ETF is entitled to retain all moneys paid by the Advertiser.8) The Advertiser agrees that its participation in the Catalogue and/or any Ancillary

Publication is wholly at its own risk, that this Contract is made with ETF as principal in its right and not as agent for any person or entity, and ETF to the extent permitted by law (i) excludes all terms, conditions, guarantees and warranties implied or imposed by law; and (ii) to the extent of any liability to the Advertiser or anyone claiming through the Advertiser limits its liability to no more than the total amount paid by the Advertiserunder this Contract.

9) To the extent that ETF has any liability to the Advertiser under any statutory guarantee or implied warranty or condition under applicable law which cannot lawfully be excluded, to the extent permitted at law ETF limits such liability at its option to: (i) in the case of goods supplied, to, the replacement of the goods or the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or of acquiring equivalent goods, or the payment of the cost of having the goods repaired; or (ii) in the case of services supplied, to the supplying the services again or payment of the cost of having the services supplied again.

10)The Advertiser cannot assign or deal with any of its rights or obligations under this Contract. ETF may at any time, assign or novate any of its rights and/or obligations under this Contract.

11)The Advertiser and each person signing the Booking Form (Consenting Persons), consent and the Advertiser warrants that they (and each other person named in the Booking Form) consent, under all applicable Privacy Laws, to (a) the collection of their personal information for the purpose of communicating with them in connection with this Contract or the Exhibition; (b) disclosure of their personal information to contractors and others assisting in the organisation of the Exhibition and/or the related conference (Contractors); and (c) use of their personal information by ETF and/or Contractors for the purpose of informing them of products, services and/or events promoted by ETF and/or Contractors. Consenting Persons may obtain details of the information ETF holds about them, or request that information not be used by ETF to contact them or to be provided to Contractors, by contacting ETF’s Privacy Officer. ETF makes no representation as to how Contractors may use information disclosed to them.

12)No statement or representation about the Catalogue or any Ancillary Publication or otherwise concerning the subject matter of this Contract may be relied upon by the Advertiser unless expressly set out in these terms, to the extent permitted at law.

13)All sums and amounts for payments referred to in the Booking Form are exclusive of any Goods and Services Tax (collectively GST) unless otherwise specified, and in addition to the cost specified for payment, the Advertiser must pay and reimburse to ETF an additional amount equal to the amount of any GST notified as payable by ETF (if any) in respect to the supply made by it under this Contract, at the same time or times as the cost or any instalment is payable.

14)This Contract is governed by the laws applicable in New South Wales, Australia and the Advertiser and ETF submit to the jurisdiction of the courts of New South Wales, Australia.

15)In these terms: the singular includes the plural and vice versa; “including” is not a word of limitation; no rules of construction will apply to the disadvantage of a party who put forward these terms or any part; “at law” or “applicable law” means under the laws of New South Wales, Australia unless expressly stated otherwise; these terms are subject to the provisions of any applicable law which cannot be excluded and any invalid,unenforceable or void part will be severed to the extent invalid, unenforceable, or void and the remainder will remain in full force and effect; the consent of ETF may be withheld or given on conditions in its absolute discretion; reference to any currency is toAustralian Dollars (AUD), (including in the Booking Form); clause 1 and all warranties, indemnities and exclusions survive termination of this Contract however this Contractwill otherwise terminate on close of the Exhibition.

16)Any waiver of a breach of this Contract or of any rights created by or arising under this Contract can only be in writing and signed by the party granting the waiver, and variation of any part of this Contract must be in writing and signed by the parties to be effective.
