DECISION

ON CRITERIA FOR CLASSIFICATION OF STATE-OWED ENTERPRISES, STATE-INVESTED ENTERPRISE AND LISTS OF ENTERPRISES TO BE ARRANGED IN 2016 -

2020

Pursuant to Law on Organization of the Government dated June 19, 2015; Pursuant to Law on Enterprises dated November 26, 2014; Pursuant to Law on Management and Utilization of State Capital Invested in the Enterprises’ Manufacturing and Business Activities date November 26, 2014; At the request of the Minister of Ministry of Planning and Investment; The Prime Minister issues the Decision on criteria for classification of State-owned enterprises, State-invested enterprises and lists of the State-owned enterprises to be arranged in 2016 – 2020.

Article 1. Scope of regulations Appendix 1 on criteria for classification of the State-owned enterprises, State-invested enterprises and Appendix 2 on lists of State-owned enterprises to be arranged in 2016 - 2020 promulgated together with this Decision are the basis for classifying and arranging the existing State-owned enterprises, and for continuing to sell the State capital at the State-invested enterprises in order to enhance the arrangement and renewal process until 2020.

Agriculture and forestry companies, enterprises in national security and defense, State Capital Investment Corporation (SCIC), Vietnam Debt and Asset Trading Corporation (DATC), Vietnam Asset Management Company (VAMC), Aqua-agriculture companies implement their arrangment under the Government and the Prime Minister’s regulations.

Article 2. Applicable Entities 1. State-owned enterprises whose establishment is decided by the Prime Minister, Ministers, Heads of ministerial agencies, Heads of Government Bodies (hereinafter referred to as Line Ministries), Chairperson of People's Committees of provinces and centrally-governed cities (hereinafter referred to as People's Committees of provinces); Representatives of State capital invested in the joint stock companies and multi-member limited liability companies whose shares and contributed capital are held by the Line Ministries, the People's Committees of provinces.

2. One –member limited liability companies whose establishment is decided by the Boards of members of Economic Groups and State-owned Corporations; Representatives of the contributed capitals of the Economic Groups and Corporations at the joint stock companies, multi-member limited liability companies.

3. Other Agencies, organizations and individuals involving in the classification, arrangement and renewal of State-owned enterprises and State-invested enterprises.

Article 3. Implementation 1. Ministers of the Line-ministries, Chairperson of the People’ Committees of provinces and Board of Members of Economic Groups and Corporations are responsible for:

a) Implementing the arrangement in period 2016 – 2020 based on the criteria in Appendix 1 and the lists of State-owned enterprises to be arranged in Appendix 2.

b) Formulating a roadmap and organizing the sale of State-owned capital in joint stock companies and multi-member limited liability companies in order to assure the suitability to the criteria in Appendix 1.

c) Reporting to the Prime Minister for consideration and making decision on the continuation of holding more than 50% of charter capital at the enterprises producing and supplying public-utility products and services in case that there is no private enterprise providing services with suitable quality and service fee.

d) Reporting to the Prime Minister for making decision on restructuring plans of Economic Groups; specially the cases play importaint role in the economic development of the localities, serve the strategies for development of industries and Economic Groups (such as management and operation of seaports; in cases that the State holds 36% of charter capital and other special cases).

đ) By April 15 every year, a report on the results of the State-owned enterprises’ arrangement in the previous year and the implementation plan of the report year within the scope of their function shall be sent to the Ministry of Planning and Investment, and the Steering Committee of Enterprise Renewal and Development for compiling and reporting to the Prime Minister.

2. Ministers of National Defense, Public Security, Finance and the Governor of State Bank of Vietnam bases on the classiffication criteria in Appendix 1 formulate the plan for arrangement and renewal of State-owned enterprises who are affiliated to Ministry of National Defense, Public Security, State Capital Investment Corporation (SCIC), Vietnam Debt and Asset Trading Corporation (DATC), Vietnam Asset Management Company (VAMC), and submit to the Prime Minister for consideration and decision.

3. The Ministries, People’s Committees of Provinces, Economic Groups and Corporations whose plan for arrangement and renewal in 2016 - 2020 is approved by the Prime Minister before this Decision comes into effect shall implement as follows:

a) With regard to the enterprises whose equitization plan has not been approved by the competent authorities; Minister of the Line Ministry, Chairperson of the People's Committee of provinces, Board of Members of Economic Groups and Corporations shall based on the classification criteria in Appendix I to actively adjust the percentage of State shares when formulating the equitization plan;

b) With regard to the enterprises whose equitization plan has approved by the competent authorities, comply with the approved plan and formulate a roadmap for selling the State capital as stipulated at point b Clause 1, Article 3 of this Decision.

4. Ministry of Planning and Investment is resposible for:

a) Suming up the results of State-owned enterprises’arrangement of the whole country to report to the Prime Minister;

b) Presiding and coordinating with ministries, government apparatus, localities to formulate the plan for arrangement of companies who manage and operate irrigation systems, inter-provincial and inter-district agricultural hydraulic engineering, sea-walls, and submit to the Prime Minister for consideration and decision.

c) Formulating the list of State-invested enterprises who are to be divested in 2016 - 2020, and submit to the Prime Minister for consideration and approval

d) Periodically reviewing and reporting to the Prime Minister to adjust and supplement the list of State-owned enterprises who are to be arranged in 2016 - 2020 in Appendix II

Article 4. Resposibility for implementation 1. This Decision shall come into effect since February 15, 2017 and supersede the Decision No. 37/2014/QĐ-TTg dated June 18, 2014 of the Prime Minister.

2. The Minister of Line Ministry, the Chairperson of People's Committees of provinces, the Board of Members of Economic Groups and State-owned Corporation shall be liable to execute this Decision.

3. The Ministry of Planning and Investment shall be responsible for monitoring, guiding and speeding the Ministries, sectors, locality, Economic Groups and State-owned Corporations’ implementation of this Decision./.

APPENDIX I CRITERIA FOR CLASSIFICATION OF STATE-OWNED ENTERPRISES AND

STATE-INVESTED ENTERPRISES (Issued together with the Decision No. 58/2016/QĐ-TTg dated December 18, 2016 of the Prime

Minister)

I. ENTERPRISES WITH 100% OF CHARTER CAPITAL HELD BY THE STATE OPERATING IN THE FOLLOWING INDUSTRIES AND SECTORS: 1. Map measurement serving National Defense and Security.

2. Manufacturing and trading industrial explosive materials.

3. Transmitting, dispatching the national power system and management of electricity distribution, multi-purpose hydropower and nuclear power particularly important to the economy and society associated with the National Defense and Security.

4. Managing the infrastructure system of the national and urban railway invested by the State; controlling the national and urban railway transportation invested by the State.

5. Air traffic services, aeronautical information services, search and rescue services

6. Assurance of maritime safety (excluding dredging, maintenance of public navigable channels).

7. Public postal.

8. Lotteries.

9. Publishing (excluding printing and publication)

10. Printing money and casting coins, producing gold bars and gold souvenirs.

11. Credit extension for serving the socio-economic development, and securing the safety of banking system and credit institutions.

II. ENTERPRISES TO BE ARRANGED AND EQUITIZED, THE STATE HOLDS AT LEAST 65% OF CHARTER CAPITAL, OPERATING IN THE FOLLOWING INDUSTRIES AND SECTORS: 1. Managing, operating airports, services of flight areas.

2. Navigation information services, surveillance service, and aviation meteorological services

3. Mining of minerals on a large scale bases on the current regulations on classification of mine scale

4. Exploration, development and exploitation of oil and gas fields

5. Finance, banking (excluding insurance, securities, fund management companies, financial companies and financial leasing companies).

III. ENTERPRISE TO BE ARRANGED, EQUITIZED, THE STATE HOLDS MORE THAN 50% AND LESS THAN 65% OF CHARTER CAPITAL, OPERATING IN THE FOLLOWING INDUSTRIES AND SECTORS: 1. Production of basic chemicals.

2. Air transportation.

3. Enterprises holding a market share of 30% or higher who play a role of assuring major economic balancing and stable market, operating in the following industries and sectors

a) Wholesaling of rice;

b) Wholesaling of gasoline.

4. Production of cigarette.

5. Provision of Telecommunications service with network infrastructure.

6. Planting and processing rubber and coffee in strategic areas, mountainous, remote and isolated areas associated with National Defense and Security.

7. Enterprises satisfying the essential requirements for development of production and raising the living standards of ethnic peoples in mountainous, remote and isolated areas.

8. Retailing of electricity (in accordance with the roadmap of formation and development of electricity market level)
