FAST ARCHITECTURE

EXPRESS RANGE

AirClad [X] Express is a range of unique products, developed using patented AirClad technology, for creating mobile event architecture. The range uses both flat-packed and prebuilt, fold-up systems that are capable of being installed in under 10 minutes. Designed and engineered to be used in virtually any environment, we call this #FastArchitecture.

By combining ease of deployment with unique aesthetic and structural qualities, the finished pods are ideal for temporary or permanent installations - where looking good and making an impact is paramount.

When flat-packed, the pods can be forklifted to site or moved by hand for erection. Prebuilt systems will be forklifted into place as one unit to the desired location, at which point the front and back fascia fold up from the floor. The frames are secured with cross bracing and then wrapped with and AirCell which is pressurised to form a rigid structure. The Express range is engineered to Euro Code 13782 with UK documentations.

The Snoozy is a mobile accommodation unit suitable for short-term, weekend events and season-long deployments. The main space offers double or twin bed accommodation with storage, lighting, USB power and secure lockable doors. The Snoozy is easily deployable on any terrain, with height adjustable galvanised feet

for fast levelling. A raised flooring secures the interior from any moisture and bugs and, along with its integrated LED lighting, helps to create a fresh-feeling, enjoyable space.

The AirClad XTRL demonstrates a whole new approach to event mobility. All you have to do is park it.

The AirClad XTRL is a mobile, trailer-mounted version of the 6m XPO and is ideally suited to touring events where a pre-built solution is required. Complete with integrated lighting and uniquely designed features for wall-mounted accessories and graphics, the interior space is open-plan and ready for an interior fit out. This 2.5m wide by 6m long trailer is capable of being be towed by any

3500kg load approved vehicle. The system is pre-assembled and is partially held in tension by pressurised Air Cells that wrap around the frame. The inflated AirCells come as standard in white black-out PVC to maximise thermal efficiency. The XTRL is proudly designed and produced in the EU and is engineered to Euro Code 13782.

STRUCTURE PACKAGE

The XONE creates a portable display space. Graphically and technically developed to enhance indoor and outdoor exhibitions.

The XONE is based on the XPO6, with features tailored specifically for creating static displays. The space is ideally suited to exhibiting automotive products and can be configured to provide varied levels of interaction and security; Completely closed, partially closed or fully open. As with all AirClad X Products, branding and lighting are designed to work seamlessly.

Quality finishes create a premium feel, inside and out. The Space Frames and Cross Braces are double powder coated for durability in a choice of RAL colours. The Fascia uprights, as with the door frames, are finished in a premium, textured black powder coat.

The integrated raised flooring has 150mm cavities to run electrics and AV cabling to preserve the clean aesthetic of the internal space. The 18mm plywood floor has a tough resin-coat and is ready for a range of internal floor finishes to make the space your own. A 5KPA loading ensures the XONE is ready for anything.

STRUCTURE WARRANTY

Warranty conditions

All Airclad structures are covered by our warranty against any defects in workmanship during manufacture or materials for a period of 6 months from the delivery date in relation to them being supplied to ‘confirm to contract’ and fit for purpose.

All structures should be inspected upon delivery and any deviation from contract or defects must be advised in writing prior to the product being used directly to AirCladTM who will arrange an onsite inspection or arrange a suitable location to do so.

Please ensure you include a copy of your original packing slip, invoice or delivery note.

All the equipment is checked and in certain cases pre built prior to shipping, as such the likelihood of any defects at point of delivery are greatly reduced. Aspects of quality in relation to being fit for purpose include, freedom from minor defects, appearance and finish, durability and safety, and usability for use.

Only if the above process is followed and a clear manufacturing or material defect is evident will the below occur:

Options open to deal with warranty based issues to AirCladTM must be notified within 14 days :

- A local repair is made either by AirCladTM OR cost passed onto AirCladTM (with prior written agreement from AirCladTM before any authorised work is undertaken).

- The structure is returned to AirCladTM for inspection and repair, when if a warranty claim is relevant, the return cost of delivery will be refunded.

- If no repair or alteration is possible, a replacement part may be provided within the usual AirCladTM lead-times of 8-12 weeks.

What is NOT covered by the warranty:

a. Normal wear and tear; b. Deliberate damage and/or misuse/mishandling of the goods; c. Accidental damage; d. Use of Goods in an unsuitable environment; e. Failure to use the Goods in accordance with our instructions; or f. The alteration, modification or repair of the Goods by you or any third party that is not authorised by us. g. Damage caused, if the Goods have not been installed following the correct outlined procedure, as detailed in the AirCladTM guidelines. (It is the responsibility of the Buyer to make sure installation is correct as all details are provided within AirCladTM Build Manuals). h. Damage caused by abnormal/adverse weather conditions. That would not be deemed suitable for a temporary structure, including time spent during installation and de- rigging. i. Damage or material issues caused by failure to store the structure correctly. (Structures must not be stored in a damp or soiled condition or packed or stored in extreme temperatures or humidity and where possible, should always be stored in a clean, dry, warm condition). j. It is recommended that structures are always used/ & or tested to full inflation as often as possible and should not be left unused for periods of greater than 6 months.

Disclaimer

Our warranty is not a guarantee that the product will not through use, handling and storage develop tears or small holes from time to time. The repair of these is the responsibility of the Buyer. If after initial viewing, AirCladTM believe that the unit has been subject to improper use, maintenance or neglect, we reserve the right to terminate this warranty.

If a structure is out of warranty, or after evaluation the fault is not covered by this warranty, the cost of delivering the units to and from the designated locations for evaluation will be borne by the Buyer. We have made every possible effort to illustrate size and dimensions as in the advertising. All sizes are based on pre-Inflated measurements, and hence may vary slightly. All sizes are approximate and fabric colours may vary slightly. The descriptions used are for our sole identity of the products and have no claim against the warranty limitations.

AirCladTM shall not be liable for any injury, loss or damage, direct or consequential, arising out of the use of or the inability to use the structure. Before use, the Buyer shall determine the suitability of the structure for their intended use, and Buyers assume all risk and liability whatsoever in connection therewith. Our liability to you for supply of an AirCladTM structure is set out in our Terms & Conditions of Sale, or FOB Sales Terms & Conditions.

All prices shown are correct at time of publication, however, AirCladTM maintain the right to change these at any time that it may deem to be fit or necessary. All prices quoted exclude delivery. Payment Terms: AirCladTM operates a strict 50% payment on receipt of order and 50% balance prior to delivery of structures. All prices listed are exclusive of the standard rate of VAT.

This Standard Terms and Conditions of Sale Agreement (the “Agreement”), exclusively governs and contains all of the terms and conditions which apply to all sales of products or services by AirCladTM, except that this Agreement will not apply: (a) to Seller products or services which are sold pursuant to an authorized written agreement signed by Seller and Buyer which contains complete, and Expressly excludes all other, terms and conditions of sale; and (b) if and to the extent that an authorized Seller’s document has been provided to Buyer containing terms regarding pricing, payment, shipment, warranty, disclaimers, exclusions, limitations, or other particular terms which are different to this Agreement, then such terms shall be deemed incorporated into this agreement such that they modify or exclude conflicting provisions of this agreement. Buyer agrees that any order for, acceptance of, or payment for Seller’s products or services shall conclusively be deemed to constitute Buyer’s acceptance of this Agreement. Each shipment of products by Seller shall be deemed a separate and independent transaction and no sale of products or services by Seller shall obligate Seller to continue the sale of products or services to Buyer. Seller may modify this Agreement at any time without notice provided that no such modification shall apply in respect of any order for products or services, which has been accepted by Seller. Buyer agrees that all Buyer requests for quotation, purchase orders, requests for shipment and all other Buyer terms, documents, or oral statements, and all prior performance, courses of dealing, and industry practices are excluded and shall not apply to the purchase of any Seller products or services or be used to waive, modify, vary, explain, or supplement all or any part of this Agreement and are hereby objected to and rejected by Seller.

Terms and Conditions

1. Price

Prices are quoted in Euros & GBP. Prices are subject to change at any time, except with respect to orders which have been accepted by Seller and outstanding quoted prices or the period specified with the quote. All prices are based on the quantity indicated and are EX works our factories in Poland and UK as our Seller facility. Any notice or instruction from the Buyer requesting a change in the quantity specifications, scope of work, or other terms, will not be effective unless accepted in writing by Seller, including appropriate adjustments to price, specifications, delivery date and other terms. Seller reserves the right to correct errors in pricing due to inaccurate or incomplete information, clerical mistakes or other causes. Prices do not include any tax or other governmental charge or assessment on the sale, shipment, production, or use of any products or services. Buyer shall pay or reimburse Seller, on demand, for any or all taxes, or other governmental charges or assessments (other than taxes on or measured by Seller’s income) which are based upon or measured by the sales, transportation, delivery, or use of the products or services under this Agreement. All drawbacks of duties paid on items used in the manufacture of the products delivered hereunder shall accrue to Seller, and Buyer agrees to furnish Seller with all documents and cooperation necessary to obtain payment of such drawbacks.

2. Terms of payment

Buyer must make payment to AirCladTM in the currency stated on the invoice. To benefit from the EX works rates, a 50% deposit must be paid upon receipt of invoice directly after the PO has been placed. The second 50% is due prior to release for shipment. If payment is not received, releasing of goods is purely at the discretion of AirCladTM – and goods will remain the property of AirCladTM until payment is received. AirCladTM will not schedule Products for manufacture without the first 50% payment terms of “Cash in Advance” until paid in full by Buyer. If Buyer becomes the subject of a bankruptcy or other insolvency proceeding, or fails to pay AirCladTM invoices as they become due, AirCladTM reserves the right to: (a) delay or cancel any Sales Agreement outstanding and receive full reimbursement for its cancellation damages pursuant to Paragraph 11 below; (b) modify terms prior toshipment; or (c) delay or cancel any shipment.

3. Delivery

Seller shall make every reasonable effort to effect shipment on or before the scheduled shipping date(s) reflected on Seller’s acknowledgment and/or invoice, but such schedule may vary due to, among other things, conditions beyond Seller’s reasonable control, including, but not limited to Seller’s receipt of all materials and information to be supplied by Buyer. If no shipping date is specified, shipment will be made on the date(s) selected by Seller. In no event shall Seller be liable for any damages or penalties for delay in delivery or for failure to give notice of delay. Delivery may be made in advance of any scheduled delivery date where upon reasonable prior notice is given to Buyer.

4. Packaging and shipment

Unless a preferred method of packaging is noted on Seller’s acknowledgment and/or invoice, all items will be packaged for shipment in accordance with Seller’s standard practices. Unless otherwise specified on Seller’s acknowledgment and/or invoice, Seller will ship the items by the most appropriate method as determined by Buyer in its sole discretion, but by doing so does not assume any liability in connection with the shipment. Any or all claims by Buyer for damage or loss of products in transit shall be made by Buyer against the carrier. If requested by Buyer, transportation charges and insurance will be prepaid and will be added to the invoice as a separate item. As a result of this, it is recommended that all Buyers are insured for all shipping eventualities that are beyond the control or indeed remit of AirCladTM.

5.Title

Title to all products sold by Seller to Buyer shall pass from Seller to Buyer only when the cost of such products are paid for in full. The delivery of the products to Buyer in itself does not constitute the passing of title of the products to Buyer. If Buyer should fail to pay when due any amount Buyer owes to Seller on account of such products, Seller retains title over the products, and shall have, in addition to any other rights of Seller, the right (without liability of Seller) to repossess

6. Risk of loss

Delivery of all products sold by Seller to Buyer hereunder is EX works the Seller’s facility from which such products are shipped. All risk of loss of or damage to such products shall be assumed by Buyer upon Seller’s delivery of such products to the carrier for shipment to Buyer. Any and all claims by Buyer for damage, loss or delays in transit shall be made by Buyer against the carrier (with notice thereof to Seller), and Seller shall have no responsibility or obligations with respect to any such damage, loss or delay.

7. Inspection of buyer

Buyer is asked carefully inspect all deliveries of products as they are received by Buyer and report to Seller promptly (but in any event within thirty (14) calendar days after receipt of shipment) any alleged error, shortage, defect or nonconformity of such products. Any failure by Buyer to so inspect and report shall constitute a waiver by Buyer of any claim or right of Buyer against Seller arising with respect to any such error, shortage, defect, or nonconformity which was reasonably discoverable upon such an inspection. Further more, the Buyer can also arrange for Third party inspectors to check the goods at the factory prior to shipment under the EX works terms.

8: Cancellation

Cancellation by Buyer of any product order accepted by Seller cannot be effected except on terms Wwhich indemnify Seller from any and all loss, damage or expense caused by said cancellation.

9: Warranties and liability

9.1 Subject as Expressly provided in these Terms, all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

9.2 The Buyer hereby acknowledges that the Seller is not the manufacturer of the Products. The Seller’s liability for the Products shall be limited to its using reasonable endeavours to pass to the Buyer the benefit of all warranties or guarantees which the Seller may have received from the manufacturer of the Products.

9.3 The Seller shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal storage or working conditions, failure to follow the instructions of the Seller and/or the manufacturer of the Products (whether oral or in writing), misuse or alteration or repair of the Products without the approval of the Seller and/or the manufacturer of the Products.

9.4 The Seller shall be under no liability under these Terms (or any other warranty, condition or guarantee) if the total price for the Products has not been paid by the due date for payment.

9.5 Without prejudice to the foregoing clauses, a claim by the Buyer which is based on any defect in the quality or condition of the Products or their failure to correspond with specifications shall (whether or not delivery is refused by the Buyer) be notified to the Seller within fourteen (14) days from the date of delivery. If delivery is not refused, and the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to reject the Products and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Products had been delivered in accordance with the Contract.

9.6 Without prejudice to foregoing clauses, where a valid claim in respect of any of the Products which is based on a defect in the quality or condition of the Products or their failure to meet specifications is notified to the Seller in accordance with these Terms, the Seller may replace the Products (or the part in question) free of charge or, at the Seller’s sole discretion, refund to the Buyer the price of the Products (or a proportionate part of the price), in which case the Seller shall have NO further liability to the Buyer.

9.7 Without prejudice to foregoing clauses, where a valid claim in respect of any of the Products which is based on a defect in the quality or condition of the Products or their failure to meet specifications is notified to the Seller in accordance with these Terms, the Buyer may return the Products or the part in question on the following conditions:

(a) the Buyer shall return the Products or the part in question to the Seller within fourteen (14) days from the date of delivery;

(b) the Products or the part in question must be in their new and unused condition together with their original packages and shall be subject to inspection by the Seller for damage or misuse prior to the issuance of a refund or the delivery of a replacement;

(c) the Products or the part in question that have been used or damaged will be returned to the Buyer at the Buyer’s expense; and

(d) the Buyer shall include a copy of the relevant invoice, clearly indicating the Products or the part in question being returned.
