Injunction to block the sale of Novo Banco
On 29th December 2015 the Bank of Portugal undertook the illegal and discriminatory act of
transferring 5 series of notes totalling €2.2bn from Novo Banco to the insolvent estate of
Banco Espirito Santo. 38 other series of notes ranking pari-passu with the transferred notes
were left intact at Novo Banco. This arbitrary and unjustified action caused losses of around
€1.5bn for the ordinary retail investors and pensioners who had entrusted their savings to the
group of institutions that the Bank of Portugal selected to impair. Several of these institutions,
including Blackrock, have been large and long-term financial partners of the Portuguese
Government, financial institutions and corporates. However, in the face of such discriminatory
and prejudicial action a group representing over two-thirds of the €2.2bn transferred notes
faced no choice but to commence legal proceedings against the Bank of Portugal in an
attempt to recover their clients' losses.
Absent the rapid resolution of this dispute, various members of the group will seek an
injunction to block the sale of Novo Banco during the week commencing April 3, 2017. The
rules governing the sales process are discriminatory and breach Portuguese and EU law.
Closure of the sale would impair their clients’ claim against Novo Banco and their clients’ ability
to recoup losses. Additionally, the Bank of Portugal, via the Resolution Fund, will reportedly
provide a €4bn guarantee to the likely buyer. This demonstrates that the Bank of Portugal has
the means, but not the commitment, to resolve the ongoing dispute. The group reiterates
that a settlement would yield substantial benefits for Portugal's reputation and the Portuguese
taxpayer in the form of lower borrowing costs for the sovereign and the banking sector. The
Portuguese Authorities are strongly encouraged to seek a timely and constructive conclusion to
this issue.

Injunção para bloquear a venda do Novo Banco
Em 29 de Dezembro de 2015, o Banco de Portugal procedeu ao acto
ilegal e discriminatório de transferência de 5 séries de notas no valor de
€ 2.2 mil milhões do Novo Banco para a área insolvente do Banco
Espírito Santo. 38 outras séries de notas com pari-passu com as notas
transferidas foram deixadas intactas no Novo Banco. Esta acção
arbitrária e injustificada provocou perdas de cerca de 1,5 mil milhões de
euros para os pequenos investidores e pensionistas que tinham
confiado as suas poupanças ao grupo de instituições que o Banco de
Portugal seleccionou para prejudicar. Várias destas instituições,
incluindo a Blackrock, foram grandes e longos parceiros financeiros do
Governo português, das instituições financeiras e das empresas. No
entanto, perante uma tal acção discriminatória e prejudicial, um grupo
que representa mais de dois terços das notas transferidas no valor de €
2,2 mil milhões não teve outra alternativa senão iniciar um processo
judicial contra o Banco de Portugal na tentativa de recuperar as perdas
dos seus clientes.
Ausente a rápida resolução desta disputa, vários membros do grupo
buscarão uma liminar para bloquear a venda do Novo Banco durante a
semana que começa em 3 de abril de 2017. As regras que regem o
processo de vendas são discriminatórias e violam o direito português e
português. O encerramento da venda prejudicaria o crédito de seus
clientes contra o Novo Banco e a capacidade de seus clientes recuperar
perdas. Adicionalmente, o Banco de Portugal, através do Fundo de
Resolução, fornecerá uma garantia de € 4 mil milhões ao comprador
provável. Isto demonstra que o Banco de Portugal tem os meios, mas
não o compromisso, para resolver o litígio em curso. O grupo reitera que
uma liquidação traria benefícios substanciais para a reputação de
Portugal e para o contribuinte português sob a forma de menores
custos de empréstimos para o soberano e o sector bancário. As
Autoridades Portuguesas são fortemente encorajadas a procurar uma
conclusão atempada e construtiva desta questão.
