AgreementAmongst Greater Mohali Area Development Authority, Department of Transport, GoP and the Private Sector Player (PSP)

Concession Period 90 (Ninety) years

• However, for Bus Terminal Area – 20 years with

“Right of First Refusal”

Bid VariableUpfront Consideration- Not less than Rs 52 Crores

To be paid in 6 equal bi-annual installments over a period of 3 years.� First Installment – Within 3 weeks of issuance of Notice of Award.

In addition � 5% of the Upfront Consideration as Annual Concession Fee.

� Increase @ 15% after every 3 years, over the previous Annual Concession Fee.

� Construction Performance Security – Rs 10 Crores (within three weeks of issuance of notice of Award), BG

� For Bus Terminal - Rs 4 Crores� For Commercial Complex - Rs 2 Crores

� 25% enhancement after every 5 years.

Greater Mohali Area Development Authority

(i) Provide land through Project Site Lease Deed

(ii) Constitute Design Approval Committee

(iii) Get approval of the design of the Bus Terminal-cum-Commercial Complex from Design Approval Committee and give comments

(iv) Appoint Independent Engineer

(v) Designate Engineer

Department of Transport, GoP

(i) Issue government orders or gazette notifications as necessary

Private Sector Player

(i) Made application and procure clearances

(ii) Submit Conceptual architectural drawings with details of exterior façade of the Project Facility, within 75 days.

(iii) Submit detailed design of Bus Terminal, within 75 days from the date of signing of Agreement.

(iv) Incorporate necessary suggestions proposed by Design Approval Committee, within a period of 15 days

(v) Submit preliminary cost estimate of the Project

Condition Precedents to be fulfilled within a period of 4 months

(120 days)

Non-fulfillment of Condition Precedents

By GMADA / DoT – payment to PSP an amount calculated at the rate of

0.1% of Construction Performance Security for each day’s delay until

fulfillment of CP. Subject to maximum of 20% of Construction Performance

Security.

If not fulfilled after the payment of 20% of Construction Performance Security, the

Concessioning Authority shall refund the Construction Performance Security and

Upfront Consideration, paid by the Concessionaire

By PSP – Termination of Agreement and forfeiture of Construction

Performance Security and Upfront Consideration.

Parties may extend time for fulfilling the Condition

commercial complexes/ shopping malls/ hotels/resorts/ group-

housing.

Completion of atleast one such project as mentioned above of

value more than Rs 50 Crores OR two such projects of value Rs 30

Crores each, during the last five years

Eligibility Criteria (financial)

Minimum Net worth of Rs 50 Crores as on 31st March 2008.

High Net worth Route -500 Cr

Bidder shall demonstrate Net worth Independently without

forming Consortium/JV
