Combined Heat and Power Facility Request for Information

I. Purpose In the furtherance of Governor Cuomo’s vision for a cleaner and more sustainable New York, and to realize the economic benefits available from public - private partnerships, this Request for Information (RFI) solicits responses and feedback from heat and power developers, the heat and power industry, government agencies, and any other stake holder to questions presented in this document related to the development, or redevelopment, of a Combined Heat and Power Generating Facility (CHP) located on public lands.

The New York State Office of Mental Health, (hereafter the OMH, or the Office) in conjunction with the New York State Department of Corrections and Community Supervision (hereafter DOCCS), seeks to compile information for the potential development of a CHP Generating Facility associated with the St. Lawrence Psychiatric Center and the Ogdensburg Correctional Facility. Included with this RFI are location maps and historical energy consumption data for each facility.

It is the intent of this RFI to acquire information that will assist with the evaluation of potential options for the development, or redevelopment, of a CHP Generating Facility installed, owned, operated and maintained by a heat and power developer under contract to the OMH, on land controlled by the developer, or a CHP Generating Facility installed, operated and maintained by the developer and owned by the State of New York.

The energy generated will be supplied and delivered to the OMH and DOCCS in sufficient quantities to meet the facilities’ annual energy needs, subject to a 20-year or 25-year Power Purchase Agreement (PPA).

This RFI is not a formal procurement nor does it represent a commitment to issue a Request for Qualifications (RFQ) or Request for Proposals (RFP) in the future. This RFI is an inquiry only. No contract or agreement will be made based on the results of this RFI.

A separate RFP may be released at a later date based upon the information received in response to this RFI. Responding to this RFI is entirely voluntary and will in no way affect the Office’s or its Commissioner’s consideration of any proposal submitted in response to a subsequent solicitation via a RFP.

Any and all information obtained as a result of this RFI may ultimately be used all or in part for the formation of a RFP.

II. Background AG Energy L.P. (AG) owns a natural gas-fired cogeneration power plant located on the grounds of the St. Lawrence Psychiatric Center (SLPC) in Ogdensburg, New York. The plant was commissioned in 1994 as a Public Utility Regulatory Policies Act Qualifying Facility, providing electricity to Niagara Mohawk Power Corporation (NMPC) under a long-term PPA. It has also served the thermal (i.e. steam) energy needs of the SLPC and the Ogdensburg Correctional Facility (OCF) since it began operation, in accordance with a 25-year agreement. The steam is required to maintain the appropriate environmental conditions at both facilities. Neither facility has the capability of producing steam to meet its needs. Upon termination of the 25-year agreement AG is obligated to remove the existing building and the steam generating infrastructure located therein (though this requirement could be modified if re-use was desired and a proposal was acceptable to New York State).

In 1997 AG and NMPC terminated the PPA in connection with the implementation of a Master Restructuring Agreement between NMPC and certain independent power producers. Subsequent to this agreement the facility no longer was required to operate as a 79 MW capacity cogeneration facility, but has continued to provide the necessary thermal energy to the SLPC and OCF. Electrical power is provided to the SLPC and OCF directly from National Grid.

III. Information Requested This RFI has been issued for the purpose of gathering information regarding the development and operation of the CHP Generating Facility by a private entity, or entities, in association with facilities operated by the State of New York.

The following shall be the minimum requirements for purposes of this informational solicitation:

A. General Experience 1. What experience and qualifications are important to the likely success of a respondent in developing CHP projects greater than 75 MW, or CHP projects sized solely for the energy requirements of the SLPC and OCS? 2. What elements are important to a respondent’s capability of entering into and supporting a 20-year to 25-year energy supply and delivery agreement? 3. What experience does the respondent (including teamed contractors and investors) have working with local, state, or federal government entities?

B. Plant Technology, Capacity, Development and Delivery 1. What is the recommended installed capacity and output, expressed in respective units, of a CHP Generating Facility, given the information presented in Attachments 3 (Steam), 4 & 5 (Electric)? 2. Please explain the reasoning in the capacity recommendations. 3. Would you anticipate supplying energy to other consumers, including but not limited to potential purchasers of surplus parcels on the SLPC campus (for commercial and/or residential development)? If so, please enumerate the additional capacity and output requirements in your responses to B.1 and B.2. 4. Various fuel sources can require different approaches to collection, storage, and transportation or transmission, as well as different considerations regarding the conversion process and power generation technology that they would most effectively fuel. What CHP technology(ies) and fuel source(s) would the developer utilize? What reasons are used for the selected approach? 5. Would this selected approach require the removal of the existing building? Would this require additional area than what the current footprint (≈ 3.5 acres) provides? If deemed necessary to expand, modify, or alter the existing facility, site footprint, and/or operations how would the respondent address disturbances, either temporary or permanent, to the surrounding environment and missions of the SLPC and OCF? 6. How would the respondent connect to existing site infrastructure and, also, the local utility companies’ transmission and/or distribution systems? Will any new or upgraded utility services, temporary or permanent, be required to serve the needs of the Project? Would any existing utility connections be abandoned? 7. What are the expected operation, maintenance, and emergency needs of the system and how will they be provided for? Please also address the reliability and expected life of the CHP plant the respondent would develop. 8. Please include a likely schedule addressing the anticipated time for design, permitting, construction and operation of the proposed plant.

C. Transitional Period (Existing Plant Shut-Down to New Plant Start-Up) 1. How would the respondent manage a transitional period, operationally and contractually, that may exist from the current agreement’s termination to commencement of a new long-term agreement? 2. Would a temporary thermal energy generating facility be necessary? Please describe associated requirements including, but not limited to, primary and redundant equipment, staffing, contractual, and ancillary needs.

D. Funding and Cost Considerations 1. Do you anticipate public, private, or utility funding, or incentives, being available for the Project? If so, what would be the anticipated source of these funds, or incentives, and how do they add value to the Project? 2. Describe any applicable utility imposed fees. 3. Will the respondent provide OMH guaranteed energy supply and delivery for the period defined in a long-term agreement? 4. What type of cost and cost structures should be expected? 5. Are escalating or decreasing payment rates expected?

E. Regulatory 1. What type of permits, reviews and/or approvals by local, state and federal government entities, are required? 2. Do you foresee local, state or federal legislative issues that would hinder or help the feasibility of the Project? If so, what are they and how could they be resolved?

F. Miscellaneous 1. Are there any particular concerns with any of the information that has been provided for this RFI? Please explain those concerns and provide proposed responses to address those concerns. 2. What further information would a private developer require in order to facilitate project development? 3. Are there any other issues or facts that OMH should consider in assessing the feasibility of the Project? 4. What are key factors facilitating success, and potential barriers impeding success, that would make delivering a CHP project for OMH more or less likely?

IV. Response Format Respondents should provide a description of their company and the intended facility, in particular, the benefits of its operation to the mission of the SLPC and OCF, and to the State of New York. At a minimum, please provide the following:

• Company Name; • Company Address; • Representative contact information including title;

• History in the combined heat and power generation industry with the development, operation, and maintenance of CHP facilities;

• Answers to questions in A-F above. Respondents are encouraged to describe in detail any features or capabilities of a proposed facility that are not implied or included within this RFI. Respondents agree that any costs incurred in responding to this RFI, or in support of presentations or demonstrations associated with this RFI, shall be the responsibility of the submitting respondent. The Office of Mental Health may seek additional information (clarifying or otherwise) following the receipt of the RFI responses. This may be through phone discussions, meetings, correspondence, or in-person interviews, and may be with an individual respondent, a subset of respondents, or all respondents.

V. Procurement Law Since this is not a solicitation that will result in a contract, it does not fall under the procurement lobbying law; therefore, there is no restricted period.
