Buyer’s Premium

Bidding
At the sale Registered bidders will be assigned abidder number and given a paddle for use at the sale.Once the first bid has been placed, the auctioneer asksfor higher bids in increments determined by theauctioneer. To place your bid, simply raise your paddleuntil the auctioneer acknowledges you. The auctioneerwill not mistake a random gesture for a bid.
By phone A limited number of telephone lines areavailable for bidding by phone through a Freeman’srepresentative. Phone lines must be reserved inadvance. Requests must be submitted no later than 24hours prior to the scheduled start of the sale.
In writing Bid forms are available in the sale room andat the back of the catalogue. These should besubmitted in person, by mail or by fax no later thanone hour prior to the scheduled start of the sale. Theauctioneer will bid on your behalf up to the limit.

Removal of PurchasesDeliveries will not be made during the time of the saleunless otherwise indicated by the auctioneer. All itemsmust be paid for and removed within ten (10) workingdays of the sale. Works from the Avon Collectionlots 1–87
Avon, with its well known, popular beauty products and long history of empowering women with ameans for financial independence, began compiling an art collection in the late 1990s with a focusalmost entirely on photographs. The collection was quickly recognized as an exemplary model ofcorporate citizenship for supporting female artists and displaying the collection in their globalheadquarters in New York for staff and clients to enjoy. Curated by prominent photographer SandiFellman and art historian and critic, Shelly Rice, it was built around the thesis of beauty through theeyes of women, and contains significant pieces by some of the most important female artists of thetwentieth century.
The Avon Collection consists of over ninety works by female photographers and was exhibited atthe International Center for photography in 1997. The artists represented come from diversebackgrounds and philosophical approaches, with work covering a range of photographic processesand styles. Although the group was assembled and curated to fit the objectives of Avon’s corporatemission, it must be regarded objectively as a cohesive, carefully considered collection thatshowcases some of the most striking examples of photographs of the twentieth century.
A portion of the proceeds from the sale of The Avon Collection will benefit the Avon Foundation forWomen, the world’s largest corporate-affiliated philanthropy focused on issues that matter most towomen including breast cancer research and access to care through the Avon Breast CancerCrusade, and efforts to reduce domestic and gender violence through its Speak Out AgainstDomestic Violence program.

James Cremer began his career selling supplies for Holmes, Booth and Haydens, a photographic supplymanufacturer in New York City, becoming a partner in the firm in 1854. In 1855 he established his ownphotographic supply house in Philadelphia. In 1860 he opened a portrait studio on 8th Street, where healso sold stereoviews of Philadelphia. By 1872 he was the largest publisher of stereoviews in the city,and among the largest in the country. He documented the construction of City Hall from 1873-1875and won the bronze medal at the Franklin Institute Industrial Exhibition for his views of Fairmount Park.At the Centennial Exhibition, he won a medal for his Graphoscope, an instrument for viewingphotographs, which he patented in 1875. In 1882 he sold the stereoview business to John WanamakerDepartment store and retired to Brooklyn, NY.

Terms & Conditionsall property offered and sold (“property”) through samuel t. freeman & co, (“freeman’s”) shall be offered and sold on theterms and conditions set forth below which constitutes the complete statement of the terms and conditions on whichall property is offered for sale. by bidding at the auction, whether present in person or by agent, by written bid,telephone, internet or other means, the buyer agrees to be bound by these terms and conditions.
1Unless otherwise indicated, all Property will beoffered by Freeman’s as agent for theConsignor.
2Freeman’s reserves the right to vary the termsof sale and any such variance shall becomepart of these Conditions of Sale.
3Buyer acknowledges that it had the right tomake a full inspection of all Property prior tosale to determine the condition, size, repair orrestoration of any Property. Therefore, allproperty is sold “AS-IS”. Freeman’s is actingsolely as an auction broker, and unlessotherwise stated, does not own the Propertyoffered for sale and has made no independentinvestigation of the Property. Freeman’s makesno warranty of title, merchantability or fitnessfor a particular purpose, or any other warrantyor representation regarding the description,genuineness, attribution, provenance orcondition to the Property of any kind or naturewith respect to the Property.
4Freeman’s in its sole and exclusive discretion,reserves the right to withdraw any property, atany time, before the fall of the hammer.
5Unless otherwise announced by theauctioneer at the time of sale, all bids are perlot as numbered in the printed catalogue.Freeman’s reserves the right to determine anyand all matters regarding the order,precedence or appropriate increment of bidsor the constitution of lots.
6The highest bidder acknowledged by theauctioneer shall be the buyer. The auctioneerhas the right to reject any bid, to advance thebidding at his absolute discretion and in theevent of any dispute between bidders, theauctioneer shall have the sole and finaldiscretion either to determine the successfulbidder or to re- offer and resell the article indispute. If any dispute arises after sale, theFreeman’s sale record shall be conclusive in allrespects.
7If the auctioneer determines that any openingor later bid or any advance bid is notcommensurate with the value of the Propertyoffered, he may reject the same and withdrawthe Property from sale.
8Upon the fall of the hammer, title to anyoffered lot or article will immediately pass tothe highest bidder as determined in theexclusive discretion of the auctioneer, subjectto compliance by the buyer with theseConditions of Sale. Buyer thereupon assumesfull risk and responsibility of the property sold,agrees to sign any requested confirmation ofpurchase, and agrees to pay the full price, plusBuyer’s Premium, therefore or such part, uponsuch terms as Freeman’s may require.
9No lot may be removed from Freeman’spremises until the buyer has paid in full thepurchase price therefor including Buyer’sPremium or has satisfied such terms thatFreeman’s, in its sole discretion, shall require.
11No “buy” bids shall be accepted at any timefor any purpose.
12Any pre-sale bids must be submitted inwriting to Freeman’s prior to commencementof the offer of the first lot of any sale.Freeman’s copy of any such bid shallconclusively be deemed to be the soleevidence of same, and while Freeman’saccepts these bids for the convenience ofbidders not present at the auction, Freeman’sshall not be responsible for the failure toexecute, or, to execute properly, any pre-salebid.
13A Buyer’s Premium will be added to thesuccessful bid price and is payable by thebuyer as part of the total purchase price. TheBuyer’s Premium shall be: 25% on the first$50,000 of the hammer price of each lot,20% on the portion from $50,001 through$1,000,000, and 12% thereafter.
14Unless exempted by law from the paymentthereof, the buyer will be required to pay anyand all federal excise tax and any state and/orlocal sales taxes, including where deliveriesare to be made outside the state where a saleis conducted, which may be subject to acorresponding or compensating tax in anotherstate.
15Freeman’s may, as a service to buyer arrangeto have purchased property posted andshipped at the buyer’s expense. Freeman’s isnot responsible for any acts or omissions inpacking or shipping of purchased lots whetheror not such carrier recommended byFreeman’s. Packing and handling of purchasedlots is at the responsibility of the buyer and isat the entire risk of the buyer.
16In no event shall any liability of Freeman’s tothe buyer exceed the purchase price actuallypaid.
17 No claimed modification or amendment ofthis Agreement on the part of any party shallbe deemed extant, enforceable or provableunless it is in writing that has been signed bythe parties to this Agreement. No course ofdealing and no delay or omission on the partof Freeman’s in exercising any right under thisAgreement shall operate as a waiver of suchright or any other right and waiver on any oneor more occasions shall not be construed as abar to or waiver of any right or remedy ofFreeman’s on any future occasion.
18These Conditions of Sale and the buyer’s, theConsignor’s and Freeman’s rights under theseConditions of Sale shall be governed by,construed and enforced in accordance withthe laws of the Commonwealth ofPennsylvania and Consignor and Buyer agreeto the exclusive jurisdiction of the Philadelphia,Pennsylvania Court of Common Pleas and theUnited States District Court for the EasternDistrict of Pennsylvania.
Subject to the foregoing, all Property shall bepaid for and removed by the buyer at his/herexpense within ten (10) days of sale and, if notso removed, may be sold by Freeman’s, or sentby Freeman’s to a public warehouse, at thesole risk and charge of the buyer(s), andFreeman’s may prohibit the buyer fromparticipating, directly or indirectly, as a bidderor buyer in any future sale or sales. In additionto other remedies available to Freeman’s bylaw, Freeman’s reserves the right to impose alate charge of 1.5% per month of the totalpurchase price on any balance remaining ten(10) days after the day of sale. If Property isnot removed by the buyer within ten (10)days, a handling charge of 1% of the totalpurchase price per month from the tenth dayafter the sale until removal by the buyer shallbe payable to Freeman’s by the buyer;Freeman’s shall charge 1.5% of the totalpurchase price per month for any property notso removed within 60 days after the sale.Freeman’s will not be responsible for any loss,damage, theft, or otherwise responsible forany goods left in Freeman’s possession afterten (10) days. If the foregoing conditions orany applicable provisions of law are notcomplied with, in addition to other remediesavailable to Freeman’s and the Consignor(including without limitation the right to holdthe buyer(s) liable for the bid price)Freeman’s, at its option, may either cancel thesale, retaining as liquidated damages allpayments made by the buyer(s), or resell theproperty. In such event, the buyer(s) shallremain liable for any deficiency in the originalpurchase price and will also be responsible forall costs, including warehousing, the expenseof the ultimate sale, and Freeman’scommission at its regular rates together withall related and incidental charges, includinglegal fees. Payment is a precondition toremoval. Payment shall be by cash, certifiedcheck or similar bank draft, or any othermethod approved by Freeman’s. Checks willnot be deemed to constitute payment untilcleared. Any exceptions must be made uponFreeman’s written approval of credit prior tosale. In addition, a defaulting buyer will bedeemed to have granted and assigned toFreeman’s, a continuing security interest offirst priority in any property or money of, orowing to such buyer in Freeman’s possession,and Freeman’s may retain and apply suchproperty or money as collateral security forthe obligations due to due to Freeman’s.Freeman’s shall have all of the rights accordeda secured party under the PennsylvaniaUniform Commercial Code.
10Unless the sale is advertised and announcedas “without reserve”, each lot is offeredsubject to a reserve and Freeman’s mayimplement such reserves by bidding throughits representatives on behalf of theConsignors. In certain instances, theConsignor may pay less than the standardcommission rate where Freeman’s or itsrepresentative is a successful bidder on behalfof the Consignor. Where the Consignor isindebted to Freeman’s, Freeman’s may have aninterest in the offered lots and the proceedstherefrom, other than the broker’sCommissions, and all sales are subject to anysuch interest.
