• January 1997 – December 1998 – Articled Clerk at Rabin, Van den Berg & Pelkowitz
Working with experienced assistants under the close supervision of a senior partner, for a wide range of domestic and international clients:
- advising on general corporate commercial issues in several large mergers, acquisitions and joint ventures;
- drafting business sale and purchase, share sale, shareholder, joint venture, licensing and subscription agreements;
- handling ancillary matters relating to tax, competition, and insolvency;
- becoming familiar with the JSE listing rules and requirements; and
- participating in numerous due diligence exercises, the largest being the acquisition by the Gallo Africa of a 50% stake in Nu Metro (a cinema operator).
• January 2000 – September 2002 – Associate at Prinsloo, Tindle & Andropoulos
Team member advising on limited recourse, structured finance transactions and well as general merger and acquisition work. Major clients included: Accenture, Standard Bank of SA Limited; Imperial Bank Limited, Mettle Limited; Hoskens Consolidated Investments Limited. Work included:
- Yield Enhancement Investment: advising on structures to substitute higher yielding preference shares for lower yielding loans;
- drafting documentation to facilitate deal implementation such as: loan agreements; mortgages and other security interests; complex preference share rights; interest and currency swaps (usually according to ISDA documentation); consideration of the regulatory aspects of the transactions (from those of the South African Reserve Bank to the JSE Securities Exchange).

Curriculum Vitae: Alexandra Russell • October 2002 – June 2011 Absa Capital:
Joined Absa as a legal advisor in order to draft and negotiate preference share and debt financing agreements. Thereafter, gained experience as a project finance lawyer, advising on Public Private Partnerships and drafting and negotiating syndicated loan agreements;
- 2004 – Established and developed strategy for the Security Agent office for Absa for the purposes of managing the flow of syndicated loans for club deals;
- 2006 became the COO Legal for Absa and then as part of the new Barclays Capital family, and co-ordinated regional cost optimisation and legal/compliance re-design programme. This included operating model design, organisation design, process design, transition planning and change management to enable a successful transition to the new organisation structure while also project managing the implementation of the new Companies Act 2008, which came into effect on 1 May 2011.
• July 2011 – present Sasol Executive
Joined Sasol Gas to manage and strategically direct the legal, governance and commercial support to all aspects of the business. Mitigated legal, commercial and business risks through sound management of contractual relationships between the company and its customers, amongst others:
- Provided legal and commercial input into the template gas supply agreement and negotiated same with numerous customers following the establishment of a new pricing regime after the market value pricing (MVP) regime came to an end 31 March 2014;
- Secured and managed legal input in various aspects of interaction with the National Energy Regulator (eg on the proposed Gas Bill as well as to address MVP concerns);
- Co-ordinated risk management as well as statutory, contractual and corporate governance compliance programmes to ensure world class governance within both Sasol Gas and its joint venture partner, ROMPCO based on a sound understanding of the risks/rewards in the gas value chain; [pto]

- April 2014 – as a result of a group-wide re-structure, applied for and was appointed in the position of VP: SHE Policy, Strategy and Sustainability in order to
- Review the environmental, social and governance arrangements of Sasol;
- Drive the development of a sustainability framework and tool for the management of Sasol’s long term sustainability risk;
- Assist with the review of Sasol’s sustainability strategy and guide the leadership team on the implementation of new measures despite the recent oil price crisis;
