10. FOREIGN ITEMSRefer to #5. In accordance with the Trade Agreements Act,Public Law 96-39; Executive Order 12260 dated December 31,1980, Federal Procurement Regulation and TemporaryRegulation 57, application of the Purchase EvaluationProcedures of the Buy American Act is waived on the purchaseof KMBS equipment.

11a. TIME OF DELIVERYDelivery time is up to 30 days from receipt of written order. Allcopiers rented or purchased under this contract will be fur-nished with start-up supplies, consisting of one toner and onedeveloper at the time of delivery at no additional charge. Colorcopiers will contain one toner and one developer of each color.

All purchase orders issued as a result of this contract mustspecify the precise delivery address including building numberand room, street address and zip code needed to make theshipment and inside delivery. In addition, a key operator nameand phone number, as well as that of an alternate, must be pro-vided for all installations.

In the event that the Government places an order that specifiesan equipment configuration that is incomplete, or referencesprices, terms or conditions that are inconsistent with KMBS’spublished GSA price list, the Government will not have provid-ed a properly executed order and installation will be delayedpending resolution of any of these issues.

For all digital copiers, a digital needs analysis form must be pro-vided for each copier. The digital needs analysis form may bethat of a local KMBS authorized service location, or may beobtained directly from KMBS. Failure to provide any of thisinformation at the time of the order will delay installation, andthe time allotted for delivery will not commence until such timeas KMBS is provided a properly executed order.

11b. EXPEDITED DELIVERYExpedited delivery may be available on all SINS on an OpenMarket basis and must be requested at time of order.

11c. URGENT REQUIREMENTSCustomers may contact KMBS for price quotes and availabilityfor equipment, accessories and supplies to be shipped viaovernight or 2-day services. These services may be availableon all SINS on an Open Market Basis and must be requestedat time of order.

12. F.O.B. POINTSAll items included in this schedule are delivered FOBDestination within the 48 contiguous states and the District ofColumbia. Delivery to Alaska, Hawaii and Puerto Rico are onan Open Market FOB Origin basis. The type of transportationused for delivery shall be selected by KMBS. If premium rout-ing is requested, the additional charge shall be added as a sep-arate item to KMBS's invoice on an Open Market basis.


Prices include delivery to the customer location. Customerswill be responsible for the expense necessitated by the need forrigging. Rigging is defined as inside delivery to the point ofinstallation when adequate elevators are not available, requir-ing carrying equipment upstairs, through windows, etc. Whenrigging is required, it will be billed on an Open Market basis.

15. WARRANTY PROVISIONSPurchase, LTOP and Rental Conversion toPurchase/LTOP, Copier and Accessory Warranty:For a period of ninety (90) days after acceptance by theGovernment, all necessary adjustments and parts replacementon equipment procured hereunder, not occasioned by accidentor misuse through fault or negligence by the Government, shallbe provided by KMBS, including transportation cost, if any.KMBS warrants that its copiers will be free of defects in materi-al and workmanship and will replace or repair copiers which arefound to be defective under this warranty.

Notwithstanding the Government's right under the Inspectionand Disputes Clause other than the obligation of KMBSexpressly set forth herein, KMBS disclaims all warranties,expressed or implied, including but not limited to any implied


warranties of merchantability or fitness for a particular purpose.The foregoing constitutes KMBS's sole obligation with respectto damages, whether direct, incidental or consequential, result-ing from the use or performance of copiers. The ninety (90) daywarranty does not apply to any consumable supply item, includ-ing, but not limited to, drums and paper. During the warrantyperiod, all consumable items, except toner, must be installed byKMBS at specific copy volume intervals.

The Government will be charged for labor for such installationat the rates listed for Hourly Repair (SIN 51-56). This chargewill be waived if at the time of installation, the Government hasissued a purchase order to KMBS for either a Full ServiceMaintenance Agreement or Cost-Per-Copy MaintenanceAgreement to be effective at the expiration of the ninety (90)day warranty period.

Parts Warranty - For a period of ninety (90) days after accept-ance by the Government, KMBS will replace any defective partnot occasioned by accident or misuse through fault or negli-gence by the Government. Labor for the replacement of thedefective part will also be provided by KMBS. The costs ofother repair work performed at the same time of the replace-ment of the defective part will be paid to KMBS by theGovernment.

Consumable Supply Warranty - KMBS’s Drum WarrantySchedule may be found in the Drum Warranty section of thiscatalog. KMBS warrants photoreceptor drums under normaluse and service to be free from defects in material and work-manship on a prorated basis for a maximum period of twelve(12) months or a maximum number of copies from the date ofinstallation, whichever comes first. KMBS will provide a creditto the customer towards a replacement drum if the drum in thecopier fails to operate within the maximums indicated in theSchedule. Tables contained in the Drum Warranty Schedule,indicate by model what percentage of warranty is applieddepending on the month of failure for the drum as well as thenumber of copies at failure. In all cases, when the month of fail-ure does not correspond to the copies at failure, the lessercredit will be applied to the replacement drum price. All otherconsumable supplies are warranted by KMBS to be free fromdefects at time of purchase.

16. EXPORT PACKING CHARGESExport Packing is available at no charge if requested on theGovernment purchase order.

17. GOVERNMENT PURCHASE CARD At the Governments option, payments of $25,000 or less fororal or written delivery orders may be made using theGovernment commercial credit card. "Oral delivery orders" areorders placed orally in person or by phone which is paid for bya government commercial credit card. KMBS will not processthe transaction for payment through the credit card clearing-house until the purchased items have been shipped or servic-es have been performed.

Unless the cardholder requests correction or replacement of adefective item in accordance with other contract requirements,KMBS shall immediately credit a cardholder's account for itemsreturned as defective.

23. PREVENTIVE MAINTENANCEAll copiers installed on this contract and covered by a currentmaintenance agreement will have preventative maintenance(PM) performed regularly in accordance with KMBS’ copiermaintenance standards. This service will be performed whenthe copiers reach the prescribed PM copy volume as dictatedby KMBS's engineers.

24a. ENVIRONMENTAL ATTRIBUTESKMBS is aware of the magnitude of global environmental prob-lems and continually takes autonomous and proactive meas-ures to protect the environment. Environmental PreservationAction Policies include:1) Consistent implementation of environmental managementsystems throughout the company based on ISO 14001 require-ments.2) Reduction of resource and energy consumption and wastegeneration at all levels of operations. 3) Development of environmentally conscious products thatoffer the highest possible energy efficiency, improved ease ofrecycling and minimum content of substances that might nega-tively impact the environment. 4) Green procurement procedures, collecting from suppliersprecise data on parts and materials.


ISO 14001 certification is accredited third-party verification thatprovides a formal structure for environmental management.The requirements of ISO 14001 cover the main principles ofprofessional management and are based on the cyclicalprocess of plan, implement, check and review. The standardoutlines 21 specific requirements for areas of managementcontrol, grouped under policy, planning, implementation andoperation, checking and corrective action and managementreview. The intent of ISO 14001 is to support environmentalprotection and prevention of pollution.

29. EXCLUSIONSKMBS reserves the right to return orders requiring installationin remote areas not readily or adequately serviced by KMBS.

30. OPEN MARKETOrders not issued as stated in this catalog and orders placeddirectly with anyone other than Konica Minolta BusinessSolutions U.S.A., Inc. are Open Market and as such, this con-tract number may not be used. No deviation from terms andconditions specified in this schedule is authorized.

31. METER READINGSThe Government will submit meter readings to KMBS via tele-phone, fax, web, or email, contact initiated by KMBS, or anyother means authorized by KMBS.

Estimated Meter Readings - It is the responsibility of the appli-cable agency to provide meter readings to KMBS in an agreedupon format. In the event a meter reading is not provided on atimely basis, KMBS may estimate the meter.

32. COMMERCIAL ELIGIBILITYGovernment contractors may use this contract after beingauthorized in writing by the Federal Agency which awarded thecontract to the contractor requesting GSA pricing. A writtenpurchase order must be issued and must contain a statementas follows:

“This order is placed pursuant to written authorization from(Name of Government Agency)...(date), a copy of which isattached (or which you have on file-after the initial order). In theevent of an inconsistency between the terms and conditions ofthis order and those of your Federal Supply Service Contract,the latter will govern."

Contractors certified to use this contract as a source of supplywill use items ordered in the performance of the FederalContract and shall notify KMBS promptly in writing in the eventthat the authorization furnished herein is terminated. Federalgrantees are not permitted to use this contract as a source ofsupply.

Terms & Conditions for LTOP SIN 51-58

1. STATEMENT OF INTENTIt is understood by both the government and KMBS that theGovernment fully intends to fulfill the entire term (including anyrenewal option periods) of the Lease to Own Plan (LTOP).Further, it is understood by the Government and KMBS that theLTOP program is a purchase arrangement with title passing tothe Government upon completion of the specified term. Byplacing a delivery order under the terms of this SIN, it is under-stood that the Government ordering office intends to exerciseeach renewal option and to extend the lease until the comple-tion of the entire Lease Term, as long as the equipment or func-tionally similar equipment continues to exist, and funds areappropriated.

2. LEASE TERMAny lease shall be executed by the Government on the basisthat the known requirement for such equipment exceeds theinitial base period of the delivery order, which is typically 12months or for the remainder of the fiscal year. Delivery orderswith options to renew that are funded by annual (fiscal year)appropriations may provide for the initial base period andoption periods that cross fiscal years, as long as the base peri-od of each option does not exceed 12 months. When an order-ing agency's specific appropriation authority provides for fundsin excess of a fiscal year period, the ordering office may placea delivery order for a period up to expiration of the Lease Term,or to the expiration of the period of availability of the multipleyear appropriation. The total lease term will be specified ineach delivery order, including any relevant renewal options ofthe Government.

All delivery orders, whether for the initial base period or renew-al period, shall remain in effect through September 30 of the fis-cal year, or until the Government exercises its rights hereunderto acquire title to the equipment. The Government shall provideKMBS with written notice to exercise each renewal option assoon as practicable, but in no event later than (30) businessdays after the Government receives notice of availability of fis-cal year appropriations. If the Government should fail to sendnotice of renewal within thirty (30) days of the beginning of thefiscal year, the Government will be invoiced in accordance withthe terms and conditions of the current GSA contract, notingprevious existing purchase or delivery order.

3. TITLEAll KMBS copiers and accessories installed under the LTOPplan remain the property of KMBS during the planned lease,and the user agrees not to make any alterations to themachine(s), nor to remove the machines form the originalinstallation address without prior written approval of KMBS.The Government will use reasonable care in safeguarding thecopiers. The Government bears all risks of theft, loss or dam-age, no matter how occasioned, to all equipment upon delivery.Upon the expiration of the LTOP, and upon final payment of allcharges due KMBS, Title to the machine shall immediately betransferred to the Government.


4. LTOP RATESThe LTOP monthly payment is calculated by applying the leaserates listed below to the purchase price or the purchase priceless any open market trade-in allowance. There will be noexcess copy charges applicable to the base monthly lease rate.

5. PURCHASE ORDERSA written purchase order shall be the only basis for LTOP underthis contract. Purchase orders specifying the LTOP plan will bewritten from the date of installation through the next occurringSeptember 30th and will be renewed within thirty (30) days ofeach succeeding fiscal year until the completion of the LTOPterm. All purchase orders should contain the following infor-mation:a) A separate line item to reflect the current maintenance planand prices under SIN 51-57.b) Payment Address: P.O. Box 30341 Hartford, CT 06150-3034

6. ASSIGNMENTThe Government shall not assign, sublet, lend, transfer, orpledge the LTOP, or the equipment, without the prior writtenapproval of KMBS. KMBS may assign, transfer, pledge or sellthe LTOP and equipment, in whole or in part, at any time, with-out notice to the Government; provided, however, that theLTOP shall be binding upon any such assignee. Upon notifica-tion of such assignment, the Government shall remit LTOP pay-ments directly to the address set forth on the notification. In noevent shall the Government assert against any assignee anyclaim or defense it may have against Konica Minolta BusinessSolutions U.S.A., Inc. and no assignment of the LTOP shallrelease KMBS from its obligations hereunder.

7. LTOP CHARGESThe basic monthly LTOP charges entitle the Government tounrestricted operational use time of the equipment installedunder the LTOP plan. LTOP lease charges are exclusive of anyand all consumable supplies and Maintenance Service.

8. MAINTENANCE OF EQUIPMENTThe Government will maintain the equipment while under theLTOP at the current maintenance prices, terms and conditionscovered under SIN 51-57. Maintenance charges will com-mence upon expiration of the ninety (90) day warranty and willbe invoiced as a separate and additional charge.

9. PRICE PROTECTIONPrice protection for the lease equipment will be for the life of theindividual LTOP). Price protection for maintenance service willbe for the fiscal year subject to any increase allowed under theEconomic Price Adjustment Clause.

10. ADDITION OF ACCESSORIESAccessories may be added to a copier previously installedunder LTOP by the outright purchase of the accessory at thecurrent prices under SIN 51-100. If applicable, the accessorymust be added to the agency's selected maintenance plan ineffect for that lease installation.

11. RELOCATION OF EQUIPMENTIn the event that equipment being maintained under mainte-nance, and procured under the LTOP plan under this contractis moved to another location, KMBS shall continue to maintainthe equipment at the new location unless the equipment ismoved to a geographical location not covered by the Contract.The Government shall give at least thirty (30) days writtennotice of its intentions to move LTOP equipment unless such amove is required due to emergency. Shipment to the newinstallation site shall be at the Government expense. Whenshipment is under control of the Government and damage isincurred which results in cost for either labor or parts to restorethe equipment to good operating condition at the new site, suchcosts shall be borne by the Government.

12. PURCHASE OPTIONThe Government shall have the right to purchase the LTOPequipment leased under a Purchase Order at any time by sub-mitting to Konica Minolta Business Solutions U.S.A., Inc. a writ-ten Purchase Order specifying each item of LTOP Equipmentby model and serial number, and by authorizing payment of thepurchase option price. The purchase option price shall be thenet present value of the monthly payments remaining throughthe completion of the relevant LTOP term, discounted to pres-ent value at the same interest rate charged upon execution ofthe original LTOP order. Title will pass to the Government, andLTOP will terminate on the date of the Purchase Order provid-ing for exercising the purchase option. The purchase optionprice can be calculated with the following formula:

13. STATE AND LOCAL TAXESNotwithstanding the provisions of the clause entitled "Federal,State and Local Taxes" (see FAR 29-401-1), the contract priceexcludes all state and local taxes levied on, or measured by,the contract or sale price of the supplies or completed servicesfurnished under this contract.


Taxes excluded from the contract price shall be separately stat-ed on KMBS's invoice. The Government agrees either to payto KMBS amounts covering such taxes, or to provide evidencenecessary to sustain an exemption there from.

14. TERMINATIONThe Lease may be cancelled or not renewed at the end of eachfiscal year for non-appropriation, default, or termination for con-venience. Termination penalties will apply for termination forconvenience. Leases entered into under this schedule may notbe terminated, except by the ordering agency's ContractingOfficer, who is responsible for the delivery order.

15. TERMINATION CHARGESThe cancellation charge shall be equal to the net presentvalue of the monthly payments remaining through the comple-tion of the relevant LTOP term, discounted to present value atthe same interest rate charged upon execution of the originalLTOP order. The termination value can be calculated with thefollowing formula:

For interest rate in effect at the time your LTOP commenced,contact your KMBS representative. All cancellation chargesmust be paid to Konica Minolta Business Solutions U.S.A., Inc.at the remittance address specified on Konica Minolta BusinessSolutions U.S.A., Inc. invoice.

16. TERMINATION FOR NON-APPROPRIATIONA. For equipment Ordered and installed under KMBS prior GSAContracts GS-26F-1025B, GS-25F-0081M and promotionallease plan under GS-25F-0030M, and renewed under the sub-ject GSA contract: Any Cancellation shall be subject to the ter-mination terms and penalties under those contracts, or promo-tional plans.

B. For equipment ordered under SIN 51-58, LTOP under GS-25F-0030M, the ordering agency must believe that the bonafide need will exist for the entire Lease Term, and correspon-ding funds in an amount sufficient to make all payment for theLease term will be available to the ordering agency. If theordering agency's contracting office cancels the lease becauseadequate funds have not been made available to the orderingagency in an amount sufficient to continue to make the leasepayment, the Government must notify KMBS within thirty (30)days and the equipment lease will be cancelled at the end ofthe last fiscal year for which funds were appropriated.



Substantiation to support a cancellation for nonappropriationshall be provided to KMBS upon request.

17. CANCELLATION FOR CONVENIENCEThe cancellation penalty for equipment cancelled for conven-ience shall be the equal remaining balance with respect to therelevant Lease payments, calculated in accordance with the"Termination Charges" of this contract. The equipment shallbecome Government property upon receipt of the cancellationcharge. Neither the Government nor its authorized agents mayterminate any Lease under this contract in order to obtainequipment with the same or similar equipment at more favor-able terms, or in order to avoid the Government's buyout obli-gations. Early termination penalties shall not apply when:

1) The Government exercises its option to purchase theequipment prior to the conclusion of the specified Lease term.

2) The Contracting Officer responsible for the installation andthe cognizant fiscal/financial officer notifies KMBS in writingthat sufficient funds have not been, and will not be appropriat-ed to renew the Lease.

3) The Government has documented reason for cancellation fordefault, and KMBS has been given at least sixty (60) days writ-ten notice to correct any such documented reason(s).

4) KMBS receives notice within thirty (30) days of the abolish-ment of a using activity. KMBS must be furnished with a copyof the official documentation stating the reason and date theactivity is abolished. Government contractors are subject tocancellation penalties regardless of the reason for cancellation(except per item 3 above).

18. WARRANTY PROVISIONSLTOP and Rental Conversion to Purchase/LTOP - For a peri-od of ninety (90) days after acceptance by the Government, allnecessary adjustments and parts replacement on equipmentprocured hereunder, not occasioned by accident or misusethrough fault or negligence by the Government, shall be pro-vided by KMBS, including transportation cost, if any.

KMBS warrants that its copiers will be free of defects in materi-al and workmanship and will replace or repair copiers which arefound to be defective under this warranty. Notwithstanding theGovernment's right under the Inspection and Disputes Clauseother than the obligation of KMBS expressly set forth herein,KMBS disclaims all warranties, expressed or implied, includingbut not limited to any implied warranties of merchantability orfitness for a particular purpose. The foregoing constitutesKMBS's sole obligation with respect to damages, whetherdirect, incidental or consequential, resulting from the use orperformance of copiers.

The ninety (90) day warranty does not apply to any consumablesupply item, including, but not limited to, drums and paper.During the warranty period, all consumable items, except toner,must be installed by KMBS at specific copy volume intervals.


19. REMOVAL CHARGESA one-time removal charge of $121.00 will be applied for anyLTOP equipment that is cancelled prior to the end of the leaseterm. This charge is applicable to all models listed under SIN51-58.



Terms & Conditions for FMV Lease SIN 51-58a

1. STATEMENT OF INTENTIt is understood that the Government fully intends to fulfill theentire term (including any renewal option periods) of the FMVLease Plan. Further, it is understood by the Government andKMBS that the FMV program is an Operational Type Leasearrangement. Under this program, title does not automaticallypass to the Government upon completion of the specified term.By placing a delivery order under the terms of this SIN, it isunderstood that the Government ordering office intends toexercise each renewal option and to extend the lease until thecompletion of the entire Lease Term, as long as a bona fideneed for the equipment or functionally similar equipment con-tinues to exist and funds are appropriated. Delivery and installation outside of the CONUS are on an OpenMarket Basis, FOB Point of Origin and KMBS reserves the rightto reject any order for installation outside of the CONUS.

2. LEASE TERMAny lease shall be executed by the Government on the basisthat the known requirement for such equipment exceeds theinitial base period of the delivery order, which is typically 12months or for the remainder of the fiscal year. Delivery orderswith options to renew that are funded by annual (fiscal year)appropriations may provide for the initial base period andoption periods that cross fiscal years, as long as the base peri-od of each option does not exceed 12 months. When an order-ing agency's specific appropriation authority provides for fundsin excess of a fiscal year period, the ordering office may placea delivery order for a period up to expiration of the Lease Term,or to the expiration of the period of availability of the multipleyear appropriation. The total lease term will be specified ineach delivery order, including any relevant renewal options ofthe Government. All delivery orders, whether for the initial baseperiod or renewal period, shall remain in effect throughSeptember 30 of the fiscal year, or until the Government exer-cises its rights hereunder to acquire title to the equipment. TheGovernment shall provide KMBS with written notice to exerciseeach renewal option as soon as practicable, but in no eventlater than (30) business days after the Government receivesnotice of availability of fiscal year appropriations.

3. INSTALLATION, REMOVAL & TRAININGa) FMV Lease rates include delivery (except excess riggingcharges which will be quoted and billed as an Open Marketitem, if required) and installation of hardware, with the excep-tion of those items indicated as customer installable. On-sitenetwork installation assistance can be obtained at the pricesquoted under this contract for network installation.

b) In addition to delivery and installation referenced above, theContractor will unpack, install and check the equipment toinsure that it is in good working order. The customer will assigna Key Operator who will be responsible for normal operatormaintenance; i.e., loading of paper, adding toner and develop-er, clearing paper delays, and cleaning platen glass. TheGovernment will submit meter readings to KMBS via telephone,fax, web, or email, contact initiated by KMBS, or any other

means authorized by KMBS. It is the responsibility of the appli-cable agency to provide meter readings to KMBS in an agreedupon format. In the event a meter reading is not provided on atimely basis, KMBS may estimate the meter.

c) The Government agrees to the return charge fees as shownunder Special Item Number 51-58A (FMV Lease) (See Item fbelow)

d) Removal charges applicable to KMBS equipment under aFMV Lease agreement (SIN 51-58A) will be waived uponreplacement with upgraded KMBS equipment. These chargesare exclusive of rigging. This waiver will apply when customerelects to replace the installed equipment with:

i) A new upgraded KMBS model under the FMV Lease plan (SIN 51-58A) -OR-

ii) A new upgraded KMBS model under the Purchase Plan (SIN 51-100)

e. FMV Lease rates include one initial training session andmanual, unless otherwise noted. Any additional on-site trainingor network integration assistance can be obtained on an OpenMarket basis through a separate contract from the local KMBSdealer or KMBS.

f. Return of Equipment. In the event (i) the Government doesnot exercise any option to renew the FMV Lease prior to expi-ration of the Lease Term, or (ii) the Government terminates theLease pursuant paragraph 18 "Termination for Non-Appropriation" or pursuant to paragraph 19. "Termination forConvenience", or (iii) the Government does not exercise any ofits options pursuant to paragraphs 4 and 15 below, theGovernment shall, upon or after the expiration of the term ortermination of the Lease, return the Equipment to theContractor at the Government's expense. If the Governmentrequests the Contractor to perform these services, theGovernment agrees to pay to the Contractor reasonable andcustomary charges on an Open Market quote basis, for the dis-mantling, packing, removal and transportation of the Equipmentto a location within the continental United States designated bythe Contractor. All, but not less than all, Equipment shall bereturned to the Contractor in the original condition as delivered,with the exception of ordinary wear and tear from the properuse of the Equipment.

4. TRANSITION REQUIREMENTIn accordance with H-FSS-FCGE-507, TransitionRequirements, KMBS shall, upon the Contracting Officer's writ-ten notice, allow for the extension of the lease up to a maximumof 120 working days, and negotiate in good faith a plan with asuccessor to determine the nature and extent of phase-in,phase-out services required.

5. ACCEPTANCE DATEUpon determination that the equipment is acceptable, theGovernment's authorized representative, having responsibilityfor accepting the equipment under the purchase order, will signthe equipment acceptance document.


6. TITLE Title to the equipment shall remain with KMBS throughout andat the end of the Lease Term unless the Government exercisesits option to purchase the equipment. The Government under-stands that no equity or other ownership interest or claim willaccrue to the Government by virtue of its periodic LeasePayments.

7. FMV RATESThe FMV monthly payment is calculated by applying the leaserates listed below to the purchase price or the purchase priceless any open market trade-in allowance. There will be noexcess copy charges applicable to the base monthly lease rate.However, overage charges may apply to the Maintenancebilling (see Item #11).

8. P.O.’s FMV EQUIPMENT A written or electronic delivery order shall be the only basis forFMV under this GSA schedule. Delivery orders specifying theFMV plan will be written from the date of installation through thenext occurring September 30th, and may be renewed withinthirty (30) days of each succeeding fiscal year until the com-pletion of the FMV term. All delivery orders must contain the fol-lowing information:

a) A separate line item to reflect the current maintenance planand prices under SIN 51-57.

9. ASSIGNMENT OF CLAIMSThe Contractor or its assignee may assign its rights to receivepayment due as a result of performance of this contract to abank, trust company, or other financing institution, including anyFederal Lending agency in accordance with the Assignment ofClaims Act (31 U.S.C. 3727).

10. FMV CHARGESThe basic monthly FMV charges entitle the Government tounrestricted operational use time of the equipment installed



under the FMV plan. FMV lease charges are exclusive of anyand all consumable supplies and Maintenance Service.

11. MAINTENANCE OF EQUIPMENTThe Government will maintain the equipment while under theFMV at the current maintenance prices, terms and conditionscovered under SIN 51-57. Maintenance charges will com-mence upon expiration of the ninety (90) day warranty and willbe invoiced as a separate and additional charge.

12. PRICE PROTECTIONThe monthly FMV price for equipment will not change for thelife of the individual installed equipment under the FMV Plan.For maintenance service, pricing may increase or decreaseeach fiscal year based on changes made to the contract main-tenance pricing under the Economic Price Adjustment Clause.

13. ADDITION OF ACCESSORIESThe Government may add KMBS accessories as listed in thiscatalog to current placements. A different lease price will bequoted by KMBS for the additional accessory in order for thelease of the accessory will be coterminous with the lease of theoriginal equipment. KMBS reserves the right to reject anyrequest for additional accessories.

14. RELOCATION OF FMV EQUIPMENTAny equipment relocation costs, including dismantling, packing,shipping, uncrating, set up, and any applicable network inte-gration charges will be at the Government's expense. In theevent that equipment being maintained under maintenance andprocured under the FMV plan under this GSA Schedule ismoved to another location, KMBS shall continue to maintain theequipment at the new location unless the equipment is movedto a geographical location not covered by the GSA Schedule(i.e., outside CONUS). The Government shall give at least thir-ty (30) days written notice of its intentions to move FMV equip-ment unless such a move is required due to emergency. Priorto relocation, the Government shall notify KMBS in writing ofany relevant changes in billing information, including, but notlimited to, contact information, billing location or PurchaseOrder number. When shipment is under control of theGovernment and damage is incurred which results in cost foreither labor or parts to restore the equipment to good operatingcondition at the new site, such costs shall be borne by theGovernment.

15. PURCHASE OPTION OF LEASED EQUIPMENTThe Government has the right to purchase the FMV equipmentleased under a Purchase Order at any time by submitting toKMBS a written Purchase Order specifying each item of FMVequipment by model and serial number, and by authorizingpayment of the purchase option price. The purchase optionprice shall be the sum of (i) the monthly payments remainingthrough the completion of the relevant FMV Lease term, plus(ii) the fair market value of the equipment. Title will pass to theGovernment, and FMV will terminate on the date of thePurchase Order provided for exercising the purchase option.


16. STATE AND LOCAL TAXESNotwithstanding the terms of the Federal, State and LocalTaxes clause, the contract price excludes all State and localtaxes levied on or measured by the contract or sales price ofthe services or completed supplies furnished under this con-tract. KMBS shall state separately on its invoices taxes exclud-ed from the contract price, and the Government agrees eitherto pay the amount of the taxes to KMBS or provide evidencenecessary to sustain an exemption.

17. TERMINATION CHARGESThe termination charge shall be equal to the net present valueof the monthly payments remaining through the completion ofthe relevant FMV Lease term, discounted to present value atthree percent per annum (3%). All termination charges must bepaid to KMBS at the remittance address specified on KMBS'sinvoice.

18. TERMINATION FOR NON-APPROPRIATION The ordering agency believes that a bona fide need will existfor the entire Lease Term, and corresponding funds in anamount sufficient to make all payment for the Lease term will beavailable to the ordering agency. If the ordering agency's con-tracting office terminates the lease because adequate fundshave not been made available to the ordering agency in anamount sufficient to continue to make the lease payment orthere is no longer a bona fide need for the leased equipment,the Government's Contracting Officer should notify KMBS inwriting within thirty (30) days, and the equipment lease will beterminated at the end of the last fiscal year for which fundswere appropriated.

19. TERMINATION CHARGESThe termination charge shall be calculated in accordance withthe "Termination Charges" section of this SIN. Early termina-tion charges shall not apply when:

a) The Government exercises its option to purchase the equip-ment prior to the conclusion of the specified Lease term.

b) The Contracting Officer responsible for the installation noti-fies KMBS in writing that sufficient funds have not been appro-priated to renew the Lease or there is no longer a bona fideneed (except when a using activity is abolished or the facilitywhere the equipment is located is closed and the governmentdoes not relocate the equipment to another facility or agency). c) The Government shall terminate an FMV Lease as a resultof any default by the Contractor. In the event of termination forcause, the government shall not be liable to the Contractor forany amount for supplies or services not accepted, and the



Contractor shall be liable to the Government for any and allrights and remedies provided by law. Termination charges shallapply in all other cases, including when a using activity is abol-ished or the facility where the equipment is located is closed(unless the government relocates the equipment to anotherfacility or agency).

Government contractors are subject to termination chargesregardless of the reason for termination.

20. TERMINATION FOR CONVENIENCELeases entered into pursuant to this SIN may not be terminat-ed except by the ordering agency's contracting office responsi-ble for the delivery order terminating an FMV Lease in accor-dance with Clause 52-212-4, Contract Terms and Conditions-Commercial Items Paragraph (L), Termination for theConvenience of the Government. Upon any such termination,the Government shall pay the Contractor termination chargecalculated in accordance with the "Termination Charges" sec-tion of this SIN.

21. NON- SUBSTITUTION The Government intends to renew leases at the end of any ini-tial base period or option period as long as (a) it has a continu-ing bona fide need for the equipment or functionally similarequipment; and (b) adequate funds have been Congressionallyappropriated to the ordering agency in an amount sufficient tocontinue to make the lease payments. In the event theGovernment does not renew a lease at the end of any initialbase period or option period and replaces the equipment withfunctionally similar equipment, termination charges shall apply.

22. WARRANTYThe contractor warrants and implies that the items deliveredhereunder are merchantable and fit for use for the particularpurpose described in this contract.

23. SURVIVAL OF TERMSDelivery orders placed under this FMV plan are governed bythe prices, terms and conditions of the FMV plan in effect on thedate of the issuance of the initial delivery order.

24. RISK OF LOSSRisk of loss or damage to equipment provided under this con-tract shall pass to the Government upon acceptance of theequipment at the destination specified in the delivery order.

Terms & Conditions for Rental 51-55

1. RENTAL EQUIPMENT & SUPPLIES SIN 51-55 All KMBS copiers furnished for rental will be in good workingorder. Copiers may be either new or newly remanufactured atKMBS's discretion. Rental prices include copier, appropriatepaper cassettes by model, instruction, delivery, installation,photoreceptor and all necessary parts, supplies and service formaintenance, but do not include toner, developer, or paper.Toner and developer are purchased separately as consumablesupply items. Paper may be purchased on an Open Marketbasis. However, one toner, one developer, and an initial supplyof paper are included upon initial delivery inside the copier atno additional charge.

In the event that the use of non-KMBS supplies cause damageto the copier and/or its components or generates the need forexcessive service calls, KMBS may charge for any repairs andparts to bring the equipment into KMBS specifications, for thereplacement of damaged drums, or cancel the rental agree-ment by providing thirty (30) day advance written notice to thegovernment. Work will not commence by KMBS until theGovernment issues a purchase order to pay for all repairs andparts caused by the use of non-KMBS supplies.

2. SERVICE OF RENTAL EQUIPMENTUnless otherwise specified by the using activity, KMBS mustrepair or replace equipment within nine (9) working hours afterit receives written or oral notice of a breakdown in equipment.If not, deductions of rental charges will be made on the basis of1/30th of the monthly rate for each day the equipment is inop-erative. KMBS shall grant a credit to the Government for anymachine which fails to perform at an effectiveness level of nine-ty percent (90%) during any month.

The effectiveness level for a machine is computed by the for-mula; One Hundred percent (100%) minus (the total number ofhours downtime divided by the total productive time in themonth). Total productive time shall be computed by multiplyingeight (8) hours per day by the number of working days in themonth (weekends and Federal holidays excluded). The creditshall be a percentage amount of the fixed monthly rentalcharge, which is determined by subtracting the actual percent-age of effectiveness level attained during the month from 90.

Example: If a machine was down for twenty (20) hours in amonth which had 168 hours of total productive time, the per-centage downtime would be 11.9% (20 hrs/168 hrs), the effec-tiveness level would be 88.1% (100%-11.9%). In this instance,the credit due the Government would be 1.9% (90%-88.1%);however, if the effectiveness level were 90% or higher, no cred-it is due to the Government.

In the event that a piece of rental equipment is inoperative dueto machine failure, through no fault or negligence of theGovernment, and the total number hours of downtime exceedsten percent (10%) of the total productive use time for three con-secutive calendar months, the Government has the right torequire KMBS to replace the equipment or terminate the orderwith no termination or removal charges being assessed to the

Government. The purchase option credits for the replacementequipment shall be not less than the credits accrued from thedate of installation of the original equipment, regardless ofwhether the replacement is made at the request of theGovernment or for the convenience of KMBS.

3. TITLE TO RENTAL EQUIPMENTThe copier(s) placed with the Government remain the propertyof Konica Minolta Business Solutions U.S.A., Inc., and theGovernment agrees not to make any alterations in the copi-er(s), nor to remove the copier(s) from the original installationaddress without prior written approval of Konica MinoltaBusiness Solutions U.S.A., Inc. Where relocation does takeplace, the Government will be responsible for expensesincurred on an Open Market basis. The Government agrees toreturn the copier(s) in the same condition as when receivedexcept for reasonable wear. During the term hereof and whilethe Government has possession of the copier(s), KMBSassumes all risk of loss or damage to the copier(s) exceptwhere such loss or damage is due to negligence on the part ofthe Government.

4. PURCHASE ORDERSA written order shall be the only basis for rental in accordancewith these terms and conditions. Orders issued to KMBS shallbe for a federal fiscal year. The fiscal year, as interpreted in thiscontract, shall begin on the first full day of installation at theusing agency. The year shall end on September 30th of thesame federal fiscal year. An additional order must be issued foreach subsequent year.

"This agency shall be liable for the difference between the two-year pricing and the one-year pricing if this order is terminatedprior to the expiration of the two-year rental agreement."

Orders for less than ninety (90) days will not be accepted byKMBS, unless the purchase order states that the Governmentintends to continue the rental into the next fiscal year. Ordersfor rental shall cover only the period of use of the equipmentwithin the contract period.

5. P.O. RENEWALSIf the agency neglects to renew their PO, then KMBS shall havethe right to continue invoicing and customer will pay until suchtime as notice of termination or renewal P.O. has been provid-ed to KMBS. Rental charges shall commence on the nextworking day following that on which the equipment is installedand ready to operate. Rental payment to the contractor shall

be restricted to the actual period the equipment was in use,prorated on the basis of twelve (12) calendar months in thecontract year, thirty (30) days in a month. All current rentalplacements will continue to renew at current rental ratesthroughout the full rental placement term.

The Government will be required to pay an excess copycharge once the monthly copy volume of the rental agreementis exceeded. KMBS is not responsible for the monitoring ofGovernment machine usage to insure that billings do notexceed the dollar amounts indicated on the purchase orders.As a result, the amount of funds shown on the purchase ordershall not be binding on KMBS.

6. TERMINATION & REMOVALIf the Government fulfills the requirements of a rental agree-ment then no termination charges will be applied. Terminationcharges will apply if a one-year rental agreement is terminatedat any time during the agreement upon thirty (30) days advancewritten notice to KMBS. The Government will be liable for anyamounts currently owed plus 4 monthly payments or remainingbalance whichever is less.

Termination charges will apply if a two-year rental agreement isterminated at any time during the two-year period. TheGovernment is liable for any difference between the two-yearrate and the one-year rate retroactive to the start date of theagreement plus any amounts currently owed plus 4 monthlypayments or remaining balance whichever is less. For exam-ple, if a two-year rental agreement is terminated in month thir-teen (13), the Government owes the difference between thetwo-year and one-year rate for the thirteen (13) months theequipment was rented plus 4 monthly payments.

7. DISCONTINUANCE OF SERVICERemoval charges will apply if the Government cancels a rentalagreement prior to the expiration of the term and if theGovernment requires KMBS to go inside a building (other thanthe loading dock or front door) to retrieve the copier. Removalcharges are contained in the rental pricing sections of this cat-alog.

8. CONVERSION TO PURCHASEThe Government may exercise the option to convert a rental topurchase on the anniversary date of any month after installa-tion. For each month the copier is installed on rental, theGovernment will accumulate credit towards the purchase of thecopier. The credit is determined by multiplying the equityamount listed for the month of conversion by the number ofmonths the copier was installed. Please contact yourGovernment Account Manager to obtain monthly and maximumrental credit amounts. The maximum rental credit available iseighty (80%) of the GSA purchase price.

All receivables for a rental copier to be converted to purchasemust be current prior to the conversion. To exercise the rentalconversion to purchase option, the Government must advise



KMBS in writing of its intent to purchase, listing the machine bymodel and serial number. The Government should also issuea purchase order authorizing payment of the differencebetween the GSA price and the rental credits. Upon completion of the conversion and after the expiration ofthe ninety (90) day warranty, KMBS shall, if requested, provideCost-Per-Copy Maintenance service in accordance with SIN51-57. Rental accrual is not transferable from one machine toanother, except for copiers which were replaced at the initiationof KMBS, or at the request of the Government for mechanicalreasons.

Terms & Conditions for Rental 51-55

KMBS agrees to furnish 36, 48 or 60 month term Cost PerCopy (CPC) copier units within the 48 contiguous states andthe District of Columbia at the prices and quantity levels speci-fied in the Government CPC price schedule. Delivery andinstallation charges may apply to orders outside of the CONUSon an Open Market Basis, FOB Point of Origin, and KMBSreserves the right to reject any order for installation outside ofthe CONUS.

KMBS reserves the right to reject any order for equipment out-side a 50-mile radius from a KMBS branch office location or aKMBS authorized dealer location. KMBS may accept any orderoutside of the 50 mile radius from a KMBS branch office ordealer when it is mutually agreeable to both KMBS and theGovernment. For any order issued during the period October 1,2001 through September 30, 2006 or through the terminationdate of any contract extension, the following terms and condi-tions apply:

1. CONTRACT TERMIt is understood by both the Government and KMBS that theGovernment fully intends that each machine placed under thisplan will remain in place for a full 36, 48 or 60 months (the“Term”), as a minimum, starting from the date of installation. Byplacing a delivery order under the terms of this CPC Plan, it isunderstood that the Government ordering office intends toexercise each renewal option and to extend the CPC Plan untilthe completion of the entire Term, as long as the need for theequipment or functionally similar equipment continues to exist,and funds are appropriated.

If (i) a delivery order expires prior to the expiration of the rele-vant full Term and the Government does not exercise anyoption to renew the delivery order, or (ii) the Government ter-minates the Delivery Order pursuant to a Termination forConvenience or (iii) the Government terminates due to a non-appropriation; the Government agrees not to replace the equip-ment leased under a Delivery Order with functionally similarequipment for a period of one (1) year succeeding such expi-ration, termination, or non-appropriation.

Non-Substitution: It is the intent of the Government by placinga delivery order under this contract to exercise each renewaloption and to extend the lease until completion of the full Term(base period and all renewal periods) so long as the bona fideneeds of the Government for the equipment or functionally sim-ilar equipment continues to exist.

If (i) a delivery order expires prior to the expiration of the rele-vant full Term and the Government does not exercise anyoption to renew the delivery order, or (ii) the Government ter-minates the Delivery Order pursuant to a Termination forConvenience or (iii) the Government terminates due to a non-appropriation; the Government agrees not to replace the equip-ment leased under a Delivery Order with functionally similarequipment for a period of one (1) year succeeding such expi-ration, termination, or non-appropriation. Any CPC Plan deliv-ery order shall be executed by the Government on the basis



that the known requirement for such equipment exceeds theinitial base period of the delivery order, which is typically 12months or for the remainder of the fiscal year. Delivery orderswith options to renew that are funded by annual (fiscal year)appropriations may provide for the initial base period andoption periods that cross fiscal years, as long as the base peri-od of each option does not exceed 12 months.

When an ordering agency’s specific appropriation authority pro-vides for funds in excess of a fiscal year period, the orderingoffice may place a delivery order for a period up to expiration ofthe Term, or to the expiration of the period of availability of themultiple year appropriation. The Term will be specified in eachdelivery order, including any relevant renewal options of theGovernment. All delivery orders, whether for the initial baseperiod or renewal period, shall remain in effect throughSeptember 30 of the fiscal year. The Government shall provideKMBS with written notice to exercise each renewal option assoon as practicable, but in no event later than (30) businessdays after the Government receives notice of availability of fis-cal year appropriations.

2. EQUIPMENTAll machines installed will be newly manufactured, FactoryProduced New Model, remanufactured or used equipment atKMBS's option. Title to the equipment remains with KMBS.

3. MINIMUM ORDERKMBS reserves the right to require a minimum order of 25machines at any one location on any one purchase order.Individual orders with a total dollar value of less than $50.00 willnot be accepted by KMBS.

4. PRICINGThe pricing includes all consumable supplies (except paper),and service.

7. INSTALLATION & TRAININGEquipment pricing includes delivery (except excess riggingcharges which will be quoted and billed as an Open Marketitem, if required) and installation of hardware, with the excep-tion of those items indicated as Government installable.

Installation of KMBS provided Network connectable hardwareshall be charged at the network integration charges listed underthis contract. An installation charge may apply for accessoriesplaced after the initial machine installation.

In addition to delivery and installation referenced above, KMBSwill unpack, install and check the equipment to insure that it isin good working order. The Government will assign a KeyOperator who will be responsible for normal operator mainte-nance; i.e., loading of paper, adding toner and developer, clear-ing paper misfeeds, and cleaning platen glass. Equipment pric-ing includes one initial training session and manual, unless oth-erwise noted. Any additional on-site training or network inte-gration assistance can be obtained on an Open Market basisthrough a separate contract from KMBS.

8. ADD-ON EQUIPMENT TO THE ORIGINAL UNITNew placements may be made at the original installation sites.A different lease term may be chosen for the add on equipment,but the add on equipment lease term stands alone, and theentire lease term for the add on equipment must be fulfilled inits entirety. KMBS reserves the right to require that new pur-chase orders be written for a minimum of 25 units. Add-oninstallation units will not co-terminate with the original installsbut will fulfill their complete 36, 48 or 60 month term. The orig-inal installations and any add-ons may be extended to achievea consolidated co-terminus date.

9. ADD-ON ACCESSORIES The Government may add KMBS accessories as listed in thiscatalog to current placements. A different lease price will beused for the add on accessory in order for the accessory tocoterminate with the original equipment. KMBS reserves theright to reject any equipment accessory add-ons.

10. ALTERATIONS OR REMOVALSThe Government may not make or permit any alterations to themachines by others nor remove the machines from the statedaddress without KMBS's written authorization.

11. NON-KMBS ACCESSORIESAuthorized KMBS personnel will not install or connect non-KMBS attachments to KMBS equipment. To insure that KMBSequipment complies with the federal, state and local regula-tions and ordinances; the Occupational Safety and Health Actof 1970; Underwriters Laboratory requirements and in order tomaintain the KMBS equipment in good working order, it is nec-essary that any such attachment or accessory be subject toKMBS's approval to determine its compliance with the abovementioned acts, regulations, ordinances and requirements.

Should the accessories or attachments meet with KMBS's con-currence and Underwriter's Laboratory combination listing foruse with the KMBS equipment to which it is to be attached, theGovernment may purchase from KMBS and KMBS will installthe necessary interface for the non-KMBS attachment. Allcharges will be on an "Open Market" basis.



Non-KMBS attachments/accessories which do not comply withthese provisions will not be permitted and may void mainte-nance coverage.

12. SUPPLIESThe CPC plan includes all operating supplies excluding paper.Supplies will be delivered via standard “ground” proceduresafter receipt of a verbal order from pre-determined authorizedpersonnel. The Government must provide a point of contactwho will be responsible for ordering additional supplies fromKMBS. The Government must also identify the location andserial number of the unit for which the additional supplies arebeing ordered.

13. CPC SERVICEAll CPC copiers are to be serviced and maintained in goodoperating condition during KMBS's normal business hours(8:30 a.m. to 5:00 p.m. - Monday through Friday, exceptFederal Government and KMBS holidays) without charge to theGovernment, provided such service is secured form the author-ized KMBS Service Point making the original installation,except charges for repair or replacement arising from the neg-ligence of the Government. After Hours Service, if available, willbe negotiated and charged as an Open Market item.

14. LOSS OR DAMAGEAs of the delivery date, the Government shall be responsible forrisk of loss or damage to the equipment except for (i) normalwear and tear and (ii) loss or damage caused by the negligenceof KMBS, its subcontractors or employees. In the event of suchloss or damage after the delivery date, then the Governmentshall, at the Government’s option:a. Place the same in good repair, condition and working orderto the satisfaction of KMBS within ninety (90) working days ofsuch loss or damage; orb. Replace the same with similar property in good repair, con-dition and working order to the satisfaction of KMBS withinninety working days of such loss or damage; or c. Purchase the relevant equipment in accordance with para-graph 16 “Conversion to Purchase”.

15. EQUIPMENT RELOCATIONAny equipment relocation costs, including dismantling, packing,shipping, uncrating, set up, and any applicable network inte-gration charges will be at the Government’s expense. In theevent that equipment being maintained under the this contract,and procured under the CPC program is moved to anotherlocation, KMBS shall continue to maintain the equipment at thenew location unless the equipment is moved to a geographicallocation not covered by this contract. The Government shallgive at least thirty (30) days written notice of its intention tomove the equipment unless such a move is required due to anemergency. When shipment is under control of theGovernment and damage in incurred which results in cost foreither labor or parts to restore the equipment to good operatingcondition at the new site, such costs shall be borne by theGovernment.



No relocation of equipment shall reduce or impair any obliga-tion of the Government to pay the payments for the GuaranteedMonthly Minimum Volume due under the CPC Plan, which shallcontinue in full force and effect.

16. EQUIPMENT CONDITION UPON RETURNUpon the expiration or other termination of a delivery orderunder this CPC Plan, the Government agrees, at its ownexpense and risk, to pay for any repairs and to replace anyparts required to place the equipment in the same condition aswhen received by the Government, reasonable wear and tearexcepted.

17. CONVERSION TO PURCHASEIn the event the Government desires, at any time, to purchasethe equipment, the Government may make a one-time lumpsum payment. The purchase option price shall be the sum of(i) the net present value of the payments for the GuaranteedMonthly Minimum Volume remaining through the end of theTerm, discounted to present value using a rate of three percentper annum, plus (ii) the fair market value of the equipment. TheGovernment shall give KMBS sixty (60) days prior writtennotice of its exercise of the purchase option. Please contactKMBS to obtain an “Early Purchase Option” quote.

18. DISCONTINUANCE OF SERVICE CHARGESIn the event of expiration, termination, or discontinuance of theCPC service for any reason other than non-appropriations orthe default of KMBS prior to the expiration of the Term, theGovernment will pay a discontinuation charge equal to themonthly base charge for the appropriate volume band multi-plied by the appropriate factor for the effective date of termi-nation as outlined below:

KMBS requires 60 days written notice for all cancellations.Exceptions to the payment of cancellation charges will only bepermitted as follows;



a) The equipment is purchased prior to the end of the Term.b) When KMBS receives written notice signed by the contract-ing officer responsible for the installation and the cognizant fis-cal or financial officer which states, "This is to certify that suffi-cient funds have not been and will not be appropriated to renewthe CPC delivery order. The Government will not replace theequipment with equipment that is functionaly similar to thatleased for a period of no less than one year following termina-tion under the provisions for non-appropriation."

In the event the Government facility at which the equipment isinstalled is closed for any reason whatsoever, any terminationor cancellation as a result of such closure shall be deemed a“Termination for Convenience of the Government” and theGovernment agrees to pay the cancellation charge describedabove.

19. GOVERNMENT RESPONSIBILITIESThe Government will submit meter reading to KMBS via tele-phone, fax, web, or email, contact initiated by KMBS, or anyother means authorized by KMBS.

It is the respnsibility of the applicable agency to provide meterreading to KMBS in an agreed upon format. In the event ameter reading is not provided on a timely basis, KMBS willissue invoices based on the Guaranteed Monthly MinimumVolume.

20. ELECTRICITYThe Government will furnish the proper electrical current meet-ing KMBS's published standards, and required electrical recep-tacles for the equipment.

21. SURVIVAL OF TERMS: ORDER OF PRECEDENCEa. In the event of any inconsistency between the terms andconditions of this CPC Plan and other terms and conditions ofthis GSA Schedule, the terms and conditions of this CPC Planshall have precedence with respect to any delivery order gov-erned thereby.

b. Termination, expiration or modification of this GSA Scheduleshall in no way reduce or affect the Government’s liability orobligations with respect to any delivery order issued prior to theeffective date of such termination, expiration or modification.Each delivery order issued pursuant to this CPC Plan and anyrenewal thereof shall survive the expiration, termination ormodification of this GSA Schedule and each delivery order andany renewal thereof shall be subject to the term and conditionsof this CPC Plan in effect on the date of the issuance of the ini-tial delivery order.

1. SERVICEKMBS will provide service on all copiers located within fifty (50)miles of a KMBS branch or an authorized dealer. KMBS willmaintain copiers in good working condition throughout the peri-od covered by a Full Service Maintenance or a Cost-Per-CopyMaintenance program. Repair service necessitated by ordinaryuse will be provided as required by and at the request of theGovernment during KMBS's normal business hours. TheGovernment agrees to provide KMBS full access to the copiersto perform service without delay. Repair work will begin withinnine (9) hours from the time the repair order is received,Monday through Friday, 8:30 a.m. to 5:00 p.m. except FederalGovernment and KMBS holidays. Failure to render emergencyservice within nine (9) business hours (maximum), after writtenor oral notification, shall be subject to a deduction of 1/30th ofthe monthly rate for each day the equipment is inoperative. FullService Maintenance or Cost-Per-Copy Maintenance shallremain in full force and effect for the remainder of the life of thiscontract, i.e. the remainder of the fiscal year or the maximumnumber of annual copies specified in the maintenance plan.

For copiers within fifty (50) miles of a service location, KMBSshall grant a credit to the Government for any machine that failsto perform at an effectiveness level of ninety percent (90%) dur-ing any month. The effectiveness level for a machine shall becomputed in the same manner as under SIN 51-55, 51-100C,and 51-100F. The credit shall be a percentage amount of thefixed monthly maintenance charge, which is determined bysubtracting the actual percentage of effectiveness levelattained during the month from 90. (Examples: if the effective-ness level for a machine is 87% for the month the credit wouldbe 3% of the fixed monthly maintenance charge; if the effec-tiveness level is 90% or higher there is no credit due under thisprovision).

If, in KMBS's opinion, extensive repair work is necessary onany copier that is currently under a maintenance agreement,and that has been under a maintenance agreement since theexpiration of the original purchase warranty, through either aKMBS branch or authorized dealer, KMBS will perform therepair work at either the Government location or a KMBS loca-tion at KMBS's expense (excluding charges for a replacementunit, if any, for use during performance of the repair work).Transportation costs, if any, will be at KMBS's expense. Onlynew or remanufactured KMBS parts shall be used. All partsthat are replaced by KMBS shall remain the property of theGovernment.

2. EXCLUSIONS OF FSM PLANCost-Per-Copy Maintenance Plans include photoreceptor drumreplacement and all consumable supplies (except paper).

Full Service Maintenance Plans include photoreceptor drumreplacement, unless user has selected the contract specificallywithout drum. Consumable supplies such as toner, developer,cleaning rollers, filters, webs, staples and PM/Maintenance Kitsare excluded. Supply rates may be found on each model pageof this catalog.

In the event that the use of non-KMBS supplies causes dam-age to the copier and/or its components or generates the needfor excessive service calls, KMBS may charge for any repairsand parts to bring the equipment into KMBS specifications,charge for the replacement of damaged drums, or cancel themaintenance agreement by providing thirty (30) day advancewritten notice to the Government. Work will not commence byKonica until the Government issues a purchase order to pay forall repairs and parts caused by the use of non-Konica supplies.All charges will be in accordance with the Hourly Repair (SIN51-56), Parts (SIN 51-102) and Drum (SIN 51-101-2/51-101-3)rates contained herein. KMBS is not responsible for repairsmade necessary by accident, misuse, abuse, neglect, theft,riot, vandalism, electrical power failure, fire, water or othercasualty or to repairs made necessary by service personnelother than those of KMBS will not be required to replace motorsburned out by current fluctuation or negligence/abuse by theoperator. Service connected with relocation of copiers, adding,removing or maintaining accessories may be obtained on anOpen Market basis.

3. INSPECTION OF EQUIPMENTCopiers being placed for the first time under maintenance serv-ice shall be in good operating condition and shall be subject toinspection by KMBS at the time the order is placed. If the copi-er is coming out of KMBS's warranty or being converted from arental to purchase, no inspection is required. If the copier is tobe placed under a Full Service Maintenance or Cost-Per-CopyMaintenance program at any other time, an initial inspection isrequired to insure KMBS that the copier is within KMBS speci-fications. There will be no charge for the inspection. If repairsto the copier are necessary to bring the copier up to KMBSspecifications, KMBS shall furnish the user agency with an esti-mate of repair cost. Work will not commence by KMBS until theGovernment has issued KMBS a purchase order for the esti-mated price of the repair work and parts. Prices charged to theGovernment will be in accordance with Hourly Repair (SIN 51-56) and Parts (SIN 51-102) rates contained herein.

4. PARTS OBSOLESCENCE KMBS guarantees the availability of parts for its copier equip-ment for a period of seven (7) years from the last date of man-ufacture. A parts disclaimer applies to any agreement initiatedafter the parts guarantee expires. If at any time after the partsguarantee expires, parts become unavailable for the equipmentcovered by a maintenance agreement, KMBS reserves theright to terminate the maintenance agreement and anyamounts due the customer will be applied to any unpaid invoic-es, with any surplus being refunded within thirty (30) days.

5. PURCHASE ORDERSThis is a non-mandatory source that may be used by agenciesfor the maintenance of Government-owned equipment. This is a mandatory requirement for all equipment acquiredunder the LTOP and FMV Lease plans. A written purchaseorder shall be the only basis for maintenance agreementsunder this contract.

Terms & Conditions for SIN 51-57

KMBS will honor orders for maintenance service for periodsless than (1) year, in which event, payment to KMBS shall beprorated on the basis of 1/12th of the offered price for eachmonth the service was rendered, plus 1/30th of the monthlyrate for each day less than a complete month the service wasrendered. Once an order is placed, it will remain in effect forthe remainder of the fiscal year unless terminated upon thirty(30) days advance written notice to KMBS. The Governmentwill be required to pay an excess copy charge once the annualcopy volume of the maintenance agreement is exceeded.KMBS is not responsible for the monitoring of governmentmachine usage to insure that billings do not exceed the dollaramounts indicated on the purchase orders. As a result, theamount shown on the purchase order shall not be binding onKMBS.

6. P.O. RENEWALSIf the agency neglects to renew their PO, then the KMBS shallhave the right to continue invoicing and customer will pay untilsuch time as notice of termination or renewal P.O. has beenprovided to KMBS. A maintenance agreement that includesdrums assumes that the drum in the copier is either new, or thecopier is just coming off warranty or rental conversion to pur-chase. In all other instances, the Government must purchasea drum when changing from a Full Service Maintenance planthat does not include drums to one that does include drums.The old drum remains the property of the Government.

7. RELOCATION OF COPIERSIn the event that equipment being maintained under the termsand conditions of a Full Service Maintenance or Cost-Per-CopyMaintenance plan is moved to another location, KMBS will con-tinue to maintain the equipment at the new location providingKMBS has service coverage at the new location. If the equip-ment is moved to a geographical area not serviced by KMBS orbeyond fifty (50) miles of a KMBS branch or authorized dealer,the maintenance order shall be terminated without further obli-gations being incurred by either KMBS or the government. TheGovernment shall give at least thirty (30) days advance writtennotice of the movement of equipment.

When relocation of copiers covered by a Full ServiceMaintenance plan or Cost-Per-Copy Maintenance plan occurs,the Government will be responsible for all costs associated withthe move. When shipment is under control of the Governmentand damage is incurred which results in costs for either labor orparts to restore the equipment to good operating condition atthe new site, such costs shall be borne by the Government. Ifthe Government moves equipment that is owned by KMBSwithout prior written permission from KMBS, any and all dam-ages and expenses as a result of that move will be borne by theGovernment. When the relocation of the copier is under con-trol of KMBS and damage occurs which results in costs foreither labor or parts to restore the equipment in good operatingcondition, such cost shall be borne by KMBS. KMBS reservesthe right to reject any request for relocation of equipment to anarea which is remote or not readily or adequately serviced by aKMBS branch or authorized dealer.

8. KMBS HOURLY REPAIR SERVICEThe rates listed below apply to all copying equipment includedin this contract for which Full Service Maintenance is available.All service charges will be based on actual labor time plus allnecessary parts. The parts will be computed at a 19% discountfrom KMBS's published retail price list. During KMBS's normalworking hours, mileage or travel time will not be charged underthis schedule. The hourly rate schedule applies to the 48 con-tiguous states and the District of Columbia, within fifty (50)miles of a KMBS branch or authorized dealer. Rates for serv-ice beyond fifty (50) miles must be obtained on an Open Marketbasis. Repair work will begin within nine (9) hours from the timethe repair order is received. No refund to the Government willbe made if the service repair is not made within nine (9) hours,8:30 a.m. to 5:00 p.m., Monday through Friday, excludingFederal Government and KMBS holidays. Where two or morecopiers are located in the same building or easy walking dis-tance and repairs are ordered for multiple units, the charges willbe computed from the time the serviceman commences workon the first copier until the work is complete on the last copier(provided the copiers are within a reasonable walking distanceof each other). KMBS will charge the Government for the timeneeded to go from one copier to another.

Hourly Repair Rates

* Service at other than normal business hours is subject to manpower avail-ability and charges will be calculated to include round trip travel expense.

9. SERVICE/REPAIR AT KMBS SERVICE LOCATIONS Copiers will be serviced and repaired at any KMBS servicelocation as provided listed in this schedule provided the copiersare delivered to and picked up from KMBS's service location bythe Government.
