KNOW ALL MEN BY THESE PRESENTS:

This Ownership Agreement is entered into and executed by and between:

MARIA LIZA T. BELALE, of legal age, Filipino citizen, with postaladdress at Ranier Ave., Pacifica, California, USA hereinafter referred to as theFIRSTPARTY;

-AND-

MARIA PURITA CONCEPCION T. ERESO, of legal age, Filipino Citizen

with residence and postal address at No. 47 Rimando Rd., Aurora Hill, Baguio

City, Philippines hereinafter referred to as the SECOND PARTY;

WITNESSETH:

1. Whereas the PARTIES have agreed and put-up a Retailer Dry Goods withBusiness Name ELYZES DRY GOODS COLLECTION with business

address at K 01 G/F No. 5 Upper Mabini St., Olympian Lifestyle Ctr.,

Baguio City;

2. Whereas the FIRST PARTY contributed the whole capital for thebusiness;

3. Whereas the SECOND PARTY registered the business in her name;4. WHEREAS the PARTIES hereby agreed among themselves the following

conditions regarding the business, to wit:

a.The business thought it is in the name of the SECOND PARTY, thebusiness is owned by the FIRST PARTY;

b.The sharing of profits by which all be documented/recorded be sharedequally or FIFTY-FIFTY PERCENTS (50%-50%) PROPORTION.

5. Whereas this Ownership Agreement shall take effect immediately on thedate of signing hereof by the parties concerned and shall be irrevocableexcept upon written consent of all the parties;
