- All orders are subject to acceptance by The Original Footwear Company, Inc. (OFC)

SALES:- Product purchases are for resale within the United

States of America. Any export of Original S.W.A.T. products outside of the U.S.A. must include prior written authorization by OFC.

- All sales are to end-use consumers only. Dealer shall not act as a wholesaler in any capacity without the express written consent of OFC.

- By entering into an Authorized Dealer relationship with OFC, you agree to adhere to the terms of OFC’s MAP Policy.

PRICING:- All prices are subject to change without notice.- Invoices will be created using the current pricing at the

time of sale.- Any discounts or promotional allowances shall be reflected

as a net price of the qualified product(s) on the invoice.

PAYMENT TERMS:- For accounts that have been approved for credit; Net 30,

F.O.B. Origin.- Accounts with delinquent balances will lose all discount

ORDER PROCESSING:- Any requests for expedited delivery must be received

by 12 p.m. pacific time. OFC will make all reasonable attempts to meet delivery timelines requested, but cannot guarantee delivery.

- Any changes or cancellations to pending orders may be requested and OFC will make all efforts to accommodate the request. However, such request may result in other fees for restocking and/or recalling shipments.

DELIVERY RECEIPTS:- It is the customer’s responsibility to inspect all orders

received.- Should there be loss or damage to any shipment, claims

must be made directly to delivery carrier.- Any discrepancies in quantity or style of product received

need to be reported to OFC within 10 business days following receipt.

RETURN POLICY:- All returns must be authorized in advance by OFC. - Once authorized, OFC shall issue a Return Authorization

number (RA#) which is required to complete the return.- Returned product freight costs shall be the responsibility

of the customer.

LOGISTICS CHARGES:- Restocking fees are 15% of the sales price of the returned/

canceled merchandise.- Recall fees will be at the prevailing rate of the delivery

agent employed.- Drop shipping requests may incur additional fees.
