Sanofi-aventis, Bangladesh: Company history

The sanofi-aventis group in Bangladesh comprises three legal entities, Aventis Limited,

Fisons (Bangladesh) Limited and Hoechst Marion Roussel Limited. Let’s have a look at

the history that brought these companies together:

In 1958, May & Baker and Pakistan Pharmaceutical Industry- PPI jointly established a

company with share distributed as May & Baker 60% and PPI 40%. After 1971, the share

percentage remained same, but instead of PPI now its share belonged to BPI, Bangladesh

Pharmaceutical Industry.

In 1989, due to global unification, this company became Rhone-Poulenc Bangladesh Ltd.

with same equity proportion.

In 1995, as global mergers took place with Rorer Inc. of the USA, the human

pharmaceutical division of Rhone-Poulenc Bangladesh Ltd. renamed itself as Rhone -

Poulenc Rorer Bangladesh Ltd.

Same year in October, in a global move Rhone-Poulenc Rorer acquired Fisons Ltd.

Consequently Fisons (Bangladesh) limited was acquired in 1996.

Fisons was incorporated on July 15, 1964 as a Private Company registered in the

Province of East Pakistan in the name of Dacca Pharmaceutical (Fison Marker) Ltd. The

company was renamed as Dacca Pharmaceuticals (Fisons) Ltd and as Fisons

(Bangladesh) Ltd. on May 22, 1972 and on April 28, 1973 respectively.

On December 16, 1999 Hoechst Marion Roussel of Germany and RPR merged globally

to create Aventis.

Hoechst Marion Roussel had been present in Bangladesh since 1958, the

same as May & Baker.

This company had been incorporated Hoechst Pharmaceuticals Company Ltd. (HPCL)

under the companies Act 1913 on March 18, 1958. HPCL registered name as Hoechst

Bangladesh Ltd. (HBL) with the Registrar Joint Stock Companies in order to encompass

all business activities of the company on February 12, 1992.

Again HBL’s name changed to Hoechst Marion Roussel Ltd. due to Global Restructuring

policy of Hoechst Ag. The new name HMR Ltd. has been registered with the Registrar of

Joint Stock Companies on June 25, 1997.

In October 2002, Rhone-Poulenc Rorer Bangladesh Ltd finally received the clearance

certificate from Registrar of Joint Stock Companies to become Aventis Limited.

The operational integration of RPR and HMR in Bangladesh has been completed.

Production facility of HMR has been shifted from Chittagong to RPR plant at Tongi. The

combined sales force of RPR, HMR and Fisons is one of the biggest sales team in the

country.

On September 15, 2004 Sanofi, the pharmaceutical section of Sanofi-Synthelabo and

Aventis combined their businesses to form sanofi-aventis, the third largest

pharmaceutical group in the world and number one in Europe.

In Bangladesh, the legal integration process takes a few years. That is why there are three

legal entities within the sanofi-aventis group in Bangladesh at present.
