1. BackgroundInformation:1.1 BasicInformation

a) NationalFilmDevelopmentCorporation(hereaftercalled“NFDC”)invitesresponses

to this Open Tender (“OT”) from reputed individuals / agencies / organizations /studios (“Bidders”) for the dubbing work of Children Films Society India Films asdescribedintheAnnexure–A(I)&A(II)

b) Anycontractthatmayresultfromthispublicprocurementcompletionwillbeissuedforatermofsixmonths(“theterm”)

c) NFDCreservestherighttoextendtheTermthereafterbasedonperformancereview,mutualinterestanddubbingrequirementonthesametermsandconditions

d) Responsesmustbereceivednot laterthantime,dateandvenuementionedintheOT.ResponsesthatarereceivedafterthedeadlineWILLNOTbeconsidered inthisprocurementprocess.

1.2ProjectBackgroundNFDC proposes to engage experienced Individual/ Agency for DUBBING OF FILMS OFChildrenFilmSocietyIndia(CFSI).Key Purpose: Thepurposeofhiringan individuals / agencies /organizations / studios forthis activity is to be professional to Dub from one Indian language to another IndianLanguage.NFDCwouldliketodub10Regionalfilmsin6NorthEasternLanguagesand3NorthEasternFilmsin13RegionalLanguagesofIndia.(SeeAnnexure–A(I)&A(II))1.2.1. ObjectivesNFDCintendto,throughthisOT,selectanagencytodubthe10Regionalfilms in6NorthEasternLanguageand3NorthEasternFilms in13RegionalLanguagesandthetitleof thefilmisprovidedintheAnnexure–A(I)&A(II).ThescheduleforthesameistobeprovidedbythebidderintheFormatgivenintheAnnexure-B.ThefinalallocationofdubbingworktothesuccessfulbidderswillbedecidedbytheSelection/SteeringCommitteesetbyNFDCforthedubbingworkoffilmsofCFSI.

1.3 InstructionstotheBidders

1.3.1General

a) While every effort has been made to provide comprehensive and accurate backgroundinformation, requirements and specifications, Bidders must form their own conclusionsaboutthesupportrequired.BiddersandrecipientsofthisOTmaywishtoconsulttheirownlegaladvisersinrelationtothisOT.

b) AllinformationsuppliedbyBiddersmaybetreatedascontractuallybindingontheBidders,onsuccessfulawardoftheassignmentbytheNFDConthebasisofthisOT.

c) Nocommitmentofanykind, contractualorotherwise shallexistunlessanduntil a formalwrittencontracthasbeenexecutedbyoronbehalfofNFDC.AnynotificationofpreferredbidderstatusbyNFDCshallnotgiverisetoanyenforceablerightsbytheBidder.NFDCmaycancelthispublicprocurementatanytimepriortoaformalwrittencontractbeingexecutedbyoronbehalfofNFDCwithoutassigningreasons.

d) ThisOTsupersedesandreplacesanypreviouspublicdocumentation&communications,andBiddersshouldplacenorelianceonsuchcommunications.

1.3.2. CompliantResponses/CompletenessofResponse

a) Bidders are advised to study all instructions, forms, requirements, appendices and otherinformationintheOTdocumentscarefully.Submissionoftheresponse(s)shallbedeemedto have been done after careful study and examination of the OT document with fullunderstandingofitsimplications.

b) Failure to complywith the requirements of this paragraphmay render the Proposal non-compliantandtheProposalmayberejected.Biddersmust:

However,NFDCmakesnorepresentationorwarrantyastothecompletenessoraccuracyofanyresponsemade ingoodfaith,nordoesNFDCundertaketoanswerall thequeries thathavebeenposedbythebidders.

b. Atanytimepriortothelastdateforreceiptofbids,NFDCmay,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectiveBidder,modifytheOTDocumentbyacorrigendum.

c. TheCorrigendum (if any)&clarifications to thequeries fromallbidderswillbepostedonwww.nfdcindia.comandemailedtoallparticipantsofthepre-bidconference.

d. AnysuchcorrigendumshallbedeemedtobeincorporatedintothisOT.e. In order to provide prospective Bidders reasonable time for taking the corrigendum into

account,NFDCmay,atitsdiscretion,extendthelastdateforthereceiptofResponses.1.3.4. KeyRequirementoftheBid

1.3.4.1 RighttoTerminatetheProcess

a. NFDCmay terminate theOTprocess at any timeandwithout assigning any reason.NFDCmakes no commitments, express or implied, that this process will result in a businesstransactionwithanyone.

b. ThisOTdoesnotconstituteanofferbyNFDC.Thebidder'sparticipationinthisprocessmayresultNFDCselectingthebiddertoengagetowardsexecutionofthecontract.

1.3.4.2 OTDocumentFees

a. OT document can be downloaded from http://www.nfdcindia.com orhttp://www.eprocure.gov.in. A non-refundable OT Document fees in the form of abankdemand draft of Rs. 5,000/-, drawn in favor ofNational Film Development Corporation,payableatChennaifromanyscheduledcommercialbank,mustbesubmittedalongwiththeproposal. Responses received without or with inadequate OT Document fees shall besummarilyrejected.

1.3.4.3 EarnestMoneyDeposit(EMD)

a. Bidders shall submit, along with their Bids, an EMD of Rs. 42,000/- (Rupees Forty TwoThousandonly),intheformofaDemandDraftissuedbyanyscheduledcommercialbankinfavorofNationalFilmDevelopmentCorporationpayableatChennai.

b. NFDCwould refund EMDof all unsuccessful bidderswithin sixweeks of the bidder beingnotified as being unsuccessful. The EMD of successful bidder would be returned uponsubmissionofPerformanceBankGuaranteeaspertheformatprovidedinAppendixII.

c. TheEMDamountisinterestfreeandwillberefundabletotheunsuccessfulbidderswithoutanyaccruedinterestonit.

d. Thebid/proposalsubmittedwithoutEMD,mentionedabove,willbesummarilyrejected.e. TheEMDmaybeforfeited:

• Ifabidderwithdrawsitsbidduringtheperiodofbidvalidity.• Incaseofasuccessfulbidder, if thebidder fails tosignthecontract inaccordance

withthisOTwithin15daysfromthedateofawardofcontract.

1.3.4.4 SubmissionofResponses

a. ThebiddersshouldsubmittheirresponsesaspertheformatgiveninthisOTinthefollowingmanner

• Response to Pre-Qualification Criterion : (1 Original + 1 Copy + 1 soft copy inunencryptedUSBdrive)infirstenvelope

• TechnicalProposal - (1Original+1Copy+1softcopy inunencryptedUSBdrive+SampleVideoinUSBDrive)insecondenvelope.

• FinancialBid–(1Original+1Copy)intheThirdenvelope

b. The Response to Pre-Qualification criterion, Technical Proposal and Financial Bid (Asmentioned in previous paragraph) should be covered in separate sealed envelopes super-scribing“Pre-QualificationProposal”,"TechnicalProposal"and“FinancialBid”respectively.Eachcopyofeachbidshouldalsobemarkedas"Original"OR"Copy"asthecasemaybe.

c. TheThreeenvelopescontainingcopiesofPre-qualificationProposal,TechnicalProposalandFinancialBidshouldbeput inanothersinglesealedenvelopeclearlymarked“ResponsetoOTfordubbingoffilmsasspecified”-<OTReferenceNumber>andthewordings“DONOTOPENBEFORE03.05.2017at11:00am.

d. Theouterenvelopethuspreparedshouldalsoindicateclearlythename,address,telephonenumber,E-mailIDandfaxnumberofthebiddertoenabletheBidtobereturnedunopenedincaseitisdeclared"Late".

e. All thepagesof theproposalmustbe sequentiallynumberedandmust contain the listofcontents with page numbers. Any deficiency in the documentation may result in therejectionoftheBid.

f. Theoriginalproposal/bidshallbepreparedinindelibleink.Itshallcontainnointerlineationsor overwriting, except as necessary to correct errorsmade by the bidder itself. Any suchcorrectionsmustbeinitialledbytheperson(orpersons)whosign(s)theResponses.

g. All pages of the bid including the duplicate copies, shall be initialled and stamped by thepersonorpersonswhosignthebid.

h. IncaseofanydiscrepancyobservedbyNFDCinthecontentsofthesubmittedoriginalpaperbid documents with respective copies, the information furnished on original paper biddocumentwillprevailoverothers.

i. Bidder must ensure that the information furnished by him in respective USB Drives isidentical to that submitted by him in the original paper bid document. In case of anydiscrepancy observed by NFDC in the contents of the USB Drives and original paper biddocuments,theinformationfurnishedonoriginalpaperbiddocumentwillprevailoverthesoftcopy.

j. Biddersmusy submit sample videos in theUSBdrive containing the sampledubbingworkdonebythemwithamaximumof5minuteseach,andshouldbeinmpeg/avi/mp4format.

1.3.4.5 AuthenticationofBids

AProposalshouldbeaccompaniedbyapower-of-attorneyinthenameofthesignatoryoftheProposal.

1.3.5 Preparationandsubmissionofproposal

1.3.5.1 ProposalPreparationCosts

The bidder shall be responsible for all costs incurred in connection with participation in the OTprocess, including,butnot limited to,costs incurred inconductof informativeandotherdiligenceactivities,participationinmeetings/discussions/presentations,preparationofproposal,inprovidinganyadditionalinformationrequiredbyNFDCtofacilitatetheevaluationprocess,andinnegotiatingadefinitivecontractorallsuchactivitiesrelatedtothebidprocess.

NFDCwillinnocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebiddingprocess.

1.3.5.2 Language

The tender should be filled by the Bidder in English language only. If any supporting documentssubmittedareinanylanguageotherthanEnglish,translationofthesameinEnglishlanguageistobeduly attestedby theBidders. Forpurposesof interpretationof the tender, theEnglish translationshallgovern.

1.3.5.4 LateBids

a. Bids received after the due date and the specified time (including the extended period ifany)foranyreasonwhatsoever,shallnotbeentertainedandshallbereturnedunopened.

b. The bids submitted by telex/telegram/ fax/e-mail electronic media etc. shall not beconsidered.Nocorrespondencewillbeentertainedonthismatter.

c. NFDC shall not be responsible for any postal delay or non-receipt/ non-delivery of thedocuments.Nofurthercorrespondenceonthesubjectwillbeentertained.

d. NFDC reserves the right to modify and amend any of the above-stipulatedcondition/criteriondependinguponprojectprioritiesvis-à-visurgentcommitments.

1.3.6 Deviations

ThebiddermayprovidenodeviationtothecontentsoftheOTdocument(asmaybemodifiedinlinewithpara1.3.3.2).Incaseofanydeviations,NFDCwouldbeentitledtorejectthebid.

1.3.7Evaluationprocess:

a. NFDC will constitute a Proposal Evaluation Committee to evaluate the responses of thebidders.

b. TheProposalEvaluationCommitteeconstitutedbyNFDCshallevaluatetheresponsestotheOT and all supporting documents / documentary evidence. Inability to submit requisitesupportingdocuments/documentaryevidence,mayleadtorejection.

c. ThedecisionoftheProposalEvaluationCommitteeintheevaluationofresponsestotheOTshallbefinal.NocorrespondencewillbeentertainedoutsidetheprocessofevaluationwiththeCommittee.

d. The Proposal Evaluation Committee may ask for meetings with the Bidders to seekclarificationsontheirResponses.

e. TheProposalEvaluationCommitteereservestherighttorejectanyorallResponsesonthebasisofanydeviations.

f. EachoftheresponsesshallbeevaluatedasperthecriterionsandrequirementsspecifiedinthisOT.

1.3.7.1 TenderOpening

The Responses submitted up to 02.05.2017 at 5.00 PM and subsequent to the opening of Pre-QualificationBidon03.05.2017at11.00AMtheTechnicalBidwillbeopenedat04.05.2017at11:00AMbyMr. J. Lakshminarayanan,Manager, NFDC or any other officer authorized byNFDC, in thepresence of such of those Bidders or their representatives who may be present at the time ofopening.

The representatives of the bidders should be advised to carry the identity card or a letter ofauthority from the tendering firms to identify their bonafide for attending the opening of theproposal.

1.3.7.2. TenderValidity

TheoffersubmittedbytheBiddersshouldbevalidforminimumperiodof3monthsfromthedateoftheoffer.

1.3.7.3 TenderEvaluation

1.3.8 Consortiums

ConsortiumsarenotallowedforthepurposeofthisOT.

The individual / agency / organization / NPO should have dubbed at least 25 similar type dubbing work in the last 3 years.

AgencyshouldprovideListofdubbingworkdonethemcategoricallymentioningaboutTitle,originallanguage,dubbedlanguage,ClientName,dateofcompletionoftheworkandshouldbecertifiedbyNotaryPublic.

1.5 AppointmentofAgency

1.5.1 AwardCriteria

NFDCwillawardthecontracttothesuccessfulbidderasperin1.4.2andalsotheLowestRateinthefinancialbidasperin1.4.4.Ifthesuccessfulbidderisunabletodeliverallofthe94dubbedversionsof 13 films, then the bidder with the next Lowest Financial Bid will be awarded the remainingdubbing work. The process will continue till such time till the 94 dubbed versions have beenawarded.

1.5.2 RighttoAcceptAnyProposalandtoRejectAnyorAllProposal(s)

NFDCreservestherighttoacceptorrejectanyproposal,andtoannulthetenderingprocess/Publicprocurement process and reject all Responses at any time prior to award of contract, withoutthereby incurring any liability to the affected bidder or bidders or any obligation to inform theaffectedbidderorbiddersofthegroundsforNFDCaction.

1.5.3 NotificationofAward

Priortotheexpirationofthevalidityperiod,NFDCwillnotifythesuccessfulbidderinwritingorbyfaxoremail,thatitsproposalhasbeenaccepted.Incasethetenderingprocess/publicprocurementprocesshasnotbeencompletedwithinthestipulatedperiod,NFDC,mayliketorequestthebidderstoextendthevalidityperiodofthebid.

Thenotificationofawardwillconstitutetheformationofthecontract.Uponthesuccessfulbidder'sfurnishing of Performance Bank Guarantee, NFDCwill notify each unsuccessful bidder and returntheirEMD.

1.5.4 PerformanceGuarantee

NFDCwillrequiretheselectedbidder(s)toprovideaPerformanceBankGuarantee,within15daysfrom theNotificationof award, for a valueequivalent to10%of theContractValueasdefined in1.4.4 (Annexure–D).ThePerformanceGuaranteeshouldbevalid foraperiodof 12months.The

PerformanceGuarantee shallbekeptvalid till completionof theproject in caseofextension.Theselected bidder shall be responsible for extending the validity date and claim period of thePerformance Guarantee as and when it is due on account of non-completion of the project andWarrantyperiod.Incasetheselectedbidderfailstosubmitperformanceguaranteewithinthetimestipulated, the NFDC at its discretion may cancel the order placed on the selected bidder. ThetemplateofthePerformanceBankGuaranteeisgiveninAppendixII

1.5.5 SigningofContract

Post submission of Performance Guarantee by the successful bidder, NFDC shall enter into acontract, incorporating all clauses, pre-bid clarifications and the proposal of the bidder betweenNFDCandthesuccessfulbidder.

1.5.6 FailuretoAgreewiththeTermsandConditionsoftheOT

Failure of the successful bidder to agree with the Terms & Conditions of the OT shall constitutesufficientgroundsfortheannulmentoftheaward,inwhicheventNFDCmayawardthecontracttothenextbestvaluebidderorcallfornewResponsesfromtheinterestedbidders.

Insuchacase,theNFDCshallinvokethePBGofthemostresponsivebidder.

1.6. FraudandCorruptPractice

a. TheApplicants/Bidders and their respective officers, employees, agents and advisers shallobserve the highest standard of ethics during the Selection Process. NotwithstandinganythingtothecontrarycontainedinthisOT,theNFDCshallrejectaProposalwithoutbeingliable in any manner whatsoever to the Applicant, if it determines that the Bidder has,directlyor indirectlyorthroughanagent,engaged incorruptpractice, fraudulentpractice,coercive practice, undesirable practice or restrictive practice (collectively the “ProhibitedPractices”)intheSelectionProcess.Insuchanevent,theNFDCshall,withoutprejudicetoitsanyotherrightsorremedies,forfeitandappropriatetheEMDorPBG,asthecasemaybe,asmutually agreed genuine pre-estimated compensation and damages payable to the NFDCfor,interalia,time,costandeffortoftheNFDC,inregardtotheOT,includingconsiderationandevaluationofsuchApplicant’sProposal.

b. WithoutprejudicetotherightsoftheNFDCunderClauseaboveandtherightsandremedieswhichtheNFDCmayhaveundertheLOIortheAgreement,ifanApplicantorConsultant,asthe casemaybe, is foundby theNFDC tohavedirectlyor indirectlyor throughanagent,engaged or indulged in any corrupt practice, fraudulent practice, coercive practice,undesirablepracticeorrestrictivepracticeduringtheSelectionProcess,oraftertheissueoftheLOIortheexecutionoftheAgreement,suchApplicantorConsultantshallnotbeeligibletoparticipateinanytenderorOTissuedbytheNFDCduringaperiodof36monthsfromthedatesuchApplicantorConsultant,asthecasemaybe,isfoundbytheNFDCtohavedirectlyor through an agent, engaged or indulged in any corrupt practice, fraudulent practice,coercivepractice,undesirablepracticeorrestrictivepractice,asthecasemaybe.

c. For the purposes of this Section, the following terms shall have themeaning hereinafterrespectivelyassignedtothem:

i. “corrupt practice”means (i) theoffering, giving, receiving, or soliciting, directly orindirectly,ofanythingofvaluetoinfluencetheactionofanypersonconnectedwiththe Selection Process (for avoidance of doubt, offering of employment to oremployingorengaginginanymannerwhatsoever,directlyorindirectly,anyofficialoftheNFDCwhoisorhasbeenassociatedinanymanner,directlyorindirectlywiththeSelectionProcessortheLOIorhasdealtwithmattersconcerningtheAgreementorarisingtherefrom,beforeoraftertheexecutionthereof,atanytimepriortotheexpiryofoneyear from thedate suchofficial resignsor retires fromorotherwiseceases tobe in theserviceof theNFDC, shallbedeemedtoconstitute influencingthe actions of a person connected with the Selection Process); or (ii) save asprovidedherein,engaginginanymannerwhatsoever,whetherduringtheSelectionProcessoraftertheissueoftheLOAoraftertheexecutionoftheAgreement,asthecase may be, any person in respect of any matter relating to the Project or theAward or the Agreement, who at any time has been or is a legal, financial ortechnicalconsultant/adviseroftheNFDCinrelationtoanymatterconcerningtheProject;

ii. “fraudulentpractice”meansamisrepresentationoromissionof factsordisclosureofincompletefacts,inordertoinfluencetheSelectionProcess;

iii. “coercivepractice”means impairingorharmingor threatening to impairorharm,directlyorindirectly,anypersonsorpropertytoinfluenceanyperson’sparticipationoractionintheSelectionProcess;

iv. “undesirable practice” means (i) establishing contact with any person connectedwithoremployedorengagedbyNFDCwiththeobjectiveofcanvassing,lobbyingorin anymanner influencingor attempting to influence the SelectionProcess; or (ii)havingaConflictofInterest;and

v. “restrictive practice” means forming a cartel or arriving at any understanding orarrangement amongApplicantswith the objective of restricting ormanipulating afullandfaircompetitionintheSelectionProcess.

1.7ConflictofInterest

a. AnApplicantshallnothaveaconflictofinterestthatmayaffecttheSelectionProcessorthework envisaged under this OT (the “Conflict of Interest”). Any Applicant found to have aConflict of Interest shall be disqualified. In the event of disqualification, the NFDC shallforfeit and appropriate the EMD, if available, as mutually agreed genuine pre-estimatedcompensationanddamagespayabletotheNFDCfor,interalia,thetime,costandeffortofthe NFDC including consideration of such Applicant’s Proposal, without prejudice to anyotherrightorremedythatmaybeavailabletotheNFDChereunderorotherwise.

b. TheNFDCrequiresthattheagencyprovidesprofessional,objective,andimpartialadviceandatalltimesholdtheNFDC’sinterestsparamount,avoidconflictswithotherassignmentsoritsown interests,andactwithoutanyconsideration for futurework.Theagency shallnotaccept or engage in any assignment that would be in conflict with its prior or currentobligationstootherclients,orthatmayplaceitinapositionofnotbeingabletocarryouttheassignmentinthebestinterestsoftheNFDC.

c. Withoutlimitingthegeneralityoftheabove,anApplicantshallbedeemedtohaveaConflictofInterestaffectingtheSelectionProcess,if:

i. the Bidder, or Associates (or any constituent thereof) and any other Bidder, orAssociate (or any constituent thereof) have common controlling shareholders orotherownershipinterest;

ii. suchBidderoritsAssociatereceivesorhasreceivedanydirectorindirectsubsidyorgrantfromanyotherBidderoritsAssociate;or

iii. such Bidder has a relationship with another Bidder, directly or through commonthirdparties,thatputstheminapositiontohaveaccesstoeachother’sinformationabout,ortoinfluencetheProposalofeitheroreachoftheotherBidder;or

iv. there is a conflict among this and other assignments of the Bidder (including itspersonnelandothermembers,ifany)andanysubsidiariesorentitiescontrolledbysuch Bidder or having common controlling shareholders. The duties of the bidderwilldependonthecircumstancesofeachcase.WhileprovidingservicestotheNFDCforthisparticularassignment,theagencyshallnottakeupanyassignmentthatbyitsnaturewillresultinconflictwiththepresentassignment;or

d. In the event that a bidder identifies a potential conflict of interest, they shall make adisclosuretotheNFDCassoonasanypotentialconflictcomestotheirnoticebutinnocaselater than 7 (seven) days from the receipt of such Responses and any breach of thisobligationofdisclosureshallbeconstruedasConflictofInterest.TheNFDCshall,uponbeingnotifiedbytheagencyunderthisClause,decidewhetheritwishestoterminatethisserviceor otherwise, and convey its decision to the agency within a period not exceeding 15(fifteen)days.
