1.0 TERMINOLOGY
1.1 References to Labelled Provisions
Each reference in this Request To Pre-Qualify to a numbered or lettered “section”, ”subsection“, “paragraph, “subparagraph”, “clause” or “subclause” shall, unless otherwise expressly indicated, be taken as a reference to the correspondingly labelled provision of this Request To Pre-Qualify (RTP).
1.2 Definitions
Throughout this Request To Pre-qualify (RTP), unless inconsistent with the subject matter or context
(a) “Agreement” means any written contract between the City and a contractor with respect to any Services or Work, contemplated by this RTP and related Tenders issued with respect to this RTP.
(b) “Bidder” means a legal entity (e.g. firm, consortium, etc.) that submits, or intends to submit, a Bid response to a formal Request for Tender.
(c) “City” means the City of Toronto
(d) “Council” means City Council
(e) “MFIPPA” means the Municipal Freedom of Information and Protection of Privacy Act
(f) “Pre-Qualification” means this document in its entirety, inclusive of any addenda that may be issued by the City
(g) “Bid” means a Bidder's written reply or submission in response to a Tender.
(h) “Respondent” means a legal entity (e.g. firm, consortium, etc.) that submits, or intends to submit, a Response to this Pre-Qualification
(i) “Response” means a Respondent’s written submission by a Respondent in response to this RTP in accordance with this Pre-Qualification
(j) “RFT" means "Request for Tender” any Tender in its entirety, inclusive of any Addenda thereto, that may be issued to Pre-qualified Subcontractors by the City with respect to desired Services or Work
(k) “RTP” means this Request To Pre-Qualify package in its entirety, inclusive of all Appendices and any bulletins or Addenda that may be issued by the City.
(l) “Services” means various professional construction and related services, as described in Section 3.0, expected to be the subject of a Tender issued by the City
(m) “Work” means services that a successful bidder has contracted to supply to the City by entering into a contract in response to a Tender
(n) “Net Zero Energy Building” or “NZEB” project means a building that generates as much energy on-site through renewable resources, as it consumes.
(o) “Measurement and Verification” (M&V) is the process of planning, measuring, collecting and analyzing data for the purpose of verifying and reporting energy savings within an individual facility resulting from the implementation of energy conservation measures. M&V activities include: meter and sub-meter installation calibration and maintenance, data gathering and screening, development of a computation method and acceptable estimates, computations with measured data, and reporting, quality assurance, and third party verification of reports. Reference “The International Performance Measurement and Verification Protocol (IPMVP)” for details.

(p) “High Performance Buildings” are buildings that approach or are certified as Net-zero or Passive House. Typical features of these buildings include a highly-insulated envelope, measured high air-tightness levels, geothermal ground source heat pump systems, and high efficiency Energy Recovery Ventilators. Typically, these projects have Energy Use Intensities at 80% less then benchmark indexes for average buildings of the same class. (for reference see the Ontario Association of Architects “2030 Targets – Ontario Data).
(q) "Passive House” certified buildings are buildings that meet the following main criteria: Space Heat Demand of maximum 15kWh/m2a or Heating load maximum of 10W/m2; Pressurization Test Results @ 50 Pa maximum with 0.6ACH; and Total Primary Energy Demand of maximum 120kWh/m2a.
1.3 RTP Process
This process is governed by the terms and conditions in Appendix “A”.
2.0 PREAMBLE
1. Request to Pre-Qualify
For: Mechanical Subcontractor to undertake a sub contract for the new Net Zero Energy daycare facility at 1234 Weston Road. This is a Capital Construction Project under the Facilities Management Division, with the overall contract being the CCDC2. Subcontractor Selection Process using the Request for Pre-qualification
All qualified firms will be short-listed to a List of Pre-Qualified General Contractors. Prequalified general contractors can only solicit pricing from prequalified mechanical, electrical and geothermal contractors. No exceptions.
2. Background
This project is an innovative Net Zero Energy childcare facility for the City of Toronto. It is to be located at 1234 Weston Road, within the Mount Dennis area at the corner of Weston Road and Glenvalley Drive. The facility will be 19,000 sf, and will have two (2) stories plus finished basement. Included in the programming area are two Infant Rooms, three Toddler Rooms, and three Preschool Rooms. The facility will accommodate a total of 98 children. An open parent resource area is included near the entry lobby, to facilitate parent interaction and involvement. A demonstration kitchen is included on the second floor, for preschool participation in food based activities. There will be gross motor play, catering kitchen, services and storage in the lower level. The infant and toddler play rooms and connected playgrounds are at grade, with the preschool and preschool playground located on the second floor/roof. Naturalized playground opportunities are prioritized, to facilitate children’s connection with nature, imaginative play, discovery, and exploration. Refer to Appendix F for a set of drawings at the Design Development stage.

The building is designed to Net Zero Energy and to Zero Carbon Standard emissions. Sustainability will be an important aspect of this project. As this is the first City of Toronto Net Zero Energy Building (NZEB) project, it is expected to be a showcase project, and lead the way for future NZEB projects. It will follow Toronto Green Standards V3 and CaGBC Carbon Neutral Building Standards. The building envelope and mechanical systems will include Passive House high performance and air tightness principles (though it is not targeting certification). The heating and cooling will be provided though a geothermal heat pump system, and renewable energy will be generated with Photovoltaic/Thermal panels on roof. The project is projected to tender in Q4 2018, construction starting in Q1 2019, and substantial completion for end of 2019.
The site of the new Mount Dennis Childcare Centre is 1234 Weston Road, Toronto. Refer to Figure 1 for the project location mapping.

The Prime Consultant is Coolearth Architecture in association with CS&P Architects Inc. The term Consultant means the Consultant or the Consultant’s authorized representative. For greater certainty, Stephenson Engineering is the Consultant’s authorized representative on structural matters; R Mancini and Associates is the Consultant’s authorized representative on building electrical and mechanical matters; PMA Landscape Architects Ltd Associates is the Consultant’s authorized representative on landscape matters; Masongsong Associates Engineering is the Consultant’s authorized representative on civil matters.
The project site is on a corner site bounded by Weston Road to the north and Glenvalley Drive to the East. The site is 1440 sm in lot area, and the building has 2 levels plus basement, for a total of 19,000sf.

Given the high performance standards of the site a competent and experienced Subcontractor with be -essential to the success of the project. Only Subcontractors who can meet/exceed the required project experience outlined in section 8.0 Technical Submission Requirements should apply for pre-qualification. 3.0 PURPOSE The City of Toronto is seeking and inviting qualified Mechanical Subcontractors with relevant experience in a project of similar size, scope and complexity, strong scheduling abilities, and experience in managing and coordinating trades to pre-qualify for the above noted project.
The purpose of this request for Pre-qualification is to solicit information about your firm’s previous performance, specifically with regard to the following:
Delivery of similar projects as a Mechanical Subcontractor for construction of a new institutional/public sector building;
High performance building experience. Schedule and reporting expertise and tools; Adherence to Site Safety / Health and Safety; Proposed project staff on the projects of similar scope. Professional staff:
o Site Foreperson o Project Manager
Good financial standing with your lending institution; Good standing with WSIB (Workplace Safety and Insurance Board). Management of scope changes and change orders.
All information will be verified. In the event that it is determined that any of the information submitted is inaccurate or misleading, your firm will be disqualified from this project. Incomplete information will eliminate your firm from further consideration.
4.0 SUBMISSION FORMAT
Please submit the required information in 8.5 x 11 inch format, bound, clearly organized, in the following order with numbered pages and individual sections as identified. Respondents must provide one (1) original and three (3) copies for a total of four (4) submission copies.
5.0 EVALUATION METHOD PROPOSAL EVALUATION AND SELECTION PROCESS Selection Committee An evaluation team consisting of representatives from City of Toronto will collectively evaluate the submissions to determine the list of successful pre-qualified Mechanical Subcontractors. The City's decision on selection is final. A debriefing will be available to those respondents not considered for the approved pre-qualification list, if requested.

Selection Criteria The Mechanical Subcontractor undertaking the Work shall be experienced in carrying out the specific type of work and the personnel performing the Work. The Mechanical Subcontractor and/or persons submitting shall be actually engaged in the lines of work and role of the Mechanical Subcontractor as outlined within this RTP All information will be verified. In the event that any of the information submitted is inaccurate or misleading, your firm will be disqualified. Incomplete information may limit your firm’s ability to qualify.
Selection Process The selection process will score the Responses using the evaluation table in Appendix D. A Mandatory Requirement is a minimum need that must be met by the Respondent. The City will eliminate from the evaluation process any Respondent not fulfilling all mandatory requirements. If the submission fails any mandatory requirements, the submission will be rejected. Respondents must obtain a minimum total score of 32 points (out of a maximum of 45 points) on the Response Evaluation Table to be pre-qualified. Schedule of Events Date Milestones August 14, 2018 RTP Issued August 29, 2018 Deadline for Questions from Respondents August 30, 2018 Release of Final Addendum (if any) September 5, 2018 RTP Closes 6.0 MANDATORY SUBMISSION REQUIREMENTS The information requested in this section for items 1 to 7 is MANDATORY. Failure to provide any of the requested Mandatory Requirements with your submission by the closing time and date will result in disqualification. Please ensure that all details for each mandatory requirement are provided.
1. Letter from Insurance Provider: Provide a signed letter from your insurer or insurance broker, dated within the last 120 days from date of issue of this Request To Pre-Qualify document, addressing items a) to d). Please note, failing to provide the requested information for items, a) to d), in the requested
letter will result in your submission being non-compliant.
a) The Sub Contractor agrees to obtain, maintain and deposit with the City a Certificate(s) of Insurance indicating that the City of Toronto is an additional named insured on the policy. The Certificate of Insurance will indicate that the following insurance policies are being maintained:

b) Comprehensive General Liability insurance policy providing third party bodily and personal injury and property damage coverage in an amount of not less than $5,000,000.00, per occurrence, indicating that the policy contains a Cross Liability and/or Severability of Interest Clause, protecting each insured to the same extent as if they were separately insured; Non Owned Automobile Liability; Contractual Liability; Completed Operations; Owners and Contractor’s Protective Coverage; and Employers' Contingent Liability.
c) All-Risk Property coverage insuring for physical loss or damage to the Work which is
in course of construction and at the risk of the Sub Contractor, in an amount to reflect total replacement cost, including coverage while in transit, for all property on the lands, materials and supplies and tools and equipment of the Sub Contractor.
d) Sub Contractors Pollution Coverage Liability Insurance shall have inclusive limits of
not less than $5,000,000.00 per accident and/or occurrence or such larger amounts as may be required by the Risk and Insurance Manager of the City of Toronto for environmental protection against third-party claim, including 12 months completed operations.
(Coverage mentioned in above items must be provided at time of submission to this Call and not with the opportunity to subsequently secure before the actual tender).
2. CAD-7 and WSIB Information:
Provide a copy of each of the following two (2) items for your company: a) CAD-7 Experience rating or WISR (Workplace Injury Summary Report) and b) WSIB Clearance Certificate
3. Health and Safety Policy Information:
Provide a detailed description of the following three (3) items of your company’s: a) A detailed description of your company Health and Safety Policy, Health and Safety
Program and written confirmation that the policies will be enforced by your company for the duration of the project.
b) Written confirmation that the policies will be enforced by your company
4. Resumes: Provide resumes of the Site Foreperson and the Project Manager to be assigned to the
mentioned project in this Request to Pre-Qualify document, listing their: a) Experience b) Qualifications c) Current references (with phone numbers and email address). d) Dated and signed.
(Must be dated and signed within the last 120 days from dated of this Request to –Pre-Qualify document. )
5. Letter from Financial Institution:
Provide a signed letter from your Financial Institution, dated within the last 120 days from date of issue of this Request To Pre-Qualify document addressing the following:
a) Your general financial position including:
- The number of years with that institution. - Financial capability to conduct and perform construction projects of a dollar value of Estimate amount One Million ($1,000,000.00) to Two Million ($2,000,000.00)

- History of (NSF) non-sufficient funds. - General standing.
b) Provide a named reference and phone number from your financial institution.
Please note:
Failing to provide information for any of the items under section a), and information request in section b), of item 5 in your Financial Institution Letter will result in your submission being non-compliant.
6. Proof of Documents for the Following:
a.) Document/Proof Years in Business and Completion of Municipal Project Information or
equivalent private sector projects.
b.) Membership in the relevant Trade Associations: o Mechanical Subcontractor
Valid and current Contractor License issued by the Technical Standards and Safety Authority (TSSA).
7. Technical Submission Requirements set out in Section 8.0.
7.0 SCOPE OF WORK The bidder shall furnish all labour, materials, equipment and resident supervision and management staff required. Role of the Mechanical Subcontractor The following is for reference and shall not be considered to represent a complete list of all items required to do the Work:
The Mechanical Subcontractor will provide contract to the successful General Contactor as necessary to construct a new Net Zero Energy Childcare Building for the City of Toronto. The General Contractor will be separately prequalified for this project.
The Mechanical Subcontractor shall furnish all labour, materials, equipment and supervision for the projects at specified locations. All work may include, but not necessarily be limited to the summary below:
Mechanical:
1. Coordination with Toronto Water for the connection of domestic water, fire line, storm and sanitary services.
2. Storm, sanitary and domestic water systems including sump pit and pumps and rainwater infiltration tank.
3. Installation of plumbing fixtures
4. Installation of HVAC system including heat pumps and heat recovery unit (HRU)
5. Sprinkler and standpipe system.
6. Building Automation System (BAS).

8.0 TECHNICAL SUBMISSION REQUIREMENTS
The information requested in this Section must be provided and will be evaluated and scored (Refer to Appendix D – Evaluation Matrix Form). Items below noted as “an asset”, while not mandatory, will positively impact scoring.
PART A: COMPANY EXPERIENCE
1. Provide a list of in-house staff resources be assigned to this project. The team should include but not limited to qualified:
i. Project Manager(s) ii. Health and Safety Professional
iii. Foreperson Provide an organizational chart showing planned project resourcing.
2. Provide three (3) current project-related references with phone numbers 3. Provide a profile of permanent employees on the payroll of your firm who will be
directly involved with the construction of this project. Include numbers of staff and their potential responsibility.
4. Provide details on the companies Policies, Procedures, and Plans related to Fair Wage and Social Procurement. Provide certificate, if applicable.
5. Contractor has two (2) or more Project Managers and Foreperson on staff with emergency phone number and email address- with under 2 hour response time.
PART B: PROJECT EXPERIENCE Within the last five (5) years, firms must have delivered a minimum of four (4) relevant similar projects within the above scope of work: Provide the following details for all projects you are submitting as references:

PART E: PROJECT MANAGER Provide a resume and brief biography of the Project Manager being proposed for the project. Within the biography ensure the following minimum qualifications are articulated and if applicable attach a copy of the qualifications and/or references: 1. Have a minimum of five (5) years' experience as a Project Manager with significant
experience in management and quality control related to new construction; 2. Have been a Project Manager for a minimum of three (3) relevant similar projects within the
above scope of work with a minimum work value of $5,000,000 to $10,000,000, each or greater completed in the last five (5) years.
3. Experience managing a LEED Certified project is an asset. 4. Must possess minimum one of the following:
a. Project Management Professional designation (PMP) b. Professional Engineer License (P.Eng) c. Possess relevant license as issued by the governing body of respective trade.
Provide resumes for all the positions listed above providing detailed relevant similar experience, qualifications and three (3) current project-related references with phone numbers. Note: If the named individuals for Site Foreperson and Project Manager become unavailable, a proposed replacement having equivalent or better experience must be submitted in writing to be approved by the City's Project Manager. 1. Respondent’s Responsibility
It shall be the responsibility of each Respondent:
(a) to examine all the components of this RTP, including all appendices, forms and addenda;
(b) to acquire a clear and comprehensive knowledge of the required services before submitting a Response;
(c) to become familiar, and (if it becomes a successful Respondent) comply, with all of the City’s Policies and Legislation set out on the City of Toronto website at www.toronto.ca/tenders/index.htm
The failure of any Respondent to receive or examine any document, form, addendum, Agreement, policy shall not relieve the Respondent of any obligation with respect to its Response or any Agreement entered into or Purchase Order issued based on the Respondent’s Response.
2. Prime Respondent
A joint Response by a consortium of two or more Respondents having no formal corporate links may be submitted, but one person or company must be shown as the prime Respondent and be prepared to repre-sent the consortium to the City by executing the Agreement, acting as the primary contact, and taking overall responsibility for performance of the Agreement.
Where a Response is made by a prime Respondent with associate firms working with or under the prime Respondent in either a sub-contracting or consortium relationship, it is required that those associate firms be named in the Response.
3. Questions
All questions concerning this RTP should be directed in writing to the City employee(s) designated as “City Contacts” in the Notice to Potential Respondents.
No City representative, whether an official, agent or employee, other than those identified “City Contacts” are authorized to speak for the City with respect to this RTP, and any Respondent who uses any information, clarification or interpretation from any other representative does so entirely at the Respondent’s own risk.
Not only shall the City not be bound by any representation made by an unauthorized person, but any attempt by a Respondent to bypass the RTP process may be grounds for rejection of its Response.
4. Addenda
If it becomes necessary to revise any part of this RTP, the revisions will be by Addendum posted electronically in Adobe PDF format on the City’s website at www.toronto.ca/calldocuments. Respondents and prospective Respondents SHOULD MONITOR THAT SITE as frequently as they deem appropriate until the day of the Deadline. Only answers to issues of substance will be posted. The City reserves the right to revise this RTP up to the Closing Deadline. When an Addendum is issued the date for submitting Responses may be revised by the City if, in its opinion, determines more time is necessary to enable Respondents to revise their Responses.
All Respondents must acknowledge receipt of all Addenda in the space provided on the Response Submission Form. The City’s Purchasing and Materials Management Division will make reasonable efforts to issue the final Addendum (if any) no later than two (2) days prior to the Deadline.

5. Exceptions
If a Respondent wishes to suggest a change to any mandatory term or condition set forth in any part of this RTP, it should notify the City in writing not later than three days before the Closing Deadline. The Respondent must clearly identify any such term or condition, the proposed change and the reason for it. If the City wishes to accept the proposed change, the City will issue an Addendum as described in the article above titled Addenda. The decision of the City shall be final and binding, from which there is no appeal. Changes to mandatory terms and conditions that have not been accepted by the City by the issuance of an Addendum are not permitted and any Response that takes exception to or does not comply with the mandatory terms and conditions of this RTP will be rejected.
6. Omissions, Discrepancies and Interpretations
A Respondent who finds omissions, discrepancies, ambiguities or conflicts in any of the RTP documentation or who is in doubt as to the meaning of any part of the RTP should notify the City in writing not later than three days before the Closing Deadline. If the City considers that a correction, explanation or interpretation is necessary or desirable, the City will issue an Addendum as described in the article above titled Addenda. The decision and interpretation of the City shall be final and binding, from which there is no appeal. No oral explanation or interpretation shall modify any of the requirements or provisions of the RTP documents.
7. Incurred Costs
The City will not be liable for, nor reimburse, any potential Respondent or Respondent, as the case may be, for costs incurred in the preparation, submission or presentation of any Response, for interviews or any other activity that may be requested as part of the evaluation process or the process for the negotiation or execution of an Agreement with the City, as the case may be.
The rejection or non-acceptance of any or all Responses shall not render the City liable for any costs or damages to any firm that submits a Response.
8. Post-Submission Adjustments and Withdrawal of Responses
No unilateral adjustments by Respondents to submitted Responses will be permitted.
A Respondent may withdraw its Response prior to the Deadline any time by notifying the City Buyer designated in this RTP in writing.
A Respondent who has withdrawn a Response may submit a new Response, but only in accordance with the terms of this RTP.
After the Deadline each submitted Response shall be irrevocable and binding on Respondents for a period of 120 days.
If the City makes a request to a Respondent for clarification of its Response, the Respondent will provide a written response accordingly, which shall then form part of the Response.
9. No Collusion
No Respondent may discuss or communicate about, directly or indirectly, the preparation or content of its Response with any other Respondent or the agent or representative of any other Respondent or prospec-tive Respondent. If the City discovers there has been a breach at any time, the City reserves the right to disqualify the Response or terminate any ensuing Agreement.

10. Prohibition Against Gratuities
No Respondent and no employee, agent or representative of the Respondent, may offer or give any gratuity in the form of entertainment, participation in social events, gifts or otherwise to any officer, di-rector, agent, appointee or employee of the City in connection with or arising from this RTP, whether for the purpose of securing an Agreement or seeking favourable treatment in respect to the award or amendment of the Agreement or influencing the performance of the Agreement, including without restriction enforcement of performance standards, or expressing appreciation, or providing compensation, for the award of an Agreement or for performance of the City's obligations thereunder or for conferring favours or being lenient, or in any other manner whatsoever.
If the City determines that this article has been breached by or with respect to a Respondent, the City may exclude its Response from consideration, or if an Agreement has already been entered into, may terminate it without incurring any liability.
11. Acceptance of Responses
The City shall not be obliged to accept any Response in response to this RTP.
The City may, without incurring any liability or cost to any Respondent:
a) accept or reject any or all Response(s) at any time;
b) waive immaterial defects and minor irregularities in any Responses;
c) modify and/or cancel this RTP prior to accepting any Response;
d) award a contract in whole or in part.
The City is relying on the experience and expertise of the Respondent. The City reserves the right to disqualify any Respondent who has given inaccurate, incomplete, false or misleading information in the sole opinion of the City.
12. Verification
The City reserves the right to verify with any Respondent or with any other person any information provided in its Response but shall be under no obligation to receive further information.
If, in the opinion of the City, any Respondent has clearly misinterpreted the services or underestimated the hours or value of the services to be performed as reflected in its Response content and submitted price/fees, or all or any or any combination of them, then the City may reject its Response as not representative of the scope of the services).
13. Conflicts of Interest
In its Response, the Respondent must disclose to the City any potential conflict of interest that might compromise the performance of the Work. If such a conflict of interest does exist, the City may, at its discretion, refuse to consider the Response. The Respondent must also disclose whether it is aware of any City employee, Council member or member of a City agency, board or commission or employee thereof having a financial interest in the Respondent and the nature of that interest. If such an interest exists or arises during the evaluation process or the negotiation of the Agreement, the City may, at its discretion, refuse to consider the Response or withhold the awarding of any Agreement to the Respondent until the matter is resolved to the City’s sole satisfaction.
If, during the Response evaluation process or the negotiation of the Agreement, the Respondent is retained by another client giving rise to a potential conflict of interest, then the Respondent will so inform

the City. If the City requests, then the Respondent will refuse the new assignment or will take such steps as are necessary to remove the conflict of interest concerned.
Respondents are cautioned that the acceptance of their Response may preclude them from participating as a Respondent in subsequent projects where a conflict of interest may arise. The successful Respondent for this project may participate in subsequent/other City projects provided the successful Respondent has satisfied pre-qualification requirements of the City, if any, and in the opinion of the City, no conflict of interest would adversely affect the performance and successful completion of an Agreement by the successful Respondent.
14. Ownership and Confidentiality of City-Provided Data
All correspondence, documentation and information provided by City staff to any Respondent or prospec-tive Respondent in connection with, or arising out of this RTP, the Services or the acceptance of any Response:
a) is and shall remain the property of the City;
b) must be treated by Respondents and prospective Respondents as confidential;
c) must not be used for any purpose other than for replying to this RTP, and for fulfillment of any related subsequent Agreement.
15. Ownership and Disclosure of Response Documentation
The documentation comprising any Response submitted in response to this RFQ, along with all correspondence, documentation and information provided to the City by any Respondent in connection with, or arising out of this RTP, once received by the City:
shall become the property of the City and may be appended to the Agreement and/or Purchase Order with the successful Respondent;
a) shall become subject to the Municipal Freedom of Information and Protection of Privacy Act ("MFIPPA"), and may be released, pursuant to that Act.
Because of MFIPPA, prospective Respondents are advised to identify in their Response material any scientific, technical, commercial, proprietary or similar confidential information, the disclosure of which could cause them injury.
Each Respondent’s name at a minimum shall be made public. Responses will be made available to members of City Council provided that their requests have been made in accordance with the City’s procedure and may be released to members of the public pursuant to MFIPPA.
16. Intellectual Property Rights
Each Respondent warrants that the information contained in its Response does not infringe any intellectual property right of any third party and agrees to indemnify and save harmless the City, its staff and its consultants, if any, against all claims, actions, suits and proceedings, including all costs incurred by the City brought by any person in respect of the infringement or alleged infringement of any patent, copyright, trademark, or other intellectual property right in connection with their Response.
17. Failure or Default of Respondent
If the Respondent, for any reason, fails or defaults in respect of any matter or thing which is an obligation of the Respondent under the terms of the RTP, the City may disqualify the Respondent from the RTP and/or from competing for future tenders or RTP issued by the City for a period of one year. In addition,

the City may consider that the Respondent has withdrawn any offer made, or abandoned the Agreement if the offer has been accepted, whereupon the acceptance, if any, of the City shall be null and void.
18. Publicity
The Respondent and its affiliates, associates, third-party service providers, and subcontractor shall not release for publication any information in connection with this RTP or any Agreement without prior written permission of the City.
19. Governing Law
This RTP and any Response submitted in response to it and the process contemplated by this RTP including any ensuing Agreement arising from any related Tenders shall be governed by the laws of the Province of Ontario. Any dispute arising out of this RTP or this RTP process will be determined by a court of competent jurisdiction in the Province of Ontario.

Labour Trades Contractual Obligations in the Construction Industry*
B1. Legislative Applicability of Labour Trades Obligations.
The mandatory Labour Trades provisions for municipalities bound by province-wide collective agreements are separate from Fair Wage Policy established, monitored and enforced by the City. Central to any understanding of municipal obligations to Labour Trades, is that the City has no discretion in setting wage rates or in using union labour for certain trades performing Work for the City. This is by virtue of the Province-wide collective agreements applicable to trades in the Industrial, Commercial and Institutional (ICI) and Residential sectors and other negotiated collective agreements in other sectors of the construction industry.
The Province-wide collective agreements are binding on all employers in the sector. The former City of Toronto was first considered an “employer” when the relevant unions obtained bargaining rights beginning in 1978. As a result, subject to the jurisdiction of the collective agreements, union workers must be used for contracted-out Work. The use of union sub-contractors for municipal building projects is also required in most cases.
B2. Current Labour Trades Contractual Obligations in the Construction Industry.
A. The City of Toronto is bound by the current province-wide collective agreements with respect to the Industrial, Commercial and Institutional sectors of the construction industry between:
(1) The Carpenters’ Employer Bargaining Agency and the Ontario Provincial Council, United Brotherhood of Carpenters and Joiners of America.
(2) The Mechanical Contractors Association of Ontario and the Ontario Pipe Trades Council of the United Association of Journey-men and Apprentices of the Plumbing and Pipe-Fitting Industry of the United States and Canada.
(3) The Electrical Trade Bargaining Agency of the Electrical Contractors Association of Ontario and The International Brotherhood of Electrical Workers and the IBEW Construction Council of Ontario.
(4) The International Union of Bricklayers and Allied Craftsmen and the Ontario Provincial Conference of the International Union of Bricklayers and Allied Craftsmen, and The Masonry Industry Employers Council of Ontario.
(5) The International Association of Heat and Frost Insulators and Asbestos Workers and The Master Insulators’ Association of Ontario Inc.
(6) The International Brotherhood of Painters and Allied Trades and The Ontario Painting Contractors Association.

Fair Wage Policy* A1. Definitions. (1) Contractor fails to co-operate with the Manager, Fair Wage Office in fulfilling his/her responsibilities under the Fair Wage Policy and the Labour Trades Contractual Obligations in the Construction Industry.
(2) Sub-contractor fails to co-operate with the Manager, Fair Wage Office in fulfilling his/her responsibilities under the Fair Wage Policy and the Labour Trades Contractual Obligations in the Construction Industry.
(3) Contractor or Sub-contractor has been found in violation of the Fair Wage Policy (non-compliance applies to both Contractor and Sub-Contractor.
(4) Contractor has been found in violation of the Labour Trades Contractual Obligations in the Construction Industry.
(5) Sub-contractor has been found in violation of the Labour Trades Contractual Obligations in the Construction Industry.
SHOP WORK – Any work in performance of the Contract that is done in or at any factory, foundry, shop or place of manufacture not located at or upon the site of the work, and not operated solely for the purpose of the work. SUB-CONTRACTORS – Any agent of the prime contractor or any Sub-contractor hired to perform any of the work or services in the execution of the Contract.

WAGES or RATE OF WAGES – Includes the hourly rate, vacation and holiday pay and any applicable amount for fringe benefits shown in the current Fair Wage Schedule, to be paid to the worker as part of the worker’s wages or for the worker’s benefit provided for in any collective agreement applicable to that worker. WORKERS – Includes mechanics, workers, labourers, owners and drivers of a truck or other vehicle employed in the execution of the Contract by the Contractor or by any Subcontractor under them and clerical staff. A2. Purpose and History, Fair Wage Policy. A. The Fair Wage Policy has a central principle the prohibition of the City doing business with Contractors,
Sub-contractors and suppliers who discriminate against their workers. B. Originally implemented in 1893 to ensure that contractors for the City paid their workers the union
rates or, for non-union workers, the prevailing wages and benefits in their field, the Fair Wage Policy has expanded over the years to other non-construction classifications such as clerical workers.
C. The Policy also requires compliance with acceptable number of working hours and conditions of work in order to protect the rights of workers.
A3. Intent, Fair Wage Policy. The intent of the Fair Wage Policy can be summarized as follows:
(1) To produce stable labour relations with minimal disruption. (2) To compromise between the wage differentials of organized and unorganized labour. (3) To create a level playing field in competitions for City work. (4) To protect the public; and (5) To enhance the reputation of the City for ethical and fair business dealings.
A4. Establishment of Rates. A. Establishing fair wage rates and schedules are intended to minimize potential conflicts between
organized and unorganized labour in the tendering and awarding of civic contracts. B. Fair Wage rates are established through discussion with employee and employer groups and
associations (having both union and non-union members). C. These rates are reviewed by the above-noted groups and are recommended to Council, by the Manager,
Fair Wage Office for approval on a regular basis. D. Certain designated construction related rates are based on the lowest rate established by collective
bargaining, while the wage rates for other classifications are based on market and industrial surveys in accordance with the prevailing wages for non-union workers in the geographic area.
E. Similarly, the City encourages contractors to hire and train apprentices under approved programs. F. In this regard, guidance on appropriate fair wage rates (including an appropriate factor for
apprenticeship programs for construction related trades) will be sought from employee and employer groups as part of establishing Fair Wage Schedules.
A5. City of Toronto Council References. A. City of Toronto Council, by the adoption of Corporate Services Committee Report No. 13, Clause No.
1, as amended, at its meeting of October 1 and 2, 1998, directed that the Fair Wage Policy of the former Municipality of Metropolitan Toronto be adopted for all City Departments, Agencies, Board and Commissions and replace all existing fair wage policies of the former local municipalities.
B. City of Toronto Council, by the adoption of Administration Committee Report No. 7, Clause No. 1, as amended, at its meeting of June 18, 19 and 20, 2002, directed that certain changes be made to the Fair Wage Policy and Procedures.

C. City of Toronto Council, by the adoption of Administration Committee Report No. 5, Clause No. 2, as amended at its meeting of June 24, 25 and 26, 2003 directed that certain further changes be made to the Fair Wage Policy and Procedures, and to the Fair Wage Rate Schedule.
A6. Application. A. The provisions of the Fair Wage Policy apply equally to contractors and all sub-contractors engaged in
work for the City of Toronto. It is understood that contractors cannot sub-contract work to any sub-contractor at a rate lower than called for in the Fair Wage Policy. Contractors or general contractors will be responsible for any violations or non-compliance issues arising from the engagement of any sub-contractor on City work.
B. The fair wage rates do not apply to small businesses, typically those with owner-operators, or partnerships, or principals of companies as long as they undertake the work themselves.
C. It should be noted that under the above City of Toronto Council Reference authorities, the conditions of the Fair Wage Policy cannot be waived, unless authorized by Council to do so.
A7. Contractor and Sub-contractor Responsibilities. A. The contractor or sub-contractor shall not discriminate against workers or applicants for employment
as workers because of race, creed, colour, national origin, political or religious affiliation, sex, sexual orientation, age, marital status, family relationship or disability.
B. The contractor shall at all times comply with the Occupational Health and Safety Act and its regulations and take every precaution reasonable in the circumstances for the protection of workers. If the contractor sub-contracts any or all of the work or services to be performed, the contractor will ensure the sub-contractors are qualified to perform the work or services and comply with the Occupational Health and Safety Act and its regulations.
C. The contractor or sub-contractor shall pay or cause to be paid weekly or biweekly to every worker employed in the execution of the contract (and shall see that every owner of a truck or other vehicle employed by the contractor or by any subcontractor in the execution of the contract shall pay, or cause to be paid, weekly or biweekly to each of the owner’s drivers) wages at the following rates, namely:
(1) For workers employed in shop work:
(a) the Union rate of wages in the particular district or locality in which the work is undertaken for any class or work in respect of which there is such Union rate; and
(b) for any class of work for which there is no such Union rate, the rate of wages shall be the rate of wages, as determined by the Manager, Fair Wage Office prevailing in the particular district or locality in which the work is undertaken.
(2) For workers employed in field work:
(a) where the contractor or sub-contractor is in contractual relationship with a Union recognized by the Ontario Labour Relations Board as the bargaining agent for the relevant workers, the applicable rate of wages set out in the collective agreement.
(b) where there is no such contractual relationship, a rate not less than that set out for such work in the Schedule of Wage Rates filed by the Manager, Fair Wage Office, with the City Clerk of the Corporation after being first approved by Toronto Council (hereinafter called “the Fair Wage Schedule”); and,
(c) for any class of work for which there is no rate, the rate of wages shall be the rate of wages, as determined by the Manager, Fair Wage Office, prevailing in the particular district or locality in which the work is undertaken.
D. The contractor and sub-contractor shall:

(1) At all times keep a list of the names and classifications of all workers employed in the work, the hourly rate and hours worked per day and a record of the amounts paid to each.
(2) From time to time, if demanded by the Manager, Fair Wage Office, furnish a certified copy of all paysheets, lists, records and books relating to the work and keep the originals thereof open at all times for examination by the Manager; and
(3) At all times furnish and disclose to the said Manager any other information respecting wages of workers that may be desired by the Manger in connection with the work.
(4) The Fair Wage Office will have the authority to request any information respecting wages of workers, names of workers, records of amounts paid to each, paysheets, original books, etc. that may be desired by the Manager in connection with a contract that has been substantially completed within the past six months.
(5) Failure to co-operate will be considered non-compliance with the Fair Wage Policy. E. The contractor or sub-contractor shall not compel or permit any worker engaged for the Work to work
more than the number of hours per day and the number of hours per week set out in the Fair Wage Schedule for the particular type of work involved except in case of emergency, and then only with the written permission of the Commissioner or head of the Department having charge of the work or the person then acting as such.
A8. Manager, Fair Wage Office, Responsibilities. A. In case of a jurisdictional dispute or dispute as to rate of wages to be paid under the contract or as to
the amount to be paid to any worker, the decision of the Manager, Fair Wage Office, shall be final and binding upon all parties.
B. If the contractor or sub-contractor fails to pay any worker (or if any owner of a truck or other vehicle fails to pay any driver) wages at the rate called for in paragraph (D), the Corporation may charge an administrative fee not in excess of fifteen percent of the balance necessary to make up the amount that should have been paid from the contractor’s progress draw or holdback, and may pay the worker(s) directly for any back-wages owing directly from the contractor’s progress draw or holdback.
C. If the contract is to be for the purchase of supplies or materials to which the provisions in Subsection A7 respecting the rates of wages to be paid to workers engaged in shop work and field work do not apply, Toronto Council will, before awarding same, cause to be secured from the Manager, Fair Wage Office, a recommendation as to whether or not the tenderer or bidder maintains a fair wage level.
D. If a tenderer or bidder is found not to comply with the Fair Wage Policy the Manager may recommend the next lowest bidder for contract award in the following circumstances:
(1) an investigation is underway and the firm does not co-operate in providing timely information
requested by the Manager, Fair Wage Office in fulfilling his/her responsibilities under the Fair Wage Policy and the Labour Trades Contractual Obligations in the Construction Industry and operationally, the provision of goods and/or services cannot be delayed.
(2) a contractor or sub-contractor is in violation of the Fair Wage Policy and has not paid restitution to its workers.
(3) a contractor or sub-contractor is unable to comply with the City of Toronto Labour Trades Contractual Obligations in the construction industry.
E. Workers engaged in clerical office work are to be paid a rate of wages no less than the surveyed standard
for each classification of worker for the particular industry at the time of tendering. F. The contractor and sub-contractor MUST display legible copies of this “Fair Wage Policy” in a
prominent position in his/her workshop(s), accessible to all employees. G. The contractor shall attach to all accounts rendered for payment of money upon the contract, as
requested by the Manager, Fair Wage Office and for the final account, a declaration affirming that the requirements of the foregoing paragraphs have been fully complied with.

A9. Disqualification Provisions. A. When a contractor or any sub-contractor is found to be in non-compliance with the provisions of the
Fair Wage Policy in two separate instances over a period of three years inclusive, the Manager, Fair Wage Office must report and may recommend to the Administration Committee that the said contractor or sub-contractor be disqualified from conducting business with the City for a period of two (2) years inclusive.
B. After the disqualifying period is over, the said contractor or sub-contractor will be placed on probation for the next contract year. If another non-compliance violation occurs, the Manager, Fair Wage Office must report and may recommend to the Administration Committee that the said contractor or sub-contractor be disqualified from conducting business with the City for an indefinite period of time.
C. All non-compliance activities (including firm names) and disqualification statistics will be reported to Council annually. Disqualified firms will be published on the City’s web site.
