1. Qualifying Requirements (Eligibility Criteria)
1.1 Technical requirements
The bidder/ prime bidder shall meet any one of the following requirements given
under (a), (b) & (c) below:
a) The bidder must be a manufacturer of Hydraulic Turbine or Generator or
both and should have designed, manufactured, supplied, erected, tested
and commissioned at least one (1) Hydro-Electric Power Plant Unit
(Electro Mechanical Equipment) of unit size 60 MW or more with Vertical
Francis TurbineGenerator set including associated auxiliaries in last 10
years reckoned from last date of submission of tender, and which is in
successful operation on last date of submission of tender, and in
operation for at least three years prior to the same. The Prime Bidders
who are manufacturers of either turbines or generators only, shall submit
a letter of consent from a manufacturer of the turbine/generator to be
outsourced by them (either generator or turbine which the prime bidderdoes not manufacture itself) for supplying & undertaking performance
guarantee and warranty on their product. However the proposed
outsourced manufacturer should have designed, manufactured, supplied,
erected, tested and commissioned at least one(1) Hydro-Electric Vertical
Francis turbine or generator (as the case may be ) of unit size 60 MW or
more including associated auxiliaries in last 10 years reckoned from last
date of submission of tender and which is in successful operation on last
date of submission of tender, and is in operation for at least three yearsprior to that date.
b) The prime bidder may be a turnkey executor (who may not be a
manufacturer) of Hydro-Electric Power Plant equipment and who has

executed at least one(1) such plant including erection, testing &
commissioning of Hydro-Electric Power Plant (Electro MechanicalEquipment) of unit size 60 MW or more with Vertical Francis Turbine
Generator set including all associated auxiliaries for Hydel Power Unit in
the last 10 years reckoned from last date of submission of tender and
which is in successful operation on last date of submission of tender, and
is in operation for at least three years prior to the same. Bidder shall
submit their bid in consortium with manufacturer(s) of Hydro-Electric
turbine and/or generator furnishing a Memorandum of Agreement (MOA)
with the manufacturers of the equipment i.e, generator and/or turbine.However the turbine and/or the generator manufacturer(s) should have
designed, manufactured, supplied, erected, tested and commissioned at
least one(1) Hydro-Electric Vertical Francis turbine and/or generator (as
the case may be ) of unit size 60 MW or more including associated
auxiliaries in last 10 years reckoned from last date of submission of
tender and which is in successful operation on last date of submission of
tender, and is in operation for at least three years prior to the same.
c) Any Indian Subsidiary company of its Parent/Holding company having
experience in design, manufacture, erection, testing and commissioning
of Hydro-Electric Power Plant Unit (Electro Mechanical Equipment) who
does not qualify under 1.1(a) and 1.1(b) above can also submit their bid
on the technical and financial strength of its Parent/Holding or any other
Subsidiary company of the Parent/Holding Company provided its
Parent/Holding or any other Subsidiary company of the Parent/Holding
Company (as the case may be) fulfills the Qualifying Requirementsmentioned under technical requirements of 1.1(a) or 1.1(b) above &
financial requirements mentioned in clause 1.2 below. This shall be,
however, subject to fulfillment of legal requirement as stipulated in clause
2.2

1.2 Financial requirements
a) Average Annual turnover of the bidder / prime bidder in the relevant
business of hydro power plant equipments shall not be less than Indian
Rs.(INR)1650 Million (Rupees One thousand six hundred fifty million)
during last three consecutive financial years ending
31.03.2013/31.12.2012(as per the accounting year as the case may be).
The turnover in foreign currency will be converted into equivalent Indian
Rupees as per BC selling exchange rate of Reserve Bank of India andnotified by State Bank of India (SBI) prevailing on the last date of
respective accounting year for evaluation of tenders.
b) The net worth of the bidder/prime bidder shall be positive during each of
last three consecutive financial years ending 31.03.2013/31.12.2012(as
per the accounting year as the case may be).
c) The bidder/prime bidder to submit along with the tender, Audited balance
sheet and profit & loss account for last three consecutive financial years
ending 31.03.2013./31.12.2012(as per the accounting year as the case
may be).

2 Legal Requirements / Consortium Requirements
2.1 Bid by a sole bidder
The bidder is an independent and single legal entity as per laws of India or as
per laws in the country of such bidder and should have its own independent
financial accounting system as per laws of India or as per laws in country of
such bidder.
2.2 Bid by Indian Subsidiary companies
a(i) If an Indian Subsidiary company Bids on the technical and financial
strength of Parent/Holding company, the same shall be considered
provided the Parent / Holding Company commits to submit a guarantee
in the form of a joint deed of Undertaking/Indemnity (in the requisite
format) for implementation and performance of the project evincing full
support for the technical and financial requirements of the Subsidiary
Company and commitment to take up the work itself in case of
nonperformance by the Subsidiary Company in the event of award of the
work to the Indian Subsidiary bidder. However, the experience of
subsidiary companies of the Parent/Holding Company will be considered
experience of the Parent/Holding Company. Indian Subsidiary Company
shall be a company registered In India under the Companies Act 1956.
a(ii) In case the bidding Indian Subsidiary Company is awarded the work, the
Parent/Holding Company will be required to furnish a performance bankguarantee of value equivalent to (5%) five percent of the Contract Price
in addition to normal Performance Bank Guarantee to be submitted by
the Indian Subsidiary Company to the Purchaser In the requisite Format
as per Vol-Il Annexure. Moreover the subsidiary company should get the

design, drawing & quality of material to be delivered with approval
certificate by the Parent/Holding Company.
b(i) if an Indian subsidiary Company bids on the technical and financial
strength of the any other Subsidiary company of the Parent/Holding
Company the same shall be considered provided other Subsidiary
company of the Parent/Holding Company commits to submit a guarantee

subsidiary of the parent/Holding company and commitment to take up the

2.3 ConsortIum requirements
(a) The bidder or each member of consortium in case of Consortium Bid in
the same name and style should have appropriate legal status by virtue
of a deed of incorporation, memorandum and articles of association etc.
enabling him to execute relevant contract for the work.
(b) The bidder or each member of consortium in case of consortium bid shall
be an Independent and single legal entity as per laws of India or as per
laws In the country of such bidder/member of consortium and should
have its own independent financial accounting system as per laws of
India or as per laws in country of such bidder/member of consortium.
(c) Bids submitted by a consortium (not more than four members) shall
comply with the following requirements:
(i) The bid shall include all the information on eligibility / qualification and
experience required for a Bidder as described in Bidding Documents at
1.1(b) above.
(ii) The bid shall be signed so as to be legally binding on all members.
(iii) The nomination of the prime bidder (leader of the consortium) shall be
supported by a Memorandum of Agreement (MOA) entered into amongst
members of the consortium which should be signed by all the legally
authorized signatories of all members.

(iv) The prime bidder shall be authorized to incur liabilities and receive
Instructions and payment for and on behalf of any & all members of theconsortium.
(v) The prime bidder of the consortium shall be overall responsible for the
execution of the Contract. The Leader and other Members of the
Consortium shall be jointly and severally responsible and liable for the
execution of the Contract.
(vi) A copy of the Memorandum of Agreement (MOA) entered into by theconsortium members prior to stipulated due date of submission of bids
and valid till Time for Completion plus Defect Liability Period for the
Facilities shall be submitted. The MOA shall clearly outline the proposed
roles & responsibilities of each member. Each member of consortium
must have the experience for the component of the contract that they are
designated to perform.
(vii) Separate bid by a consortium member will not be accepted.
A party can be a member in only one consortium; bids submitted by such
consortium which include the same party as member and/or leader will
be rejected. Bidders are not allowed to form new consortium (consortia)
with other Bidders participating in the tender.
(viii) For the purpose of formation of consortium, a member shall be an
independent and single legal entity as per laws of India or as per laws in
the country of such member and should have its own independent
financial accounting system as per laws of India or as per laws in the
country of such member.

(ix) In case consortium becoming the successful bidder all the members of
the consortium shall be signatories to the Contract.
3. Cost of the tender documents (non-refundable) shall be deposited either in cash
or in the form of Demand Draft, drawn in favour of OHPC Limited on any
Nationalised Bank/ Scheduled Commercial Bank (approved by RBI) payable at
its Branch at Bhubaneswar.
4. Tender documents including Terms & Conditions and detailed specification of
work shall be available on production of receipt of payment from the Office of
General Manager(Elect.), Odisha Hydro Power Corporation Ltd., Odisha State
Police Housing & Welfare Corporation Building, Vanivihar Chowk, Janpath,
Bhubaneswar 751022, Manager(Elect.), Odisha Hydro Power Corporation
Ltd., Odisha State Police Housing & Welfare Corporation Building) Vanivihar
Chowk, Janpath, Bhubaneswar 751022, Odisha, India, from 10.00 AM (IST)
to 5.00 PM (IST) on all working days starting from 14.08.2013 to 25.09.2013.
5. Tenders will be received in Sealed Cover as specified in Tender Document up
to 2:00 PM (IST) on or before 19.11.2013 at the address mentioned in the
Tender Documents.
6. Part-I & Part II of the tender will be opened at 3:00 PM (IST) on 19.11.2013 in
the office of General Manager(Elect),Odisha Hydro Power Corporation Ltd.,
Odisha State Police Housing & Welfare Corporation Building, Vanivihar Chowk,
Janpath, Bhubaneswar 751022, Odisha, India.
7. No postal transaction shall be entertained for obtaining / submission of Tender
Documents.
8. Issuance of tender documents shall not construe that the tenderers would be
automatically considered qualified.

9. A Bidders Conference (Pre-bid Conference) will be held on 01.10.2013 at 11:00
AM (IST) in the Office of General Manager(Elect.), OHPC Ltd., Bhubaneswar,
Odisha, India. Prospective bidders who would have purchased the bid
document will only be eligible to participate in the pre-bid conference.
10. The Tenderer is advised to visit the site and get acquainted with the site
conditions before submission of tender. Any one Unit out of Unit-I to 6 shall be
available for inspection/taking measurements (if any) during the period
11.09.2013 to 12.09.2013 between 10:00 am to 5:00 pm with prior intimation to
the site authority.
The prospective Tenderer and any of its authorized personnel or representative
will be granted permission by the Purchaser to enter upon its premises and
lands for the purpose of inspection, but only upon the condition that the
prospective Tenderer, its personnel and representative will release and
indemnify the Purchaser and its costs and expenses incurred as a result of theinspection. The Bidders desiring to visit site even after not purchasing the
Tender document, may also visit site on the stipulated date and time.
11. Incomplete bids will not be considered.
12. The undersigned reserves the right to accept or reject any or all the offers, in
part or in full without assigning any reasons whatsoever.
13. The undersigned reserves the right to cancel/postpone the date of receipt and
opening of the tenders without bearing any liability whatsoever consequent
upon such decision.

We, the Odisha Hydro Power Corporation Limited (also hereinafter referred to as

SCOPE OF WORK
The scope of work under the specification shall comprise Dismantling of TG set
including auxiliaries; Renovate and reuse the fixed /embedded components; Design,
Computerized Simulation Study /model testing, manufacturing, inspection and testing,
supply, packing for dispatch/shipment, freight and insurance, port handling including
custom clearance, loading, transportation to site, storing at site, complete erection of
all the components testing, commissioning, start up and performance testing and
handing over of 6x60 MW TG operating plant to purchaser.
The project shall include plant & equipment and facilities within the defined battery
limits, as given in the Technical Specifications enclosed.
COMPLETION TIME
The completion period of the work will be 54 (Fifty Four) months from the Effective date
of the Contract. The completion time is further detailed in the Technical Specification.
EFFECTIVE DATE OF THE CONTRACT
The Effective Date of the Contract will be date of signing of the contract or 60 days from
the date of Letter of Acceptance (LOA), whichever is earlier.
EARNEST MONEY DEPOSIT
The Tenderers are required to submit Earnest Money Deposit of Indian Rupees
5,00,00,000/- (Rupees Fifty million only)along with tender in the form and manner
as described in the "Instructions to Tenderers".

You are requested to submit tender along with the Earnest Money Deposit as mentioned
above so as to reach the Office of the GM (Electrical), Odisha Hydro Power CorporationLtd., Odisha State Police Housing & Welfare Corporation Building, Vanivihar Chowk,
Janpath, Bhubaneswar 751022, Odisha, India, on or before 2:00 PM(IST) on
19.11.2013 . If the date of opening of tenders happens to be a holiday, the tenders shall
be opened on the next working day at the same time and venue.
The tender shall be prepared and submitted in 3 (three) parts in three separate sealed
envelopes as described under Instructions to Tenderers.
The envelopes containing Part-I and Part-II shall be opened first on the due date of
opening of tenders in the presence of duly authorised representatives of the Tenderers
who choose to be present. The representatives of the Tenderers shall be required to
furnish authorisation letter for attending opening of tenders and shall sign a register as a
proof of their attendance. At the time of opening of Part-I and Part-II, the names of all the
Tenderers who submitted their tenders will be read out and other such details as the
Purchaser, at its discretion, may consider appropriate, shall be announced by the
Purchaser.
The Purchaser shall, at first determine fulfillment of Qualifying Requirements by the
Tenderers based on Part-I of respective tenders. Part-II i.e., the technical & commercial
part of the Tender shall be scrutinised and evaluated in respect of only those Tenderers
who meet the specified Qualifying Requirements. Part-III, Price Bid shall be opened and
evaluated in respect of only those Tenderers who meet the specified Qualifying
Requirements and whose tender (Part-II) is determined to be Techno-commercially
acceptable. The time, date and venue for opening of the Part-III, price bid shall be
intimated to such Tenderers in due course. At the time of opening of Part-III of the
tenders, the names of the Tenderers whose Price Bids are opened shall be read out
along with the total amount quoted by them. Any other particulars, which the Purchaser,
at its discretion, may consider appropriate, shall be announced by the Purchaser.

CLARIFICATIONS ON TENDER DOCUMENTS AND BIDDERS CONFERENCE
A Bidders' Conference (Pre-bid Conference) will be held at OHPC, Bhubaneswar on
01.10.2013 at 11:00 hours (IST) onwards where intending Tenderers may obtain the
necessary techno-commercial clarifications, if any, from OHPC before submitting their
tender. All such points for clarifications on the Tender Document should be made in 10
(ten) hard copies along with a CD-ROM, containing the same contents prepared in
MS-WORD at the latest 7 days prior to date of Bidders Conference. Purchaser shall
not be obliged to respond to any queries, which it receives after this deadline.
Purchaser shall clarify to the queries received by it within the stipulated date during the
Bidders conference. Further written response to the queries received shall be sent to
all the prospective Tenderers who purchase the Tender Document, in a consolidated
form, without identifying source of the queries. In case any queries remain un-replied it
shall be construed that in respect of those queries, the respective stipulations of the
Tender Document shall continue to apply and/or no new stipulations are made with
respect to those queries.
VALIDITY
The Tender once submitted shall remain valid for a period of 180 (One hundred eighty)
days from the date set for opening of tender (Parts I & II).
Odisha Hydro Power Corporation Ltd. (OHPC) reserves the right to accept or reject a
tender without assigning any reasons whatsoever. OHPC also reserves the right to
amend the scope of work, modify the Tender documents or cancel/withdraw the Notice
Inviting Tenders without assigning any reasons whatsoever and in such case noTenderer/Intending Tenderer shall have any claim against the Purchaser arising out of
such action.

SECTION-II : GENERAL PROJECT INFORMATION & REQUIREMENTS
1. INTRODUCTION
Odisha Hydro Power Corporation Limited (OHPC), Bhubaneswar has decided for
Renovation and Modernisation with new Turbine-Generator set of Hydro-
Electric Power Generating Units 1 to 6 of Balimela Power House, at Balimela in
Malkangiri District in State of Odisha, India.
Balimela is approximately 40 km from Malkangiri town and 100 kms from Jeypore
town.
Nearest railway station is Koraput Railway Station which is around 120 km from
the power house.
Bhubaneswar / Vishakhapatnam is the nearest airport connected by airlines to all
major Indian cities. The nearest sea-port is located at Vishakhapatnam.
Bhubaneswar/ Vishakhapatnam provide boarding and lodging facilities of high
standard. Jeypore town has good boarding and lodging facilities. Fairly good local
transport facilities are also available from Rayagada/ Jeypore/
Koraput/Vijayanagaram.
2. DESCRIPTION OF THE PROPOSED RENOVATION AND MODERNISATION
WITH NEW TURBINE GENERATOR SET
2.1 Background
The Balimela Power House is located at Balimela in Malkangiri District of
Odisha. The Power House utilises tail water of Balimela reservoir on Sileru river
in a non- consumptive way. The discharges of this power house are released to

Potteru barrage located downstream Units 1 to 6 are LMZ/ Electrosila,Russian
make. The Units 1 to 6 of 60 MW capacity each have been commissionedbetween 19.73 to1977. Power is generated at 11 kV and stepped up to 220
kV.
2.2 Brief Scope of work
Collect all the information/dimension, take all measurement, if any,
required to carry out for Computerized Simulation Study /model testing
Assess the condition of various civil foundations, strengthen and reuse
the foundations
Carry out Computerised simulation study/model testing.
Dismantling of TG set including auxiliaries and place these at a suitable
storage space/ yard nearby
Renovate and reuse theFixed/embedded components: spiral case, stay
ring, foundation ring, discharge ring, draft tube, draft tube liner, pit liner,
and foundation plates and anchorages.
Design, manufacturing, inspection and testing, supply, packing for
dispatch/shipment, freight and insurance, port handling including custom
clearance, loading, transportation to site, storing at site, complete
erection of all the components testing, commissioning, start up and
performance testing and handing over of 6 x 60 MW TG including supply
of mandatory spares and training of engineers.
The detailed scope of work is as given in detail in Volumes III & IV of this Tender
Document.
3. Conditions affecting design
(i) The turbine- generator set is to be accommodated in the space
available in the Power House.

(ii) The butterfly valve, penstock, shut off rotary valve, scroll case, stay
vane and draft tube is already there and the same are to be utilized forthe installation of the proposed units.
(iii) The cooling water is derived from the tailrace. For design purpose
maximum cooling water temperature shall be taken as 31.5 deg. C.
(iv) Ambient air temp.
Max. Outside : 50oC
Inside : 45 oC
Min. Outside : 5 oC
(v) All indoor & outdoor plant & equipment should be designed for 98% relative
humidity condition.

instructed by you. This Earnest Money shall be governed as per the stipulations
provided in the "Instructions to Tenderers".
4. We agree to abide by and keep our Tender valid initially for a period of 180 (one
hundred eighty) days from the due date of opening of Tenders by Odisha Hydro
Power Corporation Limited, and it shall remain binding on us and may be
accepted at any time before the expiry of that period.
5. Should our Tender be accepted, we hereby agree to abide by and fulfil all Terms
and Conditions of Tender Document as accepted by us and in default thereof, toforfeit and pay to OHPC or OHPC's successors, assignees or authorised
nominees such sums of money as are stipulated in conditions contained in Tender
Documents and agree to furnish Bank Guarantee towards Contract Performance

SECTION-IV. INSTRUCTIONS TO TENDERERS
1. SUBMISSION OF TENDER
1.1 One complete set of tender documents shall be issued to each tenderer. All
tenders shall be prepared and submitted by typing or printing with indelible black
ink on white paper with all pages of A4/A3/A2 size (as required) serially numbered
and be in solid binding and each page signed along with duly filled in formats
given in the Tables provided in this volume of the tender document. The number
of copies of each part to be submitted are stipulated in para 1.3 below.
1.2 The Tenderers are advised to submit the tender based strictly on the Commercial
Terms and Conditions and Specifications contained in the tender documents
including amendments, if any, issued by OHPC prior to submission of tender. For
amendment if any, with financial implications, issued by OHPC after submission of
tender, the tenderer shall be entitled to amend his price accordingly.
1.3 The Tenderer shall prepare and submit the offer in 3 (three) parts in three
separate envelopes as follows.
1.3.1 Part-I : Qualification Bid
Containing one original and seven identical copieseach of Qualification bid
of the Tenderer in line with the eligibility requirements stipulated below.
Tenderer to submit supporting documents certificates, letter of consent/

be required to submit a certificate indicating Annual Turnover for last
three financial consecutive years ending 31.03.2013./31.12.2012(as per
the accounting year as the case may be) from Chartered Accountant to
establish the Financial Eligibility requirement in relevant business of
hydro power plant equipment.
ii. Bank Guarantee towards Earnest Money Deposit shall also be submitted

iii. Valid Consortium Agreement /Letter of consent (as applicable). The
consortium and the agreement thereof shall comply with requirements
stipulated under Clause 1.3.5 herein.

proposes to complete various activities of work within the time of

deployment of (a) construction equipment and repair facilities at site and (b)

xiv) Guaranteed PG parameters for generator, turbine & transformer losses.
xv) Any other technical information the tenderer wishes to furnish.
xvi) Statement containing very brief details of cases, if any, instituted against
the Tenderer and the forum in which they are pending.
1.3.3 Part-III : Price
In one original and three identical copies containing prices with detailed
break-up of each item along with unit rates. This part shall interalia include :

recommended spares.In the event of any discrepancy between copies and original, the original shall be
considered authentic and shall prevail over the copies.
1.3.4 In case the document is in language other than English, it must be accompanied
by a translation of its pertinent passages in the English language, duly
authenticated/ certified by a notary/ local chamber of commerce/ any legal
authority of the bidders country/ authorized representative of Indian Embassy/
consulate in bidders country and for the purposes of interpretation of the bid,such translation shall govern.
1.3.5 Tenders submitted by a consortium of two or more parties (maximum four)
joined as members shall comply with requirements stipulated in Clause 2 of
Notice Inviting Tender (NIT).
1.4 Insertion, post script, addition and alteration in the tender shall not be recognised
unless confirmed by the tenderer's signature.
1.5 Tender shall be submitted under a covering letter indicating clearly the summary
of tender chapters with annexures/schedules of the complete tender. All the
copies of tenders shall be complete in all respects with all their
attachments/enclosures.
1.6 The tenderer shall satisfy the Purchaser that he possesses the necessary
experience and that he has at his disposal suitable modern facilities and
specialized employees to ensure that his work is of best quality and workmanship
according to the latest proven technology and engineering practices. The tenderer
shall satisfy the Purchaser that he is financially in a position to fulfill contractual
obligations offered to be undertaken by him.

2. SCOPE OF THE WORK AND PARTICULARS TO BE FURNISHED IN THE
TENDER
i) The scope of proposal shall be Dismantling of TG set including auxiliaries;
Renovate and reuse the Fixed/embedded components; Design,
Computerized Simulation Study /model testing including collection of all
information/dimension, taking measurements as required, assessing the
condition of various civil foundations and strengthen and reuse the
foundations, manufacturing, inspection and testing, supply, packing for
dispatch/shipment, freight and insurance, port handling including custom
clearance, loading, transportation to site, storing at site, complete
erection of all the components testing, commissioning, start up and
performance testing and handing over operating plant to purchaser, Units
1 to 6 and associated technological, civil, architectural, mechanical,
electrical, control & instrumentation works as required including
demonstration of performance guarantees with a single point responsibility.
The Successful Tenderer shall deploy adequate resources like machine
tools etc. at site and maintain a self contained work centre so that major
shipments to distant workshops is minimized considering the time
constraints.

ii) The successful tenderer shall also make arrangements for transportation of
Plant & Equipment etc. to Balimela Power House build his own stores(covered, uncovered and air-conditioned, if necessary) for the intermediate
storage of equipment, maintain the stores and all related documents and
records, transport the equipment to site for erection purpose and take
necessary insurance policy for transit, erection-cum-storage, fire prevention
etc covering all risks. He shall also make all security, watch & ward staff
and fire fighting arrangements at site.
iii) The successful Tenderer shall be responsible to supply oils, lubricants andconsumables required till provisional takeover including rectification of
defects thereafter till defect liability period.
iv) The successful Tenderer shall supply commissioning spares required till
commissioning. He shall also supply mandatory spares for operation &
maintenance as per TS.
v) The successful Tenderer shall offer Manufacturer's recommended spares
for operation & maintenance for five years which he will quote separate
prices and to be kept valid for one year from provisional take over of first
two units. It may be ordered separately. Quoted price shall not be part of
the price evaluation.
vi) The successful Tenderer shall ensure the interchangeability of parts,
wherever applicable.
vii) The successful Tenderer shall supply special tools and tackles, instruments
and appliances for erection, testing and commissioning, operation and
maintenance of Plant and Equipment.

viii) The successful Tenderer shall carry out the painting of all equipment and
structures as detailed in Technical Specifications and as per the GeneralConditions of Contract.
ix) The successful Tenderer's scope with regard to the services in India shall
be as given in the General Conditions of Contract.
x) The successful Tenderer's Scope of Work is further detailed in Technical
Specifications and General Conditions of Contract.
2.1 The Tenderer shall furnish in his tender the following particulars in addition to
those called for in the Technical Specifications:
i) Complete description of the plant and equipment offered including their
principles of operation and materials of manufacture with drawings and
descriptive materials.
ii) In clear details, the various outputs, yields, consumption rates and
performance guarantees proposed to be demonstrated in respect of the
Plant and Equipment under the work offered.
iii) Itemized weights for Plant & Equipment.
2.2 The Tenderer shall carefully check the enclosed Technical Specifications and
drawings and shall satisfy himself as to the suitability of the equipment and layout
as given in the Technical Specifications and drawings and shall take full
responsibility for the efficient operation and guarantee of the specified output of
the Unit 1 to 6.

2.3 All parts of tender documents shall be considered mutually supplementary and
complementary to one another. However, in case of any conflict/ contradiction, thedocuments will prevail over one other in following order.
i. For all commercial, contractual & general conditions, Volume-I & II
providing Instructions to Tenderer & Commercial Terms and Conditions
shall prevail.
ii. For any technical aspects/details, the Technical Specification of equipment
shall prevail. However, any contradiction either between various part orvolume of document or in the contents of the same document shall be a
matter for clarification to be obtained by the Tenderer from the Purchaser.
The Purchaser's decision shall be final in this regard.
3. RAW MATERIALS
3.1 In case the Tenderer uses raw material other than the Indian Standard, he
should clearly indicate the Indian equivalent of the same and approval from the
Purchaser/ Consultant to be obtained for use of such raw materials.
3.2 Day to day testing of civil items, steel structures welds etc. shall be carried out
by the successful Tenderer at site in a laboratory to be maintained by him or
available laboratory of repute at nearby place.
4. FACILITIES TO BE PROVIDED BY THE PURCHASER
The Purchaser shall not be responsible to provide the Contractor, residential
accommodation to all his staff. However, the Purchaser shall provide two nos.
unfurnished quarters and two nos. double bedded furnished suits free of rent to
the Contractor, but supply of water and electricity will be chargeable. This

accommodation shall be availed by the successful prime bidders experts. In
respect of other personnel the Contractor shall have to make his ownarrangements.
4.1 Space may be provided by the Purchaser for the labour at nominal rent within a
reasonable distance from the site and facilities for labour housing shall be the sole
responsibility of the Contractor. Electricity at one point shall be supplied on
chargeable basis. Electricity shall be supplied free of cost for the work at site only.
Cost of electrification from one feeder point at site to different locations is at the
cost of the contractors.
4.2 Electrical Supplies
400V, 3-phase neutral, 50 c/sec supply will be made available at 2 or 3 points
within the Power House at points to suit the Contractor. Electricity will be supplied
free of charge. Tenderer shall state in his tender estimates of power requirement
over different period of time during execution of work.
4.3 Compressed Air and other services
The Contractor shall arrange any necessary compressed air plant & equipment,
which he may require for erection, testing & commissioning of the works &
tenderer shall state in his tender his estimates of compressed air requirements &
proposed method of meeting them.
4.4 Station E.O.T. Crane / Gantry Crane
Availability of E.O.T. Crane/Gantry Crane at site is described in the General
Conditions of the Contract.

4.5 Storage area Handling Facilities
Any handling facilities required by the Contractor for loading/unloading in the
storage area will be arranged by the Contractor.
5. EXCLUSIONS, DEVIATIONS
The Tender should be for the complete scope of work and services. Tenderers
are to submit tenders without taking any deviation and shall provide a NO
DEVIATION CERTIFICATE as per format given in Table-13. In case Tenderersubmits their tender with deviations and without the No Deviation Certificate the
tender will be treated as non-responsive.
6. DRAWINGS & DOCUMENTS
The successful tenderer shall supply all drawings and documents in accordance
with the Commercial Terms and Conditions and specifications, both in quality and
quantum. The successful Tenderer shall procure all the various standards as
referred in the Technical Specifications from the concerned authorities. The
language used shall be English only.
7. TRAINING
The Tenderer shall include in his tender for a training programme for the
Purchaser's 6 (six) Engineers .
The training programme should generally be arranged as follows for each
engineer :

5 weeks : Manufacturers work shop.
8 weeks : Excitation, Digital Governors and C & I.
During the whole training period the Contractor will assume full responsibility for all
local travel expenses & accommodation expenses for each of the engineers
including visit both in Successful Tenderer's Country & elsewhere as required.
The Tenderer shall include full details of the proposed training programme in his
tender together with an estimate of the projected cost & allowances.
Accommodation in Successful Tenderer's Country & Indian Hotels should be
based upon single rooms with ex-suite facilities. To & fro air fare from
Bhubaneswar to Tenderer's Country & back and out of pocket allowance in
respect of its trainees shall be borne by the Purchaser, i.e., OHPC. Also,
expenses towards travel of Purchasers engineers within India for training shall
be borne by the Purchaser.
8. SUPERVISION
The work shall be carried out by the successful Tenderer under his overall
supervision and direction. The Purchaser/his authorised agency shall have the
right to inspect and direct the work at any time, which shall not, however, absolve,
in any way, the successful Tenderer of his contractual obligations.
9. OFFICE/WORKING SPACE
The successful Tenderer shall furnish within 30 days from the date of signing of
Contract the details of office, stores( covered and open), he proposes to provide at
site. Land only for the above purpose shall be provided free of cost by the

Purchaser as per provisions in the Commercial Terms and Conditions. Location
and area requirement shall be discussed and mutually agreed to.
10. PRICE
10.1 The Tenderer shall quote itemised prices and total price of each equipment and
services offered indicating separately taxes & duties, if any, along with prevailing
rates for such taxes & duties. He shall also quote separately for each part of
equipment where parts are indicated in the Technical Specifications.
10.1.1 For indigenous supplies the tenderer shall quote price on FOR Balimela site basis
inclusive of packing, loading and transportation, insurance (covering Marine cum
Erection Insurance for imported & indigenous supplies), taxes & duties and
break-up for the same shall be indicated separately. The indigenous services shall
also be inclusive of all applicable taxes & duties. The marine insurance
component (in Indian Rupees) in respect of the imported supplies quoted in
foreign currency shall be indicated by the tenderer in Table-1 of the price
schedule.
10.1.2 For imported supplies, the tenderer shall quote price on FOR Balimela site
basis. The tenderer shall also include in his price charges towards port
handling & clearance charges, port rent, and inland freight from port of landing
to site. Payment for FOB component of foreign supplies and for services shall
be made in the currency of offer. Customs duty shall be reimbursed at actual
against documentary evidence as mentioned in Schedule-5 of Volume-II.
Ocean Freight in respect of imported supplies shall be quoted in Table-1 of
price schedule in Indian Rupees.
Note : If there is change in design, subsequent to signing of contract and
thereby the list of commissioning spares and that of mandatory spares get

changed, no additional cost will be payable to the Contractor due to such
change.
10.1.3 For Architectural works :
1. The rates must be quoted for complete work at site. The rates quoted shall
be firm during the entire period of contract. The rates shall include Sales
Tax, Octroi, Royalty , Toll tax, Excise Duty ,VAT, Work contract tax, cess or
any other taxes levied or leviable by Central or State Governments or any
local Authorities/Bodies. No part of such taxes on contractors labour or
material shall be paid by the Employer who shall not entertain any claimwhatsoever in this regard. Decision of the Employer in this regard shall be
final and binding.
2. The quantities of the various items indicated in the BOQ forming part of this
contract are approximate and are subject to any variations (+/-) based on the
ground strata, final detailed drawings and instructions issued during the
execution of work and other conditions under which the works are executed.
OHPC reserves the right to make variations (+/-) in the quantities or delete
any of the item(s) altogether from the BOQ and/or order extra items to be
executed or substitute the item in the BOQ, such variations (+/-) shall no way
affect this contract. The rates quoted by the contractor and accepted as per
these contract documents shall be firm and the contractor shall not be
entitled to any revision in rates due to any variation in quantities of items
shown in the BOQ.
3. Payment shall be on the basis of quantum of work actually carried out. Item
rates shall remain valid for any +ve variation (+) in the estimated quantities up
to 50 % of original BOQ . Extra item of work and rates other than BOQ shall be
either as derived from the Tender items or from analysis of material and
labour. However if quantity exceeds 50% of the BOQ rate will be analysed as
per actual input.

11. TAXES & DUTIES
11.1 Excise duty, Service Tax and Sales tax (CST/OVAT), import duties and any
other taxes, duties & levies as applicable in India shall be reimbursed at
actuals on production of documentary evidence subject to the ceiling
indicated in the Price Schedule. The Tenderer shall declare the classification
of components in accordance with ED/OVAT/CST rules. Any statutory
variation in the ED and ST rates within the contract period will be to the
account of the Purchaser. Wherever concessional ED/OVAT/CST is
contemplated, such concessional ED/OVAT/CST shall alone will bereimbursed by the Purchaser.
11.2 No Excise Duty or Sales Tax shall be payable by the Purchaser on bought-out
items and/or input raw materials which have been used in the manufacture of
finished equipment.
The ownership of all materials to be supplied by Contractor, despatched
directly from sub-supplier's/sub-contractor's works to the project site, shall rest
with OHPC on endorsement of despatch document while the materials
are in transit. Sales Tax shall be payable for supplies from Sub-Contractor's
warehouse/stores as long as they are under the Sub-Contractor's sales tax
number.
11.3 Any upward statutory variation on account of ED/ST and other taxes arising
beyond contractual delivery schedule shall not be payable by Purchaser.
11.3.1 Details of excise and customs item tariff classification no. together with amount
and percentage of Excise Duty and Countervailing Duty/other duties of
Customs with break-up values for despatches shall be indicated separately in

the PRICE SCHEDULE with rate of taxes & duties in percentage and total
amount of taxes & duties ( as per enclosed format).
11.4 `C' forms will be issued wherever necessary for manufactured items by
Contractor/ Sub-contractor once in a quarter in a financial year or as per
periodicity as would be statutorily required. They will also be issued for
bought out items provided the invoices are in the name of the Contractor.
Necessary E-I/E-II form shall be submitted by the Contractor within the time
frame prescribed by the Purchaser.
11.5 Entry tax on supplies made from outside the state of Odisha shall be paid by
the Purchaser*. However, the Contractor shall furnish prior intimation of
dispatches to the Purchaser as indicated below. Entry tax in respect of
supplies made from within the state of Odisha as presently applicable shall
be borne by the contractor. Octroi if statutorily levied shall be reimbursed at
actuals on production of documentary evidence. Sales Tax on Works
Contract, if required to be deducted at source, shall be deducted at source
and relevant certificates shall be issued by the Purchaser.
11.5.1 Way bill : Necessary Way Bills shall be provided by the Purchaser to the
Contractor within 15 (fifteen) days of receipt of intimation about loading of the
consignment at the port of shipment in case of imported supplies.
In case of indigenous supplies the Way Bills shall be provided by the
Purchaser to the Contractor within 15 (fifteen) days of receipt of intimation
about readiness of the materials for dispatch.
* In case the value of supplies made from outside Odisha exceeds the value
indicated by the Tenderer, additional liability towards Entry Tax shall be to the
account of the successful Tenderer.

11.6 The Contractor will clear all customs on behalf of the Purchaser & will pay all
import duties at that time. Duties & taxes will be repaid by the Purchaser within42 days of receipt of invoice. For the equipment brought by Contractor for the
work at site and to be re-exported to his Country, the Contractor shall bear and
pay all customs duties.
11.7 For Foreign supplies & services, the price shall be inclusive of all taxes &
duties applicable outside India.
11.8 Base date for the purpose of ascertaining statutory variation in taxes andduties shall be the date 7 days prior to date of submission of final Price Bid.
11.9 The stipulations regarding sales tax shall get amended to the extent Value
Added Tax (VAT) becomes applicable to the contract.
11.10 Indian Income Tax as per Income Tax Act, 1961 shall be borne by the
Contractor. However, Income Tax deduction at source will be made from
payments as applicable for which TDS certificate shall be issued to the
Contractor.

12. TERMS OF PAYMENT
Subject to any deduction which the Purchaser may be authorised to make
under the Contract, Contract Price shall be payable in the manner as given in
the Schedule-6 of the Commercial Terms and Conditions.
13. IMPORT LICENCE/PROJECT IMPORT BENEFIT
13.1 For any portion of imported supplies which are appearing in the Negative Listof Export and Import Policy of India or which are not freely importable, the
successful tenderer shall arrange the necessary import licence on his own.
Moreover, the Successful Tenderer shall also be responsible to arrange Export
License, if any, in the country of origin of imported goods for the equipment
required to be re-exported by them.
13.2 For availing Project Import Benefit and/or Customs Duty benefits as per
Customs Duty Act of India, the Purchaser shall render necessary assistance in
this regard. Tenderer may submit his price bid taking into account the benefits,
however, the onus will lie with the Successful Tenderer to avail such benefits.
14. TIME OF COMPLETION
14.1 The time of completion will be the essence of the Contract. The successful
Tenderer shall complete the whole of the works including successful
commissioning within stipulated period of 54 (Fifty Four) months.
14.2 The successful tenderer shall furnish a Pert Network for completion of work
within the period mentioned in the Tender Documents.

14.3 The Tenderer shall also furnish the time of submission from the date of signing
of Contract of various drawings & documents as well as deliveries as requiredin Schedule-4 of General Conditions of Contract.
15. TENDER OPENING
This shall be as per Section-I.
16. TRANSFER OF TENDER DOCUMENTS/TENDERS
Transfer of tender documents purchased by/issued to one tenderer to another
is not permissible. Similarly transfer of Tenders submitted by one tenderer to
another party is not permissible. The alteration of tender once submitted is also
not permissible except when agreed to by Purchaser in writing.
17. VALIDITY OF TENDER
This shall be as per Section-I.
18. LANGUAGE
The tender shall be submitted in English language only. If any part of the
tender is submitted in any other language than English, it should be
accompanied by an authentic translation into English language of pertinent
passages. For the purposes of interpretation, the translation shall prevail.
In all the technical correspondence English shall be used. Warning & safety
notice around the units shall be in Hindi, English and Odia.

Plant labels & rating plates and all permanent & temporary notices around the
plant shall be in English.
Instruction manuals & training programme shall be in English. The visual
display unit outputs given by the computer driven data acquisition system shall
be in English only.
19. EARNEST MONEY DEPOSIT
Lumpsum amount of Earnest Money Deposit (EMD) as specified in the tenderdocuments shall be deposited by the tenderer along with tender in the form of
Bank Guarantee in enclosed proforma from an Indian Nationalised
Bank/Scheduled Commercial Bank (approved by RBI). In case of Bank
Guarantee (BG) from a foreign bank it shall be from a first class foreign bank
and it shall be counter guaranteed by an Indian Nationalised bank / Scheduled
Commercial bank (approved by RBI).
BG shall be returned to the unsuccessful Tenderers at the earliest after
finalisation of the contract. The BG of the successful tenderer shall be returned
after the tenderer furnishes the Security Deposit Bank Guarantee and
acceptance thereof by Purchaser. The Security Deposit BG is to be furnished
within 30 days of signing of Contract.
The Earnest Money in the form of Bank Guarantees shall be kept valid initially
for a period of 210 days from the date set for opening of the tender.
No interest shall be paid on Earnest Money Deposit. The offer without Earnest
Money or with short Earnest Money or Earnest Money Deposit in the form
other than specified hereinabove shall be liable for rejection.

The Earnest Money shall be forfeited if :
a. The tender is revoked during its validity period,
b. The prices are increased unilaterally after the tender opening and
during validity of offer by the tenderer,
c. The Purchaser accepts the tenderer's offer and the tenderer refuses
to or fails to enter into contract after the contract is awarded to him,
within the stipulated time,
d. The tenderer fails to submit Bank Guarantee towards Security
Deposit within the period specified.
20. NO CLAIM FOR COMPENSATION FOR SUBMISSION OF TENDER
The Tenderer whose tender is not accepted shall not be entitled to claim
any costs, charges and expenses incidental to or incurred by him through or in
connection with his submission of tender or its consideration by the Purchaser,
even though the Purchaser may elect to modify/withdraw the Invitation to
Tender or does not accept the tender.

21. PURCHASER'S RIGHT TO ACCEPT VALID TENDER
The Purchaser is not bound to accept the lowest or any tender or to assign any
reason thereof. The Purchaser also reserves the right to accept any tender
either in whole or in part.
22. STATE VALUE ADDED TAX/CST REGISTRATION & CLEARANCE
CERTIFICATES/SERVICE TAX REGISTRATION CERTIFICATE
The Tenderer shall furnish the copies of State Value Added Tax(OVAT)/Central Sales Tax(CST) registration with Govt. authorities & Sales Tax
Clearance Certificate and Service Tax Registration Certificate to be enclosed
with the tender in respect of Indian Tenderers (Sole Bidders/Indian
Assignees/Consortium Partners) or proposed major Indian Sub-Contractor of
the Foreign Tenderers.
23. SIGNING OF CONTRACT
23.1 The enclosed General Conditions of Contract (Volume-II) shall form the
basis of the final contract to be entered into with the successful tenderer.
The Tenderer shall carefully go through the terms and conditions given in
the same and his offer should be in line with the terms & conditions specified
therein. The Purchaser may enter into following three contracts :
a) For supply of imported equipment and supervision services (with foreign
prime bidder/foreign consortium partner of Indian Prime Bidder).
b) For supply of indigenous equipment (with Indian Prime Bidder/ Indian
consortium partner of foreign prime bidder).

c) For services comprising R&M work, civil work, erection and
commissioning including PG Tests etc. (with Indian Prime Bidder/ Indianconsortium partner of foreign prime bidder/foreign prime bidder).
The Prime Bidder shall additionally be required to provide overall guarantee
for the project to the Purchaser in the form of an agreement..
Notwithstanding anything stated above the Purchaser may enter into a
separate agreement with Prime Bidder and its associate manufacturer /
consortium members (as the case may be) for securing overall guarantee forPerformance of the contract.
23.2 On the tender being accepted by the Purchaser, Contract will be signed and
executed by and between the Purchaser and the successful tenderer, at the
earliest but not later than 60 days from the Purchaser's Letter of Award. The
Consultant/Purchaser shall prepare the draft contract incorporating the
mutually agreed additions / deletions in the tender document till order
placement and submit in two copies within 30 days from the date of Letter of
Award.
24. NOTICE ON BEHALF OF PURCHASER
24.1 All notices of technical/commercial nature shall be issued by the head of the
Project Division, OHPC in whatever designation he may be known or by his
authorised representative.
24.2 Any modification to the above, if necessary, will be intimated to the Tenderer in
due course.

25.1 The Tenderer shall inspect the site and shall satisfy himself of the site
conditions and shall apprise himself of the procedure for engagement ofagencies/ labour and shall collect any other information which may be required
before submitting the tender.
Minimum wages for contract labour shall be paid as applicable in that region
from time to time. Claims and objections due to ignorance of site conditions will
not be considered after submission of tender.
25.2 i) The Tenderer is required to carefully examine the Notice Inviting Tenders,General Conditions of Contract, Technical Specifications, drawings and
other details relating to work and given in the Tender Document and fully
acquaint himself as to all conditions and matters which may in any way
affect the work or the cost thereof. The Tenderer shall be deemed to
have on his own and independently obtained all necessary information for
the purpose of preparing the tender and his tender as accepted shall be
deemed to have taken into account all contingencies as may arise due to
such information or lack of the same.
ii) The Tenderer shall be deemed to have exhaustively examined the
Tender documents including the Notice Inviting Tenders and General
Conditions of Contract, to have obtained all information and clarifications
on all matters whatsoever that might affect the carrying out the work
and to have satisfied himself as to the adequacy of his tender. He is
deemed to have known the scope, nature and magnitude of the work and
the requirements of materials and labour involved etc. and as to all work
he has to complete in accordance with the Contract whatever be the
