Introduction
SADA Systems, Inc. (SADA) is pleased to provide this Statement of Work (SOW) to Volusia County Schools as a
document of intent and scope designed to bring clarity to all parties involved. There is currently an initiative
within Volusia County Schools to transition to Office 365 in order to gain the flexibility and reliability of moving to
Microsoft’s cloud platform. In moving to Office 365, Volusia County Schools will not only get the reliability and
mobility of Microsoft’s top products, but will also gain fiscal control of IT expenditures by converting messaging
and collaboration expenses from capital expenditures to operating expenditures.
This SOW will provide the basis for Volusia County Schools to establish a clean path to the new messaging
platform, and the necessary project resources and experience to execute and fulfill the plan successfully. In
addition, SADA will work with Volusia County Schools to develop project-related communications plans and
content, as well as provide post-project change management considerations.

While we were excited by our partnership with Google, we still maintained our roots with
Microsoft. In 2008 SADA became one of nine Microsoft Cloud Accelerate Partners. Though we
weren’t the first Accelerate Partner in the US, we were the first partner to achieve the certification
on the West Coast.

Business Objectives
The primary business object is to validate Volusia County Schools’ existing environment and provide a
seamless transition from an on premise exchange messaging platform to Office 365 on the cloud. SADA will
provision Volusia County Schools’ user accounts in the cloud.
Prerequisites
Prior to starting this project the prerequisites include elements common to most service-oriented delivery
engagements as well as some that speak to this project’s unique needs/objectives. Identifying critical
functionalities processes, and/or operational needs are also a critical requirement in order for Volusia County
Schools to determine the success of the partnership.
Some of the prerequisites are:
A signed Master Professional Services Agreement
Understanding of the responsibilities surrounding both SADA and Volusia County
Schools.
An internal commitment of Volusia County Schools’ resources, equivalent to SADA’s own
resource outlay, devoted entirely to project success.
Specific prerequisites – such as environment needs, test accounts, network access – for testing are detailed
further, herein.

Volusia County Schools’ contact person is authorized to approve materials and services provided by SADA,
and SADA may rely on the decisions and approvals made by the contact person (except that SADA
understands that Volusia County Schools may require a different person to sign any Change Orders amending
this SOW). Volusia County Schools’ contact person will manage all communications with SADA, and when
services are performed remotely, at Volusia County Schools’ location (or another location designated by
Volusia County Schools); they will be present or otherwise available.
Current issues and requirements:
1. Directory Synchronization is working as expected. SADA will review existing setup and remediate
only if necessary.
a. VCSTS is currently working with Microsoft
i. SADA will be allocating some time for remediation of this issue as part of this
statement of work
ii. Please note that full SQL will be required for Directory Synchronization database
as well
2. Currently E-mail field does not have value in Active Directory empty.
a. May need some help with provisioning e-mail address field
3. Students logon names and primary SMTP addresses will need to be changed to @vcs2go.net
4. Email for vcs2go.net will be routed directly to Office 365.
5. VCSTS expressed that at this point they are not interested in hybrid implementation
6. An analysis of our needs so that VCSTS has a thorough understanding of the project parameters with
metrics for success of the project
7. Review of the entire Office 365 tenant configuration including the DirSync and the addition of a
second domain. The purpose is to have employees use AD credentials to login to the tenant. A path
to a possible hybrid model should be left open for the future.
8. Automatic provisioning/de-provisioning of new students and employees in the cloud, to include
licensing.
a. Please note that SADA can help to cover user provisioning once it is in Active Directory. SADA
will be reviewing current user provisioning mechanism and provide guidance on any changes
that may or may not be required with user provisioning automation.
9. Configuration of any email archiving tools as they exist in the tenant (for student email only).
a. Please note, that this is limited to default Office 365 MRM retention policy enablement as
applicable. No additional archiving tools to be implemented. 10. Configuration of a “vanity” domain for use with student email/logins.

Scope of Work
Over the course of this project, SADA will leverage our long standing expertise with on-premise Active
Directory environments, Exchange environments, and the Office 365 platform to successfully complete the
project.
Our Methodology SADA’s technical expertise is balanced by business acumen and the pragmatic application of well-designed
project management teams. We leverage tools and skills to deliver exceptional service quality to our clients.
By using designated project teams, and platform specific tactical teams, SADA strives to maximize efficiency in
order to ensure project success.
Project Management Teams Our Project Management Organization inherits over 55 years of collective experience overseeing extremely
dynamic, sophisticated and complex software, platform and infrastructure projects. Volusia County Schools
will gain full access to this team, which
h is supported by a full time Business Analyst, on-demand, and will have a dedicated Project Manager at its
disposal.
Tactical Project Teams By organizing our implementations under dedicated Tactical project teams, we are able to keep pace with the
sometimes fluid nature of technology projects. With multiple resources at varying levels of skill and
experience, we can quickly solve virtually all technical obstacles over the course of a project life cycle. SADA’s
tactical team assignments have not yet been determined, and are expected to be assigned within 48 hours of
SOW approval.

*Note: Remediation of any Active Directory issues is out of scope. Any issue found to be detrimental
to the project outcome will put into effect an immediate change order or the project will be put on
hold until all issues are remediated.
Phase I – Discovery & Logistics SADA will perform discovery of client's existing infrastructure, and gather all information needed to ensure a
successful migration. This phase is designed to collect, verify & validate the environment-specific factors and
considerations that are required to complete this project. This will include the following:
Assessment of the general server environment
Assessment of Active Directory health.
Validate the Microsoft Online Portal is configured properly.
Assessment of the existing Exchange environment including number of users, distribution lists, mail-
enabled objects, mailbox sizes and public folder usage and complexity
Discovery of any mail logging or archiving currently in place
Discovery of any server-resident 3rd party Microsoft Exchange Server dependencies

Discovery of existing methods of connecting to Exchange from the client-side, including e-mail
software and hand-held synchronization clients
Discovery of mailbox permissions and parsing the discovered data
Discovery of any existing cloud-based services used such as inbound or outbound mail filtering
Assess ISP bandwidth, stability and redundancy
Run standard network and AD tests to check AD's health and proper configuration
Confirm full administrative accessibility to manage public DNS records
Run Microsoft’s Office 365 Readiness Tool
UPNs will be reviewed as part of discovery as follows:
SADA strongly encourages these values be changed to primary source
SADA will examine the Active Directory for UPN’s ( i.e., the absence or presence of)
SADA will also identify non routable domains that must be changed or deleted
It should be anticipated that Volusia County Schools’ involvement during this stage of the project is relatively
high and requires devoted resources. Activities such as data entry, data validation, meetings, conference calls,
and a variety of other administrative or technical remediation activities are not uncommon.
Phase II – Preparation & Staging
Microsoft Online Portal
SADA will configure the necessary administrative activities within the Microsoft Online Portal (MOP) to
facilitate the success of this project. Specifically, all available services will be activated unless otherwise
directed, and ownership & domain validation will occur at this stage, effectively beginning Volusia County
Schools’ Microsoft Online Services subscription. A comprehensive review during post implementation
administrator training will be conducted to provide Volusia County Schools’ core team the insight needed to
manage/maintain this console after the project is complete. Volusia County Schools may expect involvement
during this process including, but not limited to data entry, data validation, meetings, conference calls, and a
variety of other administrative or technical remediation activities.
Directory Synchronization (Recommended – For Account Synchronization)
Volusia team has pointed out that the DirSync service is currently working.
As required, SADA will review the current setup of directory synchronization and remediate only if necessary.
Criteria for a successful implementation of Directory Synchronization are outlined in Appendix B.
Active Directory Federation Services Review and Recommendation:
As per the final discussion with the Volusia team, SADA will review the current ADFS setup and proceed with
the project if the system is ready to proceed with. If the current ADFS system requires any remediation, SADA
will point this out to the Volusia team and this will be remediated by Volusia team as finalized during
discussions. If Volusia team requires SADA to perform the remediation, then this will require a change order
scoped and accepted by both organizations.
11 Office 365 with SADA Systems
ADFS will enable users to access their Office 365 accounts from their workstations from inside or outside the
Volusia County Schools network using their Active Directory credentials. This eliminates the need to manage
password in two environments.

Please note that it may be beneficial to use SQL database instead of Windows Internal Database (WID) so that
additional ADFS servers can be added down the road as needed. For example, when employees migrate to
Office 365 or more students on-board. Please note that full SQL implementation is different from
implementation with WID and as such introduces more labor intensive process.
Note that you will require full SQL license for this implementation. You can use your existing SQL Enterprise
server if you have one.
The following outlines how ADFS 2.0 works in different scenarios:
Work computer on a corporate network: When users are at work and signed in to the corporate
network, single sign-on enables them to access the services in Office 365 without signing in again.
Work computer, roaming: Users who are logged on to domain-joined computers with their
corporate credentials, but who are not connected to the corporate network (for example, a work
computer at home or at a hotel), can access the services in Office 365.
Home or public computer: When the user is using a computer that is not joined to the corporate
domain, the user must sign in with their corporate credentials to access the services in Office 365.
Smart phone: On a smart phone, to access the services in Office 365 such as Microsoft Exchange
Online using Microsoft Exchange ActiveSync, the user must sign in with their corporate credentials.
Outlook 2007 with Service Pack 2 or email clients that are not part of Office: The user must sign
in with their corporate credentials to access their Office 365 email if they are using Microsoft Office
Outlook 2007 with Service Pack 2 or an email client that is not part of Office, for example IMAP or
POP client.
Review, Test and validate Active Directory Federation
It is essential for SADA to test this federation with Office 365 since users will access their mail via ADFS. SADA
Systems will test and validate federation from within and from outside of the Volusia County Schools network
to Office 365. Volusia County Schools will need to provide SADA with unrestricted access to the Office 365
Administrator console with Global administrator rights.
SADA will perform necessary steps to accommodate the vcs2go.net
Criteria for a successful implementation of ADFS are outlined in Appendix B.

Auto-provisioning Script:
As discussed with the Volusia team, SADA is scoping and estimating time to make the necessary changes to
the auto-provisioning script or add any script if required. Since SADA does not have current visibility of the
script, the time estimated is limited to a maximum of 30 hours. SADA and Volusia will gain more insight for
this requirement based on the discovery phase and any changes required more than 30 hours can either be
performed by Volusia team or can be performed by SADA with an approved change order by Volusia.
Desktop Assistant Deployment (Recommended – Not a requirement – Client Responsibility)
Microsoft online services sign-in assistant will configure each individual computer for Microsoft Online
Services. It will allow Volusia County Schools to optimize their experience with Microsoft Online services and
provide proper integration for the Microsoft Office desktop client and additional components of the Office
365 suite. SADA will assist Volusia County Schools with testing and provide documentation, but Volusia
County Schools will be responsible for the installation of this client via their recommended deployment
solution.
Prepare Workstations (client responsibility)
In order to enjoy the full functionality and experience all the service that Office 365 provides, all domain
managed workstations must be up to date with the latest Microsoft Updates (Operating System and Microsoft
Office products) and/or running on the latest support software and Operating System. SADA will provide
Volusia County Schools the required Microsoft Office updates but it will be Volusia County Schools’
responsibility to deploy the required updates to all applicable workstations.

Support & Escalation (12 Hours of Support)
SADA excels in service delivery. Our comprehensive incident, problem and project management platform
insures that all reported issues are captured and remediated over the course of the project. SADA generally
goes above and beyond to make its resources available to clients, further ensuring project success. General
support as it relates to this SOW will be provided throughout the length of this project, but additional support
to remediate any issues that occur during the migration process and escalation through Microsoft will provide
a successful and timely migration of all items to Exchange Online.
The SADA Project Team is the escalation point for Volusia County Schools’ IT team. SADA is committed to
helping Volusia County Schools quickly and efficiently resolve deployment-related issues that their users
might encounter with Microsoft Online Services. SADA post-deployment support activities include:
Troubleshooting, managing, and resolving Volusia County Schools deployment/migration
issues and escalations
Gathering and validating information related to specific service requests
Providing issue coordination and resolution management
Maintaining communication with the administrators to help ensure that issues are addressed
on a timely and ongoing basis

Providing escalation with licensing, invoicing, and subscription inquiries
Please be advised, that additional hours of support can be purchased as part of our professional services desk
to provide post-migration support and escalation as required.
Phase III –Change Management Plan and Training
Change Management and Communication Management
Migrating your messaging environment to Office 365 will introduce change to your users, IT Administrators
and the company’s operations. The level of change will vary depending of service subscription, and will
change as additional services are adopted. A critical success factor of the implementation to Office 365 will be
the identification of changes to existing Processes, Operations, and Users in order to develop an action plan.
SADA will provide Volusia County Schools with a written Change Management and Communication plan that
delivers a guideline overview and strategy for anticipated changes related to the implementation and post-
implementation process.
This change management plan will include:
Table of On-Premises changes that will occur as a result of a Cloud implementation
Guidelines for user account management (e.g. onboarding and off-boarding)
PowerShell cmdlet reference guide
Service descriptions and brief overview of Office365 feature set to be used as product introductions
for (new) IT Admins
General Admin-level troubleshooting guides for DirSync, AD FS 2.0, MS Online Portal, and FOPE
Network Diagrams of post-implementation environment
Strategies for obtaining and expediting Microsoft Support
Tier 1 Troubleshooting guide
SADA will also provide Volusia County Schools a written communication management plan to provide
your IT team with 2 email templates that can be used to announce project plans and events that
impact the end users. This plan spans two-three (2-3) weeks and will offer Volusia County Schools ’s
end users insight into the changes that will be occurring and required actions on their part
throughout the implementation process. SADA will facilitate a working session for each of the
documents to review them and advise on how they can be used and what changes are common. Part
of this conversation will also include planning on when to release communications and will further
included 1 revision for each of the 2 emails. Please note that Volusia County Schools will be
responsible for any final edits and distribution of these communications.
Training
Introduction of Office 365 represents an element of change management that administrators and end users
will need to understand in terms of account changes, user administration and other such tasks. SADA can
offer a remote training plan, or on-site training plans that are customizable. These sessions are held by a
member of our technical project team or by our professional trainer based on specific training requirements.
This training is also not considered ongoing and will conclude with the closure of the project.
(Optional) End User Training – Onsite or Remote
Training via webinar can be carried out by our trainer, or by a technical resource based on the type of training
provided. This type of training is customizable, and also covers a breadth of information including:

Remote training is sold in 2-hour block time increments and can cover the following topics:

Batch User On-boarding/Off-boarding Training using third party tools (1 Remote Session)
SADA will develop an onboarding/off-boarding procedure specific for Volusia County Schools to create and
remove users in batches through Quest PowerShell for Active Directory. SADA will provide training to Volusia
County Schools’ technical team as part of this process.
Project Spin Down
At the completion of the project, a meeting will be held with SADA to verify that all of Volusia County Schools’
business and technical requirements have been satisfied. This call will also establish any final action items,
change orders, the transfer of knowledge and/or other project completion activities, as deemed appropriate
and within scope. Additionally, a project feedback from be supplied to Volusia County Schools for their
completion.
Project Assumptions & Responsibilities
Projects are subject to a variety of interdependent activities and the conditions/factors at hand, and as such,
are prone to scope creep/slippage when not closely managed. Furthermore, SADA handles all project tasks
under the premise that time is of the essence. SADA’s expectations revolve heavily around Volusia County
Schools’ extremely close engagement during such a collaborative project. The following considerations are all
relevant if some/all responsibilities listed below aren’t fulfilled or assumptions prove inaccurate:
Delayed project milestone or delivery timeline slippage/interruptions.
Staff or other resource’s time/availability management and conflict resolution may increasingly
become more burdensome. Our resources are carefully scheduled for specific intervals/periods
throughout this project. Rescheduling and availability is solely at SADA discretion.
The elements of this SOW are structured as flat rates with not-to-exceed pricing. As the project
progresses, moves, adds or changes (MACs) may take place warranting additional professional service
fees accompanied by the necessary Change Orders as described in the Project Change Orders”
section.

a member of Enterprise Admins, Schema Admins, Domain Admins, and security groups
a member of Exchange Full Administrator security group (if Exchange discovery to be
conducted by SADA)

Provide SADA with credentials and access information for DNS management of client's public domain
name(s), or contact information for an individual with immediate access to the aforementioned
system access.
A dedicated workstation with all the default applications installed for testing purposes. This

current Exchange on premise mailbox through the desktop email client
Volusia County Schools Responsibilities The following subsections are items are the responsibility of Volusia County Schools and required by SADA to
facilitate a success full project:
Provide SADA Systems with attended remote access (unattended access per prior approval from
Volusia) to project-related devices and infrastructure
All project requirements listed in the “Project Requirements” section.
Procurement of all necessary subscriptions including Microsoft Online Services
User Credentials to access a Microsoft Online Services administrator account in Microsoft Online
Portal, after sign-up has been completed
Procurement of all necessary subscriptions including Microsoft Online Services
Designation of SADA as the Partner of Record (POR) for the project
Give SADA the assurance that all software, hardware and/or infrastructure requirements are met as set
forth by Microsoft and/or SADA’s own products.
Provide all communications to end users. This includes notification on changes, and other project
pertinent information.

A qualified technical resource, which can also facilitate physical or remote access, who is capable of
fulfilling the requirements of this project and who can also make decisions to ensure uninterrupted
progress of the project.
Software deployments including, but not limited to Microsoft Outlook, Lync Online, Microsoft Online
Services Sign In Assistant or any other software dependencies or operating systems.
Provision and provide one or more appropriate server resource(s) to all of the servers listed in the
Server requirement section. Volusia County Schools is responsible for provisioning the server and
configuring the OS.
Complete all server backups prior and during the project execution.
Configure and manage all server backups after project completion.
SADA’s Assumptions SADA assumes the following within the context of this SOW:
All services will be rendered during the following time periods:
Normal business hours: 9am – 6pm, Monday – Friday
All times exclude national holidays.
Adequate facilities and resources will be provided by Volusia County Schools for services rendered by
SADA while on-site at any Volusia County Schools location, as needed.
Volusia County Schools will authorize SADA to perform several interviews of stakeholders, sponsors,
team members, technical staff and managers, who will be reasonably available from time to time for
the purpose of information gathering as the project may demand.
Volusia County Schools will acquire all necessary hardware, software and/or subscriptions required to
complete this project.
Any changes made to technical or business specifications found in this proposal must be submitted
through a valid Change Order, and approved by both Volusia County Schools and SADA.
If Volusia County Schools wishes to fully integrate their on-premise UM System then they will take the
necessary steps in order to ensure success.
Out of Scope
The Following items are out of scope:
Items that are not specifically called out in this Statement of Work
Deployment of client/desktop software is out of scope unless exceptions are explicitly stated
otherwise in the SOW.
Direct end-user assistance of any type, unless VOLUSIA COUNTY SCHOOLS otherwise opts to use
SADA's Service Desk services.
The removal, uninstallation, retirement, decommissioning or any of the activities related with
removing any elements of the existing messaging platform.
Networking configurations as may be required by the project – e.g. Firewall configurations and server
provisioning. SADA can provide networking requirements and will conduct architecture and design
discussions with Volusia team.
Migration of mail and non-mail data, public folder data, PST data, centrally archived data, or
encrypted mail
Archiving for Exchange Online setup is out of scope, with the exception of service enablement (limited
to default MRM retention policies and guidance).

Hardware Load Balancing configuration; SADA can provide guidance on networking requirements but
will not take ownership on Hardware Load Balancing configuration
Enterprise Archiving, Mailbox to Archive Ingest, Journaling or eDiscovery for Exchange Online setup is
out of scope, with the exception of service enablement.
Lync Online configuration is out of scope beyond basic service activation.
Active Directory remediation without valid change order.
Configuration of Exchange Online Protection (EOP) to mirror current SPAM filtering solution is out of
scope other than service enablement.
Configuration of UM in Office 365.
Configuration of custom ActiveSync policies
Installation of the operating system on all servers without a valid change order.
Patching all servers prior to installation.
Joining servers to domain and assigning servers IP addresses.
Public Folders usage and permissions assessment
Migration and configuration of public folders on Office 365
SharePoint configuration and development other than service enablement
Dynamic Distribution groups (re)creation in the Office 365 platform
Modification of security inheritance in Active Directory environment
Access filtering based on IP, location, device etc.

* Although VCSTS has opted not to implement hybrid scenario, it is going to be a requirement down the road

Project-specific Change Orders
Any additional cost or credit to Volusia County Schools resulting from a change in the scope of work shall be
by mutual agreement of Volusia County Schools and SADA. No additional services shall be allowed for
changes related to this project and the SOW herein unless the work changes the project duration, material
deliverables, staffing resource demands, or otherwise at SADA’s discretion, for the services as described in this
proposal. Upon identification of any move, add or change request, SADA will allow the submission of a
Change Order form, which can be found at the bottom of the document. Depending on the nature of the
Change Order, SADA will provide Volusia County Schools with a proposal amendment, or an entirely new
proposal.
The following Standard Operating Procedure must be followed in order to conduct a successful Change
Order: Volusia County Schools must fill out the Change Order Form, the Authorized Contact(s) must print the
document, sign the document, and then send it to their Account Representative in PDF form. Upon collection
of the necessary details, SADA will provide Volusia County Schools a written document detailing the request
and new terms accordingly, for immediate approval. Approval by Volusia County Schools of requested

changes must occur in writing, and is accepted by hard copy, fax or electronically by way of scanned
document, digital signature or written email from an authorized project contact.
Whenever there is a conflict between the terms and conditions set forth in a fully signed Change Order and
those set forth in this SOW or a prior fully signed Change Order, the terms and conditions of the most recent
fully signed Change Order shall prevail.

Travel Time and Expenses

Payment Terms
SADA requires payment of 50% of the services total, 10 days prior to project start. The remaining portion of
the services total will be invoiced and due immediately upon completion of the project.
The terms and conditions set forth by SADA and/or Microsoft to secure funding supersede
payment/procurement agreements otherwise establish in this or other agreements, and are available upon
request unless otherwise included herein.

This proposal expires within 30 days. Please indicate your acceptance by signing the below, and faxing it in its
entirety to 818-766-0090. Volusia County Schools may also email a signed and scanned copy to the
designated account manager.
