MEMORANDUM OF UNDERSTANDING

KNOW ALL MEN BY THESE PRESENTS:

The CITY OF SANTA ROSA, a local government unit existing in accordance with the Laws of the Philippines, with office address at the City Hall of Santa Rosa, Province of Laguna, represented herein by its Honourable Mayor Arlene B. Arcillas, herein referred to as "LOU-SANT A ROSA; "

-and-

The PROJECT TEAM on "Enhancing Resiliency through Community Participatory Flood Observation · System for Laguna Lake Basin," composed of institutions in Japan and the Philippines namely;

1. Japan International Cooperation Agency (herein referred to as "TICA"), 2. E Trust Co. Ltd., 3. Ritsumeikan University, 4. University of Tokyo, 5. Research Institute for Humanity and Nature, 6. Unimation System Inc., 7. Orbital Engineering, 8. University of the Philippines at Los Banos (herein referred to as "UPLB"), 9. Laguna Lake Development Authority (herein referred to as "LLDA"), .

agreed to implement the project as recorded in the minutes of meeting dated October 7, 2013, represented herein by Kiyoto Kurokawa, Ph.D., Project Team Leader, and herein referred to as the "Flood Awareness and Community Empowerment (FACE) Project Team";

WITNESSETH THAT

WHEREAS, the objective of the project is to mitigate flood damage in the selected core areas in the Laguna Lake Basin in the Philippines by introducing community friendly flood observation system to reduce risks to lives and properties and contribute to the sustainable and stable economic development in the target areas.

WHEREAS, all parties recognize the urgent need to enhance resiliency through community participatory flood observation system for the Laguna Lake Basin.

WHEREAS, the FACE PROJECT TEAM commits to provide a simple web camera monitoring system and trainers' training to operate the system as part of its overall effort to set up flood resilient model communities.

WHEREAS, the City Disaster Risk Reduction Management Office (CDRRMO), City of Santa Rosa Laguna is the unit that oversees programs and projects directed at providing flood risk management in the City of Santa Rosa;

WHEREAS, all parties hereto agree that during the project periods, from the signing of this document until September 30, 2016, JICA shall have the right of ownership to the simple web camera monitoring system.

WHEREAS, JICA, shall transfer the ownership of the simple web camera monitoring system to LGU­SANTA. ROSA through the CDRRMO who shall assume the full responsibility to operate and sustain the implementation of the system;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties hereby agree to establish, operate, and sustain a the FACE Project and bind themselves to the terms and conditions stated hereunder.

1. COMMITMENTS

1.1. The FACE PROJECT 1EAM shall;

1.1.1. Conduct socio-economic research in the target areas,

1.1.2. Procure and install a simple web camera monitoring system,

1.1.3. Establish a web site for the flood images and other related information,

1.1.4. Train key local leaders on flood management,

1.1.5. Train engineers or CDRRMO personnel on the operation of the simple web camera monitoring system,

1.1.6. Train information management specialists on the development and maintenance of flood information web site,

1.1.7. Train community members on Participatory Problem Mapping and conduct study tour in Japan for the policy makers,

1.2. The LGU-SANTA.ROSA, through the CDRRMO shall;

1.2.1. Provide appropriate monitoring spaces, data transmission system, electric supply to the simple web camera monitoring system and appropriate security of the whole installation to be located at the upstream side of the boundary bridge of the Cities of Santa Rosa and Binan, Laguna;

1.2.2. Assist in setting-up the working relationships among parties involved in the implementation of the FACE Project in their community;

1.2.3. Coordinate with the community network administrator in the setting-up, testing, and installation of the simple web camera monitoring system and network peripherals;

1.2.4. Provide/appoint personnel who shall participate in the TICA training programs for the FACE project, who shall in turn conduct training activities to personnel engaged in the operation of the FACE project in their community.

1.2.5. Conduct training activities to personnel engaged in the operation of the model community FACE project through the LGU personnel that participate in the TICA training program;;

1.2.6. Assist in the monitoring and evaluation (M&E) of the implementation and operation of the FACE Project as well as recommend the best strategies and options for its sustainability;

1.2.7. Organize an LGU-Project Coordination Committee (PCC) whose chairperson shall represent the LGU in the FACE Project PCC; and

1.2.8. Provide technical assistance and support in :the installation of the simple web camera monitoring system.

2. FUNCTION OF THE LGU-PROJECT COORDINATION COMMITTEE (LGU-PCC)

2.1. The LGU-PCC shall;

2.1.1 . Act as the recommending body on matters pertaining to the day to day operations and management of the FACE project in their area, and

2.1.2. Oversee, monitor, and sustain all aspects of project implementation.

2.2. The LGU-PCC shall be composed of;

2.2.1. One (1) representative from the CDRRMO who shall act as the Committee Chairperson.

2.2.2. One (1) representative from Barangay Don Jose, to be appointed/designated by the Brgy. Chairman.

2.3. The members of the LGU-PCC shall be responsible for the following;

2.3.1. Supervise the implementation of the FACE project in their area;

2.3.2. Organize the support staff to operate the system;

2.3.3. Conduct regular Project Coordination Committee meetings in their community to discuss and decide on concerns and issues pertinent to the implementation and operation; and

2.3.4. Undertake additional tasks to benefit the project.

3. MISCELLANEOUS PROVISIONS

3.1. No equipment of the Project may be used for any other purpose than for that which is stated in this Agreement without the permission ofLGU-SANTA. ROSA through CDRRMO.

3.2. All parties shall exert efforts in the establishment of partnership with the Community Association, if any, the Local Government Unit, the private sector, nongovernment organizations, and all other organizations that can help in sustaining the operations of the Project.

3 .3. This Agreement is not assignable to any other party without written permission from all of the parties. Any attempt to assign any rights, duties and obligations that arise under this. Agreement without such prior permission shall be void.

3.4. There shall be no employer-employee or principal-agent relations among the parties. Each party shall be responsible for claims of its employees for death or injury sustained in the course of performing their functions.

3.5. The parties shall negotiate in good faith to resolve any dispute arising among the parties with respect of the interpretation of this Agreement and the performance of obligations hereunder.

3.6. Any dispute that may arise from this agreement shall be resolved in accordance with the applicable Philippine laws and regul~tions.

4. EFFECTIVITY AND TERMINATION

4.1. This Agreement takes effect upon signing and shall remain effective until September 30, 2016 unless sooner revoked by the parties.

4.2. LOU-SANTA ROSA, through monitoring and evaluation, reserves the right to extend or revoke this agreement, as dependent on the performance assessment of the project and the fulfilment of the tasks and responsibilities assigned to the parties.

r-- " 4.3. 1bis Agreement is made under and shall be construed according to the laws of the Republic of

the Philippines.

IN WITNESS WHEREOF, the parties hereto have signed this Agreement on this 13th day of November 2014 in City of Santa Rosa, Laguna.
