Notes to Financial Statements

1. Description of Organization

New York Road Runners, Inc. ("NYRR"), a New York not-for-profit corporation, is dedicatedto promoting running, walking, and other physical activities for the benefit of persons of allages and abilities, enhancing health and fitness for all, and responding to a variety ofcommunity needs. NYRR was founded in 1958 with an initial membership of forty-twomembers and has since grown into the world's largest running related organization.

NYRR's running-based Youth & Community Services Division ("YCS") promoteschildren's physical fitness, character development, and personal achievement in under-servedcommunities. Programs currently serve as many as 100,000 children a week in hundreds ofschools and community centers. YCS is actively engaged in developing strategies that willfight childhood obesity and have a lasting impact on the health of youth across the country.

The primary sources of revenues for NYRR are corporate sponsorship, contributions and raceentry fees. NYRR organizes many races throughout the year including the New York CityMarathon. Contributions to NYRR are tax-deductible to contributors as provided by law.

NYRR is a not-for-profit Organization exempt from income tax under Section 501(c)(3) of theInternal Revenue Code.

2. Summary of Significant Accounting Policies

Use of Estimates

The preparation of financial statements in conformity with generally accepted accountingprinciples requires management to make estimates and assumptions that affect the reportedamounts of assets and liabilities at the date of financial statements, and the reported amounts ofrevenues and expenses during the reporting periods. Actual results could differ from thoseestimates.

Financial Statement Presentation

Net assets and revenues, expenses, gains and losses are classified based on the existence orabsence of donor-imposed restrictions. Accordingly, net assets of NYRR and changestherein are classified as temporarily restricted or unrestricted. Unrestricted amounts arethose currently available for use in NYRR's operations. Temporarily restricted amounts arethose which are stipulated by donors for specific operating purposes. When a donorrestriction expires, that is, when a stipulated time restriction ends or purpose restriction isaccomplished, temporarily restricted net assets are reclassified to unrestricted net assets andreported in the statement of activities as net assets released from restrictions. Allcontributions are considered available for unrestricted use, unless specifically restricted bythe donor or subject to other legal restrictions.

Operating Measure

NYRR has elected to present an operating measure in its statements of activities. Accordingly,items affecting operations are segregated from those not affecting operations. All investmentsgains and losses net of the board approved spending rate of approximately 4% of theinvestment balance, are treated as non-operating.

Cash and Cash Equivalents

For the purpose of the statement of cash flows, cash and short-term investments include allcash balances and highly liquid investments with a maturity of three months or less whenpurchased.

Fair Value Measurements

NYRR follows Financial Accounting Standards Board (FASB) guidance on Fair ValueMeasurements which defines fair value and establishes a fair value hierarchy organized intothree levels based upon the input assumptions used in pricing assets. Level 1 inputs have thehighest reliability and are related to assets with unadjusted quoted prices in active markets.Level 2 inputs relate to assets with other than quoted prices in active markets which mayinclude quoted prices for similar assets or liabilities or other inputs which can becorroborated by observable market data. Level 3 inputs are unobservable inputs and are usedto the extent that observable inputs do not exist.

Investments Valuation

Investments are carried at fair value. The fair value of alternative investments has beenestimated using the Net Asset Value ("NAY") as reported by the management of therespective alternative investment fund. FASB guidance provides for the use of NAY as a"Practical Expedient" for estimating fair value of alternative investments. NAV reported byeach alternative investment find is used as a practical expedient to estimate the fair value ofNYRR's interest therein and their classification within Level 2 or 3 is based on NYRR'sability to redeem its interest in the near term.

Investment Income Recognition

Purchases and sales of securities are recorded on a trade-date basis. Interest income isrecorded on the accrual basis and dividends are recorded on the ex-dividend date. Realizedand unrealized gains and losses are included in the determination of change in net assets.

Inventory

Inventory is valued at the lower of average cost or market. Cost is determined by the first-in,first-out method.

Property and Equipment

Property and equipment are carried at cost and depreciated using the straight-line methodover their estimated useful lives. Gain or loss from disposition is reflected in the statement ofactivities in the period of disposition. The cost of maintenance and repairs is charged toexpense as incurred, whereas significant renewals and betterments are capitalized. Leaseholdimprovements are amortized over the shorter of the term of the lease, inclusive of all renewalperiods, which are reasonably assured, or the estimated useful life of the asset.

Revenue Recognition

Membership dues are recognized as revenue in the applicable membership period. Race entryfees are recognized in the period in which the race occurs. Race entry fees received in advanceare classified as deferred revenue. Sales of merchandise are recognized when the product isshipped. Revenues derived from sponsors are recognized upon completion of the related event.Sponsor revenues billed in advance are classified as other deferred revenue.

Contributions of Goods and Services

Substantial goods and services are contributed to NYRR. Those contributions that aresusceptible to objective measurement or valuation are included in the accompanying financialstatements. NYRR has recorded contributions of goods and services which approximated$1,281,000 and $1,157,000 for the years ended March 31, 2011 and 2010.

Contributions of goods and services from corporate entities which can not be valued and areused at various events throughout the year are not recorded in the financial statements.

Volunteers

The New York Road Runner's volunteers make significant contributions from time to time tothe program and support the functions of NYRR. These contributions do not meet the criteriafor recognition of contributed services, and therefore, their value is not reflected in thesefinancial statements.

Allocations

The costs of providing the various programs and other activities have been summarized on afunctional basis in the statements of activities. Accordingly, certain costs have been allocatedamong the programs and supporting services benefited.

Accounting for Uncertainty in Income Taxes

Management recognizes the effect of income tax positions only if those positions are morelikely than not of being sustained. Management has determined that NYRR had no uncertaintax positions that would require financial statement recognition. NYRR is no longer subjectto audits by the applicable taxing jurisdictions for tax years prior to the year ending March 31,2007.

Subsequent Events Evaluation by Management -

Management has evaluated subsequent events for disclosure and/or recognition in the financialstatements through the date that the financial statements were available to be issued, which dateis July 11, 2011.

3. Concentration of Credit Risk

NYRR maintains cash in bank accounts which at times may exceed federally insured limits.This potentially subjects NYRR to a concentration of credit risk. NYRR has not experiencedany losses in such accounts. Concentrations of credit risk with respect to receivables aregenerally diversified.

a. This category includes an investment in a hedge fund that seeks to preserve the purchasingpower of invested capital to generate consistent, long-term returns across market cycles. Inorder to produce these returns, the hedge fund lowers the standard deviation of returns througha diversified portfolio management approach. The NYRR board approved a spending rate of investments to be classified as operating revenueof approximately 4% of the average investment balance on a historical quarterly basis. 6. Line of Credit

In November of 2008, NYRR established a line of credit with Merrill Lynch. Interest on theborrowing under the line of credit is variable at Libor plus .75%. Any borrowings on the lineof credit are collateralized by the investments of NYRR. As of March 31, 2011 NYRR hasnot drawn funds against this agreement.

7. Related Party Transactions

NYRR, along with four other organizations, the owners/organizers of the Berlin, Boston,Chicago and London Marathons, are the members of World Marathon Majors, LLC (WMM).WMM was formed for the purpose of promoting activities related to the World MarathonMajors and its member organizations. For the years ended March 31, 2011 and 2010NYRR's annual contribution to WMM was approximately $250,000 and $150,000.

10. Retirement Plan

NYRR maintains a defined contribution retirement plan for all eligible employees. Employercontributions to the plan, are made at 6% of employee compensation. In fiscal years 2011 and2010, NYRR's contribution amounted to approximately $455,000.

11. Contingencies

From time to time NYRR is involved in legal proceedings. NYRR believes that theliabilities, if any, that may result from such actions will not have a materially adverseeffect on NYRR's financial position

12. Lease Commitment

NYRR leases one of its corporate offices and its warehouses under various operating leasesexpiring in September 2011 and February 2014, respectively. Rent expense for the yearsended March 31, 2011 and 2010 approximated $675,000 and $497,000, respectively. Thefuture annual minimum lease payments are as follows for the years ending March 31:
