    Case Study Novadios currently assists the in-house legal departmentof a Fortune 500 company to manage their legal needs.

    HospitalityCorp (fictional name) owns and manages a globalportfolio of hotels and resorts that has experienced tightening due to theeconomic slowdown. New development projects brought about asignificant increase in legal volume, but the in-house legal departmentwas unable to bring aboard new personnel or increase its outside counselbudget to meet the demand. They were in a bind, and HospitalityCorpturned to Novadios for assistance.

    Novadios helped HospitalityCorp identify specific areas thatrequired immediate legal triage and more macro-level implementationsto create sustained efficiencies over time.     Example 1 Novadios conducts the legal diligence in a corporate acquisition.

    iShop, Inc. owns and operates an online ecommerce site that distributes householdgoods to its customers worldwide. iShop wishes to scale its customer base through theacquisition of AllGear LLC, an online sporting goods distributor. iShop engages a domesticlaw firm to perform a legal review of the assets of AllGear, and iShop is shocked to receiveits first monthly invoice from the firm totaling $62,000 for 200 hours of labor from two juniorassociates ($250/hr.) and 20 hours from a partner ($600/hr.). The legal review is not evenclose to completion, and iShops legal costs are already skyrocketing out of control. iShopcontacts Novadios for a solution, and Novadios proposes the utilization of a blend ofArgentine and U.S. labor to create savings while preserving quality.

    Example 2 Novadios operates alongside lead outside counsel in litigation support.

    Pharma Company is a pharmaceutical manufacturer that produces and distributes aleading antidepressant drug to its worldwide distribution base. The drug has a long history of

    success, however, Pharma Company becomes the subject of a class action alleging that theantidepressant has caused some detrimental side effects. U.S. Firm, a top-tier law firm,represents Pharma Company in the litigation and receives a discovery request to disclose allcorporate emails written between 1999 and 2002 concerning the research and developmentof the drug in question. It is a daunting task involving an initial privilege review of over100,000 emails, and U.S. Firm estimates utilizing the services of its junior associates($225/hr.) to conduct 1,000 hours of review, one mid-level associate ($350/hr.) to conduct500 hours of review, and one partner ($650/hr.) to devote approximately 100 supervisoryhours, resulting in a total estimated cost of $465,000. Pharma Company is concerned, but itfeels like its hands are tied because it has a long-standing relationship with the partner ofU.S. Firm.

    Fortunately, Novadios offers Pharma Company a perfect solution. Novadios providesits mid-level attorneys ($45/hr) to work under the direct supervision of U.S. Firms partner,thereby supplanting the need to engage U.S. Firms junior and mid-level associates. As aresult, the total project cost is reduced to $132,500, representing a cost savings of 72%.     Example 4 Novadios handles day-to-day legal matters as virtual in-house counsel.

    MediaCo, based in New York, is weathering a tough market that requires it toreduce its in-house legal force and severely limit its outside legal budget. However,

    General Counsel of Media Company still requires the knowledge and support of a fullyfunctional in-house legal team. General Counsel is overburdened by the day-to-day legalduties she must now personally handle, and is unable to focus effectively upon her broadersenior management responsibilities. Seeking a solution, General Counsel contactsNovadios about its dedicated virtual in-house service, and Novadios designates full-timelegal staff to act as Media Companys exclusive counsel.     Robert Pierce, a member of the California Bar, is the Vice President of the Transactional ServicesGroup and is in residence in the Crdoba offices of Novadios. Bob undertakes key management andsupervisory roles within the practice group and the company as a whole. He has nearly two decadesof domestic and international legal experience, most recently as Director & Associate General

    Counsel at Adobe Systems Incorporated where he managed a large team of lawyers and non-lawyerintellectual property specialists supporting strategic technology transactions, commercialagreements and business compliance activities. Bob has held in-house positions at various otherSilicon Valley companies and has worked in private practice both inside and outside the U.S. Hegraduated in 1993 from Stanford Law School and holds his BA in Political Science and Business fromUCLA.     Ashley Anderson, a member of the California Bar, is the President of Novadios, LLC and manages theU.S. headquarters. Prior to founding Novadios, Ash was the Chief Operations Officer and GeneralCounsel of Comedy.com, LLC, a media start-up based in Santa Monica, California. From 2004 to 2006,Ash served as the Director of Legal Affairs at ABC Studios where he managed the production of thestudios primetime television assets, including Lost and UglyBetty. Ash began his legal career as acorporate lawyer in the private equity groups of Kirkland & Ellis, LLP and Morrison & Foerster, LLP inSan Francisco.     Matias Avila Nores is the President of Novadios, S.A. and manages the Argentine operations facility.Prior to founding Novadios, Matias opened his Crdoba law firm, Estudio Avila Nores, parlaying 12years of experience working for the leading Buenos Aires law firms, Allende & Brea and the Mercosuroffice of the Paris-based law firm Bureau Francis Lefebvre. During this time, Matias managed theday-to-day work of associates in all stages of M&A transactions (including due diligence, acquisitionand ancillary document drafting and negotiations, and closings). His major clients included CitibankN.A., AIG Capital Partners, and Eximbank N.A. Matias holds an LL.M. from Duke University School ofLaw and a Masters in Business Law from the Universidad Austral (Buenos Aires). Matias graduated in1996 with a JD from Universidad Nacional de Crdoba (Argentina). He is a member of both theBuenos Aires and the Crdoba Bar Associations.

    In 2003, Dante Pusiol co-founded Spinlock S.R.L., an Argentine research and development companyspecializing in nuclear magnetic resonance technology, where he served as its General Counsel andhelped scale the company through the formation of U.S. subsidiaries and joint ventures. While atSpinlock, Dante managed an international customer base that included Shell International Exploration &Production, the University of New England, the US and South African branches of Pannar and theUkraine arm of Syngenta Seeds, and he managed and protected the companys intellectual propertyinterests. Dante joined Novadios in August 2009, and has both supervised and worked on numerouslicensing, sourcing and other strategic matters across various industries including those of media,gaming and telecommunications. Dante has a JD from the Universidad Catlica de Crdoba, and he ispresently pursuing an LL.M in Intellectual Property Rights from Universidad Austral in Buenos Aires. In2007, he studied at Leiden University in The Netherlands where he focused on international and E.U.law, including IT and competition law. He is fluent in written and spoken English.

    SEBASTIN HEREDIA,ESQ.COUNSEL

    Sebastin Heredia is an author and co-author of several publications relating to personal loansecuritizations, insider trading case law, anti-dumping procedures and accounting fraud. In 2008, heworked as a consultant for Montamat & Asociados in Buenos Aires where he litigated anti-trust and anti-dumping matters. He also served as a teaching assistant in Corporations Law at the UniversidadNacional de Buenos Aires. Prior to this, Sebastin studied at the Universidad Pblica de Navarra, Spain,where he expanded his substantive focus, working on European Anti-Trust Law and International TradeLaw. Since joining Novadios in November 2009, Sebastin has had significant exposure to cutting-edgematters, including digital media deals, gaming agreements, diverse software license agreements,leasing, telecommunications and hospitality-related transactions. Sebastin has a JD from UniversidadCatlica de Crdoba and is to graduate with an LL.M in Corporate Law from Universidad Austral inBuenos Aires. He is fluent in written and spoken English.

    CAROLINA MARKOWSKYJ,ESQ.COUNSEL

    After studying for three months in New York, Carolina Markowskyj returned to her hometown ofCrdoba, Argentina to obtain her law degree at one of the provinces most prestigious law schools.While an associate at the local firm, Rodriguez Junyent, she represented the citys municipality as oneof its litigators assisting with document review, discovery and deposition preparation. Prior to thisexperience, Carolina worked with the criminal courts assisting a psychiatric profiler. Carolina joinedNovadios in February 2010, and is involved with telecom, e-commerce and hospitality-related deals.Carolina holds a JD from Universidad Catlica de Crdoba and is a qualified Notary Public. She is fluentin written and spoken English.

    HANNAH ST.VINCENT LAW CLERK

    Hannah St. Vincent, a native Australian, joined Novadios in July 2009, and she is resident in theCrdoba offices where she provides expert project management and administrative support. Hannah

    brings with her experience in both the legal services and journalism industries. She holds a BA inPolitics and Post Graduate Diploma in Journalism (PgDipJour) from Murdoch University, WesternAustralia, and she is currently training to be a solicitor in the law courts of England and Wales throughthe University of Londons External Programme. Hannah is proficient in written and spoken Spanish.

    LINDSAY MOORE LAW CLERK

    Lindsay Moore, an Ohio native, has been resident in the Crdoba offices since March 2010. Lindsayprovides project management and editorial support, as well as administrative responsibilities for theNovadios legal staff. Lindsay studied International Studies with a minor in Anthropology at OhioUniversity, and she is presently taking further International Studies courses at the UniversidadEmpresarial Siglo 21 in Crdoba. She is fluent in Spanish and is proficient in Italian and Swahili.
