1 NOTICE OF TIMBERLAND SALE Linden Property, LTD Terry Tract 198.93 total deed acres- Marion County, Texas Bid Date: October 16th, 2015 @ 10:30 a.m. Bid Location: Hammett Real Estate Office, 1201 Hwy 59 South, Linden, TX 75563 Hammett Real Estate has been authorized to sale the above mentioned tract of timberland by timberland bid process. The tract is located in Marion County, Texas on the Sand Country Road, approximately 3.5 miles northwest of Smithland, Texas. Location, tract, topographic, and soils maps are attached for your reference. TRACT DESCRIPTION This is a sale of one tract of land consisting of 198.93 deed acres. The timber on this tract is predominantly a planted loblolly pine stand that has been thinned once about 2011. The tract map shows two different timber stands and the timber types on the map. The access to the tract is off of Sand Country Road. The main access for logging is off of a unnamed county road that goes north from the intersection of the east boundary line of this tract and Sand Country Road. There are two gates for access with no locks on either. The first gate is access to a hunting camp. The second gate is access for logging to the bulk of the tract. The tract has good internal roads. The boundaries of the tract are as follows: All boundaries are marked with purple paint. Legal descriptions of all tracts are in this bid packet. A survey of this tract was done in 1997. A copy is included in this packet. The original will be given to Buyer at Closing. According to the Natural Resources Conservation Service soil survey, there are nine main soil types on the tract. They are a Kirvin soil type (loblolly pine site index of 85), a Iulus soil type (no listed loblolly pine site index), a Tenaha soil type (loblolly pine site index of 87), a Bernaldo soil type (loblolly pine site index of 84), a Bowie soil type (loblolly pine site index of 86), two Darco soil types (loblolly pine site index of 81), and a Lilbert soil type (loblolly pine site index of 88). BID INFORMATION

The land and timber will be sold by lump sum sealed bids. Bids for the tract must bemade on the attached bid form. No conditional bids will be accepted.

Please mark each bid envelope “Terry Timberland Bid” to ensure its being openedonly at the designated time. Faxes and emailed bids will be accepted and acknowledgedimmediately upon receipt, provided you include a phone number where you can be reached priorto the bid opening deadline. No phone bids will be accepted. Any modification of sale conditionsin bid reply will not be accepted and will render the bid null and void.

Bids will be received no later than 10:30 A.M., Friday, October 16th, 2015 at whichtime they will be opened and read at the Hammett Real Estate office, 1201 Hwy 59 South,Linden, TX 75563. Bidders are encouraged to attend bid opening. All bidders will be providedwith a summary of the bid results.

SALE CONDITIONS

1. All offers will be presented to the Seller. The Seller reserves the right to accept,counter, or reject any and/or all offers.

2. Offers will remain valid through 5:00 P. M., October 22, 2015 for the Seller toconsider all bids. The successful bidder will be contacted at or before that time byphone, fax, or email. The tract is being sold in its entirety for a single sum and noton a per acre basis, as is. Only offers for a specific dollar amount will be accepted,not a per acre price. Advertised acreage is believed to be correct, but is notguaranteed. Seller will not provide a new survey.

3. Upon acceptance of an offer, a more formal Contract of Sale, with earnest moneycheck in the amount of 10% of purchase price, will be executed between thesuccessful bidder and sellers within seven business days. A sample Contract of Salemay be provided upon request in advance. Terms are cash or check at closing. Thechecks may be a cashier’s check or money order. Personal or company checks willnot be accepted. Closing is expected within forty-five days of acceptance of offer,except the Seller shall have reasonable time to perfect and cure defects in the title tothe subject property. Earnest money deposits will be made to Jeff Mays Law Officeand will be applied to the purchase price at closing. In the event the Buyer defaultsin the payment of the balance of the bid price in accordance with the terms andconditions of this notice, the Buyer will forfeit the earnest money deposited and itshall become the property of the Sellers as liquidated damages.

4. The Sellers will convey title to the subject property by Warranty Deed, subject to allprevious reservations and exceptions, to any valid rights of way, easements,leaseholds, and to any protective covenants or restrictions, which may have beenrecorded affecting the property. Seller will reserve any and all minerals he may ownby using the clause in the deed as shown in Exhibit A, which is attached.

5. Sellers will pay pro-rated taxes (through the date of closing), tax certificate fee,seller’s broker’s fees, deed preparation, title policy costs, and 50% of any other feeassociated with closing. Buyer will pay recording fees, pro-rated taxes, and 50% of

any other fee associated with closing.

6. Seller will furnish a title policy issued by Lone Star Title Company of Linden, Texas.

7. Closing will be conducted by Jeff Mays Law Office at 103 W. Hiram Street inAtlanta, Texas.

8. Hammett Real Estate in Linden, Texas is the real estate firm acting as agent for theseller. Any and all information contained in this bid prospectus is provided in goodfaith and is believed to be true and accurate, but it is not guaranteed. Bidders areadvised to verify information and bid accordingly. No volume estimates areavailable on merchantable timber.

Property Inspection

Bidders are encouraged to inspect the subject tract prior submitting a bid. Thetract is available for inspection by all bidders. The bidder by accepting the inspectioninvitation agrees to and shall indemnify and protect the Sellers’ and Hammett Real Estateand hold the Sellers’ and Hammett Real Estate harmless from and against any liability orpersonal injury or property damage or any other loss, cost, expense, or claim caused oralleged to be caused by bidder, or any invitees, representatives, employees, or agents ofthe bidder while on or about the Sellers’ property. Bidder’s obligation in this regard shallsurvive any consummation, termination, or closing of any Contract of Sale. Any personexercising their right to inspect the property does so at their own risk with regard topatent and latent conditions of the property.

From Smithland, TX at the intersection of Hwy 49 and Hwy43, take Hwy 43 north approximately 2.94 miles to the Lewis Chapel Road. Take Lewis Chapel Road east approximately 1.28 miles to the Sand Country Road. Take Sand Country Road approximately 2.1 miles to the east line of the tract. The tract is on both sides of Sand Country Road. Along the east line, there is a woods road going north, this is basically the east line of the this tract. The main entrance is north on this woods road to the second gate on the left. The gate is not locked. Boundaries are purple painted line.
