NOTICE INVITING TENDER

Tender Notice No. 2475 dt. 10.07.2019 for award of contract for road

transportation of Industrial Raw Materials

The Odisha Small Industries Corporation Ltd. (OSIC), Industrial Estate, Madhupatna,

Cuttack – 753010 invites sealed tenders under two bid systems from the eligible, recognized,

reputed and established transporters having network in Odisha for transportation of Industrial

Raw Materials. The approximate transportation quantity of materials will be 1,00,000 MTS per

year.

The detailed bid information for transportation of the aforesaid materials has been

uploaded in the Tender Document which may be downloaded from the website www.osicltd.in

and may be submitted along with tender paper cost of Rs 10,000/-.(non–refundable)

Any revisions, corrigendum, time extension etc. to the tender will be hoisted on OSIC

website only. The last date and time for submission of Tender Document is 24.07.2019 by 4.00

PM. The Technical Bid will be opened on dt. 26.07.2019 at 11.00 AM. OSIC reserves the right

to accept or reject any or all the tender or cancel the entire tender without assigning any reason

thereof.

SCOPE OF WORK AND GENERAL INSTRUCTIONS TO TENDERERS

1. The Odisha Small Industries Corporation Ltd.(OSIC) Industrial Estate, Madhupatna,

Cuttack-10, requires to deploy eligible reputed, recognized, well established and financially

sound transporters having network in Odisha for transportation of approximately 1,00,000 MTS

of Industrial Raw Materials such as Iron & Steel material including different sizes of TMT bars,

Super Link, Binding wire, Structural items, Plates, Bitumen etc. per year and such other items

dealt/ to be dealt by the OSIC

2. The contract for transportation of the aforesaid Materials is likely to be for one and half year.

The period of contract may be further extended provided the requirement of OSIC persists at that

time and considering the performance of the transport contractor is satisfactory. OSIC reserves

the right to close the contract by giving one month notice to the selected transport contractors if

the requirement does not remain during the contractual period.

3. The tenderer can only download the tender paper from the website of OSIC i.e.

www.osicltd.in and shall submit the tender enclosed with an account payee Demand Draft/

Banker’s Cheque / Pay order for Rs 10,000/- (Rupees Ten thousand Only) (non–refundable)

towards the cost of Tender document in favour of “The OSIC Ltd. Payable at Cuttack failing

which the tender will be rejected.

4. The tender has been invited under two bid system i.e Technical Bid and Price Bid. The

interested transporters are advised to submit original copy of the tender in two separate sealed

envelopes marked as I and II super scribing” Technical Bid for transportation of Industrial

Raw Materials of OSIC (Envelope-1) and” Price Bid for transportation of Industrial Raw

Materials of OSIC (Envelope-II). Both sealed envelopes I and II should be kept in a third

sealed envelope marked as III super scribing” Tender for transportation of Industrial Raw

Materials of OSIC with name & address of the Tenderer.

5. All documents/papers to be submitted along with the technical bid and price bid shall be

authenticated by the tenderer duly signed with seal.

6. If any tenderer does not qualify in the Technical Bid, his Price Bid in envelope No. II shall not

be opened for consideration & will be returned to the Bidder unopened.

7. Technical Bid shall contain:

(a) The tender form i.e. Tender Notice, scope of work and general instructions to Tenderers,

Tender Application-Technical Bid, General terms & conditions and documents in different

prescribed formats along with all other required documents duly signed by the Tenderers with

rubber stamp on each page as a token of acceptance of all the clauses of the tender mentioned

therein.

(b) The transport contractor intending to participate in the tender for road transportation work of

Industrial raw materials such as Iron & Steel material including different sizes of TMT bars,

Super Link, Binding wire, Structural items, Plates, Bitumen etc. and other Items dealt/ to be dealt

by the Odisha Small Industries Corporation Ltd. as per notice inviting tender- from all points as

and when required by the Corporation, shall enclose Demand Draft /Pay order drawn on any

Nationalized Bank, for an amount of Rs.5,00,000/-(Rupees Five lakh) only in favour of "THE

ODISHA SMALL INDUSTRIES CORPORATION LTD." payable at Cuttack towards

EMD. EMD furnished in any other form shall not be accepted.

(c) The tender quoted should be valid for a period of 90 days from the last date of receipt of

tender.

(d) The memorandum and articles of Association of the company along with certificate of

incorporation from the Registrar of Companies is to be submitted, in case the tenderer is a

limited company. In case the tenderer is a partnership firm, an authenticated copy of the

partnership deed together with the Registration certificate from the Inspector General of

Registration, Cuttack is to be submitted. The above document will be necessary to verify the

status and constitution of the tenderer acceptable to OSIC. Individual body or proprietorship

Firm can also bid for the work with relevant document.

(e) The tenderer which is a limited company, shall submit Board Resolution authorizing their

authorized signatory to the effect that he can participate in the tender, negotiate and enter into

agreement/contract with OSIC and make all correspondence with OSIC in connection with the

tender which is irrevocable. In case of partnership firm, the tenderer has to submit

authorization of all partners duly authenticated by the Notary Public to the effect that their

authorized signatory shall participate in the tender, negotiate and enter into agreement/contract

with OSIC and make all correspondence with OSIC in connection with the tender which is

irrevocable.

(f) The names and addresses of the bankers of the tenderer to be submitted.

(g) Demand Draft/Banker’s Cheque/Pay Order for Rs. 10,000.00 (Rupees Ten thousand) only

towards cost of tender document drawn in favour of “The OSIC Ltd.” to be submitted.

(h) (i) Tenderer is to furnish list of trucks and trailers owned/leased by him/them along with self

attested copy of Registration Certificate in support of ownership of vehicle and legally valid

lease documents in support of possessing the trucks and trailers on lease. Non submission of

valid registration certificate and fitness certificates against any truck/trailer, will render the

vehicles non-existence. The trolley length of the trailer must accommodate minimum 40 ft.

length of steel materials.

(ii) The tenderer offering trucks and trailers with outside Odisha registration no. should furnish

the authenticated copy of the route permit permission letter from the State Transport Authority,

Odisha to operate inside the state of Odisha.

(iii) The tenderer offering trucks and trailers with National Permit will be rejected.

(iv) Valid GST Registration No. / GSTIN.

(i) Self–attested Copy of valid Permanent Account Number (PAN) issued by Income Tax

Authority.

(j) Certificate indicating experience in transportation of different materials through trucks and

trailers clearly stating tonnage transported during last 3 (three) years as per the format at

Annexure –III issued by the reputed Firm for whom the tenderer has done work.

(k) Certificate from the transport contractor's Bank in respect of his financial credibility

minimum monthly transactions of Rs. 15.00 lakhs to execute the required volume of work as per

the format at Annexure –IV.

(l) Consent letter from Banker for providing Bank Guarantee of requisite amount as performance

security within 15 days of award of the contract / issuance of letter of intent as per format at

Annexure -V

(m) Self attested copy of valid Income Tax Returns and audited Profit & Loss Account for the

last three years (FY: 2016-18)

(n) Declaration by way of affidavit to the effect that the tenderer has not been blacklisted by

Govt. or any other agencies due to whatsoever reason and has not been the cause of prejudice or

loss of any nature to any organization. The declaration shall be furnished as per the format at

Annexure - VI

In the absence of any of the above relevant documents, the tender shall be

considered as non responsive and liable for rejection. The decision of the Corporation for

rejection is final and binding to the tenderer.

8. Important:

The tenderer should not indicate the tendered rates in any of the documents to be

submitted in the envelope No-I.

9. Price Bid shall contain:

a) Schedule of quoted rates for kilometer slab and destination to destination for

transportation of such as Iron & Steel material including different sizes of TMT bars,

Super Link, Binding wire & Bitumen etc. duly filled in both in figure & words as per

Annexure-I . b) In case of any discrepancy between the rate in figure and rate in words, the rate in

words quoted shall be accepted.

c) In case of any correction/erasing, overlapping & interpoling etc., the same should be

attested by the authorized signatory of the tenderer and stamped with official seal of the

tenderer.

d) The rate quoted by the bidder should be inclusive of all taxes, duties and cess but

exclusive of GST as applicable.

e) The GST as would be claimed by the GTA (Goods Transport Agency) as per the

provision of GST Act shall be deposited by OSIC Limited on RCM (Reverse Credit

Mechanism) of the said act.

The above documents shall be duly filled in and signed in each page by the tenderer with

official seal.

10. All envelopes marked as No. I & II shall also be properly sealed. The envelop marked as

No.3 should be sent by registered post or Speed Post addressed to Managing Director,

OSIC Ltd., Madhupatna, Cuttack-10 with the name and address of the tenderer so as to

reach the OSIC office at the above address latest by 4.00 P.M. of dt. 24th July-2019. The

Technical bid of this tender will be opened at 11.00 A.M. on dt. 26th July- 2019 by the

tender committee in presence of the bidders or their authorized agents. In case any bidder

or his authorized agent remains absent, the technical bid shall be opened. The date of

opening of price bid of qualified tenderers will be intimated by Registered or Speed

Post/E-Mail : [email protected] , [email protected] . Tenders received late after

due date and hour including Postal delay will be rejected without any intimation to the

tenderer.

11. Tenders received unsigned /unsealed/without EMD/without cost of tender paper and

without any of the documents as specified at 5 & 7 of General Instruction to Tenderers

/not meeting with tender conditions/incomplete in any respect are liable to be rejected.

12. The rate quoted by the tenderer is exclusively applicable for this tender and will not be

the basis and or example for claiming applicability of the rates for other transportation

contract.

13: EARNEST MONEY DEPOSIT (EMD) :

(i) The tenderer shall furnish the earnest money of the required amount in shape of A/c

Payee Demand Draft/ Pay Order/Banker’s Cheque drawn in favour of "THE

ODISHA SMALL INDUSTRIES CORPORATION LTD." on any Nationalized Bank

payable at Cuttack EMD furnished in any other form shall not be accepted.

(ii) EMD will be forfeited, if the tenderer :

(a) Modifies/withdraws the offer during the validity period or

(b) Refuses to sign the contract after award of work order/letter of intent by the OSIC or

(c) In case of non-performance by the transporter as per contract or

(d) Does not furnish the requisite B.G. or draft towards performance guarantee within 15

days of issuance of letter of intent/ confirmation of award of work order or

(e) If unable to sign the agreement in line with the tender paper under general terms and

conditions of the contract within 15 days of issuance of letter of intent/award of work

order.

(f) If any condition is put forth before acceptance of the work order/letter of indent.

(iii) EMD would be refunded only after successful completion of the work on 3 months of

completion of the contractual period of the work awarded by the Corporation subject to

submission of “No demand certificate” of the OSIC.

(iv) No interest is payable on EMD.

14: PERFORMANCE GUARANTEE:

(i) The successful tenderer for transportation of industrial raw materials as mentioned earlier

shall have to furnish a Bank Guarantee of Rs.15,00,000/- (Rupees fifteen lakhs only)

issued by any Nationalized Bank in favour of The Odisha Small Industries Corporation

Ltd, in the prescribed format as at Annexure – II.

15: VALIDITY:

Offers should be valid for acceptance for a period of 90 days from the last date of receipt

of tender. Once the tender is accepted and work order awarded, the rates will be valid for

the entire contractual period. No tenderer will be allowed to withdraw his/their offer after

the last date of receipt of tenders. Any offer containing variation from our terms and

conditions and/or counter conditions will not be accepted.

16. The OSIC reserves the right to accept or reject any or all tenders and to divide the work

amongst tenderers in the manner considered suitable by the OSIC, at its sole discretion,

without assigning any reason thereof. Acceptance of offer shall be valid only when

communicated by the Corporation in writing to the concerned successful tenderer.

17: AGREEMENT:

(a) Successful tenderer, before undertaking the work will be required to execute the

agreement in the prescribed format within 10 days from the date of issuance of letter

of acceptance of tender by the OSIC, failing which OSIC may forfeit the EMD

without prejudice to its rights and cancel the award without giving further notice and

OSIC will not award any work to such a Bidder in future.

(b) The terms and conditions as stipulated under General conditions of contract are

treated as part & parcel of the Agreement and are binding to the parties of the

contract.

18: The attached tender application- technical bid & technical requirement must be filled in

completely and certified to be true in all respects. Tender is liable to be rejected, if the

information supplied therein, on enquiry, is found to be incorrect and/or false.

19: No unsolicited correspondence/queries will be entertained while the award of

business/contract is under consideration. Corporation regrets its inability to answer

individual queries. Canvassing in any form for award of the contract will lead to rejection

of the tender of the Bidder.

20: The Tenderer should quote the rates only in the prescribed format given at Annexure-I

and the rates should be clearly indicated without any ambiguity both in figure & words.

The slab rate shall include the distance covered in plying to weighbridge for weighment

purpose.

21: The OSIC does not guarantee any definite minimum volume of business. Volumes will

be intimated to the transporter from time to time by the concerned Officer-in-Charge of

different Regional Branch Offices of OSIC.

22. TECHNICAL REQUIRMENTS FOR TENDERING TRANSPORT

CONTRACTOR:

The tendering transport contractor should fulfill the following technical specification.

(a) The registered office/ branch offices of the transport contractor should be located within

the State of Odisha. The transport contractor should provide the name, designation and

contact number of the person to the officer in charge of OSIC who will liaise with him.

(b) The transport contractor should have minimum of 3 (three) years experience in road

transportation of materials.

(c) The transport contractor should have minimum Rs 1.00 crore turnover per year certified

through Annual Turnover Certificate issued by a Chartered Account.

(d) The transport contractor should have at least 5(five) trailers and 5 (five) trucks owned or

on leased basis in his/their firm/proprietor/partners' name for the full period of this

tender.

(e) The tenderer who had been blacklisted by the Govt. or any other agencies due to

whatsoever reason and has been the cause of prejudice or loss of any nature to any

organization shall not be eligible to participate in the tender.

(f) The transport contractor shall furnish the details of trailers and trucks in the following

GENERAL CONDITIONS OF CONTRACT:

1. SECURITY DEPOSIT AND PERFORMANCE GUARANTEE DEPOSIT:

i) (a) The earnest money remitted along with the tender of the successful tenderer will be

converted to "security deposit" for the performance during the contract period and will be

returned after three months of successful completion of contract on written request.

b) The transport contractor shall furnish Bank Guarantee (the amount of BG is to be

specified by OSIC) from a Nationalized Bank in favour of OSIC as per the format at

Annexure-II for a period exceeding 3 months of the contractual period towards

performance guarantee deposit for transportation of industrial materials. If bank

guarantee for required amount could not be furnished by the transport contractor, a

deposit equal to the required BG amount in shape of Bank Draft drawn in favour of the

"The Odisha Small Industries Corporation Limited" for the contract period shall be

deposited with OSIC. In the event of deposit in shape of bank draft, OSIC will not be

liable to pay any interest to the transport contractor.

ii) The security deposit shall be retained by the OSIC expressly as security for the due

performance of the contract on the part of the contractor in the entirety of its terms and

conditions, so that upon occurrence of the breach of any one of them and particularly, if

the transport contractor fails to do the work as included in the accepted tender and

contract, the contract is liable to be terminated after seven days notice and in that event

the security deposit shall be forfeited forthwith in full or any part thereof as the case may

be at the discretion of the OSIC.

iii) Within 15 days from the date of termination of contract the OSIC will intimate to the

transport contractor regarding forfeiture of security deposit either in full or in part and

compensation towards any loss, damage etc. suffered by the OSIC due to non-

performance of contract. If the loss and damage is more than the security deposit amount,

OSIC has the right to recover the loss/ damage amount by invoking the EMD with OSIC

with an intimation to the transport contractor.

iv) The security deposit shall not earn any interest with the OSIC and no claim shall lying

against the OSIC in respect of interest on the security deposit.

v) The amount due against performance guarantee deposit will be refunded to the transport

contractor without interest after three months of successful completion of contract after

adjustment of dues of the OSIC, if any, against the contractor and on production of "NO

DEMAND" certificate from the concerned Division/Branches of OSIC, along with a

written request for the said refund by the transport contractor. In case, however, the

contract is renewed or extended by mutual consent of both the parties, the EMD &

Security Deposit amount will not be refunded but kept against the renewed or extended

contract.

2. RESPONSIBILITY OF THE CONTRACTOR FOR LOSS/DAMAGE ETC.

CAUSED TO THE OSIC:

i) The transport contractor shall remain responsible to make good any loss or damage

caused to the OSIC due to negligence, lack of proper care and caution on the part of any

of the employees or men of the transport contractor or employees in the Truck. The driver

of the Truck which might be hired by the transport contractor from the market will also

be deemed to be the transport contractor's men, so far as this clause is concerned.

ii) The transport contractor shall be responsible for the safe custody of the OSIC's store and

stocks entrusted to him till such stock is duly delivered at the destination and also be

responsible for any loss or damage to OSIC's stock while in transit. In the event of any

unforeseen accident happening before the stock is duly delivered or in transit, which

caused or is likely to cause damage to the stocks carried, or is calculated in any manner,

detrimental to the OSIC's interest but not due to fault of the transport contractor, the

transport contractor shall report the accident to the nearest Police Station and/or the

nearest Office/ Branch of the OSIC immediately within 24 hours of the actual occurrence

and in that event the decision of the MD,OSIC regarding recovery of the damages after

due consideration is final and binding upon the transport contractor. However, any loss or

damage of materials caused due to accident during transit, the cost and interest if any,

shall be recovered from the transport contractor.

iii) The transport contractor shall be responsible for the safe custody of OSIC's materials

entrusted to them till such time, the materials are delivered at destination. In case of

shortage/breakage, the transport contractor should submit certificate in its letter head/pad

to the OSIC within seven days of delivery of consignment. The cost of materials against

such shortage/ breakage/ damage shall be fully recovered from the transport contractor.

However, for any loss or damage/non-delivery of material, the cost of such materials will

be recovered from the transport contractor along with interest accrued during the period

from date of dispatch to the date of actual recovery.

iv) The transport contractor shall abide by all the Acts, Rules & Regulations etc. framed

either by the Central Govt. or the State Govt. or Municipal local Bodies or any other

authorities, bodies, persons etc. applicable with regard to his workmen or his vehicles.

Any violence to the Act, Rules and Regulations amounts to breach of contract and the

transport contractor is liable to compensate the loss if any occurred due to such violation.

v) The transport contractor shall under no circumstances withhold delivery of the materials.

He should not have any lieu of the goods and shall not with hold delivery on account of

any claims pending against the OSIC or any other account whatsoever and he shall

deliver the materials in safe and sound conditions at the destination.

3. NATURE OF WORK TO BE PERFORMED BY THE TRANSPORT CONTRACTOR:

a) The transport contractor shall transport industrial raw materials such as Iron & Steel

material including different sizes of TMT bars, Super Link, Binding wire, Structural

items, Plates, Bitumen etc. and such other items dealt/to be dealt by the Odisha Small

Industries Corporation Ltd. from different stock points/Regional Branch Offices of OSIC

to the destinations to be specified by OSIC.

b) The transport contractor must provide one copy of consignment note, priced

invoice/challan (not zerox copy) to the consignee of material within three (3) days of

delivery of materials from the date of loading of trailer/truck. The OSIC or consignee will

not be liable for payment of any detention/demurrage or any other charges incurred on

this account.

c) The transport contractor should not pay any Octroi/Municipal taxes on any account for

transportation of any materials for and on behalf of the OSIC without written permission

from the OSIC. If any amount paid without the permission of OSIC, the liability will be

with the transport contractor only. Any other expenses and taxes including toll gate

charges during transportation to be paid by the transport contractor on account of

transportation of materials shall be borne by him.

d) The nature of work to be performed by the transport contractor and the charges payable

to him for the services rendered, as per the schedule of operations and approved rates.

e) The transport contractor will contact OSIC over phone or otherwise for getting

information about requirement of vehicles to be placed on receipt of the lifting

programme, required number of trailers/trucks will be placed by the transport contractor

within twelve hours from the time of receipt of information at the appointed date, time &

place. In case, the transport contractor fails to supply the number of trailers/trucks

requisitioned within the time specified the OSIC will arrange the number of

trailers/trucks through other transporters to avoid short supply and any loss to the OSIC

and on such situation the extra cost involved will be recovered from the transport

contractor.

f) After loading at the starting point is completed, the transport contractor or his authorized

representative will be required to sign the copy of the challan/bill in acknowledgement of

the receipt of the stock/materials/packages loaded on the vehicle in good order and

conditions and of the weight mentioned in the challan/bill. The transport contractor or his

representative shall also be handed over three copies of the said challan/bill. After

delivery of the stock/materials/packages at the destination, the transport contractor shall

obtain two copies of the challan/bill duly signed and sealed with date by the consignee or

its duly authorized representative towards receipt of material and handover one copy of

the challan/bill to the consignor/concerned Regional Branch office of OSIC. The second

copy of challan/bill shall be attached along with the bill of the transport contractor at the

time of submission to OSIC.

g) In case of any road permit or other permit from civil, police or other authorities is

necessary for the transport of the consignment, it shall be responsibility of the transport

contractor to arrange and obtain the same from the authority/ies concerned at his own risk

and cost and the OSIC will not be held responsible for the same.

h) The OSIC, however, agrees to render necessary assistance by way of issuing letters,

recommendations, etc. in favour of the transport contractor wherever required.

i) The transport contractor’s trucks/trailers should reach destination within the reasonable

time after dispatch from the loading points.

j) The transport contractor’s representatives attending the OSIC's or loading point must

carry identity card with them and they must help the OSIC's officials in inspecting the

road permit, license etc. when required.

k) The transport contractor's drivers should adhere to slow and safe driving inside the

godown premises of OSIC. In case of any accident or injury or damage caused by the

transport contractor's vehicle/staff to any property of the OSIC, the transport contractor is

held liable to compensate the losses as decided by MD, OSIC and the same shall be

recovered from the Bills / Performance Bank Guarantee deposit or other deposits of the

transport contractor notwithstanding other remedy available under contract and law. If a

driver or any staff of the transport contractor is caught in the theft case or in unauthorized

movement of materials or in any activity which is punishable under law or not authorized

by the OSIC, the transport contractor will take full responsibility for the loss or to other

consequence.

l) The transport contractor should not resort to any manipulation of weight and/or

misappropriation of materials of consignment handed over to him for transportation. In

case, it is detected that OSIC has sustained loss due to such manipulation of consignment,

a penalty twice the value of materials short delivered will be realized from the bills of the

transport contractor as well as termination of contract.

4. GUARANTEE ABOUT VOLUME OF WORK:

The OSIC does not guarantee to the transport contractor about the number of vehicles

required per day or per month nor does the OSIC guarantee about the nature and

quantities of stores materials that will be made available to the transport contractor for

transportation.

5. CANCELLATION, AMENDEMENT AND MODIFICATIONS OF CONTRACT AND

EXECUTION OF PARALLEL CONTRACT:

The OSIC reserves the right to appoint parallel more than one transport contractor for the

same services if the transport contractor fails to achieve the target and contractual

obligation after giving fifteen (15) days notice to achieve the short fall. The OSIC also

reserves the right to amend/revise or modify the terms and conditions of the contract or

part thereof at any time during the performance of the contract with consent of the party

as per requirement. Any instruction to be issued by OSIC as per contract to the transport

contractor for smooth transportation and safe delivery of material shall be binding to him.

6. BILLS:

The transport contractor will submit his bills in triplicate on monthly basis within 1st

week of the month along with second copy of receipted challan, and statement of

calculation of transaction charges on completion of each transaction or services rendered

by him to the OSIC for arranging payment on verification within 30 days from the date of

receipt of the bills provided the bills are in order in all respects.

7. PERIOD OF CONTRACT:

This transport contract will remain valid for a period of one and half years after which

date, the transport contract will automatically be terminated by the efflux of time, unless

extended further as mentioned thereafter. The OSIC reserves right to extend it by any

further period considering the performance of transportation on a notice to be given to the

transport contractor before expiry of the contract.

At any point of time during the currency of the transport contract, if the

performance of the transport contractor is found to be unsatisfactory or there is violation

of any terms of the contract or the requirement of transportation of materials does not

persist, the contract shall be liable for termination by giving one month notice.

8. TRANSPORT CONTRACTOR'S REPRESENTATIVE OR NOMINEE AND

THEIR FUNCTIONS:

The transport contractor shall, when he is not present at the starting point or the site of

work, place, keep at such point or site, a duly authorized representative empowered to act

on his behalf, who will receive instructions from the OSIC or its officers in relation to the

transportation of stock/items/materials/package provided however that the entire

responsibility for the transport and safe delivery of the stock/items/materials/package

shall be that of the transport contractor.

9. ASSIGNMENT / SUB-LETTING OF CONTRACT:

The transport contractor shall not, at any time during the contractual period, assign or

sub-let the contract or any part thereof to any person or allow such person to become if

any, interested therein in any manner whatsoever without the previous written permission

from OSIC. Any contravention of this condition shall entitle OSIC to rescind the contract

and in such event the transportation of balance materials will be done on being arranged

by OSIC at the risk and cost and time of the transporter.

10. RECOVERY OF DUES:

Any sum of money due and payable to the OSIC may be appropriated by OSIC from the

monthly bills of the transport contractor. Any shortage/breakage/damage found in the

materials transported, the cost of such shortage/breakage/damage shall be recovered from

the amounts payable to the transport contractor. Taxes as applicable will be recovered

from the transporter contractor’s bills.

11. ILLEGAL GRATIFICATION / ACTIVITY:

If it is found during the validity of the contract that the transport contractor or his

agent/servant and any persons on behalf of the transport contractor is involved in any

bribe, commission, gift or advantage given or promised or offered by or on behalf of the

transport contractor/ their partner/ agent or servant or any one on their behalf to any

officer, servant representative or agent of the OSIC or any person on their behalf in

relation to the obtaining or to be execution of this or any other contract with the OSIC for

showing or for bearing to show favour or disfavour to any person in relation to this

contract and also for payment to the OSIC of any loss or damage resulting from any such

cancellations the like extent the contract shall be terminated at once and a ban on

business dealing shall be imposed for specified period.

12. BREACH OF CONTRACT:

In case of breach of any terms and conditions of the contract by the transport

contractor(s) or his agents/servants/employees, the OSIC reserves the right to forfeit the

security deposit shall also terminate the contract after issuance seven days notice and

retain the same as damages and compensation for the said breach, without prejudice to

other rights of OSIC to recover any further sum on damages from any sum due or which

may become due to the transport contractor from the OSIC or otherwise.

13. RISK AND COST:

a) The transport contractor shall ensure that the work entrusted to him under the contract

is executed to the full satisfaction of the OSIC. Failure on his part to perform any of his

obligations under the contract to the satisfaction of the OSIC, the OSIC shall get the work

executed at the transport contractor's risk and cost by alternative arrangement.

b) If the transport contractor fails to execute the works as per the order given to him on

more than THREE occasions, the OSIC is at liberty to terminate the contract and forfeit

the performance deposit/ invoke the performance guarantee.

14. CONTRACT AND JURISDICTION:

All correspondence in between OSIC and the transport contractor regarding tender,

agreement, execution, payment and other allied matters relating to contract shall be

treated as part of the contract and any dispute arising out of the above mentioned matter

shall be within the jurisdiction of the Court / Courts at Cuttack.

15. ARBITRATION:

In the event of any dispute arising in between the OSIC and the transport contractor, the

matter shall be referred to Managing Director of OSIC for his decision within a period of

30 days and if any party aggrieved by the decision of Managing Director will request the

Managing Director within a period of 30 days from the date of written decision of the

Managing Director to appoint a sole arbitrator unconnected to the work for settlement of

disputes between the parties. If no request will be made within the said period of 30 days

for referring the matter to arbitrator by any of the parties, the decision taken by Managing

Director will be final and binding to the parties. The arbitration proceeding will be

conducted as per the provisions of the Arbitration and conciliation Act, 1996 and the

subsequent amendments thereof.

16. INSURANCE:

The transport contractor shall take comprehensive insurance for the vehicles engaged in

the transport of materials of the OSIC and shall have to take such further insurance as

may be necessary to cover any claim for loss of the life and property in transit. All

materials shall be carried at the transport contractor's risk.

17. TRANSIT PERIOD :

Full truck load delivery time will be as follows :

2 days - up to 500 kms.

Small consignments as mentioned in the job and rate schedule will be delivered within 6

days upto 500 kms, 10 days beyond 500 kms. For trailer load the delivery period will be

double the period of full truck load. Date of loading at consignor i.e. LR date, and

unloading at the consignee i.e. date of entry in godown/stores will be excluded for

calculation of transit time. If the consignment is not delivered within the normal time

herein before prescribed, penalty at the rate of 1% per day shall be levied for the period

of delay on the value of the consignment including freight. The period for delay in

delivery of materials should not exceed one day over and above normal time and

thereafter the contract is liable for cancellation at the discretion of the OSIC.

18. WEIGHMENT FACILITIES:

All pieces/consignments should be weighed before transportation. The transporter

shall take care of weighing/piece consignments both at dispatch and destination point.

Test weighment of loaded vehicles and its tare weight shall be done in different

weighbridge in different places in the presence of the OSIC authorities where weighment

facilities for trucks/trailers is available. There is no allowable shortage limit on account of

weighment variation in weighment between supply and delivery point. In the event of any

shortage in individual consignment, the value of shortage quantity shall be recovered in full.

19. EXAMINATION OF THE CONDITIONS OF THE CONTRACT:

The transport contractor shall be presumed to have satisfied himself by due and careful

examination, before submitting his tender relating to his contract as to the quantum and

nature of work, nature of site, the materials necessary for the performance of the contract,

the means of access to the site and all other matters incidental thereto and ancillary

thereof affecting the execution and completion of the work. The transport contractor shall

also be presumed to have satisfied himself as to the correctness and sufficiency for the

work as quoted by him and the rates and prices quoted by him shall cover all his

obligations under the contract and all matters and things necessary for the proper

completion and maintenance of the work.

It is understood and agreed that no extra payment shall be admissible for the transport

contractor under any circumstances whatsoever consequent on any alleged

misunderstanding or miscalculations or arising out of any other mistake or factor not

specifically provided for in the contract.

20. Each truck and trailer will be normally required to carry materials of random sizes and

lengths weighing up to 9 MT / 15 MT / 24 MT respectively in total. Payment will be

made on Pro-rata basis for materials carried in excess of these weights. Materials

weighing between 8 to 9 MT carried by truck and 14 to 24 MT by trailer will all be

considered as full load for the purpose of payment of freight.

21. In the event of any material transported by truck/ trailer weighing less than 8 MT/ 24 MT

respectively, approval of Divisional Chief / Head of Commercial Division of OSIC,

Cuttack shall be obtained. The parties hereby agree that for such materials carried by

trucks (less than 8 MT). & trailer (less than 24 MT) payment at part load rates but not

exceeding the amount calculated at the corresponding full load rates for the full load

weighment.
