Corporate Laws: Proceedings relating to mergers and acquisitions, winding-up and allied company litigation, before the High Court and Company Law Board;

Debt Recovery Laws: Suits, summary suits, original applications, enforcement of security interest;

Tender Matters: Filed various writs for clients challenging tender documents and/or defending an award of tender;

Consumer Laws: Represented multinational companies, banks and individuals before the National and State Commissions and District forum;

Family litigation: Suit for Partition, Disputes regarding Will, Property disputes for clients like His Highness Swai ManSingh of Jaipur and Matrimonial disputes;

Quasi criminal & Criminal: Matters of prosecution of offence under section 138 of Negotiable Instruments Act and quashing of FIR before the High Court for various financial companies such as Tanya financial services, Worthy Tradings, Usha international Ltd., SIEL Aircon Ltd., Rajasthan Industrial Distributors etc. along with some sexual harassment and rape cases;

Intellectual Property Litigation: Drafted pleadings and conducted litigation in connection with trademark infringement and passing –off actions.

Was actively involved in High Court level in civil litigation for clients like Sonia Gandhi (Leader of Opposition), matters for agencies of N.C.T. of Delhi such as Delhi Tourism and Transport Development Corporation and also in the winding up matters including those for the Steel Authority of India Ltd.

Handled matters for the Legal Aid & Advice Board, Delhi as its panel lawyer.

Handling various matters as Court appointed counsel for various clients.

Arbitration:

Appointed as an Arbitrator by Kotak Mahindra Bank and Xerox India Limited for adjudication of various arbitration proceedings initiated by them;

Handled numerous arbitration proceedings for various clients including foreign clients involved in disputes with companies in India.

Handled an International arbitration relating to an exploration dispute between India’s leading Oil and Gas Company and Ministry of Gas and Petroleum.

Corporate & Commercial:

During the course of my professional career, I handled a wide variety of legal assignments in connection with various corporate and commercial transactions. Hereinbelow is a snapshot:

Commercial Contracts: Drafted, vetted and negotiated various contracts/agreements viz debt transactions, real estate transactions, including but not limited to loan agreement, debenture subscription agreement, mortgage deed, debenture trust deed, hypothecation deed, guarantees, power of attorney, undertaking, merger & demerger documentation, asset purchase agreement, joint venture agreement, non-compete agreement, non-disclosure agreement, escrow agreement, slum sale agreement, employment contracts etc. and legal due diligence for various transactions etc.

Company Law: Advised on various issues relating to the (Indian) Companies Act and has undertaken procedural work relating to the incorporation of companies, winding up, appointment and removal of directors, etc. Drafted and reviewed Articles and Memorandum of Association of various companies. Conducted and supervised regular corporate housekeeping for clients, including convening board and shareholders' meetings, drafting minutes of the same, etc.

Mergers and Acquisitions: Experience in M&A and asset purchase transaction and preparation / vetting of transaction documents; Handling / supervising of due diligence for M&A and asset purchase transactions. Experience in drafting of share subscription agreements, shareholders agreements, share purchase agreements, etc. Structuring of and negotiations on transaction documents and advice on regulatory issues.

Private Equity: Experience in handling private equity investment by foreign companies / funds in Indian companies. Advised clients on regulatory issues, transaction structuring and preparation / vetting of transaction documents. Experience in conducting due diligence of the target companies. Experience in drafting of share subscription agreements, shareholders agreements, share purchase agreements, etc.
