Undercabinet Fixtures

Philips Alkco has the ability to paint most fixtures in custom finishes to match specific job

requirements. To ensure an acceptable color match, please provide a paint chip which is

large enough to be split into 3 pieces (one to keep in Customer Service, one to keep at

Philips Alkco Quality control and one to be sent to the Philips Alkco paint supplier).

Custom finishes are quoted on a job by job basis. Normally a $330 lot paint match & set-up

charge is applied to each order release.

When undercabinet fixtures are to be painted a special color which is of dark reflectance, the

inside usually will be painted white. This will normally entail a $330 lot charge for the custom

color plus a $11 per fixture mask and paint charge for the white. The lot charge will apply

per order release.

Payment terms:a. 1% 10th PrOX, net 30 Days.B. a service charge of 1½% per month will be applied to past due accounts.

PrICe anD QUOtatIOns:a. the prices shown in Philips alkco’s price list or in any order acknowledgment are prices prevail-

ing at the present time. Philips alkco reserves the right to change such prices at any future date. Unless otherwise provided in writing, orders will be billed at prices prevailing at time of shipment.

B. subject to “G” below, prices issued by a written standard quotation are firm for 30 days from date of quotation. Purchase orders received and acknowledged within this 30-day period will be price protected for shipment within 90 days from the date of the order.

C. Prices issued by a written non-standard quotation authorized by Philips alkco’s Corporate Offices in Illinois may offer price protection for a different period.

D. releases for shipments beyond the price protected period (standard or non-standard) will be increased in price at the rate of 1% per month.

e. additions to orders already processed shall be considered separate orders and shall be priced accordingly.

F. all prices are subject to additional federal, city and state taxes, if applicable, unless appropriate exemption certificate is on file at Philips alkco’s Headquarters .

G. Possession of a price list is not in itself an offer to sell; quotations to distributors placed on credit hold or to others who are not on approved status shall not be binding on Philips alkco in any way and shall not be deemed offers to sell.

PUrCHase OrDers:a. to assure expeditious handling. Controls orders must be separately written on appropriate

order forms.B. the acceptance of the Buyer’s purchase order is contingent upon written acknowledgment by

Philips alkco at its Corporate Offices in Illinois, in the form of a letter or electronic or printed acknowledgment.

C. the acceptance of Buyer’s order is expressly made conditional upon Buyer’s assent to the terms and conditions stated herein and in Philips alkco’s printed acknowledgment. Philips alkco agrees to furnish the merchandise covered by its price list only upon such terms and condi-tions. In the absence of any written notification to the contrary, and by virtue of the issuance of a purchase order, Buyer shall be deemed to have accepted terms and conditions as stated herein and in Philips alkco’s acknowledgment. If there is any inconsistency between the terms and conditions stated herein and in Philips alkco’s acknowledgment, the terms and conditions contained in the acknowledgment shall control. Philips alkco’s failure to object to provisions contained in the Buyer’s forms shall not be deemed a waiver of the provisions in Philips alkco’s terms and conditions.

D. requests to cancel or change made-to-order items must be submitted in writing by the customer a minimum of 2 weeks prior to scheduled ship date. all requests are reviewed for approval before processing and are subject to costs for work performed and/or materials pur-chased.

e. all additions, deletions or other changes to or in an order are subject to all of the terms and Conditions herein.

sPeCIFICatIOns; VarIatIOns; errOrs:a. merchandise will be shipped in accordance with the standard styles and sizes as described in

Philips alkco catalogs or, if special or made-to-order, in accordance with Philips alkco drawings and specifications sheets.

B. In the event of a conflict between a customer’s written order and a Philips alkco drawing or specification sheet marked “approved”, the Philips alkco drawing or specification sheet shall prevail.

C. Philips alkco reserves the right to change details of design, materials and finish.D. every effort is made to avoid errors in catalogs, price sheets, specification sheets and other

data. Philips alkco will not accept responsibility for labor charge-backs in connection with errors of measurements, prices, descriptions, etc.

e. Philips alkco will not be bound by general or blanket instructions not contained with Buyer’s order. each transaction must be accompanied by full instructions on the order itself.

F. Orders containing such phrases as “all material to be supplied as per project plans and specifi-cations,” etc., are subject to separate written acceptance by alkco .

PaCKaGInG:a. method of packaging is at Philips alkco’s option.B. export packaging may be charged as an extra.

sPeCIaL Items:a. Order for special items are not cancelable except on payment for work performed.B. On special Philips alkco fixtures not listed in our current catalogs, we reserve the right to quote

and sell only to the distributor who assisted Philips alkco in the development of the business for a specific customer.

DeLIVery anD transPOrtatIOn:a. all merchandise is sold, and all shipments are made, F.O.B. the factory of Philips alkco .B. When a $3,000 net order is accepted for shipment at one time, domestic freight will be prepaid

by Philips alkco with no charge to the customer in the Continental United states. In all other cases domestic freight will be prepaid and charged. Foreign freight methods vary.

C. Philips alkco will use its discretion in routing all shipments, and reserves the right to select carrier and truck size. If any shipment made in accordance with Buyer’s instructions shall incur additional labor or carrier costs, such costs shall be paid by Buyer as invoices are rendered.

D. the shipment date mentioned on our order acknowledgment, if any, is Philips alkco’s best approximation of the probable shipment date and is not a fixed or guaranteed shipment date. shipment of merchandise is subject to any and all delays due to any condition or happening whatsoever beyond Philips alkco’s control, including but not exclusive of strikes, fires, riots, wars, acts of God, inability to obtain materials, government regulations or other conditions. Philips alkco shall not be responsible for any damage or loss resulting, whether directly or inci-dentally, from delayed shipments or its inability to ship as above.

e. Philips alkco reserves the right to make shipment installments unless otherwise expressly stipulated in the order acknowledgment. all such installments shall be separately invoiced and paid for when due, without regard to subsequent shipments. Delay in the shipment of any installment will not relieve Buyer of its obligation to accept remaining shipments.

F. Philips alkco reserves the right to refuse to make direct shipments to destinations outside Buyer’s regular service area(s).

stOraGe:a. If any shipment made in accordance with Buyer’s instructions is refused for whatever reason,

Buyer shall be responsible for payment of such merchandise, in accordance with the terms hereof, as though such merchandise has been accepted at the time of original delivery. Buyer shall also be responsible for reasonable storage, handling and delivery charges and shall pay reasonable storage charges until such merchandise is delivered and accepted.

Payment:a. Buyer shall make payments as specified herein and Philips alkco may suspend shipment or

delivery until such payments are made.B. Philips alkco reserves the right to charge a service charge of 1 1/2% per month, but not in

excess of any lawful rate, if Buyer is delinquent in payment of invoices.C. If, in the opinion of alkco , the financial condition of Buyer becomes impaired or unsatisfactory,

Philips alkco may at any time limit or cancel the credit of Buyer and, before delivering addi-tional goods to Buyer, require Buyer to pay in cash for such goods and to pay the goods there-tofore delivered. Failure by Buyer to make any such payments within 10 days after demand in writing shall constitute a breach of this agreement by Buyer. approval of credit of one or more deliveries shall not be deemed a waiver thereof.

D. Philips alkco shall be entitled to reimbursement for all costs and expenses (including reason-able attorney’s fees) incurred by it in connection with collection of any amounts for goods sold in the event payment thereof shall not be made when due.

seCUrIty Interests:a. Philips alkco shall retain a security interest in all goods sold until the full amount of the pur-

chase price (including any service charges) has been paid by Buyer. In the event Buyer shall default in payment of the purchase price, Philips alkco shall have the right, in addition to and not exclusive of any other rights it may have under the Uniform Commercial Code or other-wise, to enter upon the premises where the goods are located and retake possession thereof, without notice, free from any claims of Buyer. at the request of alkco , Buyer will join Philips alkco and any assignee of Philips alkco in preparing, executing and causing to be filed any and all financing statements pursuant to the Uniform Commercial Code. Buyer hereby authorizes Philips alkco and any assignee of Philips alkco to file a financing statement signed only by Philips alkco or such assignee in all places where necessary or appropriate to perfect any secu-rity interest which Philips alkco or such assignee might be deemed to have in all jurisdictions where such authorization is permitted by law.

CLaIms anD aDJUstments:a. Claims due to any cause must be forwarded within five (5) days from receopt of shipment.

Deducations from remittances not to be allowed unless authorized by Philips alkco in advance.B. Claims for shipping errors or merchandise defects will be waived unless made in writing to

alkco within 30 days after receipt of merchandise.C. Philips alkco’s sole responsibility and obligation in the event of defective merchandise shall

be limited to the repair or replacement of the merchandise, at Philips alkco’s option, at its own cost and expense, and Philips alkco shall not be responsible for any other damage or loss which may be sustained or claimed.

D. Claims for shortages, losses and apparent or concealed damages sustained in transit shall be made by Buyer with the carrier.

e. “Upon request, Philips alkco will provide evidence of goods turned over to a carrier, but reserves the right to charge a reasonable fee for all proof of delivery requests.”

retUrneD GOODs:a. requests to return non-defective merchandise must be made within 180 days from the date of

shipment and is subject to a 50% re-stocking charge.B. Only regular items in the current line are returnable. special, made-to-order, or discontinued

merchandise is not subject to return.C. returns of orders drop-shipped to job site will be limited to 10% of the original order.D. all returned goods must be accompanied by a “return Goods authorization (r.G.a)” issued by

alkco .e. merchandise must be returned in the original factory-sealed cartons in saleable condition.F. returns must be made freight prepaid within 30 days of the date of Philips alkco’s issuance of

the r.G.a.G. all merchandise returned is subject to inspection. Unsaleable and damaged merchandise will

be credited at salvage value or less costs of repairs.H. Philips alkco reserves the right to issue credit at prices prevailing at time of shipment, or time

of return, whichever is lower, less the 25% restocking charge.

tHree year LImIteD Warranty:a. Philips alkco warrants that its products (other than ballasts, lamps and emergency battery

packs) are free of defects in workmanship and materials. sUCH Warranty Is In LIeU OF aLL OtHer WarrantIes InCLUDInG, WItHOUt LImItatIOn, any ImPLIeD WarrantIes OF merCHantaBILIty Or FItness FOr a PartICULar PUrPOse. Philips alkco, at its sole option, will repair or replace, F.O.B. our factory, freight prepaid, any Philips alkco product (other than ballasts, lamps and emergency battery packs) defective in workmanship or materials. such repair or replacement is the sole and exclusive remedy against Philips alkco and is limited to three years from date of original shipment by Philips alkco . Philips alkco reserves the right to determine whether to repair or replace. no charge-back, or charge for labor or material, that does not have Philips alkco’s prior written approval from its Corporate Offices in Illinois will be honored, accepted or paid by Philips alkco . Philips alkco will not be responsible for any conse-quential or incidental damages in connection with any breach of its aforementioned warranty.

B. Ballasts, emergency battery packs and lamps may be covered by separate ballast manufactur-ers’ warranties. Philips alkco does not make any warranties whatsoever as to these items which are sold by Philips alkco “as Is,” and Philips alkco will accept no responsibility or liability what-soever therefore.

C. Philips alkco will not be responsible for any products subjected to inappropriate application or installed or modified in any way that is not in accordance with Philips alkco’s instructions.

D. no agent, employee or representative of Philips alkco has any authority to bind Philips alkco to any other affirmation, representation or warranty concerning goods sold by Philips alkco .

Philips Alkco QUALITY ASSURANCE POLICY

Philips alkco’s first priority is customer satisfaction. We take every step possible to ensure that our products are well designed, of superior quality and are received by you in good working order. It is our intention that any problems result-ing from defective materials or workmanship be promptly addressed.

FIeLD PrOBLems anD BaCKCHarGesDetailed below are the general procedures and guidelines we ask you to follow in the event a field problem arises due to defective materials or workmanship. this policy statement is not intended to create a warranty, nor to become a part of, nor extend the existing Philips alkco limited customer warranty.

aCKnOWLeDGement OF PrOBLemIn order to effectuate our policy, the Philips alkco quality assurance department must by promptly notified by you of all problems that you encounter with Philips alkco products. Philips alkco, once notified, will acknowledge your comments and complaint in writing.

LImIts OF resPOnsIBILItythe correction of any problem resulting from abuse, neglect or misuse of the product after it leaves the factory is not the responsibility of Philips alkco. Philips alkco also has the right to limit its financial responsibility for the back charges to the purchased cost of the material involved in any such back charge.

aUtHOrIZatIOn FOr BaCK CHarGesall back charges made by you must be authorized by Philips alkco in writing prior to the performance of chargeable work. Back charges due to delays in notification will not be allowed. Philips alkco cannot be held responsible for excessive preliminary problem investigation time.
