TERMS AND CONDITIONS

TERMS: The terms of payment for animals purchased shall be cash unless other arrangements have been previously made with the seller and the sale management. Payment shall be made to the clerk of the sale and release of animals will be given only when satisfactory settlement has been made by the buyer. BIDS: The person or company of persons offering the highest bid shall be the buyer. In case of dispute between bidders, the animal shall be put up for advance bids and if there be no advance bid, the animal shall be sold to the person from whom the auctioneer accepted the final bid. Every animal cataloged is pledged to absolute sale, with the exception that an animal which has become sick or unfit to offer for sale may be withdrawn by the seller or sale management. By-bidding is prohibited. Any animal may not be transferred back to the seller within one year except at the discretion of the breed registry concerned. RISK: Animals are held at purchaser’s risk and expense as soon as they have been struck off to the purchaser. However, care and feed will be furnished by the seller or sales management for 24 hours free of charge. ERRORS: If errors are noted in the catalog or advertising, announcement of such errors shall be made from the auction stand just prior to the sale of the animals and such announcement shall take precedence over the printed matter in the catalog or advertising. CERTIFICATES OF REGISTRY AND TRANSFER: Each animal which is cataloged, offered, and sold as registered shall be recorded in the Herdbook of the Brown Swiss Cattle Breeders’ Association of the U.S.A. The sale management shall be responsible that every animal be transferred within 30 days to the purchaser at the seller’s expense, such transfer to be recorded on the Certificate of Registry by the Secretary of the Association. The following suffixes have been added to the names of animals designated by the Brown Swiss Cattle Breeders’ Association of the U.S.A.as abnormality carriers or non-carriers as may apply. (W); (S); (M) – known Weaver, Spiderleg or SMA carrier determined by identification of affected offspring. (CW); (CS); (CM) – a confirmed Weaver, Spiderleg or SMA animal through diagnosis by an approved laboratory. (W*); (S*); (M*) – Weaver, Spiderleg or SMA carrier determined by DNA testing at a confidence level of 90% or above. *TW; *TS; *TM – Weaver, Spiderleg or SMA non-carrier determined by DNA testing at a confidence level of 90% or above. SHIPPING: Assistance will be given by the sale management in shipping animals, but the entire risk and expense shall be assumed by the purchaser. The sale management will not be held responsible for any loss or expense during or prior to shipment. WARRANTIES:

(1) Each seller warrants clear title to the animal and right to sell the animal. (2) Unless otherwise noted in the catalog, or announced from the auction stand prior to the animal being struck off, each animal is

sold as sound. All udder guarantees will cease when the cattle are loaded for removal from the barn. (3) Animals are guaranteed to be breeders in accordance with the following:

(A) Bulls are sold as being able to serve and settle after reaching 14 months of age. The buyer us expected to provide reasonable care and feeding. Should the bull prove to be a non-breeder, the buyer shall notify the seller within four months after a bull reaches 14 months of age. The seller shall then have six months to prove the bull to be a breeder. Older bulls are warranted to be breeders unless otherwise announced from the auction stand. If semen us retained when a bull is sold, the amount and circumstances shall be stated in the catalog and/or announced from the auction stand.

(B) Females pregnant when sold or which have freshened normally within 60 days prior to the date of the sale are by that fact considered breeders. Should any other female not pregnant when sold fail to become pregnant within six months of sale date, or, if less than 15 months old when sold, by the time she reaches the age of 21 months, after having been treated by a licensed veterinarian, the matter shall be reported in writing to the seller who shall have the privilege of of six months time in which to prove the animal is a breeder before refunding the purchase price. The seller makes no warranty that pregnant cows will deliver normal or full term calves.

(4) Above warranties cease when the animal is disposed of by the original purchaser. (5) Transportation charges on animals on which an adjustment is made shall be paid by the shipper.

HEALTH: Each animal shall be accompanied by an official health certificate approved by the Livestock sanitary Official of the State of Origin and shall have fulfilled the requirements of the Division of Animal Health in the state in which the cattle are being sold. Every effort will be made, however, for the seller of each animal to have met the health requirements of all possible states of destination. PERMITS: Before shipping cattle into some states, it is necessary to obtain a permit from the Livestock Sanitary Official of the state into which the cattle are to be shipped and since no charge is usually made for a permit, it may expedite the shipping of cattle if intended purchasers secure their permits before the sale. RESPONSIBILITY: In submitting the entries and in selling the animals listed in the sale, the consignor (seller) subscribes to the various regulations and warranties as set forth and assumes full responsibility for his cattle. Except as herein proved, the seller shall not be responsible for any damages beyond the selling price of the animal. The sale management acts as agent for the seller and shall only to the extent provided by the law share the seller’s responsibility, but it shall endeavor to protect the interests of the buyer as well. ACCIDENTS: The seller and sale management disclaim any liability in the event of accident or property loss to anyone resulting from the behavior of animals or from the condition of the sale premises. RECORDS: Only official DHIA or DHIR records are used. Classification scores marked (New) are done under the new system. Breakdowns are as follows: Substance and Strength (SS), Dairy Quality (DQ), Rump (RP), Mobility (MO) and Udder System (US) (Cows scored after 6/1/07) Scores not marked are under the old system: Frame (FM), Dairy Character (DC), Body capacity (BC), Feet & Legs (FL) and Mammary System (MS) (Cows scored before 6/1/07)
