General conditions of saleI. Preface1. By giving us his order the customer recognizes the delivery and pay-ment conditions of KOTOBUKI Europe GmbH.2. These delivery conditions are valid exclusively. Deviating or supple-mentary conditions of customer are contradictory. These are not recog-nized, unless their value will be confirmed by us in writing. 3. These conditions are also valid exclusively, when we execute delivery to customer without objection aware of deviating, contradictory or supple-mentary conditions of customer.4. If there is a single agreement in contradiction to the general conditions of sale the single agreement prevails upon general conditions of sale.

II. Offers1. Offers supplied by us are subject to confirmation. An effective contract will come off not before we confirm the order.2. Documents belonging to the offer as images, drawings, measures and weights, making proposals for organization etc. are definitely not authori-tative. 3. All corrections and conceptions are subject to changes and design va-riations as far as technical improvements are the consequence or fashion being the leading point and must be reasonable for customers.4. Documents belonging to the offer remain our property and may not be disclosed to third parties. Those documents are to be given back immedi-ately on our demand when customer does not place an order.

III. Prices1. Billing of prices and conditions valid on the date of conclusion of the contract. With appearance of a new price list all price quotations in the past are no longer valid. If, between conclusion of the contract and sup-ply is a period of time of four months, so prices and conditions on date of delivery are valid.2. At orders under a net value of EUR 60.- an additional charge of EUR 6.- is calculated on the unit of trading. 3. At orders under a net value of EUR 160.- a flat rate for packing and excess postage of EUR 4.- is charged additionally.4. Orders over a net value of EUR 160.- are delivered without flat rate for packing and postage as well as we reserve us the choice of the mode of shipment.

IV. Orders with advertizing included1. At orders with advertizing included please do your utmost to put at our disposal black and white or original patterns (no photocopies) as well as precise declaration of color and position. As far as written text is concer-ned these are to be shown in typewriting. 2. We require a vectorized EPS data file for the process of editing in one of the following formats: Adobe Illustrator CS/11, PDF or EPS, all texts must be transposed into cams resp. signs. Minimum line-width and spacing 0.15 mm. To check your file we always require an additional hard copy for the sake of completeness. Larger data volumes can be compressed with Win-Zip.3. Ordering an outturn sample the sample approved by customer alone is authoritative.4. If not explicitly mentioned in the order, original texts put at our disposal are archived at our end or at a print shop authorized by us.5. If, executing the contract protective rights of third parties, particularly copyrights and patent rights, labels and trade-marks, utility models and registered designs as well as other commercial protective rights and rights to a name are infringed on, customer alone is responsible for this purpose. There is no obligation for us to check if the indications (esp. data, publicity), put at our disposal in order to execute the order infringe on aforementioned rights of third parties. We are assigned by him from claims of third parties. Refund of costs hereby originated by customer.

V. Supply1. We only supply items per unit according to pricelist. A varying quantity ordered can be rounded up to the next higher item per unit.2. Shipment is made always on risk of the customer whereat we reserve us the right to choose the mode of shipment. Customer can dispose of the insurance of the goods against loss or transport damages.3. The delivery time specified by us in the contract is valid subject to unforeseeable obstacles, for which neither we nor our suppliers are responsible. If we cannot comply with the delivery term agreed upon, we reserve us a time limit of two weeks for performance or supplementary performance beginning with the reminder of the customer. Troubles in our business area or troubles of our sub-supplier, especially strikes or lock-outs as well as acts of God prolong the delivery terms correspondingly.

VI. ReturnsReturns of faultless goods need our approval and are admitted under further following premisesa) Complete items per unit must be concerned.b) Packaging must be intact; goods must be in saleable condition.c) During conditioning of returns a deduction of 10 % on net value of goods will be granted and possibly granted discount, bonuses as well as other reductions will be cut respectively.

VII. Payment1. Invoices are payable within 30 days net from date of invoice. For pay-ment within 10 days from date of invoice we grant a discount of 2%, for

bank withdrawal authorization or advance payment a discount of 3%. Bank withdrawal authorization is possible only in Germany. 2. With a cheque protest we shall return all cheques in circulation. When being late with payments all concessions (bonuses, discounts, allowances for freight etc.) will cease to exist. Acceptance bills are not recognized as means of payment. 3. First orders we shall supply only against advance payment or cash on delivery.4. The offset of customer is only admitted as far as unquestionable coun-terclaims, recognized by us and established as valid, are concerned. A right of retention can be executed by customer only, if being based on the same contractual relationship.

VIII. Reservation of proprietary right1. We reserve our property in all goods delivered by us, until all claims – later claims as well – resulting from business relations with us will be achieved. At contrarious behavior, in particular late payment, we are entitled to take purchased articles back. The redemption of goods supplied under reservation of proprietary right is not classified as withdrawal from contract. After taking back of purchased articles we are free to exploit them. The proceeds of their exploitation, reasonable expenses deducted for exploitation, are to be credited to liabilities of customer. Further claims for indemnity against customer will remain unaffected. 2. Customer has the authority to sell the goods in line with his usual business operations. Already now customer assigns all claims to us, which accrue from selling-on of goods to customer or third parties. We are allowed to call off the authorization to sell on as well as the direct debit mandate, if customer gets into default of payment, files for insolvency or stops payments. On our demand customer is obliged to give us necessary information to claim our rights against customer, hand over the required documents and communicate the assignment to debtors.3. If the marketable value of the securities we owe, surpasses our de-mands and exceeds 30%, we are obliged insofar on demand of customer to release the securities. The selection of securities to be released falls to us.4. Customer has to secure merchandise sufficiently in particular against fire and larceny. Claims toward the insurance arising from a liability case where the merchandise is concerned are assigned to us already now. 5. Customer has to inform us immediately of seizure or all ulterior distur-bance of our retention rights or security interest and confirm them to us as well as to third parties in writing.6. The tools made-up for given order (f.ex. films, clichés) remain our pro-perty.

IX. Warranty for defects1. Please inform us of defects in writing.2. Little deviations in normal commercial usage or of technical nature or deviations in natural products as quality, weight, quantity, make-up or color are not regarded as defect.

X. RescissionWe can give-up the contract any time in following cases:a) if supplier is not able to deliver us,b) acts of God excepted, c) if insolvency proceedings against the assets of customer are opened. In this case customer has no claims against us.

XI. Exclusion of liabilityIn case of merely careless neglect of duty by us or our auxiliary persons we have no liability. This is not valid for essential contractual obligations. For the rest our liability is limited to foreseeable disadvantages typical for the contract. The aforementioned liability limitations do not affect the claims of customer out of product liability. The liability limitations are also not valid at bodily injury and health problems or loss of life.

XII. Limitation period1. Claims of customer fall under the statute of limitations after sequence of one year from delivery. This is not valid, when one reproaches us with gross negligence or deliberate act as in case of violation of damages arising out of death, injury to body or health.2. Prescription of a claim trained on us will not be put back by negotiations.

XIII. Place of fulfillment; place of venue1. Place of fulfillment will be Fürth.2. If customer is a dealer or entrepreneur, Fürth is agreed upon as place of venue for litigation, based on contractual statutory obligations in connec-tion with business activities for both parties.

XIV. Miscellaneous1. Law applicable of the Federal Republic of Germany to the exclusion of conflict of laws (United Nations Convention on contracts for the Internatio-nal Sale of Goods).2. Oral agreements have no validity without written confirmation of the management or of cooperators authorized to represent.3. Ineffectiveness of one provision doesn’t affect the validity of the clauses left. In place of an instruction that agreement is to be valid, which is nea-rest the economically wanted purpose.
