INDEPENDENT AUDITORS' REPORT

To the Board of Directors of the New Jersey Environmental Infrastructure Trust

We have audited, in accordance with auditing standards generally accepted in the United States of America, the balance sheet of the New Jersey Environmental Infrastructure Trust (the "Trust"), a component unit of the State of New Jersey, as of June 30, 2012, and the related statements of revenues, expenses and changes in net assets and cash flows for the year then ended and have issued our report thereon dated October 23, 2012.

In connection with our audit, no knowledge of any default in the fulfillment of any of the terms, covenants or provisions of the various Bond Resolutions of the Trust was obtained, except for the matter discussed in Note Ito the financial statements, or that the balance in the Trust's debt service reserve fund failed to meet the debt service reserve requirement. As discussed in Note I, an event of default on the part of one of the Trust's borrower's currently exists under the terms of the indenture pursuant to which the Trust issued its Environmental Infrastructure Revenue Bonds (Bergen County Improvement Authority-En Cap Golf Holdings, LLC Project), Series 2005 (the "NJEIT-En Cap Bonds"). However, our audit was not directed primarily toward obtaining knowledge of such noncompliance.

To the Board of Directors of the New Jersey Environmental Infrastructure Trust

We have performed the procedures enumerated below, which were agreed to by the management of the New Jersey Environmental Infrastructure Trust (the "Trust"), solely to assist you in evaluating management's assertion that the Trust complied with Section 8.04 of the Trust's Bond Resolutions with US Bank, for the year ended June 30, 2012. This agreed-upon procedures engagement was conducted in accordance with attestation standards established by the American Institute of Certified Public Accountants. The sufficiency of these procedures is solely the responsibility of the parties in the report. Consequently, we make no representation regarding the sufficiency of the procedures described below either for the purpose for which this report has been requested or for any other purpose.

Procedures

We obtained the Trust's schedule of Debt Service Reserve Funds - Required Balances as of June 30, 2012, which is attached.

We obtained the detailed general ledger for the year ended June 30, 2012, and traced the required debt service reserve funds balances per the schedule to the general ledger without exception.

We obtained the detailed general ledger for the year ended June 30, 2012, and prepared a schedule of the debt service reserve funds account balances by bond issue. The balances listed per this schedule were then traced to the trustee bank account statements by bond issue as of June 30, 2012, and supporting detail for unrecorded accrued interest earned without exception.
