Anderson convened a duly noticed open meeting by conference call of the Board of Trustees of the North American Electric Reliability Corporation on January 24, 2011 at 3:00 p.m., ET. As required by the bylaws of the Corporation, dial-in listen-only access was provided to members of the Corporation and the public for the meeting. The agenda is attached as Exhibit A. Trustees present on the call in addition to Chair Anderson were Vicky Bailey, Paul Barber, Tom Berry, Janice Case, Gerry Cauley, Jim Goodrich, Fred Gorbet, David Goulding, Ken Peterson, Bruce Scherr, and Jan Schori. Additional attendees are listed in Exhibit B. Antitrust Compliance Guidelines Chair Anderson directed the participants’ attention to the NERC Antitrust Compliance Guidelines. Reliability Standards CIP Version 4 Herb Schrayshuen, vice president and director of standards provided a review of the proposed CIP-002-4 — Cyber Security — Critical Cyber Asset Identification Reliability Standard and the conforming changes included in the proposed CIP-003-4 through CIP-009-4 standards. CIP-004-2 replaces the requirement that each registered entity identify its Critical Assets using a risk-based methodology with a definitive set of criteria for what constitutes a Critical Asset. After a formal ballot and recirculation ballot period, the CIP version 4 standards were approved by industry on December 31, 2010, achieving a quorum of 90.49 percent, with an 80.56 percent weighted segment approval. Following discussion, on motion of Trustee Fred Gorbet, the committee approved the proposed standard and all conforming changes. Compliance Filing in Response to FERC Order 729: Revisions to Reliability Standard FAC-013-2 Mr. Schrayshuen reviewed the proposed FAC-013-2 — Assessment of Transfer Capability for the near-term Transmission Planning Horizon Reliability Standard, and reported FAC-013-2 will replace FAC-012-1 and FAC-013-1, thus retiring those standards when FAC-013-2 takes effect.
