Advisors will provide the Interested Party with certain confidential information regarding the

Company.

2. The Interested Party shall keep the information strictly confidential and protect the

information from disclosure to anyone other than its employees who have a need to know,using the same degree of care as the receiving Party uses with its own valuable businessinformation. The Interested Party will not use the Information for any purpose other than itsinternal evaluation of a transaction with the Company. If the Interested Party involves thirdparty consultants, it shall receive approval for any disclosure of information to them and bindthem as well as any related companies to the terms of this non disclosure agreement.

3. The Interested Party has no obligation with respect to any information which

a) Was already known by them, or is generally known to the public,b) Becomes known to them after the day hereof from a source, other than Advisors or the

Company,c) Is developed or obtained by them without reference to or independently of the information

provided under this agreement.4. The Interested Party undertakes to pursue its negotiations for the Company solely via

Advisors, as long as it is authorized to act on the Companys behalf.5. Advisors shall endeavour to provide the Interested Party with the proper information for

evaluation. Advisors, however, makes no representations or warranties that the Informationis accurate or sufficient.

6. This Agreement shall be construed in accordance with and governed by the laws ofCOUNTRY.

7. No amendment to the terms and conditions of this Agreement shall be valid unless made in
