Further to our meeting on December 15, 2014 with yourselves, David Muswaggon and George M Ross following is our proposed workplan and budget to design and administer construction of the of the Ball Diamond Upgrades at Cross Lake in anticipation of the Provincial Championships this coming summer.

Project Understanding:

We understand that the project requires upgrading to four ball diamonds in Cross Lake to accommodate play for the Manitoba Softball Championships this coming summer (July 2015). The four sites include 2 diamonds at Saggitawak, 1 diamond at Mikisiw School and 1 diamond at ONR School. We understand that the two school ball diamonds require little work, however considerable work is required at the two fields at Saggitawak.

Pimicikamak has built a positive reputation in baseball and these facilities are seen as a core opportunity to support this positive motivator in the community. The investment in upgrading these facilities will not only support the Provincial Championships but further the role of baseball as a positive role model.

Field upgrades at Saggitawak are expected to include improved infields, re-grading and re-sodding outfields, new outfield fences, new dugouts and pitching cages, improved backstops, scoreboards, spectator bleachers and new lighting. In addition, the project will include full master planning of the site and area to include provisions for concessions providers (ie, hot dog and bannock carts and food trucks), announcer/video booth, parking, access and possible winter uses. A children’s play area will be incorporated using one of the existing structures in storage at Cross Lake.

The project will also provide improved maintenance equipment, infield covers, maintenance materials and a storage facility/compound.

Field upgrades at the 2 school sites are expected to include minor resurfacing to existing fields, new outfield fences and backstop upgrades. Further work may be required upon inspection.

HTFC will coordinate with Pimicikamak Technical Services regarding the siting of the proposed washroom and change facilities at each of the 3 sites.

Timing of the work will be a considerable challenge. Workflow must be scheduled to permit full use of the facilities by the proposed tournament dates. It is anticipated that the younger groups will use the school fields earlier in July and the U-18 and possibly U-16 groups will use the Saggitawak fields in later July. This will allow a couple of additional weeks to complete the more significant renovation work that is required at Saggitawak.

We understand that Cross Lake Band has undertaken a detailed topographic survey of the Saggitawak area. We assume that information on the school sites will also be available.

Scope of Services:

HTFC will be responsible for schematic-design, design conceptualization, preparation of budgets, preparation of construction documents, tendering, periodic monitoring of construction and administration of construction contracts.

We recommend that the client appoint a technical steering committee to develop the project scope, technical details and budgets. The team could include representatives of the Pimicikamak Working Group, the Education Authority and key members of the baseball community. HTFC would work directly with this steering committee. Decisions regarding scope and expenditures will need to be made by higher authorities. A process for this will be required.

The following describes the proposed tasks by phase:

Step 1. Site Analysis, Project Scoping and Schematic Design

1.1 Collect existing base mapping from the community, HTFC historic files and Manitoba Hydro.

Prepare base maps for the 3 areas;

1.2 Visit the site, collect background information and prepare an analysis of site features,

opportunities and constraints;

1.3 Meet with the project team in Cross Lake or in Winnipeg to discuss site observations and specific

program requirements. Coordinate with Pimicikamak Technical Services and KNH Sawatzky &

Associates on washroom/change room facilities. Agree on a preferred initial scope of work for

each of the 3 sites.

1.4 Identify potential material sources that may be useful for this project;

1.5 Prepare schematic design diagrams for each site to illustrate development options. Provide

order-of-magnitude cost estimates for alternatives and describe the advantages and

disadvantages of options including timing and scheduling issues;

1.6 Review with the steering committee (in Winnipeg) and select preferred direction and priorities for

development;

1.7 Update budgets based on preferred schemes and possible priority opportunities; and

1.8 Review with approval authority to receive direction and approval of project scope and budget.

Step 2. Design Development

2.1 Refine the development plans, confirm methods of contracting and delivery, update schedule

and verify budget costing;

2.2 Consider pre-order requirements for any materials or equipment that have a lengthy delivery

timeframe; and

2.3 Review with Client in Winnipeg and confirm next steps.

Step 3. Construction Documents Tender & Construction

3.1 Prepare construction documents suitable for tender/pricing for each project element. Review

with the steering committee at the 66% and 90% completion stages. Update budget estimates

with each stage. Determine method of tendering, form of contract and potential bidders.

3.2 Tender or obtain quotations to obtain competitive construction prices;

3.3 Assist the owner to select a qualified contractor/suppliers and enter into a construction contract;

and

3.4 Monitor construction activities and administer the construction contract. Allow for four site visits

for monitoring during construction and two additional visits for completion. Schedule:

The project requires that work commence first thing in the spring of 2015 to allow for substantial completion by end of June. We expect that some work will need to be cleaned up after the tournament. We envision the following schedule of activities:

January - February Project startup, site review, schematic design and design development, March Review meeting and construction documents. April Tender and award May-June Construction July Tournament Play August-September Project clean up and completion

Professional Fees:

Travel disbursements will be charged at our cost. We recommend that you allow for travel disbursements of approximately $8,500 for a total of 10 person trips to Cross Lake. In office disbursements (printing, telephone, technology, etc.) are charged at a percentage rate of 4% applied to all professional fees invoiced.

Project Overview

We understand that the scope of the project is limited to the items included in our recent discussions and meetings and from our onsite fieldtrip from last week. There are no official Terms of Reference for this assignment. The Pimicikamak Okimawin desire to create the renewal of three (3) existing outdoor Baseball field sites in their community, but only the site at Saggitawak will be advanced this year. They want to enhance these existing facilities to host a major summer baseball tournament this year and have the residual infrastructure to continue to promote recreation and wellness within Cross Lake.

The site is characterized by the preliminary sketch as provided by HTFC Group and is attached for reference. This location includes:

-Sagittawak Softball Complex.

The major features of the project are as we understand:

• A new Fieldhouse or Changehouse building is proposed to be constructed at this site. The design details of this structure are to be provided by KNH Sawatzky Group and are currently in a concept stage.

• Sewer, water, fire protection and road access will form part of its site servicing requirements is to be provided by WSP. There is also consideration for the provision of irrigation of the baseball fields as part of this project scope.

• A new Canteen building was at one point considered as part of the scope of work but has since been removed from the project.

• Parking and site drainage is to be constructed. The design details of this work are to be provided by HTFC Group.

Final details of the project scope and configuration remain to be discussed and finalized through the design development phase with the working group.

Work Plan We have prepared a work plan that will identify the key tasks required for the

successful completion of the project. The work plan provides a logical step-by-

step approach that will facilitate the project in being carried out expeditiously.

The key tasks include:

Task 1 – Project Initiation

• Participate in the integrated design process to review the project scope,

issues and concerns, project goals and schedule.

• Confirm project requirements and design criteria.

• Obtain available data including reports, surveys, as-built drawings and

background information relevant to the project.

• Carry out a geotechnical investigation for purposes of design and

construction.

Advance the investigation to the following main areas of interest:

-The proposed Fieldhouse or Change house building location at Sagittawak

as per HTFC’s sketch (enclosed).

-Potential alignment for sewer, water, parking lots and potentially road access

to the site.

-Advance testpits at the prescribed site in order to ascertain soil profiling,

depth to bedrock, depth of frost penetration and bearing capacity of the soil to

confirm the foundation design of the proposed structure as prescribed by

KNH Sawatzky Group.

-Testpits are to be dug by Midnorth Development Corporation in Cross Lake.

The cost of this equipment rental is included in this proposal.

-Testpits are to be tied in with GPS coordinates at site.

-Arrange and pay for soil test samples at a certified laboratory.

-It is estimated that the duration of the geotechnical investigation will take one

(1) day of site time plus one half (1/2) day of travel time.

-Provide a geotechnical report outlining the above noted requirements.

• Conduct a topographic survey for purposes of design and construction. It is

anticipated that Jerome North of MidNorth Development Corporation will

advance this topographic survey to the same scope areas as set out in the

geotechnical investigation including the existing baseball sites. It is estimated

that the duration of the topographic survey will take 1.5 days of site time. The

survey will also be supplemented with the 2012 digital orthophotography and

digital terrain model (DTM) acquired for the Cross Lake Sewer and Water

Feasibility study.

• Provide a ‘Design Brief’ to establish the project scope and design criteria.

Schedule

It is proposed that the design of the project will be completed as soon as possible with construction to proceed in late spring, 2015, as time is of the essence.

Fees

The proposed engineering fees for this project are based on our understanding of the project and our proposed methodology. If the scope of the work differs significantly from conceptual, additional fees will be negotiated. We propose to undertake the work on a basis of the fixed fee amount of $18,617.79 including disbursements.

STANDARD TERMS AND CONDITIONS FOR GEOTECHNICAL REPORTS Page 1 of 3

1. General

WSP Canada Inc. (hereinafter referred to as the "Consultant") shall render its Services to the Client for the Project as described in attached Agreement in accordance with the terms and conditions set forth herein, with the degree of care, skill and diligence normally provided for projects of a similar nature at the time and place of the Services. The Consultant may, in its sole discretion and at any stage, engage sub-consultants to perform all or any part of the Services.

2. Acceptance

Where this “Standard Terms and Conditions” document is attached to a proposal, the proposal is valid for a period of 30 days after the date of the proposal, unless stated otherwise in the proposal.

3. Client’s Duties

The Client shall provide all documents and information reasonably requested by the Consultant in the performance of its Services. Further, the Client shall examine all requests, reports or other documents presented by the Consultant pertaining to the Services and promptly provide the Consultant with its written decisions and instructions so as not to delay the Services.

4. Consultant’s Compensation

Except as otherwise stated in the Agreement, the Client shall compensate the Consultant for the Services as follows: a) The Consultant’s compensation shall be in accordance with its Schedule of Fees and Disbursements in

effect at the time the Services are rendered. b) The Consultant’s fees and disbursements are quoted and shall be paid in Canadian dollars, subject to the

addition of applicable taxes. c) The Client agrees to pay the Consultant’s invoices within 30 days of invoice, with unpaid accounts bearing

interest at 2% per month after the initial 30 day period. d) If the Client’s account remains unpaid 90 days after invoice, the Consultant may retain a third party

collection agency to secure payment of its account. In this case the Client shall pay the entire account, including interest and all charges by the collection agency.

5. Opinions of Probable Cost and Schedules

The Consultant’s opinions of probable cost and schedules represent the Consultant’s best judgement based on its experience. The Client acknowledges and agrees that the opinions of probable cost and schedules prepared by the Consultant are subject to change and are dependent upon factors over which the Consultant has no control, including but not limited to: market conditions; contractor availability, methods and bidding practices; and the costs of labour, materials and equipment.

6. Codes and By-laws

To the best of its ability the Consultant will interpret building codes and by-laws as they apply to the Project. The Client acknowledges and agrees that these codes and by-laws are subject to change and interpretation by regulatory bodies and that the Client shall pay the cost of changes and additions to the construction work and Services required to conform to such changes and interpretations.

7. Ownership of Documents

All documents prepared by, or on behalf of, the Consultant in connection with the Services are instruments of service for the Project and the Consultant shall retain the property and copyright therein. These documents may not be used for any project, other than the Project, without the prior written consent of the Consultant.

8. Termination

Either the Client or the Consultant may terminate this Agreement by giving the other 30 days prior written notice. Further, if the Consultant is prevented from performing its Services for a period of 30 days or more due to circumstances beyond the Consultant's control (such as but not limited to: an order of a court or other public authority, labour dispute, or act of God), then the Consultant may, without prejudice to any other right or remedy it might have, terminate this Agreement. Such termination shall operate from the date of notice by the Consultant to the Client. In any case of termination, the Client shall pay the Consultant its fees and disbursements for Services performed up to the date of termination, including reasonable fees and expenses to close out the Services.

9. Insurance and Limitation of Liability

The Consultant carries insurance for professional errors and omissions and comprehensive general liability. A certificate of insurance will be provided at the Client’s request. In the event that the Client wishes additional insurance coverage, the Consultant will cooperate on a best efforts basis with the Client to obtain such additional insurance at the Client’s expense. The Client agrees that any claim which it has or may have against the Consultant, its servants, employees, agents and representatives in respect of the Services, whether in contract or in tort, shall be absolutely limited to: a) Claims brought in writing within two years of the date of substantial completion of the Project or of

termination of this Agreement, whichever shall first occur, and b) The lesser of the fees paid to the Consultant for the work of the Project, the actual amount of the Client’s

loss or the amount of the Consultant’s available liability insurance, and shall only be recoverable from the Consultant in respect of loss or damage which is directly attributable to negligent acts or omissions of the Consultant, its servants, employees, agents and representatives in respect of the Services. If the foregoing insurance coverages are not in effect, are not sufficient or do not apply to any claim advanced against the Consultant, the Consultant’s liability shall be absolutely limited to re-performance of the Services. In no case shall the Consultant be liable for consequential damages, including delays to the project, loss of earnings, markets and/or profits incurred by the Client, howsoever caused.

The Client acknowledges that projects involving pollutants create unusual risks in consideration of which the Client agrees that the Consultant’s liability to the Client, whether in contract or in tort, in respect of the Consultant’s involvement with pollutants in connection with Services shall be absolutely limited as set out in the preceding paragraph except that if the foregoing insurance coverages are not in effect, are not sufficient or do not apply to any claim advanced against the Consultant, then the Client shall indemnify and hold harmless the Consultant of and from any and all claims against the Consultant arising, or alleged to arise, out of incidents and claims involving pollutants.

The Project’s deliverables, in the form of information, recommendations, reports or other instruments of any nature, are subject to the following Limitations Clause:

“ The findings and recommendations provided in this report were prepared by WSP Canada Inc. (the

Consultant) in accordance with generally accepted professional engineering principles and practices. The recommendations are based on the results of field and laboratory investigations and are reflective only of the actual testhole(s) and/or excavation(s) examined. If conditions encountered during construction appear to be different than those shown by the testhole(s) and/or excavation(s) at this site, the Consultant should be notified immediately in order that the recommendations can be reviewed and modified as necessary to address actual site conditions.

* This report is limited in scope to only those items that are specifically referenced in this report. There may be

existing conditions that were not recorded in this report. Such conditions were not apparent to the Consultant due to the limitations imposed by the scope of work. The Consultant, therefore, accepts no liability for any costs incurred by the Client for subsequent discovery, manifestation or rectification of such conditions.

* This report is intended solely for the Client named as a general indication of the visible or reported physical

condition of the items addressed in the report at the time of the geotechnical investigation. The material in this report reflects the Consultant's best judgment in light of the information available to it at the time of preparation.

* This report and the information and data contained herein are to be treated as confidential and may be used

only by the Client and its officers and employees in relation to the specific project that it was prepared for. Any use a third party makes of this report, or any reliance on or decisions to be made based on it, are the responsibility of such third parties. The Consultant accepts no responsibility for damages, if any, suffered by any third party as a result of decisions made or actions based on this report.

* The report has been written to be read in its entirety, do not use any part of this report as a separate entity. * All files, notes, source data, test results and master files are retained by the Consultant and remain the

property of the Consultant.”

10. Mould and Fungi (including, but not limited to, yeast, mould, mildew, rust, smut or mushroom)

The Consultant assumes no liability whether in contract or in tort and including Consultant’s negligence for: a) Actual, alleged or threatened inhalation, ingestion, existence, growth or presence of, exposure to, contact

with; or b) Any costs or expense incurred to prevent, respond to, test for, monitor, abate, mitigate, remove, clean up,

contain, remediate, treat, detoxify, neutralize, assess or otherwise deal with or dispose of; or c) Actual or alleged failure to detect, report, test for, monitor, clean up, remove, contain, dispose of, treat,

detoxify, neutralize, or in any way respond to, assess the effects of or advise of the existence of; any fungi or any spores, mycotoxins, odours, or any other substances, products or by-products produced by, released by, or arising out of the current or past presence of mould and fungi.

11. Dispute Resolution

If requested by either party, the Client and Consultant shall attempt to resolve any dispute between them arising out of or in connection with this Agreement through structured, non-binding, without prejudice negotiations with the assistance of a mediator appointed by agreement of the parties. If not settled through mediation within 30 days, the dispute shall be referred to and resolved by an arbitrator appointed by mutual agreement of the parties or by a judge of the Court of Queen’s Bench.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada.

1. General

WSP Canada Inc. (hereinafter referred to as the "Consultant") shall render its Services to the Client for the Project as described in attached Agreement in accordance with the terms and conditions set forth herein, with the degree of care, skill and diligence normally provided for projects of a similar nature at the time and place of the Services. The Consultant may, in its sole discretion and at any stage, engage sub-consultants to perform all or any part of the Services.

2. Acceptance

Where this “Standard Terms and Conditions” document is attached to a proposal, the proposal is valid for a period of 30 days after the date of the proposal, unless stated otherwise in the proposal.

3. Client’s Duties

The Client shall provide all documents and information reasonably requested by the Consultant in the performance of its Services. Further, the Client shall examine all requests, reports or other documents presented by the Consultant pertaining to the Services and promptly provide the Consultant with its written decisions and instructions so as not to delay the Services.

4. Consultant’s Compensation

Except as otherwise stated in the Agreement, the Client shall compensate the Consultant for the Services as follows: a) The Consultant’s compensation shall be in accordance with its Schedule of Fees and Disbursements in

effect at the time the Services are rendered. b) The Consultant’s fees and disbursements are quoted and shall be paid in Canadian dollars, subject to the

addition of applicable taxes. c) The Client agrees to pay the Consultant’s invoices within 30 days of invoice, with unpaid accounts bearing

interest at 2% per month after the initial 30 day period. d) If the Client’s account remains unpaid 90 days after invoice, the Consultant may retain a third party collection

agency to secure payment of its account. In this case the Client shall pay the entire account, including interest and all charges by the collection agency.

5. Opinions of Probable Cost and Schedules

The Consultant’s opinions of probable cost and schedules represent the Consultant’s best judgment based on its experience. The Client acknowledges and agrees that the opinions of probable cost and schedules prepared by the Consultant are subject to change and are dependent upon factors over which the Consultant has no control, including but not limited to: market conditions; contractor availability, methods and bidding practices; and the costs of labour, materials and equipment.

6. Codes and By-laws

To the best of its ability the Consultant will interpret building codes and by-laws as they apply to the Project. The Client acknowledges and agrees that these codes and by-laws are subject to change and interpretation by regulatory bodies and that the Client shall pay the cost of changes and additions to the construction work and Services required to conform to such changes and interpretations.

7. Ownership of Documents

All documents prepared by, or on behalf of, the Consultant in connection with the Services are instruments of service for the Project and the Consultant shall retain the property and copyright therein. These documents may not be used for any project, other than the Project, without the prior written consent of the Consultant.

8. Field Services During Construction

When included in the scope of Services, Field Services during construction shall mean applying such selective sampling at the project site as the Consultant, in its sole discretion, considers necessary to ascertain that contractors’ work is in general conformity with the construction contract documents.

The Consultant will issue unqualified certifications of the contractor’s applications for payment and substantial and total performance of its work only when Field Services are left to the Consultant’s sole discretion. The Consultant’s ability to provide letters of assurance, as are required in some jurisdictions, will be impaired unless Field Services are left to the Consultant’s sole discretion.

9. Termination Either the Client or the Consultant may terminate this Agreement by giving the other 30 days prior written notice. Further, if the Consultant is prevented from performing its Services for a period of 30 days or more due to circumstances beyond the Consultant's control (such as but not limited to: an order of a court or other public authority, labour dispute, or act of God), then the Consultant may, without prejudice to any other right or remedy it might have, terminate this Agreement. Such termination shall operate from the date of notice by the Consultant to the Client. In any case of termination, the Client shall pay the Consultant its fees and disbursements for Services performed up to the date of termination, including reasonable fees and expenses to close out the Services.

10. Insurance and Limitation of Liability

The Consultant carries insurance for professional errors and omissions and comprehensive general liability. A certificate of insurance will be provided at the Client’s request. In the event that the Client wishes additional insurance coverage, the Consultant will cooperate on a best efforts basis with the Client to obtain such additional insurance at the Client’s expense. The Client agrees that any claim which it has or may have against the Consultant, its servants, employees, agents and representatives in respect of the Services, whether in contract or in tort, shall be absolutely limited to: a) Claims brought in writing within two years of the date of substantial completion of the Project or of

termination of this Agreement, whichever shall first occur, and b) The lesser of the fees paid to the Consultant for the work of the Project, the actual amount of the Client’s

loss or the amount of the Consultant’s available liability insurance, and shall only be recoverable from the Consultant in respect of loss or damage which is directly attributable to negligent acts or omissions of the Consultant, its servants, employees, agents and representatives in respect of the Services. If the foregoing insurance coverages are not in effect, are not sufficient or do not apply to any claim advanced against the Consultant, the Consultant’s liability shall be absolutely limited to re-performance of the Services. In no case shall the Consultant be liable for consequential damages, including delays to the project, loss of earnings, markets and/or profits incurred by the Client, howsoever caused.

The Client acknowledges that projects involving pollutants create unusual risks in consideration of which the Client agrees that the Consultant’s liability to the Client, whether in contract or in tort, in respect of the Consultant’s involvement with pollutants in connection with Services shall be absolutely limited as set out in the preceding paragraph except that if the foregoing insurance coverages are not in effect, are not sufficient or do not apply to any claim advanced against the Consultant, then the Client shall indemnify and hold harmless the Consultant of and from any and all claims against the Consultant arising, or alleged to arise, out of incidents and claims involving pollutants.

11. Mould and Fungi (including, but not limited to, yeast, mould, mildew, rust, smut or mushroom)

The Consultant assumes no liability whether in contract or in tort and including Consultant’s negligence for: a) Actual, alleged or threatened inhalation, ingestion, existence, growth or presence of, exposure to,

contact with; or b) Any costs or expense incurred to prevent, respond to, test for, monitor, abate, mitigate, remove, clean

up, contain, remediate, treat, detoxify, neutralize, assess or otherwise deal with or dispose of; or c) Actual or alleged failure to detect, report, test for, monitor, clean up, remove, contain, dispose of, treat,

detoxify, neutralize, or in any way respond to, assess the effects of or advise of the existence of; any fungi or any spores, mycotoxins, odours, or any other substances, products or by-products produced by, released by, or arising out of the current or past presence of fungi.

12. Dispute Resolution
