Introduction

Myanmar Legal MHM Limited provides an international standard of practising
Myanmar law to clients looking to invest into Myanmar. Since the office opened in
2014, Myanmar Legal MHM has grown dramatically in response to strong
demand from our clients investing in Myanmar.
Since 2012, we have been actively working to assist Myanmar in updating its
laws and regulations, By working with the Myanmar government, we have
developed a strong understanding of legislative developments and government
practices. Through this work and our experience in handling transactions in
Myanmar, we have developed a comprehensive understanding of how to navigate
the political and economic landscape in Myanmar efficiently and effectively.
At present, Myanmar Legal MHM is staffed by four Japanese lawyers, three
Commonwealth-qualified lawyers, one Thai qualified lawyer and eight Myanmar
lawyers (three of whom studied in Japan and one of whom worked for the
Myanmar Attorney Generals’ Office (UAGO). Our firm was rebranded as
Myanmar Legal MHM from 10 March 2020, reflecting that we are providing
services to our clients together with our Senior Myanmar Legal Adviser, Daw Khin
Cho Kyi, as a single team. Daw Khin Cho Kyi is a seasoned and skillful
practitioner with more than over 40 years of legal experiences in the public sector
as well as in private practice in Myanmar.
Myanmar Legal MHM offers a full range of legal services, with a focus on
investment, mergers and acquisitions, joint ventures, project finance, capital
markets, power projects, oil and gas, energy, infrastructure and banking and
finance. We have advised on some of the most prominent transactions in
Myanmar such as the establishment of the Yangon Stock Exchange and Kirin’s
acquisition of Fraser & Neave’s 55 percent stake in Myanmar Brewery Ltd. (the
largest M&A deal in Myanmar).

Mori Hamada & Matsumoto (or MHM) is one of the largest full-service Tokyo-

We offer an extensive range of legal services to clients looking to invest in
Myanmar, with a particular focus on investment, mergers and acquisitions, joint
ventures, project finance, capital markets, energy, infrastructure and banking
and finance. We have acted for a diverse range of clients in Myanmar,
including banking and financial services companies, professional services
firms, and companies in the power, infrastructure, food and beverage, real
estate, retail, transportation, IT and travel and leisure sectors.
Advised Kirin Holdings Singapore Pte. Ltd. on both Myanmar and
Japanese law in its acquisition of Fraser & Neave’s majority 55
percent stake in Myanmar Brewery Ltd. following a 2014 arbitration
finding in Singapore requiring Fraser & Neave to sell its holdings.
We negotiated with the Myanmar authorities to ensure the smooth
completion of the transaction. This was by far the largest M&A deal
in Myanmar history.
Advised Unicharm Corporation in its acquisition of Mycare, the
largest baby care goods manufacturer and retailer in Myanmar. We
also advised Unicharm Corporation to obtain the first wholesale
trading licence issued following the liberalisation of the trading
sector in Myanmar.
Advised Aeon Co., Ltd. in its establishment of a joint venture retail
business in Myanmar, the first case where a foreign company has
been permitted to participate in retail business. We also advised
Aeon Co., Ltd. to obtain one of the first wholesale trading licences
issued following the liberalisation of the trading sector in Myanmar.
The Thilawa Special Economic Zone
Advised several participants involved in establishing business in
the Thilawa Special Economic Zone, including Toyota Myanmar Co.,
Ltd..
Investment / Mergers and AcquisitionsKey investment/M&A work in Myanmar:

Advised Japan Exchange Group, Inc. and Daiwa Institute of
Research Ltd. on their joint venture with the Myanmar Economic
Bank to establish the Yangon Stock Exchange which began
operations in December 2015. We continue to advise on a range of
corporate, trading and regulatory issues in connection with the
operation of the exchange.
First Aircraft Financing in Myanmar
Acted as counsel to the lender in connection with aircraft financing
for a diversified Myanmar conglomerate that wished to expand its
domestic airline business. This was a complex cross-border
financing transaction that required effective negotiation and
interaction with Myanmar authorities on behalf of clients and
navigation of Myanmar’s rapidly changing laws and agencies’
policies. This transaction was highly commended in the 2015
Financial Times Asia Pacific Innovative Lawyers Report.

Advised the international investor in four of the six foreign-local joint
ventures in the insurance sector in 2019 following the opening of
Myanmar’s insurance sector to foreign investment, including
Nippon Life Insurance Company, Tokio Marine Asia Pte Ltd and
Mitsui Sumitomo Insurance Company Limited.

Projects and Infrastructure
Kamigumi Co., Ltd.
Key projects and infrastructure work in Myanmar:
We represented a leading logistics operator, Kamigumi Co. Ltd., in
a port concession project in Myanmar, which involved the
amendment and renegotiation of a complex concession agreement
with Myanmar Port Authority and Ministry of Transport and
Communication. This project is one of the most significant recent
port projects and its proximity to Yangon and Thilawa Special
Economic Zone means it will be an important logistics hub of
Myanmar.
We acted for one of Japan’s leading real estate companies, in the
development of a large scale commercial complex located in the
center of Yangon. The project consisted of a new development and
operation of high-grade office buildings, commercial facilities and a
hotel on the former site of a military museum. It is scheduled for
completion in 2020.
Leading Real Estate Company
We are acting for a Thai commercial bank in a project financing for
the development of a 4-phased 220 MW solar plant in Myanmar, on
a 30-year Build-Operate-Transfer basis, with a government off-
taker. We are advising on the loan documentation including the
creation and perfection of security in Myanmar.
We are advising a Thai commercial bank and an export credit
agency in a project financing for the development of a LNG import
and gas-fired power plant in Myanmar.

Takeshi Mukawa provides comprehensive legal support to

Atsushi Inoue joined the Japan Bank for International
Cooperation in 2001 and handled matters relating to loan (such
as export credit and untied loans) for South Asia, primarily
India and Pakistan. Since joining the firm in 2007, he has been
widely engaged in general corporate legal affairs, especially
M&A, and legal services related to Japanese securities laws.
He was seconded to the Financial Markets Division of the
Planning and Coordination Bureau of the Financial Services
Agency from January 2010 and was in charge of legally
interpreting regulations on insider and other unfair trading and
revisions to regulations regarding clearing organizations. Since
returning to the firm in July 2011, he has been actively

Tony Grundy is an international finance and corporate lawyer
with over 35 years experience advising clients located in many
jurisdictions throughout the world including, in Asia, Cambodia,
China, India, Indonesia, Japan, Korea, Malaysia, Myanmar,
Philippines, Singapore, Thailand and Vietnam. He has
practiced as a lawyer in Asia for 30 years in total;
from 1987 to 1994 and 1997 to the present.
Nirmalan Amirthanesan is an Australian lawyer who has been
practising in Myanmar since joining Myanmar Legal MHM in
May 2016. Prior to this, he worked at the Australian Treasury,
advising on a range of regulatory matters, in particular
Australia’s foreign investment regulations and investment treaty
negotiations, competition and consumer laws and company tax.

Thit Thit Aung is an experienced advisor to foreign-affiliated
companies, including Japanese companies, expanding their
businesses into Myanmar. She has a strong track record of
involvement and achievement in relation to applications to the
MIC and negotiations with regulatory agencies in various
categories of business, including incorporation, registration of
trademarks, real estate deals, manufacturing business, and
businesses related to energy and infrastructure. Prior to joining
MHM, Thit Thit Aung studied at Yokohama National University
for her master course in international and business law as a
JICA Long Term Training Participant and the doctoral course in
International Economic Laws. She worked as a Tutor, Assistant
Lecturer, and Lecturer at the Department of Law in Dagon
University and in Yangon University.
Dr Nay Chi Oo worked in the Union Attorney General’s Office
of the Republic of the Union of Myanmar (UAGO) as a
Government Attorney from 2002 until she joined Myanmar
Legal MHM in 2016. At the UAGO, she was in charge of both
criminal and civil cases, tendering legal advice to Myanmar
government agencies undertaking prosecutions under a range
of Myanmar laws. She also managed the prosecutions of
matters that were within the remit of the UAGO, including
handling proceedings in court. She is highly experienced in
criminal investigations and prosecutions in Myanmar.
She also worked at the International Law and ASEAN Legal
Affairs’ division, Legal Advice Department of UAGO, reviewing
international investment treaties, conventions, international and
regional agreements, Memorandums of Agreements and
human rights issues from a legal point of view.

Sooksun is a lawyer qualified in Thailand. He assists various
international clients including Thai and Japanese among others.
His main practice focus is transactional, involving general
representation on a wide variety of corporate and commercial
matters in both cross-border and Thai domestic transactions.
He also has extensive experience in compliance and dispute
resolution. After graduating from Thammasat University in 2009,
he worked at Siam Premier as a corporate and dispute
associate for seven years. While working at Siam Premier, he
was awarded the CIMB Bank Regional Scholarship to pursue a
master’s degree, following which he completed LL.M. at
University College London. In addition, he completed his
second LL.M at Kobe University with a scholarship from the
Japanese Ministry of Education, Culture, Sports, Science and
Technology. Admitted in The Kingdom ofThailand, 2011
