1. These Terms and Conditions, together with all terms of the Order Form govern the agreement between the Buyer and 961 Distribution, sarl (”Martha Rey”) with respect to buyer’s purchase of the Goods (“Goods”) identi�ed in the Order signed by a Buyer or authorized representative, and supersede all prior writings and discussions between the parties concerning the subject matter of the Order.

2. The buyer understands that the goods will be specially manufactured to Buyer’s Order by or on behalf of Marta Rey and that the Order constitutes the binding obligation of Buyer to accept delivery of the Goods in accordance with the terms of the order and these Terms and Conditions and to make all payments provided for in the order. Unless otherwise speci�ed in the Order, all goods will shipped FOB COLOMBIA and Buyer agrees to pay shipping fees invoiced to Buyer by Martha Rey or carrier.

3. Payment terms will be established upon new application approval.

4. Accepted forms of payments are by bank wire transfer only.

5. Martha Rey may, in its discretion seek approval of Buyer’s credit and lender, factor, guarantor, assignee, or other third party, if any approval of Buyer’s credit is withheld or denied, Martha Rey may, at its option, terminate the order. In such termination, neither party will have any further obligation or liability to the other in connection with the Order.

6. Martha Rey does not allow unapproved discounts or Returns.

7. Amounts pas due are subject to a late fee payment charge up to 1.5% per month (18% per annum).

8. Buyer will accept all Goods shipped by Martha Rey on or after the Start Date speci�ed in the Order. Buyer may, in its discretion terminate the Order with respect to any Goods not shipped, on or before the Cancel Date by giving written notice of such termination to Martha Rey before the date on which such Goods are shipped. If Buyer terminates the Order under this paragraph, neither Buyer nor Martha Rey will have any further obligation or liability in respect of Goods which not shipped before Martha Rey receives notice of such termination.

9. Martha Rey requires at least 20 days shipping window based on “start ship” and “stop ship” dates.

10. Freight terms are FOB COLOMBIA unless stated di�erently on the front of the Sales Order Form.

11. Buyer must take any claim in respect of shortage, speci�cations or quality of Goods to Martha Rey in writing, within seven calendar days of Buyer’s receipt of the Goods. Buyer will understand that some of the Goods will be, and must return any Goods claimed to be nonconforming to Martha Rey within 10 days following the receipt of the Goods. Buyer understands that Martha Rey products are all handcrafted and therefore will be color and pattern variations among similar garments and products. Martha Rey will not accept any cancellations, discounts or returns that are not due to the variations of our handcrafted processes.

12. Return Policy: Except as stated in Paragraph 6, no returns will be accepted without approval by Martha Rey. An RA must be obtained prior to returning the merchandise. Fax or e-mail RA Form. It should list the style number and quantity and the reason for return. Upon approval, Martha Rey representative will answer back with an RA number. If the Goods are not properly packed and in sellable condition Buyer will be charged a 20% restocking fee of the purchase price of any Goods returned.

13. If the Buyer refuses to accept delivery of all or any Goods other than as a result of a timely good faith claim of nonconformance under Paragraph 6, Buyer will be liable to pay Martha Rey liquidated damages in a n amount equal to 40% of the purchase price of Goods ordered. Further, if Buyer fails to make any payment under the Order or these Terms and Conditions, Buyer will be charged a late fee of 1.5% per month (18% per annum) and reasonable attorney’s fees and/or collection agency fees, and all other expenses which may be incurred by Martha Rey in the enforcement of the Order and these Terms and Conditions. Buyer agrees that these charges are a reasonable estimation of the damages Martha Rey would incur upon Buyer default.

14. EXCEPT AS EXPRESSLY PROVIDED HEREIN, MARTHA REY GIVES NO WARRANTY, EXPRESSED OR IMPLIED, IN CONNECTION WITH THE GOODS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. MARTHA REY WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL DAMAGES WHATSOEVER.

15. The Order and these Terms and Conditions will be governed by the laws of the State of Florida.
