MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding is executed at Bangalore on this 13th day

of November 2010.

BY AND BETWEEN

The Event Management Committee, of the National Law School of India

University, a Statutory University created under Act 22 of 1987 Karnataka

Legislature, with its offices situated at Nagarbhavi, Bangalore 72, (Hereinafter

referred as event organiser, which expression shall, unless repugnant to

the context or meaning thereof, be deemed to mean and include its successorsand assigns) of the FIRST PART;

AND

TELiBrahma Convergent Communications Pvt Ltd, having its registered office at # 54,

Nagasandra Circle, South End Road, Basavangudi, Bangalore 560 004, (Hereinafter referred

to as Sponsor which expression shall, unless it be repugnant to the contextor meaning thereof, be deemed to mean and include its successors and

assigns)of the SECOND PART.

WHEREAS the event organizer is a committee constituted for the

organization of events at the National Law School of India University,

Bangalore.

AND WHEREAS, the Sponsor is a company who associates with events to

deliver solutions on mobile through bluetooth.

AND WHEREAS, the event organizer is organizing the Universitys annual

Rock Music Competition, i.e. Strawberry Fields 2010, in Bangalore as per the

schedule given herein below:-

14th November, 2010 5.30 p.m. to 10.00 p.m.: Finals with Headlining Act

AND WHEREAS, the event organizer is organizing the Universitys annual

Literary and Cultural Festival, i.e. LeGala 2010, in Bangalore as per the

schedule given herein below:-

12th November, 2010 10 a.m. to 7 p.m.: Literary and Cultural

Competitions, 1st Day

13st November, 2010 10 a.m. to 7 p.m.: Literary and Cultural

Competitions, 2nd Day

AND WHERAS, the event organiser has approached the Sponsor to

become its Bluetooth Partner for LeGala and Strawberry Fields 2010;

AND WHERAS, the Sponsor has agreed to the same;

The Parties are entering into this Memorandum of Understanding to record the

terms and conditions of sponsorship of event:

NOW THIS DEED WITNESSETH AS UNDER:-

1. This MoU shall come into force forthwith on the date of its execution.

2 The Sponsor shall be the Bluetooth Partner for LeGala and

Strawberry Fields 2010.

3 The Sponsor will be the Bluetooth Partner of LeGala and Strawerry

Fields 2010, insofar as all the branding material (including posters,

passes, backdrop, invites and other publicity material) will have the logos

of the Sponsor.

4 All mentions of the Sponsor on the LeGala and Strawberry Fields 2010

branding material will be as Bluetooth Partner.

5 The Sponsor will be entitled to the use of banner space for up-to

twenty (20) banners of size 6 x 4 at and around the venue of Strawberry

Fields 2010, and up-to fifteen (15) banners of size 6 x 4 at and around

the venue of LeGala 2010. All such banners will have to be provided by

the Sponsor.

6 The Sponsor will be entitled to set up stalls at both LeGala 2010 and

Strawberry Fields 2010 for the distribution of promotional material,

display/sale of products, and/or for conducting marketing activities.

These stalls may be staffed either by student volunteers or

nominees/representatives of the Sponsor.

7 The Sponsor will be entitled to use the screens that are in operation on

the final day at Strawberry Fields 2010 to display advertisements.

8 In consideration of the above, The Sponsor shall ensure that campus of

the National Law School of India University, will be made a bluetooth

zone for the duration of LeGala and Strawberry Fields 2010. The campus will not be made into a bluetooth zone but the event area for Legala and Starwberry fields will be

made into a Bluetooth zone.

9 The Sponsor may use the bluetooth zone to conduct contests of any

kind.

10 The Sponsor will allow the event organiser to use the bluetooth

zone to publish advertising of its other sponsors, schedules of events atLeGala 2010, schedules and video clips of Strawberry Fields 2010 and

any other content that is pertinent to the events.

11 All the ground bookings in the respective cities will be carried out in the

name of the event organizer.

12All the necessary permission(s),legal and/or otherwise, related with theabove said event(s)/show(s) will be taken by the event organiser.

13 All the ground arrangements viz. decoration, Lights, Sound, AV screen,

Generator, etc. which is necessary for conducting the event, will be

arranged by the event organizer

14 All the artists will be arranged by the event organizer and all the

artists travel, lodging, boarding etc. will be arranged by the event

organizer.

15 The branding of the said events/shows (Backdrop & Side wings) will be

carried out by the event organiser subject to prior approval of the

Sponsor.

16 The event organizer shall be solely responsible for all the

act(s)/omission(s)/commissions(s) connected with the said shows and the

Sponsor, its employees/representatives/staffs etc. shall not, by any

stretch of imagination, be held responsible for the same. The Event

Organizer shall always keep the Sponsor fully indemnified in this

regard.

17 The event organizer shall be solely responsible for any liability, costs,

damages or expenses arising due to its non-compliance with the

applicable laws and regulations, arrangements done for the Event, any

claims by the artists, students or any third party either in the event of

force majeure (including fire, flood, earthquake or other natural disaster,

accidents, labor dispute, or interruption or failure of electricity, etc.) or

otherwise. The Sponsor shall not be held responsible for any of such

liabilities and event organizer shall always keep the Sponsor fully

indemnified in this regard.

18 The Sponsor shall not be liable for any payment to the

artist(s)/Staff/Representative of the event organizer, and further the

relationship between the event organizer and the sponsor shall be on

principal to principal basis.

19 The event organiser shall have no right, title and/or interest in the

Trade Marks of the Sponsor and shall not hold any other event under

the above names without prior approval of the Sponsor.

20 In case any particular show/event is cancelled because of any natural

calamities/and/or any other unanticipated, unforeseeable or

extraordinary reason(s) beyond the control of the event organiser, the

Sponsor shall not be liable to pay the above agreed amount.

Notwithstanding anything contained to the contrary herein the Sponsor

shall suspend all subsequent payments if the shows are cancelled for any

reason(s). If such cancellation/postponement of the show is because of

the lack of action on the part of The event organizer, the Sponsor

shall be entitled to recover the amount already paid in addition to

suspension of future payments.

21 All Disputes subject to exclusive jurisdiction of the Courts at Bangalore.
