GENERAL TERMS AND CONDITIONS OF SALE MicroCool® (hereinafter called the “Seller”) agrees to sell the equipment described herein on the following terms and conditions of sale, which supersede any additional or inconsistent terms and conditions of purchase of the Buyer. Any alterations of the Seller’s terms and conditions of sale have no force or effect unless otherwise agreed to in writing by an authorized representative of the Seller.

Terms and conditions of sale as set forth herein, or as changed or modified by written agreement shall constitute the entire contract of sale be-tween the Buyer and the Seller. The failure of either Buyer or Seller to enforce any rights under the contract of sale shall not constitute a waiver of such rights or any other rights under the contract sale. The Buyer further agrees that any terms and conditions of any purchase order or oth-er instrument issued by the Buyer in connection with the equipment described herein which are in addition to or inconsistent with the terms and conditions of sale shall not be binding on the Seller and shall not apply.

1. SHIPPING TERMS: All goods are shipped prepaid and chargeable unless otherwise agreed to by the Seller. Shipments are made by common carrier only unless otherwise specified by the Buyer. In the event that goods are shipped C.O.D., any additional expenses, actual or estimated, incurred by the Seller, must be paid by the Buyer. If special routing is requested, the Buyer will be charged for all of the special rout-ing costs incurred. 2. SHIPMENT: Any shipment promises are made in good faith. Shipping dates appearing on acknowledgement or orders, or expressed to the Buyer in any other way, are approximate, and are not guaranteed. No liability shall result from any delay in performance of any of the Seller’s obligations to the Buyer or from any nonperformance of any or all of the Seller’s obligations to the Buyer caused by circumstances beyond the Seller’s control, including but not limited to Acts of God, government action, accident, strikes, lock-outs, labor shortages, inability to obtain material, equipment or transportation, sabotage, war, revolution, popular uprising, fire, explosion, changes in import regulations or practices or cancellation of import licenses. 3. RISK OF LOSS: Risk of loss passes to the Buyer when the equipment described herein is delivered to the carrier. Any claim for goods lost or damaged in transit shall be made by the Buyer against the carrier. 4. TITLE: It is agreed and understood that the title to the equipment described herein shall remain with the Seller until the purchase price of any judgments or indebtedness arising there from, whether evidenced by notes, trade acceptance or otherwise, shall be fully paid and satis-fied. 5. SHORTAGES: No claim for shortages will be considered unless same are made within forty-eight (48) hours after receipt of the equipment. 6. RETURNED GOODS: The Seller will accept equipment returned for credit only when prior approval has been given. The returned equipment requires the Seller’s return authorization number to ensure proper credit. Any material accepted for return must be shipped back prepaid by the Buyer and must reach the Seller without damage. Any equipment accepted for return is subject to a 30% restocking charge, un-less otherwise agreed in writing by the Seller. No credit will be issued to other than original purchaser. 7. PAYMENT: TERRITORIAL USA & CANADA: Subject to establishment of satisfactory credit, terms of payment are Net 30 Days from the invoice date shown on the invoice, unless otherwise agreed to by the Seller. The Buyer agrees that interest on all overdue accounts will be charged at the rate of 2% monthly (24% per annum). If Buyer fails to make payment within thirty (30) days. Seller may defer shipments until such payment is made or may, at its option, cancel all or any part of unshipped order(s). OTHER COUNTRIES: Wire transfer full payment before shipment unless otherwise agreed in writing by the Seller. Minimum billing charges ap-ply. 8. WARRANTY: The goods covered by this invoice are subject to the manufacturer’s printed limited warranty currently in effect. Liability of Seller for all equipment supplied is limited to the manufacturer’s warranty.




Products manufactured by MicroCool® bear the following limited warranty:

MicroCool® warrants that the goods to be delivered will be of the kind and quality described in the sales order or contract, and will be free of defects in workmanship or material. Should any failure to conform to this warranty appear within the time limit stated below, after the initial date of delivery, the MicroCool® shall, upon notification thereof, and written substantiation that the goods have been stored, installed, maintained and operated in accordance with the seller's recommendations and standard industry practice, correct such defect by suitable repair or replacement at its own expense. This warranty is limited to repairing or replacing products that the manufacturer's investigation shows were defective at the time of shipment by the manufacturer. An RMA number must be obtained from MicroCool® be fore re turning a product for wa rra nty cons ide ra-tion or repair. Warranty period: One (1) year on all MicroCool® manufactured goods Two (2) years on coupled Weg motor and VF Drive The lesser of One (1) year or 4,000 hours use on pump head Notification Period: Notify MicroCool® within 15 days of determining defect. LIMITATION OF LIABILITY - Repair or replacement of defective products as provided above is the sole and exclusive remedy provided hereun-der and the seller shall not under any circumstances be liable for special or consequential damages such as, but not limited to, damage or loss of other property or equipment, loss of profits, or revenue, cost of capital, cost of purchased or replacement goods, or claims or customers of purchaser for service interruptions. The remedies of the purchaser set forth are exclusive and the liability of seller with respect to any contract, or anything done in connection therewith such as the performance or breach thereof, or from the manufacture, sale, delivery, resale, installation or use of any goods covered by or furnished under this contract whether arising out of contract, negligence, strict tort, or under any warranty, or otherwise, shall not, except as expressly provided herein, exceed the price of the goods upon which such liabilities based. This is the only war-ranty on any MicroCool® product; no other writing or description in the literature shall be construed as a warranty. Products manufactured by other than MicroCool® bear the following limited warranty: Seller warrants that the goods manufactured by others will conform to the description herein stated. No other warranty express or implied is made, and the warranty of the manufacturer is hereby assigned and transferred to the buyer. Furthermore, except for the manufacturer's warran-ty, if any, the products sold hereunder are sold as is. MicroCool® is not liable for any incidental or consequential damages in connection with these products. In addition to all of the above, MicroCool® accepts no liability if the system is used to dispense corrosive, toxic or other non-approved agents.
