Merced Community College District Board of Trustees meeting

held February 10, 2015

1. Public Session Call to Order The Board President (Dennis Jordan) called the meeting to order at 5:01 p.m. The meeting was held in the Margaret M. Randolph Board Room on the Merced College Campus in Merced.

2. Hearing of the Public An opportunity was provided for members of the public to address the Board on matters of general district business. Student Victor Calderon addressed the Board regarding the reduced space in the Science building to meet with his professor for study sessions.

3. Closed Session Items The Board President referenced the items to be presented during closed session then closed the meeting to the public. The closed session items are listed below.

4. Resume Public Session The public session reconvened at 6:27 p.m. in the Margaret M. Randolph Board Room on the Merced College Campus in Merced. President Jordan reported that no action was taken in closed session.

5. Hearing of the Public An opportunity was provided for members of the public to address the Board on matters of general district business. Robert Haden, President of the President’s Circle, spoke about The President’s Circle and encouraged everyone to join. Information is available through Stacey Hicks in the Superintendent/President’s Office. Robin Shepard provided information on the State of the College Luncheon to be held on April 17, 2015. Bill and Dorothy Bizzini will be given the President’s Medallion at the event. Students Michael Zaebad, Charles Peavy, and Edith Hernandez expressed their concern regarding the lack of physics work space. Student Benny Cortez stated his concerns regarding the STEM program’s lack of space for the class sizes. He also echoed the comments regarding the lack of physics work space. Student Cody Camacho shared a sustainability challenge resolution passed by ASMC.

6. Additions and/or Changes to the Agenda None.

7. Presentations a. January Student of the Month

Professor Karen Fritz introduced Professor Michelle Pecchinino who nominated the January student of the month, Cynthia Russo.

Professor Michelle Pecchinino shared a presentation honoring Cynthia Russo. Ms. Russo thanked her family for their support and Professor Pecchinino for nominating her.

b. Annual Audit for 2013-14 Joe Allison introduced Tanya Rogers from Christy White Associates.

Ms. Rogers reviewed the Audit Report for Proposition 39 Bonds H & J and the District Audit Report. The Proposition 39 Bonds H & J report showed the financial statements presented fairly, in all material respects, the respective financial position of the bonds. She reviewed the balance sheet and note 4 – construction commitments to the financial statements. She reviewed some of the procedures performed as part of the audit.

The auditors’ opinion is the District complied, in all material respects, with the compliance requirements for the bonds. The District report showed the financial statements presented fairly, in all material respects, the respective financial position of the District. She reviewed note 18 – Restatements to the financial statements. She stated we are in compliance with the 50% law at 51.2%. The financial statements, federal awards, and state awards all received an unmodified report for compliance. The internal control deficiencies in the agriculture department have been corrected.

c. Library Student Engagement Survey

Professor Nancy Golz provided a presentation on a student engagement survey conducted by the Library staff as well as some data on the students they have served.

d. Board Education – TAACCCT Grant Program Redesign Jim Andersen gave a presentation highlighting the goals, accomplishments, outcomes, and sustainability and expansion of the TAACCCT grant program.

Autumn Gardia provided information on the employment outcomes for the students enrolled in the TAACCCT grant program.

The Board took a ten minute break.

e. Board Education – 2014 Accountability Reporting for Community Colleges/Student Success Scorecard Cherie Davis reviewed the momentum points and completion outcomes data in the 2014 ARCC/Student Success Scorecard for Merced College. In momentum points this included the college profile, remedial cohorts for math, English and ESL, persistence rates for college prepared and unprepared for college students, achievement of at least 30 units for college prepared and unprepared for college students. In completion outcomes this included completion rates for college prepared and unprepared for college students, and career technical education degree, certificate or transfer. Trustees commented that this is a good tool to utilize for enrollment and getting students prepared for college. It seems there is a correlation between not being prepared for college and having to stay in community college longer as well as the economy having an impact on student enrollment and completion. It will be interesting to see the data once the more aggressive student success measures and equity measures are in place.

8. Constituent Reports a. From Academic Senate

Dee Sigismond stated the Academic Senate decided to discontinue the addiction studies program after an intense investigation. Nancy Golz was introduced as the

President-Elect.

b. From Faculty Association Patrick Mitchell said it is hoped that two or three dinners with faculty and Trustees will be scheduled this semester. He shared a couple of success stories from faculty members Jodie Steeley and Rebecca Slate.

c. From Classified Senate Charlene Reed informed the Board their next meeting will be on Tuesday. Classified Staff Development day will be on April 9, 2015, and the Board is invited.

d. From CSEA Kristi Wolf shared the first CSEA meeting was held last month and the next meeting is next week. CSEA is partnering with Classified Senate to develop a new employee packet and orientation for classified employees.

e. From Management Association Autumn Gardia said the second round of the Emerging Leaders Institute has begun. The next Association meeting is this Thursday and the newly ratified CSEA contract will be reviewed and discussed.

f. From ASMC Cody Camacho highlighted some of the recent activities of the student organizations.

Dr. Schultz said approval of the audits which were presented earlier this evening is being requested. MSC (Hicks/Lashbrook) to accept the District Audit Report and Performance Audit for Measures H and J for the fiscal year ending June 30, 2014. The student advisory vote was aye.

b. Sabbatical Leaves Dr. Gilliland brought attention to the two sabbatical applications which are included in the packets for the Board’s approval. She provided some background information on the leaves. MSC (Gutierrez/Hicks) to approve the sabbatical leaves for Mark Doiel and Keith Law. The student advisory vote was aye.

c. Use of Categorical Funding Flexibility Option

Vice President Vitelli said it is required by the State that the Board vote on and approve this item if this option is needed. MSC (Lashbrook/Gutierrez) to transfer $1.00 from the Equal Employment Opportunity fund to Student Success and Support Program. The student advisory vote was aye.

d. Second Reading of Administrative Procedure & Board Policy 2435 – Evaluation of Superintendent/President Dr. Taylor reminded the Board this item came before the Board at the January meeting for information and is now before them for approval. MSC (Hicks/Villarreal) to approve Board Policy 2435 – Evaluation of Superintendent/President. The student advisory vote was aye.

e. Resolution Honoring Black History Month Dr. Taylor said in conforming to a national practice, we have been bringing this resolution forward for the past few years to honor Black History Month. MSC (Gutierrez/Upton) to adopt Resolution 15-62 honoring the month of February 2015 as Black History Month. The student advisory vote was aye.

f. Web Content System Management Contract Dr. Schultz explained this contract is being brought to the Board as a separate item to provide more detailed information.

Vice President Vitelli gave information on what this company will provide for the District in order to improve our website content management.

11. To the Board for Information a. Update on the Governor’s January Budget

Joe Allison gave an update on the Governor’s January budget. This included the economic outlook, the major initiatives and goals of the Governor’s proposal, the impacts to California Community Colleges, where opposition may be to the Governor’s proposal, and next steps in the budget process.

12. Reports a. From Board Members

Trustee Morrill extended an invitation to everyone to attend the ASMC sustainability committee. Meetings are every Tuesday at about 3:00 p.m. in the Student Union Building. The student campus life survey is out and will close in March. Results will be shared at a future Board meeting.

Trustee Lashbrook attended the audit committee meetings and plans to attend the sustainability committee meetings. Trustee Upton attended the Foundation’s finance committee and Board meetings last week. She encouraged the Board to attend the State of the College luncheon on April 17. She enjoyed the Library report tonight. She supports finding a location for the STEM students to study. Trustee Gutierrez congratulated Cynthia Russo and the students of the week from the Los Banos campus. He thanked tonight’s presenters for their information. He shared information he learned from a recent radio interview of a previous Merced College student which highlighted the young man’s accomplishments. He echoed the support of the STEM students’ request. He attended the Effective Trustee workshop in Sacramento in January and appreciated the information gained at the workshop. Trustee Hicks thanked Dr. Walsh and her staff for the wonderful presentation tonight. He was impressed with Dean Andersen’s presentation and is excited to see the improvements in those areas. Trustee Villarreal gave kudos to CSEA and Classified Senate for working together on welcoming new employees. He also echoed the support to find better study space for STEM students. Trustee Jordan was impressed with the Library and TACCCT presentations. He would like to continue to expand the types of programs in the TACCCT program into other areas on campus.

Dr. Taylor brought attention to the copy of College Life magazine which was given to each Trustee tonight, as well as The Blue Devil report and Campus Digest. He provided information on the accident which occurred earlier today involving three college vans with students headed to the World Ag Expo in Tulare. He highlighted some upcoming events. He reminded Trustees to complete and submit their Form 700. The date for the workshop in April was briefly discussed and a poll will be done for availability. He shared the tentative dates for visits to area high schools.

13. Future Discussion Items from Board Members Trustee Hicks requested a status update on all District grants. Trustee Lashbrook would like to have a status update on the District’s sustainability efforts and the plan moving forward.

Presented by: Joanne Schultz For: Information ______ Action X Background Information The Political Reform Act (Government Code Section 81000, et seq.) requires state and local government agencies to adopt and promulgate conflict-of-interest codes. The Fair Political Practices Commission (FPPC) has adopted a regulation (2 Cal. Code of Regs. Sec. 18730) that contains the terms of a standard conflict-of-interest code, which can be incorporated by reference in an agency’s code. After public notice and hearing, the standard code may be amended by the Fair Political Practices Commission to conform to amendments in the Political Reform Act. Therefore, the terms of 2 California Code of Regulations Section 18730 and any amendments to it duly adopted by the FPPC are hereby incorporated by reference. This regulation and the attached Appendices, designating positions and establishing disclosure categories, shall constitute the conflict-of-interest code of the Merced Community College District (District). The proposed amendment has been reviewed by the FPPC and they are in agreement with the proposed language. Individuals holding designated positions shall file their statements of economic interests with the District, which will make the statements available for public inspection and reproduction. (Gov. Code Sec. 81008.) Upon receipt of the statements, the District shall retain the originals and send to the Fair Political Practices Commission upon request.

Such written determination shall include a description of the consultant’s/new position’s duties and, based upon that description, a statement of the extent of disclosure requirements. The Superintendent/President or designee’s determination is a public record and shall be retained for public inspection in the same manner and location as this conflict of interest code. RESOLUTION OF THE BOARD OF TRUSTEES AMENDING THE CONFLICT OF INTEREST CODE TO REVISE AND UPDATE THE LIST OF DESIGNATED POSITIONS AND DISCLOSURE CATEGORIES

WHEREAS, the Merced Community College District has reviewed its Conflict of Interest Code at a noticed public meeting held on March 10, 2015, and determined that amendments, as set forth in the Amended Conflict of Interest Code attached hereto as Exhibit A are needed; and

WHEREAS, an amendment to the Merced Community College District Conflict of Interest Code must be submitted to the Fair Political Practices Commission which is the code reviewing body; and

NOW, THEREFORE, BE IT RESOLVED by the Governing Board as follows:

A. The Conflict of Interest Code of the Merced Community College District is amended to substitute in its place the attached Amended Conflict of Interest Code of the Merced Community College District.

Item: Quarterly Financial Status Report, 2014-15 Fiscal Year; Quarter Ended December 31, 2014 Presented By: Joanne Schultz For: Information X Action Background Information Title 5 of the California Code of Regulations (CCR), Section 58310 requires districts to prepare and submit a quarterly report on forms provided by the Chancellor’s Office. The information on this report is for the events known as of December 31, 2014. The following is a brief summary of the highlights of the report. The highlights include the following: The projected 2014-15 expenditures (Line B.1) is the expenditure budget for the

Unrestricted General Fund and does not reflect any possible budget savings that will occur.

The District’s unrestricted reserves (Line F.1) are currently in excess of the

Board’s designated six-percent reserve. The annualized attendance for credit and noncredit FTES (Line G.1) is currently

being projected at 9,753. The District’s cash (Line H.1) has been sufficient as to not interfere with its ability

to conduct the business of the District.

In Section IV. Unrestricted General Fund Revenue, Expenditure and Fund Balance, the actual total revenue (Line I.3) is slightly better than expected and expenditures (line J.3) are slightly less than expected.

In Section V, the District is reporting that the CSEA employee contract was

ratified during this quarter.

In Section VII, Does the District have significant fiscal problems that must be addressed? This year? The District is reporting that although the state’s budget outlook has significantly improved, the District continues to operate with a structural budget deficit. The District will continue to identify areas of revenue enhancements and budget savings to balance the budget. Next year? No, at this time the District is not reporting any significant fiscal problems that must be addressed.

Administration will continue to provide the Board with periodic budget updates as the budget development process continues both at the state and District level. These updates will be posted on the college web site for review by the college community.

Pursuant to the CCCT Board Governing Policies, the election of members of the CCCT board of the League will take place between March 10 and April25. This year there are seven (7) seats up for re­election on the board; one of those seven is a vacancy created by a board member that was notre­elected at the district level in November.

Each community college district governing board shall have one vote for each of the seven seats on the CCCT board. Only one vote may be cast for any nominee or write-in candidate. The seven candidates who receive the most votes will serve a three-year term.

The ten trustees who have been nominated for election to the board are listed on the enclosed sheet in the Secretary of State's random drawing order of January 26, 2015. An official ballot for the election is also enclosed in this mailing to each community college district governing board, as well as copies of the statement of candidacy and biographic sketch form of each of the candidates. Candidates' statements and bios will also be available on the League's website (www.ccleague.org).

Please remember that:

1) ballots must he signed by the board secretary and board president or vice-president and also include the name of the district; and

2) ballot return envelopes must have no identifying information or signatures.

Although it is not required, you may want to send your ballots via certified mail as we will not have the ability to confirm receipt. Official ballots must be signed and returned to the CCCT Elections Committee, League office, with a USPS postmarked no later than April25. A self-addressed return envelope is enclosed for your convenience. Faxed ballots will not be accepted. The ballots will be opened and counted by three tellers appointed by the CCCT board president and the results announced at the CCCT Annual Conference, May 1 ~ 3 in Monterey.

Additionally, as community colleges' roles & recognition expand, the League must continue its education policy leadership and advocacy and partner with others for the betterment of community colleges and students success.

For CCCT I served on CTE, ETP, and Accreditation Workshop connnittees; co-led a Conference session; wrote for Board Focus; and produced a video. CCLC has recently undergone a change in leadership at the top. It needs to recruit and hire a visionary leader and develop a new strategic plan to lead California Community Colleges into the future. CCCT should play a central role in these efforts.

I have been an active CCCT board member for six years. I taught the Board about student success, co­chaired CCLC's Commission on the Future of Community Colleges, served on the CCLC Board of Directors and co-chaired the League's Organizational Task Force. I was recently nominated as CCCT's vice president.

Last year we faced many leadership challenges. However, being on the executive board provided me with the opportunity to work closely with the CEOs to ensure the League continued without missing a beat. BOARD POLICY 3810 CLAIMS AGAINST THE DISTRICT Reference: Education Code Sections 72500 & 72502; Government Code Sections 800, 810 et seq, 900 et seq., 910, 946.4, &

53051 Any and all claims for money or damages against the District for money or damages, which are not governed by any other statutes or regulations expressly relating thereto, shall must be presented and acted upon in accordance with Title I, Division 3.6, Part 3, Chapter 1 (commencing with Section 900) and Chapter 2 (commencing with Section 910) of the California Government Code. the following procedures. Compliance with these procedures is a prerequisite to any court action, unless the claim is governed by statutes or regulations which expressly free the claimant from the obligation to comply with this policy and the claims procedures set forth in Government Code Section 900, et seq. Claims must be presented according to this policy as a prerequisite to filing suit against the District. Claims that are not subject to the requirements of this policy include, but are not limited to, the following:

• Claims by public entities: claims by the state or by a state department or agency or by another public entity.

• Claims for fees, wages and allowances: claims for fees, salaries or wages,

mileage, or other expenses and allowances. The designated place for service of claims, lawsuits or other types of legal process upon the District is: Merced Community College District Vice President Administrative Services 3600 M Street Merced, CA 95348

1. Claims for money or damages relating to a cause of action for death or for injury to person, personal property, or growing crops shall be presented to the Board not later than six months after the accrual of the cause of action. (Government Code Sections 905, 911.2)

2. Claims for money or damages as authorized in Government Code Section 905 and not included in paragraph 1 above shall be filed not later than one

3. Claims for money or damages specifically excepted from Government Code Section 905, including but not limited to claims by public employees for fees, salaries, wages, mileage, or other expenses and allowances, shall be filed not later than one year after the accrual of the cause of action. (Government Code Sections 905, 911.2, 935)

Late Claims

Claims under paragraph 1 above that are presented later than six months after the accrual of the cause of action, shall present, along with the claim, an application to file a late claim. Such claim and application to file a late claim must be filed not later than one year after the accrual of the cause of action. If a claim under paragraph 1 is filed later than six months after the accrual of the cause of action and is not accompanied by the application, the Governing Board or the Superintendent/President, or designee, shall, within forty-five (45) days, give written notice that the claim was not filed timely and that it is being returned without further action.

The application shall state the reason for the delay in presenting the claim. The Governing Board, shall grant or deny the application within 45 days after it is presented. By mutual agreement of the claimant and the Superintendent/President, or designee, this 45-day period may be extended by written agreement made before the expiration of such period. If the Governing Board does not take action on the application within 45 days, it shall be deemed to have been denied on the 45th day unless such time period has been extended, in which case it shall be denied on the last day of the period specified in the extension agreement.

If the application to present a late claim is denied, the claimant shall be given notice in substantially the following form:

Delivery and Form of Claim

A claim, any amendment thereto, or an application for leave to present a late claim shall be deemed presented when delivered to the office of the Superintendent/President, or deposited in a post office, sub-post office, substation, or mail chute or other like facility maintained by the U.S. Government, in a sealed envelope properly addressed to the District office with postage paid. (Government Code Sections 915, 915.2)

Notice of Claim Insufficiency

The Superintendent/President or designee shall review all claims for sufficiency of information. The Superintendent/President or designee may, within twenty (20) days of receipt of claim, either personally deliver or mail to claimant a notice stating deficiencies in the claim presented. If such notice is delivered or sent to the claimant, the Governing Board shall not act upon the claim until at least fifteen (15) days after such notice is sent. (Government Code Sections 910.8, 915.4)

Amendments to Claim

Claims may be amended within the time limits specified in Section 1, above, or prior to final action by the Governing Board whichever is later, if the claim, as amended, relates to the same transaction or occurrence which gave rise to the original claim.

Action on Claim

Within forty-five (45) days after the presentation or amendment of a claim, the Governing Board shall take action on the claim. (Government Code Section 912.4) This time limit may be extended by written agreement before the expiration of the 45-day period, or after the expiration of the 45 day period if an action based on the claim has not been commenced and is not yet barred by the period of limitations provided in Section 945.6. (Government Code Section 912.4) The President or designee shall transmit to the claimant a notice of action taken. (Government Code Section 913) If no action is taken within the prescribed time limits, the claim shall be deemed to have been rejected and the claimant notified in accordance with Government Code Section 913. (Government Code Section 945.6)

Retroactivity of this Policy

This policy is intended to apply retroactively to any existing causes of action and/or claims for money and/or damages.

Roster of Public Agencies

The Superintendent/President or designee shall assure that all information regarding the District is filed accurately with the Roster of Public Agencies in the office of the Secretary of State and the County Clerk. Any changes to such information shall be filed within 10 days after the change in facts.

The verified information shall include the full legal name of the District, the mailing address of the Board, and the names and business addresses of each member of the Board, and the name, title, and business address of the Board President, and clerk or secretary of the Board. ADMINISTRATIVE PROCEDURE 3810 - Claims Against the District Reference: Education Code Sections 72500 & 72502; Government Code Sections 800, 810 et seq, 900 et seq., 910, 946.4, & 53051 Claims filed against Merced Community College District must be filed by mail or in person within the time prescribed by Government Code section 911.2, which states: “A Claim relating to a cause or action for death, or for injury to person or to personal property or growing crops shall be presented as provided in Article 2 (commencing with section 915) of this chapter not later than six (6) months after the accrual of the cause of action. The Board shall provide forms specifying the information to be contained in the claims against the public entity. A claim may be returned to the person if it was not presented using the claim form.
