IMPORTANT NOTE

1. Bidder should have a valid digital signature certificate (Class II or III) issued by valid certifying authority.

2. To monitor or for participating in the online auction,

3. As per the new inter-operability guidelines released

by Controller of Certifying Authorities (CCA), the Secured Socket Layer (SSL) certificate for an e-procurement application is generated on a new algorithm, SHA2. Accordingly, the digital signatures that will be applicable for these platforms have to be SHA2 algorithm compliant. For the same, the users have to ensure that they have Windows XP ( SP3 ) / Windows Vista / Windows 7 installed in their respective PC / Laptop. In case of Windows XP service pack -3, if you face any issue you can install the SSL patch, which is available at the download section of the e-Auction Portal and also at the corporate website www.auctiontiger.net just below the label of “knowledge section”.

BIDDER GUIDELINES

SBICAP TRUSTEE COMPANY LIMITED (“Seller/ SBICTCL”) the Hypothecatee under the Unattested Memorandum of Hypothecation dated 21/12/2010 between Kingfisher Airlines Limited (KAL) and SBICTCL, the Security Trustee in relation to the credit facilities sanctioned to M/s Kingfisher Airlines Limited by a Consortium of Lenders led by State Bank of India, shall conduct and finalize the sale of Hypothecated Equipment and Movables of KAL located at Chhatrapati Shivaji International Airport, Mumbai (“CSI Airport”) as set out under Annexure I (hereinafter collectively referred to as the “Movables”) through an electronic-auction mode (“e-Auction”). The e-Auction is in furtherance to the auction notice dated 21/11/2015, published in newspapers - Business Standard (Mumbai and Banglore editions), Free Press Journal (Mumbai edition), Navshakti (Mumbai edition) and Kannada Prabha (Banglore edition) (“Public Notice”). A copy of the said Public Notice is annexed hereto as Annexure V. The Seller has entered into an arrangement with M/s. e-Procurement Technologies Limited, Ahmedabad, (“ETL/ Service Provider”) who are the Seller’s authorized Service Provider for the e-Auction. The person/s submitting the EMD amount (defined hereinafter) for the e-Auction (hereinafter be referred to as the “Bidder” individually and as “Bidders” collectively) are requested to go through the guidelines given below (“Guidelines”) and submit his/their confirmation of having understood the same. Bidders shall note that these Guidelines must be read with the aforesaid Public Notice dated 21/11/2015 and the terms and conditions stated thereunder. It is specifically clarified that these Guidelines form a part and parcel of the e-Auction terms and conditions. It may be noted that the Guidelines listed below are merely for the assistance of the Bidders, and the Bidders are also advised to read and understand the terms and conditions of the e-Auction thoroughly. The said terms and conditions are also annexed to this Memorandum as Document No. 2 (“Terms & Conditions of e-Auction”). Guidelines: A. Pre-Bid Procedure

1. All Bidders must have a valid digital signature, obtained from a certified agency, in accordance with the Information Technology Act, 2000

prior to the submission of the bid form, and to participate in this e-Auction. Under no circumstances will any Bidder be allowed to participate in the e-Auction without a valid digital certificate.

2. The Bidder shall register for the e-Auction on the Website with his preferred e-mail id. The last date of registration for e-Auction shall be 02/12/2015.

3. The persons interested in participating in the e-Auction (Bidders) may confirm their participation by depositing with the Seller 10% (ten per cent) of the Reserve Price as Earnest Money Deposit (“EMD”) as a confirmation.

4. It may be noted that the EMD amount must be deposited by the Bidder before the last date for registration for e-Auction, i.e., on or before

02/12/2015

5. Upon payment of the EMD, the Bidder shall duly complete the online Bid Form available on the Website (“Bid Form”), affix his digital signature to the same, attach the proof of EMD payment to the Bid Form and submit the same on the Website along with scanned copies of KYC documents viz. self attested copies of photo ID proofs/ address proof documents viz. Permanent Account Number (PAN) card/ Passport/ Aadhaar Card/ Election Card/ Driving License or any other similar ID proof issued by government authority, certified true copy(ies) of Board Resolution(s)/ power of attorney (if any) (collectively referred to as “KYC Documents”) before the last date for registration for e-Auction, i.e., on or before 02/12/2015. The Bidder shall also submit a copy of the duly completed and signed Bid Form, the proof of remitting EMD along with KYC documents, in hard copy to the Seller before the last date of registration for e-Auction, i.e., on or before 02/12/2015. The Bid Form is attached herewith as Annexure II.

6. Bid Form without EMD or with less than the EMD amount shall be rejected summarily. The Seller shall scrutinise the Bid Forms and

KYC Documents and shall convey the names of eligible participants for e-Auction to the Service Provider and also to the eligible participants on their registered e-mail ids, within 2 (two) working days from the last date stipulated for receipt of the aforesaid requisite documents.

7. Thereafter, the Service Provider will within 24 (twenty four) hours provide a log-in id and password to the Bidder on his/their registered e-

mail id. 8. The Bidder may change his/their/its password after the first log-in into the Website https://sbi.auctiontiger.net (“Website”).

9. Once the Service Provider registers the Bidder for the e-Auction, the Bidder must avail the mandatory online training that is required to be

undertaken by the Bidder. The information in relation to the online training is also displayed on the Website. The Bidders can avail the mandatory online training not later than 48 (forty eight) hours before the commencement of e-Auction.

10. Subsequent to completion of the online training by the Bidder, the Bidder shall submit the training completion form (accessible to the

Bidder only upon completion of the online training) on the Website (“Training Completion Form”) not later than 48 (forty eight) hours before the commencement of e-Auction.

11. Please note that without the due submission of the Bid Form and the Training Completion Form, the Bidder will not be eligible to

participate in the e-Auction event.

12. The Service Provider shall intimate the Bidders on their registered e-mail ids of receipt of duly completed Training Completion Forms within 24 (twenty four) hours before the commencement of e-Auction.

13. In the event the date and/or time of the e-Auction is rescheduled, the Service Provider will duly inform all the Bidders of such reschedule,

by way of telephone call and/or e-mail communication, at the earliest opportunity possible.

B. Procedure for e-Auction 1. The Bidders are requested to ensure that they have arranged proper internet connectivity to participate in the e-Auction. In case of failure of

internet connectivity (due to any reason whatsoever), it is the Bidders’ responsibility to have an alternate back-up arrangement. It is expressly stated that neither the Seller nor the Service Provider shall be responsible for these unforeseen circumstances.

2. The Bidders shall follow the procedure informed to them during the mandatory training for participating in the bidding process on the date

of e-Auction. 3. The opening price of the e-Auction (“Opening Price”) and the bid increment value shall be available and displayed to the Bidders on their

bidding screen on the date and at the time of commencement of e-Auction. The Opening Price may be higher than the Reserve Price and the increment value shall be announced along with the Opening Price. The Seller will declare its Opening Price which shall be visible to all the Bidders at the time of commencement of the e-Auction.

4. The Bidder/s shall commence the bidding after announcement of the Opening Price. Please note that the Opening Price of the Assets in the

e-Auction is open to all the participating Bidders. Any Bidder can commence bidding, in the e-Auction, from the Opening Price itself.

5. The first online bid by any Bidder that comes in the system during the e-Auction (“First Bid”) can be equal to the e-Auction's Opening Price, or higher than the e-Auction's Opening Price by 1 (one) increment, or higher than the e-Auction's Opening Price by multiples of increment. The online bids after the First Bid will have to be higher than the First Bid/previous bid (as the case maybe) by at least 1 (one) increment value, or higher by multiples of the increment value.

6. The e-Auction shall be conducted for a period of 2 (two) hours. However, in the event a Bidder places a bid in the last 5 (five) minutes prior

to the closing of the e-Auction, the e-Auction will get extended automatically for another 5 (five) minutes. In case, there is no bid in the last 5 (five) minutes of closing of the e-Auction, the e-Auction shall conclude and close automatically without any extension. It may be noted that there will be unlimited auto extensions available during the e-Auction.

7. The Bidder will be able to view the following on his/her screen along with other necessary fields:

a) Highest Bid in the e-Auction at any given time during the e-Auction; b) Bid Placed by you (the Bidder); c) Opening Price; and d) Bidder’s rank in the e-Auction

8. During the e-Auction, if no bid is received within the specified time, or if the Seller is not satisfied with the final bid price; the Seller, at its

discretion, may decide to revise the Opening Price and/or terminate/cancel the e-Auction process and/or proceed with any other mode of sale of Assets.

9. The Assets will be sold to the highest Bidder after completion and compliance of other requirements for such sale, upon the Seller confirming its satisfaction of the highest bid price and the e-Auction completion.

C. Post e-Auction Process 1. The Service Provider shall intimate the highest Bidder by way of e-mail that the bid amount submitted by him/them is the highest bid

amount. The Service Provider shall also mark the Seller in this communication.

2. Immediately upon receipt of highest Bidder information from the Service Provider, the highest Bidder shall deposit with the Seller 25% (twenty five percent) of the highest bid amount (including EMD), as bid by him (“Sale Price”), within 24 (twenty four) hours from the conclusion of the e-Auction. The process and mode of payment is as set out under Item No.6 of the Terms and Conditions of the e-Auction.

3. The highest Bidder shall submit to the Seller by way of email/facsimile (fax) the ‘price confirmation’ (Annexure III) confirming the final bid price quoted by him/ them during the e-Auction within 24 (twenty four) hours from conclusion of the e-Auction. The said submission must be duly signed and stamped as a token of acceptance without any new condition other than those already agreed to in writ ing prior to the commencement of the e-Auction.

4. The highest Bidder shall submit to the Seller the proof of remittance of 25% (twenty five percent) of the Sale Price (including EMD) within

24 (twenty four) hours from the time of conclusion of e-Auction.

5. Pursuant to the receipt of the price confirmation letter and 25% (twenty five percent) of the Sale Price from the highest Bidder (with the appropriate proof of payment), the Seller shall issue a ‘sale confirmation certificate’ to the said highest Bidder. It may be noted that the ‘sale confirmation certificate’ is only a document confirming the sale, and it is not and shall not be treated as a ‘sale certificate’ at any given time.

6. The EMD of the unsuccessful Bidders will be refunded (without interest) pursuant to the closure of the e-Auction and intimated by way of e-mail communication.

7. The highest Bidder shall make the balance payment [(75% (seventy five percent)] of the Sale Price to the Seller within 15 (fifteen) days

from the date of remittance of 25% (twenty five percent) of the Sale Price (including EMD) or such extended period as may be agreed upon in writing between the highest Bidder and Authorised Officer of the Seller. The highest Bidder shall also provide the proof of payment of the balance payment [(75% (seventy five percent)] of the Sale Price to the Seller.

8. Pursuant to the receipt of the total Sale Price by the Seller, from the highest Bidder, the Seller shall proceed to duly issue the ‘sale

certificate’ for the Assets in favour of the highest Bidder.

9. In the event the highest Bidder fails to comply with the aforesaid procedure subsequent to the e-Auction event, or fails to make the payment of the 25% of the Sale Price or the total Sale Price (as the case maybe) within the stipulated time period, the Seller shall at its sole discretion decide the way forward, including but not limited to extending the time, re-auction of the Assets and so forth.

D. Note:

Terms defined herein shall have the same meanings as assigned herein, in all Auction Documents. The term ‘Bidders’ shall mean and include the ‘participants’ who are acting on behalf of Bidders.

The Seller shall have the liberty to cancel the e-Auction process / tender at any time, before confirming the sale of Assets under the ‘sale

confirmation certificate’, without assigning any reason.

The Seller shall at his sole discretion have a right to waive/ defer, compliance to any e-Auction bid requirements on a case to case basis, in relation to any matter including but not limited to allowing late registration to an intending Bidder, accepting late submission of KYC documents/ EMD amount and the like.

The Seller shall not have any liability towards the Bidders for any interruption or delay in access to the e-Auction link/site/portal,

irrespective of the cause.

The Seller or Service Provider shall not be liable for any costs, expenses and other payments that the Bidders shall incur in any manner whatsoever, in relation to this e-Auction.

The Guidelines is only a reference document. In the event of any inconsistency in the Bidder Guidelines and the Terms and Conditions of

the e-Auction (attached to this e-Auction Memorandum as Document II), the Terms and Conditions of the e-Auction shall prevail.

In all matters connected to the e-Auction, SBICTCL’s decision shall be final and binding.

TERMS & CONDITIONS OF E-AUCTION (Ref: Public Notice dated 21/11/2015)

1. The Movables will be sold by way of a public e-Auction through the SBICTCL’s (“Seller/ SBICTCL”) approved service provider M/s

e-Procurement Technologies Limited (“Service Provider/ETL”).

2. The e-Auction Memorandum containing the Bidder Guidelines, format of the e-Auction application form (“Bid Form”), declaration, general terms and conditions of e-Auction sale, description of Movables and the like (“Auction Documents”) are available on Web portal: https://sbi.auctiontiger.net (“Website”)

3. Unless specifically defined herein, the capitalized terms shall have the meaning assigned to them in the Guidelines under the said e-Auction Memorandum.

4. The e-Auction Assets are being sold on ‘As is where is’ and ‘As is what is’ condition.

5. Intending Bidders must go through Website https://sbi.auctiontiger.net and the e-Auction Memorandum available on the Website for detailed terms and conditions of the e-Auction before depositing the EMD and participating in the e-Auction.

6. The intending Bidders shall remit the EMD amount through EFT / NEFT / RTGS/ SWIFT transfer to the bank account of the Seller before the last date of registration i.e. before 02/12/2015. 8. Pursuant to depositing the EMD, the intending Bidders shall duly complete and submit the Bid Form (with the digital signature affixed), along with the proof of remittance of EMD, on the Website. Further, the intending Bidders shall submit a copy of the duly completed and signed Bid Form, along with the proof of remittance of EMD, in hard copy to the Seller. In addition to the aforesaid documents, the intending Bidders shall also submit self attested copies of photo ID proofs/ address proof documents viz. Permanent Account Number (PAN) card/ Passport/ Aadhaar Card/ Election Card/ Driving License or any other similar ID proof issued by government authority, certified true copy(ies) of board resolution(s)/ power of attorney (if any) (collectively “KYC documents”) on the website. The intending Bidders shall also send the hard copies of the KYC documents to the Authorised Officer of SBICAP Trustee Company Limited (SBICTCL), Apeejay House, 6th Floor, 3, Dinshaw Wachha Road, Churchgate, Mumbai – 400 020 in a sealed cover. Bid entry shall be deemed to be made only upon the said Bid Forms being submitted online with digital signature, and upon hard copies of the same being furnished as aforesaid.

9. The ‘tender number’ stated in the Public Notice dated 21/11/2015 should be clearly mentioned on the top side of the envelope. Evidence for submitting EMD amount like UTR number and other supportive document/s should be furnished along with/ in the Bid Form. In case of joint Bidders, an authorization letter signed by all the Bidders authorizing actual Bidder (one among them who is holding a valid digital signature certificate) to submit the requisite documents and participate in the bid on their behalf should be attached to the Bid Form. Similarly, in case the Bidder is a company, a certified true copy of the resolution passed by the Board of Directors of the company/ power of attorney authorizing the actual Bidder, who is holding a valid digital signature certificate, to submit and participate in the bid on its behalf, should be attached.

10. The intending Bidders shall undertake the mandatory online training on e-Auction from M/s E-Procurement Technologies Ltd. The online training shall be available until 48 (forty eight) hours before the time of commencement of e-Auction.

11. The EMD and other payments in relation to the e-Auction shall be remitted through EFT / NEFT / RTGS/ SWIFT transfer to the bank

account of the Seller as mentioned above. The EMD and other payments shall not carry any interest.

12. Any Bid Form submitted without the proof of EMD amount or without EMD amount or with less than EMD amount being paid shall be instantly rejected. Also, incomplete Bid Forms or inappropriately executed Bid Forms shall be rejected.

13. SBICTCL shall scrutinize the Bid Forms and KYC Documents and shall convey the names of eligible participants for e-Auction to the Service Provider and also to the eligible participants, within 2 (two) working days from the last date stipulated for receipt of the aforesaid requisite documents. The decision of SBICTCL about eligibility of participant shall be final.

14. The e-Auction will start automatically on and at the time as mentioned above. The e-Auction / bidding time will initially be for a period

of 2 (two) hours with auto time extension of five minutes each, in case the bidding continues, till the sale is concluded.

15. Demo e-Auction process will be conducted by the Service Provider for eligible Bidders at the specified date and time, at the request of the Bidders.

16. The Opening Price of the e-Auction and the increment value will be displayed on the Bidders’ screen at the time of commencement of

the e-Auction.

17. In case of technical defects/ holiday declared or any other reason, if the Website is not available on the day of e-Auction, the e-Auction shall be postponed to the next working day / Website available day. However, the Bidders may participate in e-Auction bidding from their place of choice and internet connectivity shall be ensured by the Bidder himself. SBICTCL/ Service Provider shall not be responsible/ held responsible for the interruption in internet connectivity, network and system problems, power failure etc.

18. All the Bidders must submit its/their final price confirmation as quoted at the time of close of the e-Auction, immediately after the conclusion of the e-Auction to the Service Provider. The Movables shall be sold to the highest Bidder. The Service Provider shall intimate the highest Bidder by way of e-mail that the bid amount submitted by him/them is the highest bid amount. The Service Provider shall also mark/copy the Seller in this communication. The highest Bidder shall remit (into the bank account mentioned above) 25% of the Sale Price (including EMD) (“Sale Price”) within 24 (twenty four) hours from receipt of highest Bidder information from the Service Provider upon conclusion of the e-Auction.

19. The highest Bidder shall within 24 (twenty four) hours from the receipt of highest Bidder information from the Service Provider upon conclusion of the e-Auction, submit to SBICTCL by way of email/facsimile (fax) the ‘price confirmation’ of the final price quoted by him/ them during the e-Auction. The said submission must be duly signed and stamped as a token of acceptance without any new condition other than those already agreed to in writing prior to the commencement of the e-Auction.

20. The Bidder shall submit the proof of remittance of 25% (twenty five percent) of the Sale Price (including EMD) to the Seller within 24

(twenty four) hours from the time of conclusion of the e-Auction. On receipt of said payment and verification of KYC documents, SBICTCL shall issue sale confirmation certificate. It may be noted that the ‘sale confirmation certificate’ is only a document confirming the sale, and it is not and shall not be treated as a ‘sale certificate’ at any given time.

21. In the event the highest Bidder fails to make the payment of 25% (twenty five percent) of the Sale Price (including EMD) to the Seller within the aforesaid stipulated time, as a consequence of which the e-Auction is reconvened, cancelled or re conducted, the said defaulting highest Bidder shall be liable to indemnify the Seller for the loss caused due to such breach committed by him/it.

22. The balance amount (i.e. 75% of the Sale Price (including EMD)) shall be paid on or before the fifteenth day of the date of remittance of 25% of the Sale Price (including EMD) or such extended period as may be agreed upon in writing between the highest Bidder and SBICTCL into the bank account mentioned above.

23. If 25% of the Sale Price is not paid for any reason, EMD will be appropriated by SBICTCL. Likewise, if the balance 75% amount is not paid for any reason within 15 (fifteen) days or such extended period as stated above, the amount already deposited by him/her will be appropriated by SBICTCL and SBICTCL will be at liberty to re-auction the Movables.

24. If extension of time for payment of balance 75% of the Sale Price is agreed upon, the highest Bidder shall pay interest at the rate of SBAR i.e., 14.75% p. a (currently) on the balance amount for the delayed period appropriately.

25. The Movables are being sold on ‘as is where is’ and ‘as is what is’ condition. The Bidders should make their own enquiries regarding ownership, encumbrances, charges or statutory dues such as taxes etc., with respect to the Movables. The Bidders must also independently enquire with respect to ownership and registration of the Movables. It shall be deemed that the Bidders have done their own due diligence before submitting the bids. There shall not be any responsibility on SBICTCL in this respect.

26. The EMD of the unsuccessful Bidders will be refunded (without interest) on the closure of the e-Auction sale and intimated to the Bidder via e-mail. Bidders should provide details of their bank accounts, such as name of the bank and branch, IFSC/SWIFT code number, account number etc. for this purpose, in the Bid Form.

27. Upon issuance of the sale confirmation certificate by SBICTCL and the terms of payment having been complied with, SBICTCL exercising the power of sale shall issue ‘sale certificate’ in relation to the Movables in favour of the highest Bidder.

28. The successful Bidder of the Assets shall be solely responsible for his/its registration with the relevant authorities as the purchaser and owner of the said Movables and replace the previous owner in the said register.

29. The sale certificate will be issued in the name of the highest Bidder/ purchaser(s) (entity on whose behalf any Bidder is bidding) only and

will not be issued in any other name(s).

30. The purchaser shall bear the charges/fees payable for conveyance of the Movables, such as registration fees, stamp duty, statutory dues etc. as applicable under the law.

31. SBICTCL is not liable to pay any interest/ refund of EMD in case of any delay in issue of confirmation of sale/ Sale Certificate by virtue of any court order or any order of a statutory authority, received after e-Auction is held. Further, SBICTCL or the Service Provider shall also not be liable to pay any refund towards any costs and expenses that the Bidders may incur in relation to the e-Auction.

32. SBICTCL reserves the right to reject any or all the offers/tenders/bids without assigning any reason or shall have the right to postpone or cancel e-Auction. SBICTCL also reserves the right to modify any terms and conditions of the e-Auction/sale at his discretion without prior notice.

33. SBICTCL shall not be responsible for any charge, lien, encumbrances, or any other dues to the Government/ department or anyone else in respect of Movables being sold by way of e-Auction.

34. The Public Notice dated 21/11/2015 is also a notice to the borrower/guarantors referred to thereunder, about holding of e-Auction sale on the above mentioned date if the dues are not repaid in full before the date of e-Auction.

35. The Tender number should be clearly mentioned on the top of envelope. Evidence for submitting EMD amount like UTR number and other supportive document should be furnished in the bid form. In case of joint bidders, an authorization letter signed by all the bidders authorizing actual bidder (one among them who is holding a valid Digital Signature Certificate) to submit and participate in the bid on their behalf should be attached to the bid form. Similarly, in case the bidder is a company, a certified true copy of the resolution passed by the Board of Directors authorizing the actual bidder, who is holding a valid Digital Signature Certificate, to submit and participate in the bid on its behalf should be attached.

8. The EMD and other payments shall be remitted through EFT / NEFT / RTGS transfer to the bank account as mentioned above, prior to submitting Bids. The EMD and other payments shall not carry any interest.

9. Bid form without EMD or with less than the EMD amount shall be rejected summarily.

10. SBICTCL will scrutinise the Bid Application Forms and KYC Documents and shall convey the names of eligible participants for e-auction to the service provider and also to the eligible participants, on or before expiry of 2 (two) working days from the last date for submission of bid applications. The decision of SBICTCL about eligibility of participant shall be final.

11. The Bid increment / multiplier shall be as stated above. 12. Online auction sale will start automatically on and at the time as mentioned

above. Auction / bidding time will initially be for a period of two hours with auto time extension of five minutes each, in case the bidding continues, till the sale is concluded.

13. Auction / bidding will be only online bidding through the portal provided by M/s E-Procurement Technologies Ltd. (AuctionTiger), Ahmedabad.

14. Demo e-Auction process will be conducted by M/s E-Procurement Technologies Ltd. (AuctionTiger), Ahmedabad for familiarization and allocation of user name / password to eligible bidders for access to the e-Auction at the specified date and time.

15. In case of technical defects/ holiday declared or any other reason, if the website is not available on the day of auction, the auction shall be postponed to the next working day / website available day. However, the bidders may participate in e-auction bidding from their place of choice and internet connectivity shall be ensured by the bidder himself. SBICTCL/ Service Provider shall not be held responsible for the internet connectivity, network and system problems, power failure etc.

16. The Movables shall be sold to the highest bidder. The purchaser shall deposit 25% of the sale price (including EMD) within 24 hours of sale being confirmed in his/her favour. On receipt of said payment and verification of KYC documents with originals, SBICTCL shall issue letter of sale confirmation. The balance amount shall be paid on or before the fifteenth day of confirmation of sale of Movables or such extended period as may be agreed upon in writing between the successful bidder and SBICTCL. If 25% of the sale price is not paid for any reason, EMD will be forfeited. Likewise, if the balance 75% amount is not paid for any reason within 15 days or such extended period as stated above, the amount already deposited by him/her will be forfeited and SBICTCL will be at liberty to re-auction the Movables.

17. If extension of time for payment of balance 75% of the sale price is agreed upon, the buyers shall pay interest at the rate of SBAR i.e, currently 14.75 % p.a. on the balance amount for the delayed period.

18. The property is being sold on ‘As is where is’ and ‘As is what is’ condition. The bidders should make their own enquiries regarding ownership, encumbrances, charges or statutory dues such as taxes etc. with respect to Movables. The bidders must also independently enquire with the appropriate authorities with respect to ownership and registration of the Movables. It shall be deemed that the bidders have done their own due diligence before submitting the bids. There shall not be any responsibility on SBICTCL in this respect.

19. The EMD of the unsuccessful bidders will be refunded (without interest) on the closure of the e-auction sale and intimated via their email Ids. Bidders should provide details of their Bank accounts such as Name of the Bank and Branch, IFSC Code number, Account Number etc. for the purpose in the bid form.

20. On confirmation of sale by SBICTCL and if the terms of payment have been complied with, SBICTCL exercising the power of sale shall issue Sale Certificate for the Movables in favour of the purchaser (s).

21. The successful bidder of the Movables shall be solely responsible for registration with the Appropriate Authorities, as the purchaser and owner of the said Movables and replace the previous owner in the said registers.

22. The sale certificate will be issued in the name of the purchaser(s) / Applicant(s) only and will not be issued in any other name(s).

23. The purchaser shall bear the charges/fees payable for conveyance such as registration fees, stamp duty, statutory dues etc. as applicable under law.

24. SBICTCL is not liable to pay any interest/ refund of EMD in case of any delay in issue of confirmation of sale/ Sale Certificate by virtue of any Court Order or any order of a statutory authority, received after e-auction is held.

25. SBICTCL reserves the right to reject any or all the offers/tenders/bids without assigning any reason or shall have the right to postpone or cancel e-auction. SBICTCL also reserves the right to modify any terms and conditions of the e-auction/sale at his discretion without prior notice.

26. SBICTCL shall not be responsible for any charge, lien, encumbrances, or any other dues to the Government or anyone else in respect of Movables being e-auctioned.
